AN ORDINANCE
DESIGNATING THE GRACE UNITED METHODIST CHURCH AS A
HISTORICAL LANDMARK
(325 South Street)
WHEREAS, the Elgin Heritage Commission has conducted a
public hearing and determined that the Grace United Methodist
Church meets the criteria of the Elgin Municipal Code, 1976,
as amended, for designation as a historical landmark; and
WHEREAS, the Elgin Heritage Commission has submitted its
report and findings in support of its determination and
recommendation; and
WHEREAS, the City Council has reviewed the recommendation
of the Elgin Heritage Commission and concurs in the
recommendation to designate the Grace United Methodist Church
as a historical landmark.
NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE
CITY OF ELGIN, ILLINOIS, that the Grace United Methodist
Church, located at 325 South Street and legally described as
follows :
Lots 1 and 2 in Block 32 of Kimball ' s Original
Plat for West Elgin, in the City of Elgin, Kane
County, Illinois .
be and is hereby designated as a historical landmark as
provided in Chapter 20 . 06 of the Elgin Municipal Code, 1976,
as amended.
BE IT FURTHER ORDAINED that the City Clerk is authorized
and directed to provide notice, send copies of the ordinance,
and record a certified copy of the ordinance in the office of
the Recorder of Deeds of Kane County, Illinois .

Electronics Recycling Day
Mayor Schock announced that an Electronics Recycling Day,
cosponsored with Kane County, will be held Saturday,
September 30, from 9 a.m. to 1 p.m. at Elgin Community College.
Proclamation in Recognition of National Hispanic Heritage Month
Mayor Schock read and presented a proclamation to Gilbert
Feliciano, President of the Hispanic Network, saluting the
Hispanic Heritage Coalition, Elgin Community College, Elgin
Puerto Rican Parade Committee, and Elgin Hispanic Network for
their civic efforts on behalf of Hispanic Americans and
proclaiming September 15 to October 15 as Hispanic Heritage
Month in Elgin.
RECOGNIZE PERSONS PRESENT
Pattie Lane, 667 N. State Street, stated that she has a
family-operated business at 667 N. State Street, which is
outside of the parameters for the facade improvement program.
She requested that funds be put into the budget to include the
entire State Street corridor in the facade improvement program
in that State Street is one of the entry corridors to the City.
Danielle Henson, 390 Hamilton, representing the Grant Park
Association, presented a petition with 120 signatures requesting
that the City include funds in the budget to purchase Grant
School and develop it into a park. City Manager Parker stated
that City staff has been talking to School District U-46 about
this property.
Michael Glasshagel , 9 Robey Street, representing the Grolich
Park area, stated that their streets are under construction and
are a disaster. He questioned why they weren' t asked whether
they wanted curbs and gutters put in.
China (Rene Schroeppel) , Box 1162 , stated that he has been
performing community service in houses and stores . He will soon
be moving to Chicago.
Gary Joy, 64 S . Jackson, President of the Near West Neighbors
Association, addressed the Council in support of Grace United
Methodist Church' s petition for designation as a historical
landmark.
Chuck Keysor, 2 S . Jackson, Chairman of the Board of Trustees of
Grace United Methodist Church, stated that the board is totally
in favor of landmark status . They are also aware of the fact
that the church would not be eligible for any grant money from
the City. They want the landmark status in order to preserve
and protect ' a beautiful building.

Pat Purkis, 197 Shining Moon Path, stated that her home backs up
to the proposed industrial park at the Northwest Corporate
Center, which is the subject of a petition for annexation on
tonight ' s agenda. She asked that the Council consider
floodplain issues and adequate landscape buffering between the
industrial park and the residential area.
George Albee, 1274 Blackhawk Drive, addressed the Council in
support of the Grace United Methodist Church' s application for
landmark status . The main objective of the request is for
preservation and restoration. He also stated that it is the
congregation' s belief that the local congregation is the owner
of the building and not the parent organization, Northern
Illinois Conference of United Methodist Church.

Councilman Walters made a motion, seconded by Councilwoman
Munson, to award a contract to Proficiency Landscaping for the
Lords Park Brick Paver Renovation Project in the amount of

ORDINANCE S10-00 PASSED DESIGNATING THE GRACE UNITED

Councilman Gilliam made a motion, seconded by Councilman
Figueroa, to pass the following ordinance .
Rodney Osborne, attorney for the Northern Illinois Conference of
United Methodist Church, the parent organization for the Grace
United Methodist Church, stated that the Grace United Methodist
Church has not followed the policy of the Conference . The
Conference objects to the landmark status because it does not
believe it is in the best interest of the congregation. The
Conference believes that landmarking has a tendency to make it
more expensive to maintain the building. Mr. Osborne stated
that the local congregation is required to hold the property in
trust for the conference, and the conference has a revisionary
interest in the building. The Conference requested that the
Council deny this petition for landmark status .

Consideration of Landmark Nomination by the Elgin City Council
Dear Mr. Saher and Elgin City Clerk:
I today received a notice from Mr. Saher dated September 11, 2000, that the landmark
nomination for Grace United Methodist Church will be considered by the Elgin City Council as item
"E" on its Agenda for its meeting on September 13, 2000. I direct your attention to Mr. Saher's
letter dated August 18, 2000 (a copy of which is attached hereto) wherein he stated that the
consideration of this item had been "indefinitely postponed." It is impossible for the proper
representatives of the Northern Illinois Annual Conference of the United Methodist Church (the
"Conference")to attend this meeting upon such short notice. Accordingly,I respectfully request that
the consideration of this item be postponed until the October meeting of the Elgin City Council. If
this matter is not so postponed, I respectfully request that this letter along with my letter of August
17, 2000, addressed to William A. Cogley, Esq., Corporate Counsel of the City of Elgin, together
with its enclosure [see copy attached] be made a part of the official record of the consideration of
this matter by the Elgin City Council.
Please let me know as soon as possible whether or not the City Council will agree to
postpone its consideration of this item as I have requested. Thank you for your prompt attention to
this matter.

Statement of Objection to the Designation of

The undersigned, RODNEY W. OSBORNE, hereby certifies that:
1. I am the attorney for the Board of Trustees of the Northern Illinois Annual Conference of
The United Methodist Church, an Illinois not-for-profit corporation(the"Conference").
2. The administration of both Annual Conferences and Local Churches of The United
Methodist Church as well as its Constitution, Doctrine and Doctrinal Statements, General
Rules and Statement of Social Principles are found in The Book of Discipline of The United
Methodist Church (the "Discipline") which is published quadrennially, most recently in
1996. Pursuant to¶2501 and 112503.1 of the Discipline(a copy of which is attached hereto
as Exhibit "A"), real property of each and every local United Methodist Church "shall be
held in trust for The United Methodist Church and subject to the provisions of its Discipline"
and shall contain a trust clause in the initial deed of conveyance to such local church which
reads substantially as follows:
"In trust, that said premises shall be used, kept, and maintained as a place of divine
worship of the United Methodist ministry and members of The United Methodist
Church; subject to the Discipline, usage, and ministerial appointments of said
Church as from time to time authorized and declared by the General Conference and
by the annual conference within whose bounds the said premises are situated. This
provision is solely for the benefit of the grantee, and the grantor reserves no right or
interest in the premises."
3. Grace United Methodist Church, an Illinois religious corporation formerly known as the
Grace Methodist Episcopal Church of Elgin, Illinois, a religious corporation(the"Church")
took title to its real property commonly known as 325 South Street, Elgin,Illinois 60123,by
a deed,dated January 6, 1888 and recorded with the Kane County Recorder on February 8,
1888 as Document Number 22593, in Book 215, Page 452 (a copy of which is attached
hereto as Exhibit"B"),which contains a trust clause substantially the same as the trust clause
described in paragraph 2, above,pursuant to¶2503.1 of the Discipline, and said trust clause
reads as follows:
"In trust,that said premises shall be used, kept and maintained and disposed of as a
place of Divine worship for the use of the ministry and membership of the Methodist

Episcopal Church in the United States of America; subject to the discipline, usage
and ministerial appointments of said Church as from time to time authorized and
declared by the General conference of said church and the annual conference in
whose bounds the said premises are situated."
4. The United Methodist Church is the successor by merger to the Methodist Episcopal Church
in the United States of America. The Discipline continues to be the authoritative common
law of the United Methodist Church. ¶2537 of the Discipline(a copy of which is attached
hereto as Exhibit"C")provides that:
"...the title to all property now owned or hereafter acquired by an incorporated local
church, and any organization,board, commission, society, or similar body connected
therewith, shall be held by and/or conveyed to the corporate body in its corporate
name, in trust for the use and benefit of such local church and of the United
Methodist Church. Every instrument of conveyance of real estate shall contain the
appropriate trust clause as set forth in the Discipline(¶2503)."
5. The Conference is one of the several Annual Conferences which in the aggregate make up
The United Methodist Church and is the "annual conference within whose bounds" the
property of the Church is situated.
6. Thus,the Conference has a reversionary interest in the real property of the Church.
7. The Conference is also governed by its Articles of Incorporation and By Laws which were
adopted by its members which include all clergy members of the Conference and lay
members most of whom are elected to membership in the Conference by Local Churches of
the Conference (a copy of the By Laws of the Conference are attached hereto as Exhibit
"D"). Regarding governmental landmarking of church-owned property,said By Laws state:
"Section 1. The Annual Conference Board of Trustees is the official body that must
be notified by any designating agency of intent to designate as an historical landmark
any property of entities for which the Northern Illinois Conference is the successor
in interest.
Section 2. The Annual Conference Board of Trustees shall assist other Boards of
Trustees, and if necessary intervene, in opposing any governmental effort to
involuntarily designate any church-owned property as a Cultural, Historical or
Architectural Landmark.

Section 3. The Annual Conference Board of Trustees, or the Board of Trustees of
any agency,organization or local church which voluntarily wishes to cooperate with
a governmental body in having any property landmarked which said Board of
Trustees holds in trust for The United Methodist Church,must do the following:
(a) Comply with the provisions of The Discipline in regard to the encumbrance of
church property; and either
(1) Obtain the consent of the Conference Board of Trustees, the presiding
bishop and of a majority of the cabinet; or
(2) Obtain the consent of the Annual Conference."
8. In early 2000, the Church requested the Board of Trustees of the Conference consent to the
landmarking of the Church building at 325 South Street,Elgin, Illinois 60123, and the Board
of Trustees at its regularly scheduled monthly meeting after receipt of said request, denied
said request.
9. Thereafter the Church petitioned the Annual Conference at its 2000 Annual Conference
meeting in June, 2000, in petition #700-20 for the Annual Conference's consent to the
landmarking of the Church building at 325 South Street, Elgin, Illinois 60123, and the
members of the Annual Conference did not approve said petition(a copy of said petition and
of the Secretary of the Conference's certification as to the failure of said petition,is attached
hereto as Exhibit"E").
10. Accordingly, the Conference, as the Owner of a reversionary interest in the Church's real

BY-LAWS OF THE
NORTHERN ILLINOIS CONFERENCE
OF THE UNITED METHODIST CHURCH
The by-laws printed in the 1995 Journal have been edited as required by current Standing Rules and the 1992
Discipline. They were first adopted at the Special Session September 21, 1968. They have been amended from
time to time by the action of the Annual Conference.
Article I Offices
The principal office of the corporation in the State of Illinois shall be located in the City of Chicago,County of
Cook. The corporation may have such other offices,either within or without the State of Illinois,as the Board
of Trustees may determine or as the affairs of the corporation may require from time to time.
The corporation shall have and continuously maintain in the State of Illinois a registered office and a registered
agent, whose office is identical with each registered office, as required by the Illinois General Not-for-Profit
Corporation Act. The registered office may be,but need not be,identical with the principal office in the State
of Illinois,and the address of the registered office may be changed from time to time by the Board of Trustees.
Article II Members
Section 1. Class of Members: The corporation shall have one class of members consisting of those persons
designated as Clergy Members(as defined by the Constitution and Discipline of The United Methodist Church)
who are on appointment to Charges within the boundaries of Northern Illinois Annual Conference or who are
serving elsewhere by appointment of the presiding Bishop and those persons designated as Lay Members who,
from time to time, are elected to Northern Illinois Conference by the Charges of the conference and those
additional Lay Members as provided by Paragraph 35,Article I of the Constitution of The United Methodist
Church by virtue of office or for purposes of equalizing lay and clergy membership as shall from time to time be
provided for by the Standing Rules of the Conference. The qualifications and rights of members shall be as,from
time to time,designated in the Discipline of The United Methodist Church.
Section 2. Voting Rights: Each member shall be entitled to one vote on each matter submitted to a vote of the
membership; provided, however, only Clergy Members may vote on measures concerning the granting or
validation of local pastor's license,ordination,reception into full conference clergy membership or any question
concerning the character and official conduct of ordained clergy; and,provided further,that Clergy and Lay
Members shall vote separately in elections of delegates to General and Jurisdictional Conferences and in other
matters,if so provided by the Discipline of The United Methodist Church. Voting shall be in person only by
members at membership sessions.
Section 3. Terms of Membership:
(a) Lay Members elected by the Charge Conferences of this Conference shall be elected for a term of
four(4)years or until a successor is duly elected and qualified as a member. Vacancies occurring,from time to
time, by reason of death or resignation of a member shall be filled at any Charge Conference of the Charge
wherein such vacancy occurs.
(b) Except as otherwise provided in the Discipline of The United Methodist Church,a Clergy Member
shall serve as a member of the corporation.

Article III Sessions of Members
Section 1. Annual Session: The annual session of the members shall be held at such time as the Bishop having
residential and presidential supervision over the Northern Illinois Annual Conference shall designate for the
purpose of electing trustees and for the transaction of such other business as may come before the session. The
place of the session shall be designated by the Annual Conference but may be changed when necessary by a
majority of the district superintendents,with the consent of the Bishop. The order of business shall be,from time
to time,as prescribed in the Discipline and Standing Rules of the conference.
Section 2. Special Sessions of the Annual Conference: Special sessions of the Annual Conference may be set at
any annual session of the corporation or may be called by the Bishop with a concurrence of three-quarters(3/4)
of the district superintendents of the conference. A special session of the Annual Conference shall have only such
powers as are stated in the call for such special session.
Section 3. Notice of Sessions: Written or printed notice stating the place,day and hour of any session of members
shall be delivered,either personally or by mail,to each member entitled to vote at such session,not less than five
(5)days before the date of such session,by or at the direction of the Bishop or other persons involved in caging
the session. In case of a special session,or when required by statute or by these by-laws,the purpose or purposes
for which the session is called shall be stated in the notice. If mailed,the notice of a session shall be deemed to
be delivered when deposited in the United States mail addressed to the member at his/her address as it appears
on the records of the corporation,with postage thereon prepaid.
Section 4. Quorum: The members of the Northern Illinois Annual Conference present and voting at any duly
announced session shall constitute a quorum.
Article IV Officers
Section 1. Officers: The officers of the corporation shall be a president, a vice president, a secretary, a
treasurer/director of administrative services,a statistician and such other officers as may be elected in accordance
with the provisions of this Article. The Annual Conference may elect or appoint such other officers,including
one or more assistant secretaries and one or more assistant treasurers,as it shall deem desirable. The officers
are to have the authority and perform the duties usually pertaining to their offices, and such other duties
prescribed,from time to time,by the Annual Conference. No individual shall hold more than one office except
the treasurer/director of administrative services may also serve as statistician,if so elected,and shall also serve
as an assistant secretary with duties limited to matters related to the Board of Trustees,but only as authorized
and directed by the secretary.
Section 2. President: The president of the corporation shall be the Bishop having residential and presidential
supervision over the Northern Illinois Annual Conference. The president shall be the principal executive officer
of the corporation and shall in general supervise all of the business and affairs of the corporation. The president
may sign,with the secretary,assistant secretary or any other proper officer of the corporation authorized by the
Board of Trustees,any deeds,mortgages,bonds,contracts,or other instruments which the Board of Trustees has
authorized to be executed,except in cases where the signing and execution thereof shall be expressly delegated
by the Board of Trustees,by these by-laws,by statute or by the Discipline of The United Methodist Church,to
some other officer or agent of the corporation; and in general shall perform all duties incident to the office of
president.
Section 3. Vice President: The President of the Conference Board of Trustees shall serve ex officio as vice
president of the Conference Corporation. In the absence of the president or in event of the president's inability
or refusal to act,the vice president shall perform the duties of the president and,when so acting,shall have all

the powers of and be subject to all the restrictions upon the president;provided,however,the vice president shall
perform no duties of an episcopal nature,which under the Discipline,are performable only by the Bishop. The
vice president shall perform such other duties as from time to time may be assigned by the president or by the
Annual Conference.
Section 4. Treasurer/Director of Administrative Services. The position of Treasurer/Director of Administrative
Services shall be as detailed in the Discipline and as may from time to time be defined and established by this
Conference and the Conference Council on Finance and Ad-ministration. The functions of this position shall
include,but not be limited to,the following:
Conference Treasurer functions(which include cash management,financial reporting,record keeping,central
treasury functions,internal control,oversight of accounting functions,interpretation of the conference budget
and finances,administrator of the policies of the Conference Council on Finance and Administration,pension
and insurance matters related to the Conference Board of Pensions,support of the office of Statistician).
Administrative Services functions (which include serving as the office manager and personnel director,
purchasing agent,information systems,property and liability insurance under the direction of and in consultation
with the Conference Board of Trustees, and as the administrator of the policies of the Conference Board of
Trustees, the Conference Board of Pensions, the Conference Committee on Personnel and the Conference
Administrative Committee).
The Treasurer/Director of Administrative Services shall give bond for the faithful discharge of official duties in
such sum and with such surety or sureties as the Annual Conference shall determine. The Treasurer/Director
of Administrative Services shall have charge and custody of and be responsible for all funds and securities of the
corporation; receive and give receipts for moneys due and payable to the corporation in such banks, trust
companies or other depositories as shall be selected in accordance with the provisions of Article VIII of these by-
laws;and in general perform all the duties incident to the office of treasurer.
Section 5. Secretary: The secretary shall keep the minutes of the sessions of the members and the Board of
Trustees in one or more books provided for that purpose; see that all notices are duly given in accordance with
the provisions of these by-laws or as required by law; be custodian of the corporate records and of the seal of
the corporation and see that the seal of the corporation is affixed to all documents,the execution of which on
behalf of the corporation under its seal is duly authorized in accordance with the provisions of these by-laws;
keep a register of the post office address of each member which shall be furnished to the secretary by such
member,and in general perform all duties incident to the office of secretary and such other duties as from time
to time may be assigned by the president,or by the Annual Conference.
Section 6. Statistician: The statistician shall compile all data pertaining to membership,finances and other
information concerning the local Charges and prepare reports on such data for the Conference Journal. The
statistician shall also compile such other information as the Annual Conference shall,from time to time,assign.
Section 7. Assistant Treasurers and Assistant Secretaries: If required by the Annual Conference,the assistant
treasurer shall give bonds for the faithful discharge of their duties in such sums and with such sureties as the
Annual Conference shall determine. The assistant treasurers and assistant secretaries,in general,shall perform
such duties as shall be assigned to them by the treasurer/director of administrative services or the secretary or
by the Annual Conference.
Section 8. Election and Term of Office: The vice president shall be elected annually by the Board of Trustees.
The secretary, treasurer/director of administrative services and statistician shall be elected by the Annual
Conference for a term of four years or until their successors in office are duly elected and qualified. The terms
of any additional officers elected by the Annual Conference shall be set by the Annual Conference at the time of

their election. New offices may be created and filled at any regular or duly called special session of the Annual
Conference.
Section 9. Vacancies and RemovaL In the event a vacancy shall occur in the interim of the annual sessions,the
office shall be filled as follows: (1) The Board of Trustees shall elect a new vice president (president of the
Trustees). (2)The Bishop,after consultation with the district superintendents,shall appoint a person as secretary
or statistician to serve until the next session of the Conference. (3) If a vacancy shall occur in the office of
treasurer/director of administrative services,the Council on Finance and Administration,in consultation with
the Bishop,shall fill the vacancy until the next session of the Conference. Vacancies filled at the session of the
Conference shall be for the unexpired term of the Conference officers.
Article V Board of Trustees
Section 1. General Powers: The business and affairs of the corporation shall be managed by its Board of
Trustees in the interim period between sessions of the members. Trustees need not be members of the
corporation.
Section 2. Number,Tenure and Qualifications. The number of trustees shall be twelve(12),one third clergy,one
third lay men and one third lay women,provided that each district shall have at least one representative,with
care being taken to ensure representative inclusiveness(Paragraph 2523). Trustees shall be elected in classes at
the annual session of the conference for a term of four(4)years(or until their successors are elected).
Section 3. Ex-Officio Members: The secretary and the treasurer/director of Administrative services of the
Annual Conference shall serve ex officio,without a right to vote, as secretary and treasurer of the Board of
Trustees;provided,however,nothing herein shall preclude the election of these officers as voting members of the
Board of Trustees,pursuant to Section 2 of this Article. The Director of the Conference Council on Ministries
shall likewise serve ex officio on the Board of Trustees without the right to vote.
Section 4. Regular Meetings: Within four weeks of the close of each Annual Conference,the Board shall hold
its regular annual meeting to elect officers. The District Superintendent assigned to the Board of Trustees shall
convene the meeting.
Section 5. Special Meetings; Special meetings of the Board of Trustees may be called by or at the request of the
Bishop,the president of the Board of Trustees or any three trustees. The person or persons authorized to call
special meetings of the board may fix any place as the place for holding any special meeting of the board called
by them.
Section 6. Notice: Notice of any special meeting of the Board of Trustees shall be given at least five(5)days
previous thereto by written notice delivered personally or sent by mail or telegram to each trustee at the address
of such trustee as shown by the records of the corporation. If mailed,such notice shall be deemed to be delivered
when deposited in the United States mail in a sealed envelope as addressed,with postage thereon prepaid. If
notice by given by telegram,such notice shall be deemed to be delivered when the telegram is delivered to the
telegraph company. Any trustee may waive notice of any meeting. The attendance of a trustee at any meeting
shall constitute a waiver of notice of such meeting, except where a trustee attends a meeting for the express
purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened.
Neither the business to be transacted at,nor the purpose of,any regular or duly called special meeting of the
board need be specified in the notice or waiver of notice of such meeting,unless specifically required by law or
by these by-laws.
Section 7. Quorum: The members of the Northern Illinois Annual Conference Board of Trustees present and

voting at any duly announced meeting shall constitute a quorum,providing that at least 5 trustees be present as
a quorum at a trustee meeting.
Section 8. Manner of Acting: The act of a majority of the trustees present at a meeting at which a quorum is
present shall be the act of the Board of Trustees,unless that act of a greater number is required by law or by
these by-laws.
Section 9. Vacancies: The Annual Conference shall fill any vacancy on the Board of Trustees.
Section 10. Informal Action by Trustees: Any action required by law to be taken at a meeting of trustees,or any
action which may be taken at a meeting of trustees,may be taken without a meeting if a consent in writing,setting
forth the action so taken,shall be signed by all of the trustees.
Section 11. Officers of the Board of Trustees:
(a) At the annual meeting,the Board of Trustees shall elect a president and a vice president,whose duties
shall be those normally associated with such positions and with such additional duties as,from time to time,are
assigned by the trustees. These officers shall serve until their successors are duly elected and qualified. The
president shall preside at all meetings of the Board of Trustee,and the vice president shall preside in the absence
of the president. Any vacancies occurring in these offices shall be filled by the Board of Trustees at a duly called
special meeting or annual meeting.
(b) The secretary and the treasurer/director of administrative services of the corporation shall serve es
officio as secretary and treasurer of the Board of Trustees as provided in Article B,Section 3,provided,however,
should either of these persons be serving as elected members of the Board of Trustees,they shall be ineligible for
the office of president or vice president.
Article VI Governmental Landmarking of Church-Owned Property
Section 1. The Annual Conference Board of Trustees is the official body that must be notified by any designating
agency of intent to designate as an historical landmark any property of entities for which the Northern Illinois
Conference is the successor in interest.
Section 2. The Annual Conference Board of Trustees shall assist other Boards of Trustees, and if necessary
intervene, in opposing any governmental effort to involuntarily designate any church-owned property as a
Cultural,Historical or Architectural Landmark.
Section 3. The Annual Conference Board of Trustees,or the Board of Trustees of any agency,organization or
local church which voluntarily wishes to cooperate with a governmental body in having any property landmarked
which said Board of Trustees holds in trust for The United Methodist Church,must do the following:
(a) Comply with the provisions of The Discipline in regard to the encumbrance of church property; and
either
(1) Obtain the consent of the Conference Board of Trustees, the presiding bishop and of a
majority of the cabinet;or
(2) Obtain the consent of the Annual Conference.

Article VII Discontinued or Abandoned Church Re-Incorporation
Section 1. When in accordance with the then current Book of Discipline of The United Methodist Church (the
"Discipline"), a local church is discontinued or abandoned and the property of said local church becomes the
property of the Annual Conference,such local church shall be incorporated under the provisions of Sections 46a
to 46k of the Illinois Religious Corporation Act[805 ILCS 110/46a-46k] with the Annual Conference Board of
Trustees as the trustees of the newly formed corporation.
Section 2. Said newly formed corporation shall exist for the sole purposes of being the legal entity to dispose of
its existing property,and any other property to which its predecessor religious corporation may become entitled,
as the rightful successor to any gift and/or bequest or other transfer made to such discontinued church;
Section 3. All proceeds of property sales and all gifts and/or bequests received by a corporation established under
the provisions of this Article shall remain the property of the Annual Conference in accordance with the
Discipline.
Article VIII Contracts,Checks,Deposits and Funds
Section 1. Contracts: The Board of Trustees may authorize any officer or officers, agent or agents of the
corporation,in addition to the officers so authorized by these by-laws,to enter into any contract or execute and
deliver any instrument in the name of and on behalf of the corporation,and such authority may be general or
confined to specific instances.
Section 2. Checks,Drafts,etc.: All checks,drafts or orders for the payment of money,notes or other evidences
of indebtedness issued in the name of the corporation,shall be signed by such officer or officers,agent or agents
of the corporation and in such manner as shall from time to time be determined by resolution of the Annual
Conference in session or acting through its Council on Finance and Administration.
Section 3. Deposits: All funds of the corporation shall be deposited from time to time to the credit of the
corporation in such banks, trust companies or other depositories as the Annual Conference in session or its
Council on Finance and Administration may select.
Section 4. Gifts: The Board of Trustees may accept on behalf of the corporation any contribution,gift,bequest,
trust or devise for the general purposes or for any special purpose of the corporation.
Article IX Books and Records
The corporation shall keep correct and complete books and records of account and shall also keep minutes of the
proceedings of its meetings,those of the Board of Trustees and agencies having any of the authority of the Board
of Trustees and shall keep at the registered or principal office a record giving the names and addresses of the
members entitled to vote. All books and records of the corporation may be inspected by any member or the
member's agent or attorney for any proper purpose at any reasonable time.
Article X Fiscal Year
The fiscal year of the corporation shall begin on the first day of January and end on the last day of December in
each year.

Article XI Seal
The Conference shall provide a corporate seal,which shall be in the form of a circle and shall have inscribed
thereon the name of the corporation and the words"Corporate Seal."
Article XII Waiver of Notice
Whenever any notice is required to be given under the provisions of the Illinois General Not-for-Profit
Corporation Act or under the provisions of the articles of incorporation or the by-laws of the corporation, a
waiver thereof in writing,signed by the person or persons entitled to such notice,whether before or after the time
stated therein,shall be deemed equivalent to the giving of such notice.
Article XIII Amendments to By-Laws
These by-laws may be altered, amended or repealed and new by-laws may be adopted by a majority of the
members present at any regular or duly called special session of the Annual Conference.
Article XIV Compliance with Constitution and Discipline
Section 1. Corporate Term: The term "Annual Conference" as used in these by-laws and in the Constitution
and Discipline of The United Methodist Church and the term "corporation" as used in these by-laws shall be
synonymous and understood to refer to the Northern Illinois Annual Conference, a general not-for-profit
corporation of the State of Illinois.
Section 2. Limitation on By-Laws: In the event any provision of these by-laws shall not be in compliance with
the Constitution and Discipline of The United Methodist Church,the provisions of the Discipline shall prevail,
to the extent consistent with the law of Illinois,and this document shall be considered as amended from time to
time where necessary for compliance with the Discipline.
Article XV Corporate Limitations
This corporation shall be responsible for the authorized acts of the corporate officers and agents and the
authorized activities of conference agencies shall be deemed to be the acts of the corporation. Nothing herein
shall be construed to permit any local Charge,or any board,committee,council or agency affiliated with a local
Charge,or any separate related religious or non-profit institution,or any trustee,officer or agent thereof,to
contract for or in any way bind the corporation or render it liable for any act or omission of such Charge,board,
committee,council,agency or institution
Article XVI Incorporated Conference-Related and Affiliated Institutions
A number of religious,educational and non-profit incorporated institutions participate directly or indirectly in
the work and service of The United Methodist Church within the boundaries of the Annual Conference and are
related in varying degrees to the Annual Conference,some being under the control thereof and others being
autonomous while in close consultative and connectional relation. Their respective relationships to the Northern
Illinois Annual Conference shall be as set forth in their articles of incorporation, by-laws and applicable
provisions of the Discipline. All such incorporated institutions shall be solely responsible for their own acts,

omissions,contracts and undertakings.
The nomination and election of the directors or trustees of said incorporated related and affiliated institutions
shall be as provided in their respective articles of incorporation and by-laws as well as by the Discipline.
Article XVII Standing Rules
The Standing Rules of the Northern Illinois Annual Conference,as from time to time amended,shall have the
status and constitute a part of the by-laws of the conference; provided,however,such standing Rules shall be
consistent with the Constitution and Discipline of The United Methodist Church and the laws of Illinois.
Article XVIII Indemnification of Officers,Directors,Trustees and Key Staff
The corporation shall indemnify any and all persons who may serve or who have served at any time as officers,
directors,trustees or staff(excluding general office,clerical or stenographic employees)of(1)the Corporation,
Northern Illinois Annual Conference of The United Methodist Church;(2) the District Superintendents of said
Conference;(3)The Methodist Ministers'Pension Fund; (4)the United Methodist Foundation; (5)the Chicago
Home Missionary and Church Extension Society;(6)the Board of Global Ministries; (7)the Council on Finance
and Administration;and the respective heirs,executors and administrators of such indemnified persons against
any and all expenses(including attorney's fees)incurred by them in connection with the defense or settlement
of any action,suit or proceeding in which;they„or any of them,are made parties,or a party,by reason of being
or having been directors,officers,trustees or staff members of the corporation or the other associated entities
described above. The corporation also shall indemnify any of the foregoing for damages,fines,judgments,and
amounts paid in settlement in connection with such action,suit,or proceeding,and appeals therefrom,except in
relation to matters as to which any such officer,director,trustee or key staff member shall be adjudged in any
action,suit or proceeding to be liable for willful misconduct in the performance of duties,such officer,director,
trustee or staff member shall reimburse the corporation for all attorney's fees and costs expended by it,or which
it has been obligated to spend,as a part of the defense of such officer,director,trustee,or key staff member.
Any indemnification hereunder shall be made only as authorized in the specific case upon a determination that
the person has met the applicable standard of conduct and that indemnification is otherwise lawful and proper.
Such determination shall be made by the Board of Trustees of the Northern Illinois Annual Conference
(hereinafter called"the Board")by a majority vote of a quorum consisting of members not parties to such claim,
action,suit or proceedings,or,if such a quorum cannot be convened,or even if convened,cannot or does not act
for any reason,by special independent legal counsel in a written opinion.
The Board may authorize and direct that insurance be purchased and maintained on behalf of any person who
is,was,or may be entitled to be indemnified hereunder against any liability asserted against and incurred by such
person in any such capacity, or arising out of status as such, whether or not the institution would provide
indemnity against such liability under the provisions hereof.

1 Whereas a special Charge Conference of Grace United Methodist Church of Elgin,Illinois, was convened
2 on February 6,2000,with the express purpose to establish said congregation's intentions to request Elgin
3 Historical Landmark status,and
4
5 Whereas the subject congregation did as a matter of record,unanimously endorse the 1999 vote of said
6 congregation's own Board of Trustees to request Elgin Historic Landmark Status,and
7
8 Whereas the subject Charge Conference was legally called and conducted by the presiding District
9 Superintendent for the district in which said church is located,and
10
11 Whereas this request is being tendered to the voting body of the Annual Conference of the Northern
12 Illinois Conference of the United Methodist Church in full compliance with Article Vi, Section 3 of the
13 Resolution passed by the Annual Conference on June 13, 1995, and
14
15 Whereas there are no funds available from the Northern Illinois Conference of the United Methodist
16 Church to pay for the maintenance of such an old facility,and
17
18 Whereas matching funds from the City of Elgin would be made available if Elgin Historic Landmark
19 status were to be granted by the City of Elgin, and
20
21 Whereas in public hearing,the appointed body which confers Elgin Historic Landmark status has gone on
22 record as saying that it will grant the subject church its desired Elgin Historic Landmark status, and
23
24 Whereas the Architectural Preservationist employed by the City of Elgin has stated that the subject
25 building would be at the top of the City of Elgin's funding priority list, and
26
27 Whereas the neighborhood organization within who's boundaries said structure is located has passed a
28 resolution supporting the congregation's request for Elgin Historic Landmark status,and
29
30 Whereas the subject church, being established in its present building in 1883, is the oldest church on the
31 West side of the city of Elgin, and
32
33 Whereas the subject church congregation,is the longest existing in its original building in the City of
34 Elgin,and
35
36' Whereas the architect who designed this structure was one of Elgin's most prominent architects of the
37 1880s and 1890s, and
38
39 Whereas the building was largely funded by locally prominent philanthropists, such as David C.00k
40 (founder of the Christian publishing house)and George P. Lord,and
41
42 Whereas the structure is basically sound,possessing both anew roof and boiler which were installed in
43 1998,and

1 Whereas said new roof was a major financial burden to the subject congregation,and additional fimding
2 from within the small congregation is limited, and
3
4 Whereas granting of Elgin Historic Landmark status with its associated City funded subsidies would
5 enable the subject building to be maintained as a beacon unto the surrounding community,and maintain
6 its future viability as an on going center of worship and ministry, and
7
8 Whereas local zoning will only permit the use of this building as a Public Use Facility,and non-
9 conforming use would find substantial organized opposition,and
10
11 Whereas the building site is extensively in non-conformance with existing building codes, access codes
12 and setback requirements, and is only permitted in its present state due to"grand fathering"by the City of
13 Elgin,and
14
15 Whereas "grand fathering"of multiple zoning violations would be lost upon conversion to any other non-
16 zoned use, and
17
18 Whereas alternate uses for the structure and land would be financially impractical, and
19
20 Whereas the highest moral, spiritual, ethical,historical and financial calling of this building is as a House
21 of God,and
22
23 Therefore,be it resolved that Grace United Methodist Church of 325 South Street, being located in the
24 city of Elgin,of the State of Illinois, be granted the full consent and blessing of the Northern Illinois
25 Annual Conference of the United Methodist Church,to pursue with full vigor the granting of Historic
26 Landmark Status by the City of Elgin,Illinois, so that it might continue to serve long into the future as a
27 local center of praise,worship and ministry.
