18-82 Resolution No. 18-82 RESOLUTION CONSENTING TO THE PROPOSED SALE OF THE JOINT VENTURE INTERESTS IN ELGIN RIVERBOAT RESORT AND THE GRAND VICTORIA CASINO AND AUTHORIZING EXECUTION OF DOCUMENTS IN CONNECTION WITH SUCH SALE BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that the City of Elgin hereby agrees and consents to the sale of the joint venture interests in Elgin Riverboat Resort to the entities controlled by Eldorado Resorts, Inc., a Nevada corporation, as outlined and described in the attached letter from the Grand Victoria Casino dated July 19, 2018, attached hereto and made a part hereof as Exhibit A. By executing this letter in the space provided below, Landlord hereby (i) irrevocably agrees and consents to the Sale Transaction, (ii) agrees that all of the terms and conditions of the Lease shall remain in full force and effect after the consummation of the Sale Transaction, and (iii) agrees that any reference in the Lease or recorded memoranda thereof to Tenant as "Elgin Riverboat Resort—Riverboat Casino, an Illinois joint venture, doing business as Grand Victoria Casino" is deemed to be a reference to Tenant's correct legal name of "Elgin Riverboat Resort—Riverboat Casino, an Illinois partnership." CHI 69256510x9 kw GRAND VICTORIA CASINO E L G I N In connection with the Sale Transaction, Landlord hereby certifies to the Buyer and the Buyer Purchasing Subsidiaries that (a) the Lease is unmodified and in full force and effect; (b) all rent due and payable under the Lease has been paid through June 30, 2018; (c) there is not any existing default by Tenant in the payment of any rent or other sum of money under the Lease, and there is not any other existing default by either Tenant or Landlord with respect to which a notice of default has been served; and (d)there are not any set-offs, defenses, or counterclaims against enforcement of the obligations to be performed under the Lease existing in favor of Landlord. Landlord further acknowledges and agrees that this letter may be relied upon, and runs to the benefit of, any leasehold mortgagee and/or title insurer of the Buyer and the Buyer Purchasing Subsidiaries and/or their respective affiliates.
