WITNESSETH: WHEREAS, both the CITY and COUNTY receive formula allocations of Community Development Block Grant (CDBG)funds from the United States Government under Title I of the Housing and Community Development Act of 1974 (herein referred to as the "Act"), Public Law 93-383; and WHEREAS, both the CITY and the COUNTY have received appropriated funds from the United States government for emergency assistance for the redevelopment of abandoned and foreclosed upon homes and residential properties under Title III of the Housing and Economic Recovery Act of 2008(Pub. L 110-289, 122 Stat. 2850,enacted July 30, 2008)("HERA"), to be utilized pursuant to the federal Neighborhood Stabilization Program (NSP); and WHEREAS,the CITY has determined it to be in its best interest to obtain program management services from the COUNTY for implementation of its CDBG Program and NSP; and WHEREAS,the COUNTY, through its Office of Community Reinvestment, has the qualifications and experience necessary to provide said services;and WHEREAS, units of local government have had conferred upon them the following powers by Article VII, Section 10(a) of the 1970 Constitution of the State of Illinois: "Units of local government and school districts may contract or otherwise associate among themselves,with the State, with other states and their units of local government and school districts, and with the United States to obtain or share services and to exercise,combine or transfer any power or function, in any manner not prohibited by law or by ordinance. Units of local government and school districts may contract and otherwise associate with individuals, associations, and corporations in any manner not prohibited by law or by ordinance. Participating units of government may use their credit, revenues,and other resources to pay costs and to service debt related to intergovernmental activities;"and WHEREAS,the Intergovernmental Cooperation Act (5 ILCS 220/1 et seq.), enacted by the State of Illinois provides in part as follows: "Section 3. Intergovernmental cooperation.Any power or powers, privileges,functions, or authority exercised or which may be exercised by a public agency of this State may be exercised, combined,transferred, and enjoyed jointly with any other public agency of this State and jointly with any public agency of any other state or of the United States to the extent that laws of such other state or of the United States do not prohibit joint exercise or enjoyment and except where specifically and expressly prohibited by law." 1 "Section 5. Intergovernmental contracts.Any one or more public agencies may contract with any one or more other public agencies to perform any governmental service, activity or undertaking or to combine,transfer, or exercise any powers,functions, privileges, or authority which any of the public agencies entering into the contract is authorized by law to perform, provided that such contract shall be approved by the governing bodies of each party to the contract and except where specifically and expressly prohibited by law. Such contract shall set forth fully the purposes, powers, rights, objectives and responsibilities of the contracting parties;" and WHEREAS,the parties to this Agreement have had conferred upon them the exercise of powers authorized in Chapter 65 of the Illinois Compiled Statutes(known as the "Illinois Municipal Code"), and Chapter 55 of the Illinois Compiled Statues (known as the"Illinois Counties Code"). NOW,THEREFORE, upon the consideration of the mutual promises contained herein and upon the further consideration of the recitals hereinabove set forth, it is hereby agreed between the CITY and COUNTY as follows: 1. INCORPORATION OF RECITALS The recitals set forth above are hereby incorporated into this Agreement in their entirety as though fully set forth herein. 2. SCOPE OF SERVICES A. The COUNTY shall provide program management services for the implementation of the CITY's CDBG Program and its NSP. In providing these services, COUNTY shall perform the tasks outlined in Attachment A, "Scope of Services" (hereinafter referred to as the "SERVICES"). In conjunction with the CDBG program management services, the COUNTY shall administer and provide housing rehabilitation services on behalf of the CITY. The COUNTY shall subcontract with Community Contacts, Inc., an Illinois not-for-profit corporation,to oversee and administer the housing rehabilitation services, as further set forth in Attachment A. The program management and housing rehabilitation services provided by the COUNTY under this agreement during a Program Year shall include the management and administration of any outstanding funds that were allocated to the CITY but were unexpended in any prior program years. B. Any other provisions of this Agreement or the attachments hereto notwithstanding, the CITY shall have and retain sole discretion and authority in selecting the projects and activities to be funded with the CITY's allocation of CDBG and NSP funds. In the event the COUNTY determines that any project or activity selected for funding by the CITY does not comply with the United States Department of Housing and Urban Development's (HUD) activity eligibility or national objective criteria and regulations,the COUNTY shall provide written notice to the CITY of its determination and the reasons therefore. If the CITY does not agree with the COUNTY'S determination,the parties agree that the issue in question shall be submitted to HUD for a final determination with respect to the activity's or project's eligibility and/or compliance. 2 3. WORK PRODUCTS All work products prepared by the COUNTY pursuant hereto including, but not limited to, reports,studies, plans, and recommendations shall be the property of the CITY and shall be delivered to the CITY, in both hard and electronic formats, upon request of the CITY.The COUNTY may retain copies of such work products for its records. 4. PAYMENTS TO THE COUNTY A. The CITY shall make periodic payments to the COUNTY for program management services provided under this Agreement according to the budget established in Attachment B, "Budget for Program Year 2016 Services—Elgin CDBG Program Management Services." B. The total of all payments made by the CITY to the COUNTY for program management services provided under this Agreement shall not exceed$96,459.82 unless modifications to the SERVICES are authorized in writing by the CITY and COUNTY by way of written amendment to this Agreement. C. The CITY shall also make periodic payments to the COUNTY for the reimbursement of housing rehabilitation costs and services provided under this Agreement according to the budget established in Attachment C, "Budget for Program Year 2016 Services—Elgin CDBG Program Housing Rehabilitation Services." D. The total of all payments made by the CITY to the COUNTY for housing rehabilitation costs and services provided under this Agreement shall not exceed$548,431.30 unless modifications to the SERVICES are authorized in writing by the CITY and COUNTY by way of written amendment to this Agreement. The payments to the COUNTY for housing rehabilitation costs and services shall include both the amounts of residential rehabilitation assistance provided to Elgin residents for rehabilitation costs and the program delivery costs to Community Contacts, Inc.,for the administration and management of the CITY's housing rehabilitation program, in accordance with the terms and provisions of this Agreement. The project delivery costs paid to Community Contacts, Inc., shall not exceed twenty percent(20%)of the underlying rehabilitation and/or lead hazard control costs. The COUNTY shall pay Community Contacts, Inc., directly for its administration and management of the CITY's housing rehabilitation program, and shall submit invoices to the CITY for reimbursement in accordance with Section 4 of this Agreement. E. Additional services provided by the COUNTY which are not described herein require prior written approval of the CITY and COUNTY and shall be compensated according to terms agreed upon in such written approval. 5. INVOICES A. The COUNTY shall submit invoices not more often than monthly in a format approved by the CITY. The COUNTY shall provide the CITY with progress reports as requested by the CITY with submission of invoices. 3 B. The COUNTY shall maintain records showing actual time devoted to and expenses incurred for completion of the SERVICES.The COUNTY shall permit representatives of the CITY to inspect and audit all data and records of the COUNTY for work performed under this Agreement.The COUNTY shall retain and make these records available to the CITY at reasonable times during the term of this Agreement, and for a period of five (5) years following the closeout of any CDBG or NSP grant funds allocated to the CITY. 6. TERM OF AGREEMENT The term of this Agreement shall commence and be effective from June 1, 2016 to May 31, 2017 and, unless terminated for cause or pursuant to Article 6 herein,shall renew automatically for subsequent one-year periods on June 1, provided that the CITY is awarded an annual formula allocation of CDBG funds by the U.S. Department of Housing and Urban Development for the new Program Year beginning on June 1,and a budget for the SERVICES to be provided during the new Program Year is approved by the CITY as part of its Annual Action Plan. The budgets set forth in Attachments B and C shall continue for any renewal terms of this Agreement unless modifications to the budgets are authorized in writing by the CITY and COUNTY by way of written amendment to this Agreement. Any outstanding funds that were allocated to the CITY but were unexpended in any prior program years shall rollover to be administered by the COUNTY for any subsequent renewal terms. 7. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof,the CITY or the COUNTY may terminate this Agreement at any time upon ninety(90)days' written notice. In the event this Agreement is so terminated,the COUNTY shall be paid for services provided prior to termination, consistent with the terms set forth under Article 3. 8. NOTICE OF CLAIM If the COUNTY wishes to make a claim for additional compensation as a result of action taken by the CITY,the COUNTY shall give written notice of his claim to the CITY within fifteen (15) days after occurrence of such action. No claim for additional compensation shall be valid unless so made.Any changes in the COUNTY's fee shall be valid only to the extent that the CITY the COUNTY agree to such changes in writing. Regardless of the decision of the CITY relative to a claim submitted by the COUNTY, all work required under this Agreement, as determined by the CITY, shall proceed without interruption. 9. BREACH OF CONTRACT If any party violates or breaches any term of this Agreement,such violation or breach shall be deemed to constitute a default, and the other parties have the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if any party, by reason of any default,fails within fifteen (15)days after notice thereof by another party to comply with the conditions of the Agreement,the party having provided such notice may terminate this Agreement. 4 10. NO PERSONAL LIABILITY No official, director,officer, agent or employee of the COUNTY or CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. 11. INDEMNIFICATION To the fullest extent permitted by law, COUNTY agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees, agents, boards and commissions from and against any and all claims, suits,judgments, costs, losses, attorneys'fees, damages or other relief, including, but not limited to, any loss of, required repayment of, or reduction in any federal funds that were or otherwise would have been allocated to the CITY, during the term of this agreement and any subsequent renewals, in any way resulting from or arising out of negligent actions or omissions of the COUNTY in connection herewith, including negligence or omissions of employees or agents of the COUNTY arising out of the performance of this Agreement,and further including any violation of applicable statutes, regulations, rules, and other requirements of law under Title I of the Housing and Community Development Act of 1974(Pub L 93-383)and Title III of the Housing and Economic Recovery Act of 2008(Pub. L 110-289, 122 Stat. 2850, enacted July 30,2008), or any other laws, regulations, rules, or other requirements of law pertaining to the federal CDBG program and NSP. The COUNTY will not indemnify, defend and hold harmless the CITY, for any claim, suit,judgment, costs or expenses resulting from any negligent act or omission on the part of the CITY, its officers or agents. In the event of any action against the CITY, its officers, employees, agents, boards or commissions, covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel proposed by the COUNTY and approved by the CITY. The provisions of this paragraph shall survive any expiration, completion and/or termination of this Agreement. 12. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement,there shall be no discrimination against any employee or applicant for employment because of sex,age, race, color,creed, national origin, marital status,or the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to,the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color,creed, national origin, age except minimum age and retirement provisions, marital status, or the presence of any sensory, mental or physical handicap.Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation,termination or suspension, in whole or in part, of the Agreement by the CITY. 5 13. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however,that no assignment should be made without the prior written consent of the CITY. 14. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the COUNTY shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the COUNTY would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made.The use of any proposed subcontractor shall require the CITY's advanced written approval. 15. NO CO-PARTNERSHIP OR AGENCY This Agreement shall not be construed so as to create a partnership,joint venture,employment or other agency relationship between the parties hereto. 16. SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. 17. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. 18. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other parties unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. 19. APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane County, Illinois. 6 20. COOPERATION WITH OTHERS The COUNTY shall cooperate with any other parties in the CITY's employ or any work associated with the SERVICES. 21. SEXUAL HARASSMENT As a condition of this contract, the COUNTY shall have written sexual harassment policies that include, at a minimum,the following information: A. The illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; and G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies must be provided to the Department of Human Rights upon request per 775 ILCS 5/2-105. 22. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be emailed and/or mailed by First Class Mail, postage prepaid,addressed as follows: A. COMPLIANCE WITH LAWS Notwithstanding any other provision of this Agreement, it is expressly agreed and understood that in connection with the performance of this Agreement that the COUNTY shall comply with all applicable Federal,State, Municipal, and other requirements of law, including, but not limited to, any applicable requirements regarding prevailing wages, minimum wage,workplace safety and legal status of employees. It is further agreed and understood that the COUNTY shall comply with all applicable statutes, regulations, rules, and other requirements of law under Title I of the Housing and Community Development Act of 1974 (Pub L 93-383)and Title III of the Housing and Economic Recovery Act of 2008 (Pub. L 110-289, 122 Stat. 2850, enacted July 30, 2008), or any other laws, regulations, rules,or other requirements of law pertaining to the federal CDBG program and NSP. Without limiting the foregoing,COUNTY hereby certifies, represents and warrants to the CITY that its employees and/or agents who will be providing products and/or services with respect to this Agreement shall be legal residents of the United States.COUNTY shall also at its expense secure all permits and licenses, pay all charges and fees and give all notices necessary and incident to the due and lawful prosecution of this work, and/or the products and/or services provided by this Agreement.The CITY shall have the right to audit any records in the possession or control of the COUNTY to determine the COUNTY's compliance with the provisions of this paragraph. In the event that the CITY proceeds with such an audit,the COUNTY shall make available to the CITY the COUNTY's relevant records at no cost to the CITY. Annual Action Plan Prep./Amendment Prep. • Prepare written narratives o Draft plan narratives for review/approval by Elgin. • IDIS entry o Enter final plan narratives and projects/activities into HUD's IDIS System. • Public comment period/public hearing o Draft public notice for review/publication by Elgin. o Conduct public hearing (at Elgin City Hall). o Prepare summary of comments received during comment period and hearing for review by Elgin. • Plan submittal o Incorporate public comments/responses and submit with Kane-Elgin Consortium plans in IDIS. o Provide hard and electronic copies of final plan for Elgin's records/use. • Prepare amendment(s)to any current or prior-year Action Plan(s)as requested by Elgin. Environmental Review • Prepare individual Environmental Review Records for all CDBG-funded activities for review and signature by Elgin's Certifying Official. • Prepare/publish required notices(if necessary). • Prepare RROF/FONSI forms for review/signature by Elgin's Certifying Official and submittal to HUD (if necessary). • Obtain release of funds from HUD (if necessary). • Enter/upload all required information/documents into HEROS system. Project Management/Oversight . Includes oversight of both new bnd prior-year CDBG activities through project close-out and final file review to ensure project records are complete and ready for future audit/monitoring. • Prepare funding agreements (or, in the case of city-sponsored projects, Interdepartmental MOUs). • Set up all activities in IDIS. • Conduct project kick-off/orientation meeting to ensure smooth project launch/completion. • Assist with procurement/bidding processes to confirm compliance with HUD standards. • Confirm/document that the selected contractor(and subs) are not debarred. 9 • Ensure compliance with Federal Labor Standards/Davis-Bacon, including collection of certified payroll records from contractor(and subs), and conducting/documenting job site interviews. • Collect and maintain documentation of activity accomplishments and beneficiary info,including quarterly performance reports. Update accomplishments in IDIS on a quarterly basis per HUD standards. • Monitor projects(both while underway and at completion). • Collect and review annual agency audits to confirm compliance with OMB standards. Follow up on any findings/deficiencies that are of concern. • Enter completion data/info and closeout projects in IDIS. • Preparation of project files/records: o Provide Elgin with complete and organized file for each project (in both hard and electronic formats)to document compliance with all Federal requirements. • Meet with representatives from Elgin's external auditing firm (Sikich)to provide information/documentation and assist with the city's annual single audit. • Meet with HUD staff to provide information/documentation and assist with monitoring visits. Field follow-up questions and prepare draft written responses for Elgin's review/submittal to HUD. Housing Rehabilitation Services • Subcontract with Community Contacts to provide housing rehabilitation assistance to Elgin homeowners under the following parameters: o Homeowner Eligibility:Applicants must be at least eighteen (18)years of age, and their total household income must be at/below 80%of Area Median Income (as updated and published annually by HUD). Applicants must own and occupy the property as their principal residence and be current with the payment of their mortgage, property taxes, and homeowner's insurance premium. o Property Type(s): Properties must be lawful, single-family dwellings free of all liens and located in the City of Elgin. o Amount of Assistance/Household: Up to$15,000 for housing rehabilitation work and up to$10,000 for lead hazard control work,for a combined maximum of$25,000/ household.All assistance shall be provided in the form of a grant. Community Contacts shall be eligible to receive up to 20 percent of the rehabilitation and lead-hazard- control costs as a project delivery fee. • Oversee and monitor the following tasks to be performed by Community Contacts: o Receipt and processing of applications to identify eligible households. (All applications currently under review/processing by Elgin's Community Development Department will be given priority status ahead of any new applications.) o Assessment of the physical condition of homes determined eligible for the program. o Preparation of a scope of work and specifications for each housing unit to be rehabilitated along with a cost estimate for the work. o Procurement of contractor services through competitive bidding to a pre-qualified list of contractors. o Execution of agreements and other documents necessary for homeowners to participate in the program. o Inspection of work performed by contractors to ensure satisfactory completion, including compliance with lead-based paint requirements. 10 • Pay Community Contacts directly and submit reimbursement requests to Elgin. • Maintain project files and beneficiary data for reporting/tracking purposes. Neighborhood Stabilization Program • Oversee additional work necessary to address lead-based paint in four previously assisted housing units. • Oversee the completion of four housing units covered by an existing agreement between the city and Habitat for Humanity of Northern Fox Valley. • Assist/Advise Elgin regarding the redevelopment of currently vacant property acquired by the city under its Neighborhood Stabilization Program.Oversee the disposition and redevelopment process upon project approval by the city. • Prepare/submit outstanding and future quarterly reports in HUD's DRGR System. • Other work associated with closing out Elgin's Neighborhood Stabilization Program. Financial Recordkeeping/Payment Processing/Reporting • Review/approve project invoices/requests for payment. • Submit invoices/requests for payment to the city's Finance Department for processing. o If requested by city, assist with IDIS drawdown process to ensure prompt reimbursement from HUD. • If requested by Elgin, review financial records and quarterly financial reports(SF-425). • Maintain records/backup documentation to support the city's financial records. Make same available for preparation of the city's annual single audit and HUD monitoring. o Prepare corrective action plans and narrative responses necessary to address deficiencies identified in program audits/monitoring visits(including any outstanding responses necessary from monitoring conducted during Program Year 2015). • Prepare and submit other compliance reports. o Contract and Subcontract Activity Reports(HUD-2516) o Semi-annual Labor Standards Enforcement Reports(HUD-4710) o Section 3 Summary Report o FFATA Subaward Reporting CAPER Prep. (Beginning with CAPER for Program Year 2015) • Prepare written narratives o Draft accomplishment narratives for review/approval by city. • IDIS entry o Confirm entry of all required info/data for inclusion in CAPER. o Provide draft IDIS reports to city and executive summary of accomplishments for year as well as ConPlan period to date. • Public comment period o Draft public notice for review/publication by city. o Prepare summary of comments received during comment period for review by city. • Report submittal o Incorporate public comments/responses and submit with Kane-Elgin Consortium CAPER in IDIS. o Provide hard and electronic copies of final report for city records/use. 11 Application Process(Optional Item—Budget TBD at CITY's Request) • Conduct application process(via ZoomGrants)should the Elgin choose to utilize CDBG funds for projects sponsored by external entities. • Provide bound (and electronic) packet for review by city administration and City Council, including: o Staff reports/evaluations/recommendations; and o Budget worksheet to aid in the allocation process. 12 ATTACHMENT B BUDGET FOR PROGRAM YEAR 2016 SERVICES'.— ELGIN CDBG PROGRAM MANAGEMENT SERVICES Elgin CDBG Program Management Services Expense Amount 1. Housing Rehabilitation Services(includes rehabilitation costs) $548,431.30 Not-to-Exceed Total for PY2016 $548,431.30 3 NOTE: Program Year 2016 Housing Rehabilitation Costs and Services also includes the administration and management of outstanding funds that were allocated to Elgin but were unexpended in prior Program Years. 14 STATE OF ILLINOIS COUNTY OF KANE RESOLUTION NO. 16-203 AUTHORIZING ACTIONS RELATED TO MANAGEMENT OF THE ELGIN CDBG PROGRAM WHEREAS, both Kane County (County) and the City of Elgin (City) receive formula allocations of Community Development Block Grant (CDBG) funds from the U.S. Department of Housing and Urban Development(HUD) under Title I of the Housing and Community Development Act of 1974; and WHEREAS, both the County and the City have received allocations of Neighborhood Stabilization Program (NSP) funds from HUD under Title III of the Housing and Economic Recovery Act of 2008; and WHEREAS, the City has determined it to be in its best interest to obtain program management and housing rehabilitation services from the County to implement its CDBG Program and close out its NSP; and WHEREAS, the County, through its Office of Community Reinvestment, has the qualifications and experience necessary to provide said services; and WHEREAS, HUD has encouraged intergovernmental cooperation between the County and City regarding implementation of the City's federally funded housing and community development programs; and WHEREAS, it is necessary to execute agreements between the County and the City, and the County and Community Contacts, Inc., for the provision of said services; and WHEREAS, it is necessary to establish a new Special Revenue Fund in the County's financial system through which CDBG funds provided by the City will be received and expended; and WHEREAS, it is necessary to amend County Board Resolution Number 16-13, which authorizes the payment of Office of Community Reinvestment program expense from General Fund working cash within certain limits and under certain conditions; and WHEREAS, it is necessary to amend the County's budget for Fiscal Year 2016 to include the CDBG funds that will be received from the City and expended during the remainder of Fiscal Year 2016. NOW, THEREFORE, BE IT RESOLVED that the Kane County Board Chairman and/or the Director of the Office of Community Reinvestment are authorized to sign agreements, certifications, reports and other documents necessary to provide CDBG and NSP Management Services to the City of Elgin.
