Kaptain, Mayor Presented: December 7, 2016 Adopted: December 7, 2016 Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk SETTLEMENT AGREEMENT THIS SETTLEMENT AGREEMENT is made and entered into this 7th day of December , 2016, by and between the City of Elgin, Illinois, an Illinois municipal corporation (hereinafter referred to as the "City"), Landmark Contractors, Inc., an Illinois corporation (hereinafter referred to as "Landmark") and Northern Contracting, Inc., an Illinois corporation (hereinafter referred to as "Northern") (the City, Landmark and Northern are hereinafter also individually referred to as a"Party"and hereinafter collectively referred to as the "Parties"). WHEREAS,in 2007,the City began a multi-year improvement project in the City's Central Business District which included certain streetscape improvements including curbed landscaped planters with metal ornamental fencing around each of such planters;and WHEREAS, the City and Landmark entered into contracts for Phase I of the Central Business District-Streetscape Improvements in 2007 pursuant to a-contract between the City and Landmark dated July 19,2007, for Phase II in 2008 pursuant to a contract between the City and Landmark dated June 11,2008, for Phase I1I in 2009 pursuant to a contract between the City and Landmark dated May 27,2009,and for Phase N in 2010 pursuant to a contract between the City and Landmark dated on or about April 28,2010 (such contracts between the City and Landmark are hereinafter collectively referred to as the"Subject Contracts");and WHEREAS, Phases I through IV of the Central Business District Streetscape 1 Improvements pursuant to the Subject Contracts (hereinafter collectively referred to as the "Project") included a total of 132 planters with ornamental metal fencing around each of such planters(hereinafter referred to as the"Ornamental Metal Fencing");and WHEREAS,the specifications in the Subject Contracts for the Ornamental Metal Fencing required that the finishing/painting for such Ornamental Metal Fencing"A three coat Organic zinc rich primer/polyamide epoxy/aliphatic acrylic polyurethane paint system must be used";and WHEREAS, it has been determined that the 3-coat paint system provided for in the specifications to the Subject Contracts for the paining of the Ornamental Metal Fencing was not utilized but such Ornamental Metal Fencing was painted instead with a 2-coat powder coating system;and WHEREAS,Northern was the subcontractor to Landmark for each of the Phases I through IV of the Central Business District Streetscape Improvements pursuant to the Subject Contracts and provided the fabrication and finishing/painting of the Ornamental Metal Fencing;and WHEREAS, it is the City's position that the Ornamental Metal Fencing was not finished/painted as required by the specifications of the Subject Contracts,and the City has made a demand on Landmark and its subcontractors to correct the work;and WHEREAS, Landmark and Northern deny that the Ornamental Metal Fencing was not finished/painted as required by the specifications of the Subject Contracts, and further it is their -1- i { position that the 2-coat powder coating system was approved by the City's agent, TranSystems Corporation;and WHEREAS,the City's position is that the 2-coat powder coating system was not approved by TranSystems Corporation;and WHEREAS, in order to avoid the risk, uncertainty and expense of litigation, each of the Parties hereto desires to fully and finally settle and resolve the dispute regarding the painting of the Ornamental Metal Fencing (such dispute regarding the painting of the Ornamental Metal Fencing is hereinafter referred to as the"Disputed Claim"). NOW, THEREFORE, for and in consideration of the mutual undertakings herein, the Parties hereby agree as follows for the express purpose of fully and finally settling and compromising the Disputed Claim as set forth herein: l: --- Landmark-and Northern shall provide at no cost tothe City for all ofthe-Ornarnental - Metal Fencing for each of the planters installed pursuant to the Subject Contracts, including also the posts and appurtenances thereto, to be sandblasted and repainted using the 3-coat painting system as provided for in the Subject Contracts. The specifications for such sandblasting and repainting of the Ornamental Metal Fencing shall be as set forth in the specifications therefor prepared by Advance Enamel Company,Inc.,entitled"Village of Elgin Streetscape Paint System Specifications",consisting of 7 pages,attached hereto and made a part hereof as Exhibit 1. 2. The Parties acknowledge that the City is currently having the curbing for the planters repaired by a separate contractor, Copenhaver Construction, Inc. (hereinafter referred to as "Copenhaver"). As part of that curbing repair, Copenhaver has removed and is still in the process of removing various sections of the Ornamental Metal Fencing and is storing same at its facility. For those sections of the Ornamental Metal Fencing which have been removed or will be removed by Copenhaver and stored by Copenhaver, Landmark and Northern shall cause such sections of Ornamental Metal Fencing to be picked up from Copenhaver and sandblasted and repainted as required in this agreement. Upon the completion of such sandblasting and repainting such sections of the Ornamental Metal Fencing shall be returned by Landmark and Northern to Copenhaver for reinstallation by Copenhaver. For those sections of the Ornamental Metal Fencing which have already been reinstalled by Copenhaver(consisting of the Ornamental Metal Fencing on approximately 26 planters mostly along Douglas Avenue), Landmark and Northern shall remove such sections of the Ornamental Metal Fencing from the various locations in the field and provide for the sandblasting and repainting of such sections of Ornamental Metal Fencing as required in this agreement. Upon the completion of such sandblasting and repainting such sections of the Ornamental Metal Fencing shall be reinstalled by Landmark and Northern at the appropriate locations in the field. Such reinstallation of the Ornamental Metal Fencing shall be in accordance with the specifications in the City's current contract with Copenhaver. For the purposes of clarification,such reinstallation involves a surface mounting of the Ornamental Metal Fencing on the top surface of the curbing for the planters with the posts have been cut to a new specified length and using the new surface mount hardware. -2- se} f}i kF 3. Landmark and Northern,as the case may be, shall sign receipts for the sections of Ornamental Metal Fencing picked up from Copenhaver, the form of such receipts shall be approved by the City. Landmark and Northern shall also provide for an appropriate methodology of identifying through tagging or otherwise each section of the Ornamental Metal Fencing so as to identify the proper location for the reinstallation of each section of Ornamental Metal Fencing. Landmark and Northern shall also provide the City with documentation as to the locations and dates sections of Ornamental Metal Fencing have been removed from the field by Landmark or Northern. Landmark and Northern shall be responsible for any damage to the Ornamental Metal Fencing occurring as a result of the transportation,sandblasting,repainting or reinstallation thereof by Landmark and Northern. 4. Landmark or Northern shall cause the work to be performed pursuant to this agreement to commence within seven (7)days of the date of this agreement, and shall complete all the work with respect to the sandblasting,repainting and reinstallation of the Ornamental Metal Fencing on or before February 28,2017. 5. In consideration of and conditioned upon the completion of the work to be performed by Landmark and Northern pursuant to this agreement,the Parties release, acquit and discharge each other and their respective officials, officers, directors, shareholders, employees, agents,servants, insurance carriers,successors,assigns and subsidiaries,of and from any and all claims, demands, damages, injuries, losses, costs, expenses, compensation, attorneys' fees, actions,causes of action,duties,debts,responsibilities,liabilities,whether in tort,contract,or any other theory, ground or basis for recovery in law or in equity arising out of or related to the Disputed Claim. The foregoing release does not apply to claims for breach of this agreement or to actions to enforce this agreement. 6. Notwithstanding anything to the contrary,the Parties hereto expressly acknowledge and agree that claims arising out of or related to the above-referenced Project which are unrelated to-the matters expressly-settled,compromised, and released hereunder,shall be in fact excluded from this agreement and any of the terms and conditions hereof. 8. The Parties agree and acknowledge that this agreement shall bind and inure to the benefit of each other as well as their past and present officials, owners, shareholders, officers, directors, members,employees, agents, representatives, consultants, attorneys, insurers, sureties, T successors and assigns. This agreement shall not be assigned by any Party without the written { consent of the other Parties hereto. Any assignment in violation of this provision shall be void. '' Any Party may withhold its consent to a proposed assignment. 9. The modification or waiver of any provision of this agreement shall not be effective unless the modification or waiver is in writing and fully executed by the Parties. Moreover,any such modification or waiver shall only be effective for its specific purpose and not otherwise impact this agreement. 10. This agreement shall be interpreted in accordance with and governed by the laws of the State of Illinois. This agreement constitutes a legal,valid and binding obligation of each of the Parties hereto, enforceable against the Parties in accordance with its terms. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane County,Illinois. 11. This agreement has been drafted after thorough bargaining and negotiation between the Parties hereto,each of which has been independently represented herein by legal counsel of their choice. Accordingly, this agreement's language is a product of the Parties' mutual effort, and therefore should not be construed against any one of the Parties hereto as the drafter. 12. The Parties acknowledge that the terms of this agreement are contractual and not merely recitals. 13. Notwithstanding anything contained herein,including but not limited to Paragraph 5 above, the Parties hereto reserve all rights, remedies and defenses with respect to all claims -4- ft ty against TranSystems Corporation,including but not limited to,claims with respect to the Disputed Claim or the Project. 14. The Parties state that this agreement contains the entire agreement between them as to the Disputed Claim, and there are no other oral, written, expressed or implied promises, representations,or inducements not specified herein. 15. The Parties represent that the individuals executing this agreement on each of the Parties' behalf are authorized and empowered to do so. 16. The Parties may execute this agreement in counter-parts, each of which shall be deemed an original but all of which together shall constitute one in the same executed document. 17. This agreement may be executed and then transmitted by facsimile or electronic mail,and each such transmission shall be deemed to have the same force and effect as the original.
