RESOLUTION
AUTHORIZING EXECUTION OF A LETTER OF CONSENT
REGARDING THE ASSIGMENT OF WIRELESS COMMUNICATIONS EQUIPMENT SITE
AGREEMENT BETWEEN THE CITY OF ELGIN AND
UNITED STATES CELLULAR OPERATING COMPANY OF CHICAGO, LLC
DATED OCTOBER 26, 2006, TO T-MOBILE CENTRAL LLC
(750 Summit Street)
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that David J. Kaptain, Mayor, be and is hereby authorized and directed to execute a Letter of
Consent regarding the Assignment of Wireless Communications Equipment Site Agreement
Between the City of Elgin and United States Cellular Operating Company of Chicago, LLC
dated October 26, 2006, to T-Mobile Central LLC, a copy of which is attached hereto and made
a part hereof by reference.

Re: Request for Consent to Assign Wireless Communications Equipment Site Agreement
("Agreement") between the City of Elgin ("City") and United States Cellular Operating
Company of Chicago, LLC ("Company") dated October 26, 2006, located at the City of
Elgin Little League Field at 750 Summit Street in Elgin, Illinois, more commonly known
as Elgin East,#8831211
Mr.Kozal:
Pursuant to provision IV-Additional Conditions and Provisions, subsection B.-Assignments, Successors
and Assigns of the Agreement referenced above, Company is hereby requesting your consent to assign
said Agreement, in its entirety, to T-Mobile Central LLC, a Delaware limited liability company. Please
sign where indicated below to establish City's consent to the proposed assignment. Company shall
provide the City a fully executed copy of the Assignment Agreement upon full execution of same.
Company shall also provide the City written notice in the event it does not complete the Assignment
Agreement with T-Mobile.
