RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH
MEGGITT TRAINING SYSTEMS, INC. FOR
POLICE SHOOTING RANGE RETROFIT
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
pursuant to Elgin Municipal Code Section 5.02.020B(9) the City Council hereby finds that an
exception to the requirements of the procurement ordinance is necessary and in the best interest of
the city; and
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
Sean R. Stegall,City Manager,and Kimberly A.Dewis,City Clerk,be and are hereby authorized and
directed to execute an agreement on behalf of the City of Elgin with Meggitt Training Systems,Inc.
for police shooting range retrofit, a copy of which is attached hereto and made a part hereof by
reference.

CITY OF ELGIN SHOOTING RANGE RETROFIT AGREEMENT
THIS AGREEMENT is hereby made and entered into this 8th day of May, 2013, by and
between the CITY OF ELGIN, Illinois, a municipal corporation (hereinafter referred to as
"CITY") and MEGGITT TRAINING SYSTEMS, INC., a Delaware corporation (hereinafter
referred to as "MTSI").
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the sufficiency of which is hereby mutually acknowledged, the parties hereto hereby
agree as follows:
1. MTSI shall provide to CITY, under the terms and conditions provided therein, the
goods and services provided in Attachment A, attached hereto and made a part hereof.
2. CITY shall pay to MTSL under the terms and conditions provided in Attachment A
hereto, the total sum of $131,413.00 for the furnishing and the delivery (C.I.P. jobsite) of the
equipment and services listed in Attachment A (hereinafter referred to as "DELIVERABLES").
Payment by CITY shall be made within -3 0 days of delivery and acceptance in writing by CITY
of DELIVERABLES.
3. MTSI shall provide submittal drawings to CITY on or before May 13, 2013. MTSI
shall deliver DELIVERABLES to CITY within 120 days after CITY'S written approval of such
submittal drawings. Time is of the essence of this Agreement. CITY shall pay any and all
federal, state and local taxes, licenses, permits, bonds and fees which may be applicable to the
sale contemplated by this Agreement.
4. The terms of this Agreement shall be severable. In the event any of the terms or
provisions of this Agreement are deemed to be void or otherwise unenforceable for any reason,
the reminder of this Agreement shall remain in full force and effect.
5. This Agreement shall not be construed so as to create a partnership, joint venture,
employment or other agency relationship between the parties hereto.
6. This Agreement shall be subject to and governed by the laws of the State of Illinois.
Venue for the resolution of any disputes for the enforcement of any rights arising out of or in
connection with this Agreement shall be in the Circuit Court of Kane County, Illinois.
7. MTSI hereby waives any and all claims to interest on money claimed to be due
pursuant to this Agreement, and any and all such rights to interest to which it may otherwise be
entitled pursuant to law, including, but not limited to, pursuant to the Local Government Prompt
Payment Act, as amended (50 ILCS 505/1, et seq.), or the Illinois Interest Act, as amended (815
ILCS 205/1, et seq.).
8. Notwithstanding any other provision of this Agreement, it is expressly agreed and
understood that, in connection with the performance of this Agreement, MTSI shall comply with
all applicable federal, state, city and other requirements of law, including, but not limited to, any
applicable requirements regarding prevailing wages, minimum wage, workplace safety and legal
status of employees. Without limiting the foregoing, MTSI hereby certifies, represents and
warrants to the CITY that all MTSI'S employees and/or agents who will be providing products
and/or services with respect to this Agreement shall be legal residents of the United States.
MTSI shall also give all notices necessary and incident to the due and lawful prosecution of the
work; and/or the products and/or services to be provided for in this Agreement. The CITY shall
have the right to audit any records in the possession or control of MTSI to determine MTSI'S
compliance with the provisions of this section. In the event the CITY proceeds with such an
audit. MTSI shall make available to the CITY. MTSI'S relevant records at no cost to the CITY.
MTSI shall pay any and all costs associated with any such audit. The CITY shall only have
rights to audit any records as they relate to this Agreement. The CITY understands that MTSI is
engaged in other confidential work and this clause only applies to information that pertains to the
Agreement and does not grant the CITY access to the MTSI's confidential information or work,
proprietary information or work; and or trade secrets. *See note below.
9. This Agreement is the only agreement between the parties hereto regarding the
subject matter hereof. There are no other agreements between the parties hereto regarding the
subject matter hereof whether written, verbal or implied.
