Lancaster,Suite 12002,Ft. Worth, Texas, 76102("the CONTRACTOR"). ARTICLE I. DEFINITION. "THIS CONTRACT" as used herein shall mean this Agreement and CONTRACTOR's Quote JJ 110225A, including all the various attachments thereto,attached hereto and made a part hereof as Exhibit A. The CONTRACTOR agrees to provide the ballistic armored tactical transport vehicle in accordance with the terms of this CONTRACT, including Exhibit A. In the event there is a conflict between the terms of THIS CONTRACT and Exhibit A,the terms of this CONTRACT shall supersede and control. ARTICLE II. PRICE. The CONTRACTOR shall provide the ballistic armored tactical transport vehicle as specified in Exhibit A for the total price of One Hundred Seventy-Seven Thousand Five Hundred Dollars ($177,500.00). Payment shall be made by the CITY to the CONTRACTOR upon the CONTRACTOR's delivery of the vehicle at the City of Elgin Police Department in Elgin, Illinois. Concurrently with delivery of the vehicle to the CITY,the CONTRACTOR shall convey title to such vehicle to the CITY. ARTICLE III. TIME OF PERFORMANCE. The CONTRACTOR shall deliver and convey title to the completed ballistic armored tactical transport vehicle to the CITY within one hundred eighty(180)days of the date of THIS CONTRACT. ARTICLE IV. TERMINATION. The following shall constitute events of default under THIS CONTRACT: a) any material misrepresentation made by the CONTRACTOR to the CITY,b) any failure by the CONTRACTOR to perform any of its obligations under THIS CONTRACT including, but not limited to, the following: (i) failure to commence performance of THIS CONTRACT at the time specified in THIS CONTRACT due to a reason or circumstance within the CONTRACTOR's reasonable control, (ii) failure to perform THIS CONTRACT with sufficient personnel and equipment or with sufficient material to ensure the completion of THIS CONTRACT within the specified time due to a reason or circumstance within the CONTRACTOR's reasonable control, (iii) failure to perform THIS CONTRACT in a manner reasonably satisfactory to the CITY, (iv) failure to promptly re- perform within reasonable time the services that were rejected by the CITY as erroneous or unsatisfactory, (v) failure to comply with a material term of THIS CONTRACT, including, but not limited to the Affirmative Action requirements, and (vi) any other acts specifically and expressly stated in THIS CONTRACT as constituting a basis for termination for cause. ARTICLE V . DAMAGES. From any sums due to the CONTRACTOR for services, the CITY may keep for its own the whole or any part of the amount for expenses, losses and damages as directed by the Purchasing Director, incurred by the CITY as a consequence of procuring services as a result of any failure, omission or mistake of the CONTRACTOR in providing the goods and services as provided in THIS CONTRACT. ARTICLE VI. GOVERNING LAWS AND ORDINANCES. This CONTRACT is made subject to all the laws of the State of Illinois and the ordinances of the CITY and if any such clause herein does not conform to such laws or ordinances, or in the event any of the terms or provisions herein are deemed to be void or otherwise unenforceable for any reason, such clause shall be void(the remainder of the contract shall not be affected)and the laws or ordinances shall be operative in lieu thereof. Venue for the resolution of any disputes or the enforcement of any rights arising out of or in connection with THIS CONTRACT shall be in the Circuit Court of Kane County, Illinois. ARTICLE VII. AFFIRMATIVE ACTION. The CONTRACTOR will not discriminate against any employee or applicant for employment because of race, color, religion, sex, ancestry, national origin, place of birth, age or physical handicap which would not interfere with the efficient performance of the job in question. The CONTRACTOR will take affirmative action to comply with the pro sions of Elgin Municipal Code Section 3.12.100 and will require any subcontractor to submit to the CITY a itten commitment to comply with those provisions. The CONTRACTOR will distribute copies of this co' tment to all persons who participate in recruitment,screening,referral and selection of job applicants and prospe•tive subcontractors. The CONTRACTOR agrees that the provisions of Chapter 3.12 of the Elgin Municipal Code, 976, is hereby incorporated by reference, as if set out verbatim. ARTICLE VIII. ASSIGNABILITY. The CONTRACTOR shall not a sign, sell or transfer any interest in THIS CONTRACT without prior written consent of the CITY. ARTICLE IX. AMENDMENTS. There shall be no modification o the CONTRACT, except in writing and executed with the same formalities of the original. ARTICLE X. NOTICES. Any notice given under THIS CONTRACT hall be in writing and shall be deemed to have been given when hand delivered or deposited in the U.S. mail, certi ied or registered, return receipt requested, addressed, if to CONTRACTOR, at the address set forth above to e attention of the project manager or undersigned representative, and if to the CITY, to the attention of the C ty Manager, 150 Dexter Court, Elgin, IL 60120 or to such other address and/or authorized representatives as eit er party shall designate in writing to the other in the manner herein provided. ARTICLE XI. INDEMNIFICATION. To the fullest extent permitte• by law, CONTRACTOR agrees to and shall indemnify, defend and hold harmless the CITY, its officers, empl•yees, boards and commissions from and against any and all claims, suits,judgments, costs, attorney's fees, dama:es or any and all other relief or liability arising out of or resulting from or through or alleged to arise out of a.y acts or negligent acts or omissions of CONTRACTOR or CONTRACTOR's officers, employees, agents or s '•contractors in the performance of THIS CONTRACT,including but not limited to,all goods delivered or services •r work performed hereunder.In the event of any action against the CITY, its officers, employees, agents, boards or commissions covered by the foregoing duty to indemnify,defend and hold harmless,such action shall be defende• by legal counsel of the CITY's choosing. ARTICLE XII. PUBLICITY. The CONTRACTOR may not use,in an form or medium,the name of the City of Elgin for public advertising unless prior written permission is granted by e CITY. ARTICLE XIII. WARRANTIES. The CONTRACTOR shall provide o the CITY the warranties for the subject vehicle,as set forth in Exhibit A hereto. The CONTRACTOR shall also .ssign to the CITY any warranties of other manufacturers or third parties relating to the subject vehicle. ARTICLE XIV. NO AGENCY. This CONTRACT shall not be c i nstrued so as to create a joint venture, partnership, employment or other agency relationship between the p es hereto, except as may be specifically provided for herein. ARTICLE XV. CONFLICT. In the event of any conflict between the terms provided in any attachments hereto and the body of THIS CONTRACT,the terms and provisions of THIS C• ' CT shall control. ARTICLE XVI. ENTIRE AGREEMENT. This CONTRACT emb•dies the whole agreement of the parties. There shall be no promises, terms, conditions or obligations other n those contained therein; and THIS CONTRACT shall supersede all previous communications, representatio o , or agreements,either verbal or written, between the parties. ARTICLE XVII.COMPLIANCE WITH LAWS. Notwithstanding an, other provision of THIS CONTRACT it is expressly agreed and understood that in connection with the perf•mance of THIS CONTRACT that the CONTRACTOR shall comply with all applicable Federal, State,City an. other requirements of law, including,but not limited to,any applicable requirements regarding prevailing wages, ' 'mum wage, workplace safety and legal status of employees. Without limiting the foregoing, CONTRACTOR h-reby certifies, represents and warrants to the CITY that all CONTRACTOR'S employees and/or agents who will •e providing products and/or services with respect to THIS CONTRACT shall be legal residents of the United States CONTRACTOR shall also at its expense secure all permits and licenses,pay all charges and fees and give all no ces necessary and incident to the due and • lawful prosecution of the work, and/or the products and/or services to be provided for in THIS CONTRACT. The CITY shall have the right to audit any records in the possession or control of the CONTRACTOR to determine CONTRACTOR'S compliance with the provisions of this section. In the event the CITY proceeds with such an audit the CONTRACTOR shall make available to the CITY the CONTRACTOR'S relevant records at no cost to the CITY. The cost of any such audit shall be paid by the CONTRACTOR. The person signing THIS CONTRACT certifies that s/he has been authorized by the CONTRACTOR to commit the CONTRACTOR contractual and has been authorized to execute THIS CONTRACT on its behalf. Our standard armoring warranty is one year/unlimited miles, from date of receipt by the customer. This covers manufacturing and/or material defects that are related to the armored body of the vehicle. This warranty does not cover items broken and/or damaged due to miss treatment of the vehicle during use or by neglect. Some of these items would include but not limited to the following: Broken glass due to shots, rock chips, etc., damage incurred by ramming objects with the vehicle, damage incurred from a blast, etc. This warranty also does not cover the OEM Chassis. The OEM chassis is covered by its own factory warranty,which will be covered through your local Freightliner dealership. Warranty work can be performed in an Armored Group approved facility. These facilities can vary depending on the issue (i.e. glass, auxiliary air conditioning,run flats, etc). Once The Armored Group is notified of the issue and a warranty claim is started,the designated authorized facility will be contacted by our warranty department to coordinate the parts, service and/or warranty repair. On January 24, 2011, it was reported that eleven officers have been killed in the line of duty during the first 24 days of the year. This sets the current year on a path to meet, or exceed, the 162 deaths of on-duty officers experienced during 2010, which was a 43 percent increase over 2009 deaths (Attachment A). Any officer death is one too many and prevention and safety of Elgin officers is paramount. One resource the department utilizes during violent and high-risk situations is the Tactical Response Team (TRT). This team has been in place since 1976 and is comprised of officers who bravely undertake high-risk assignments and commit to rigorous year-round training. The team trains with, and utilizes, specialized equipment that is not ordinarily deployed in the course of day-to-day patrol operations. Over the years, the team has responded to riots, hostage situations, barricaded subjects and high-risk search warrants, to name a few. One piece of equipment the team does not have to facilitate officer or citizen safety during high-risk situations is an armored rescue vehicle. This deficiency is notable. The National Incident Management System (NIMS) adopted strengthened standards for crisis management as a result of the 2005 hurricane, Katrina. One newly implemented requisite is that an armored rescue vehicle is required for Type II Special Weapons and Tactics (SWAT) teams; Elgin's TRT is classified as a Type II SWAT team. There are numerous reasons why NIMS took this priority approach to armored vehicle accessibility for SWAT teams. The vehicles are designed to move emergency responders into, and citizens out of, dangerous situations. They provide bulletproof coverage to officers, and to those they are assisting, during any crisis or high-risk scenario, not limited to: • barricaded subjects • hostage situations • mass shootings • school incidents • evacuation of citizens • officer rescues 1 • negotiations • high-risk vehicle stops The vehicle also aids in the deployment of less lethal tactics, as officers are provided with increased coverage as they maneuver closer toward unstable situations. As evidenced by the number of mass shootings nationwide, the ability to provide safe coverage to as many officers and citizens as possible during a crisis incident is crucial (Attachment B). History has shown that violent acts are often random and unpredictable and Elgin has had its own experiences with such acts. Since 2006, the TRT has been utilized during twelve barricaded subject callouts and 44 search warrant executions. Though both callout situations have the potential for danger; Elgin officers have been on the receiving end of gunfire in past barricaded subject incidents (Attachment C). Currently, Elgin's TRT uses a bread truck that was donated to the city several years ago (Attachment D). The bread truck was converted by team members to transport officers and equipment, but these needs are being met at a very basic level. While this is an important point, the highest point of importance relates to officer and community safety. The bread truck is not bullet-resistant; therefore, it does not offer safe coverage from an active shooting situation. It can transport only ten of TRT's 23 members. When passenger allotment is full, remaining TRT members need to quickly find unassigned vehicles to reach the call-out destination and reunite with their team members. 111 a 2 Other cities comparable in size to Elgin have recognized the importance of armored rescue vehicles for their SWAT teams. For their police departments, Aurora, Joliet, Naperville, Peoria county and Springfield have all purchased one vehicle; Champaign, Alton and DuPage county have purchased two vehicles. The department is seeking approval for the purchase of one armored rescue vehicle. OPERATIONAL ANALYSIS The department recognizes the purchase of an armored rescue vehicle is a large expense. Over the past several years, personnel have actively sought congressional assistance, grant funding and contact with outside SWAT organizations for assistance with the purchase of an armored rescue vehicle. Success was not met through any of these endeavors. It has become increasingly clear as violence against police officers escalates and mass shootings continue to occur, that Elgin can no longer wait for a rare funding opportunity to present itself. It is recommended that drug asset forfeiture funds be utilized to fund this purchase. This fund is comprised of monies awarded to the department that were seized from subjects charged with drug crimes. The vehicle model selected for purchase consideration is the Ballistic Armored Tactical Transport (BATT). This model is manufactured by The Armored Group, LLC and was selected due to its high safety standards and its endorsement by the National Tactical Officers Association, of which Elgin is a member. The vehicle manufacturer has a General Services Administration schedule contract, eliminating the need for the city to seek additional price quotations; government discounts have been applied within the pricing provided (Attachments E and F). A brief listing of some of the safety advantages the vehicle provides include: • Armored protection against rifle and high-powered bullets • Bulletproof transportation to high-risk search warrant locations • Armored staging location for officers preparing to engage in a mission • Complete body coverage for vehicle occupants • Protection during planned high-risk traffic stops • Danger-zone evacuation capabilities for officers and citizens during a critical incident • Coverage for negotiators while working with subjects • Effective means of delivering items to hostages or suspects during negotiations • Climate controlled environment for officers staged at the scene of high-risk incidents • All-wheel drive capabilities eliminating weather or terrain limitations 4111\ The armored capabilities provided by this vehicle surpass body armor capabilities, such as bulletproof vests or handheld shields. The vehicle is able to provide full body coverage, as 3 opposed to partial coverage offered by body armor. Comparable limitations also apply to squad cars; there is no armored coverage beyond an officer's body armor. As illustrated in the safety advantages highlighted above, and those detailed extensively in Attachment E, the importance of having this vehicle as part of the department's equipment cannot be understated. INTERESTED PERSONS CONTACTED The National Tactical Officers Association was contacted for information pertaining to armored rescue vehicles. FINANCIAL ANALYSIS The department seeks to utilize drug asset forfeiture funding to purchase the armored rescue vehicle. The total amount for the vehicle and related equipment is $196,000. Over the years, the drug asset forfeiture fund has accumulated approximately $605,000 of funds. These accumulated funds must be used to purchase drug enforcement related equipment and this vehicle qualifies under the guidelines established by the federal government. When circumstances and time allow, police hold things down until SWAT arrives and takes over. At least that's the plan, but we all know about plans. SWAT was created in response to the 1966 University of Texas Tower sniper, who killed 13, including a police officer, before being killed by a makeshift police/civilian team. Since arriving 41 years ago, SWAT is credited with successfully resolving countless volatile incidents. High-Profile SWAT Gun Battles When they happened, many of these incidents were high profile—nationally, locally, or both. However, most of us ronly remember the highest profile incidents that happened in recent years. Here are some of these incidents: 1999—Columbine 1997—North Hollywood Bank Shootout; 12 police, 8 civilians WIA 1993—Waco/Branch Davidian Shootout/Hostage Siege; 4 ATF KIA, 6+76 BD's dead 1992—Ruby Ridge Shootout/Siege; 1 U.S. Marshal KIA, 2 others dead The 1980s also had its share of high-profile incidents: 1986—Miami Shootout/FBI; 2 FBI KIA, 2 suspects dead 1985—Philadelphia/MOVE Shootout/Siege; 11 dead/62 houses burned down 1983—Memphis/Police Hostage Siege; 1 police officer KIA, 7 suspects dead 1980—Norco,CA/Bank Robbery/Shootout; 1 deputy KIA, 2 suspects dead, 8 deputies WIA, 33 vehicles/1 helicopter disabled by gunfire Likewise, the 1970s and 1960s: 1978—Philadelphia/MOVE Siege (1 year)/Shootout; 1 police KIA, other police/fire WIA 1975—Wounded Knee, S.Dakota Shootout/siege; 2 FBI KIA, 1 suspect dead 1974—SLA/LAPD SWAT Shootout; (6 suspects dead) 1973—New Orleans/Howard Johnson Hotel Sniper; 3 police KIA, others WIA, suspect dead 1969—LAPD SWAT/Black Panther Shootout; 3 SWAT WIA, considered SWAT's first "official" shootout Local SWAT Gun Battles These are only a few of the many high-profile police confrontations during the past 41 years. There are numerous other incidents that have occurred over the years, but never grabbed national headlines, and are only remembered locally/regionally. For example: 2003—Cleveland, Ohio Case Western Reserve University active shooter/7 hour search/running gun battles with SWAT; suspect wounded 1974—East Cleveland, OH Shootout/Hostage incident; 5 police/1 hostage WIA, 2 police injured Glenville Shootout Perhaps the most forgotten police shootout of all, the Glenville Shootout and Riot, happened 39 years ago Monday, in Cleveland, Ohio. Two Cleveland Police Task Force cars were suddenly fired on without warning by a large number of Black Nationalist militants heavily armed with M-1 carbines and shotguns. The Glenville Shootout had begun. As many as 25 heavily armed militants fanned out through densely populated city streets, and shot their next target—an unarmed police tow truck driver. Police radio put out a citywide "all cars" broadcast, and dozens of police cars raced across the city to assist their fellow officers. Darkness had set in, and most responding officers were unfamiliar with the area. And once they left their cars, they were without any communications, since none of them had portable radios. Worse yet, police only had their 12-gauge shotguns and .38 revolvers, and few carried more than a few extra rounds of ammo. The police were severely outgunned. As more and more police flooded the area, the Glenville Shootout turned into house-to-house, yard-to-yard running gun battles in darkness. By now, empty police cars lined all the surrounding streets, and large crowds of angry onlookers were forming. As the shootout intensified, police casualties mounted. Three officers were killed, and another dozen were seriously wounded—many shot attempting to rescue downed officers. A civilian helping police was also killed, as were three militants. Calls of "Policemen shot! Get us some help! We need armored vehicles!" punctuated the summer night. Which brought even more officers to the raging gun battle that lasted 90 minutes. The large, hostile crowds now turned into angry mobs, overturning and burning empty police cars, and rampaging into a full-blown riot, sniping, torching and looting a large portion of Cleveland's East Side. Too little too late, shortly after the initial shootout stopped, seven commandeered Brinks trucks arrived and deployed to help quell the major rioting. Several hours later, the first National Guard contingent arrived. During the long night of rioting and sniping, four more people were killed, and many others were wounded and arrested. Years later, a fourth officer died from gunshot wounds from the Glenville Shootout. All four badges are currently on display in the Cleveland Police Department Badge Case (honoring fallen CPD officers). Never Again Glenville caused CPD to overhaul its response to high-risk incidents, authorizing 1,200 officers to purchase and carry M-1 carbines, and forming a new Tactical Unit (the predecessor of today's SWAT Unit), featuring a new armored vehicle, called "Mother." For us on the Tactical Unit, she was our mother and protected us; but to the bad guys, she was a "mother...." Few outside Cleveland remember the devastating July 23, 1968 Glenville Shootout, that scarred a generation of CPD officers. Those of us who were there will never forget that deadly night, and vowed "Never again!" Since 1968, America has experienced other "Glenvilles," and will likely see more in the future. TV footage showed students running out of a classroom where the alleged gunman was hiding. Police then handcuffed the student and took him away. Some students were being moved to a secure location on campus,which remains on lockdown. The shooting occurred about 10:3o a.m.on the campus at 1301 W. 182nd St.The alleged gunman apparently pulled the gun out of his backpack.Officials said the gun went off,with one bullet hitting several students,a source told The Times.One student was hit in the head,another in the neck.Their conditions were unknown. WHIOTV.com Charges Filed In Shootout With SWAT Team Posted: 4:08 pm EST December 13, 2010 GERMANTOWN, Ohio -- A local man who shot at SWAT team members has been charged with felonious assault against a police officer involving a deadly weapon. The Montgomery County Sheriffs Office said Charles Williams, 33, shot at officers early Sunday morning during a standoff in Germantown. When officers arrived at 123 Strawberry Fields Drive, they said Williams began firing at them. SWAT team members returned fire to defend themselves and shot Williams. He is hospitalized in serious condition. Charges were presented to the Montgomery County Prosecutor's Office on Monday. After reviewing the case, a charge of felonious assault against a police officer involving a deadly weapon, a felony of the 1st degree and a charge of felonious assault involving a deadly weapon, a felony of the 2nd degree, were approved.
