WHEREAS, the Parties have entered into a Ride In Kane New Freedo JARC Service Agreement hereinafter referred to as the"RIK NFI/JARC Agreement". WHEREAS, the RIK NFI/JARC Agreement provides for the City to sa 'sfy the local share for the eligible mobility management costs of the project for its registered riders and the local shar- for the eligible operating costs of the project at no less than 50 percent of the net cost for its registered riders; WHEREAS, Pace hereby agrees to subsidize the City service under the ' 1 NFI/JARC Agreement by contributing funds in the amount not to exceed$203,809 as long as Pace funds are a ailable. NOW THEREFORE, in consideration of the mutual promises hereinaft:r set forth, the parties agree as follows: TERM -This agreement will be in effect beginning January 1, 2009 and ending December 31, 2009. PACE SUBSIDY-The maximum subsidy shall be the lesser o the amounts calculated in each of the following way: 1. 75%of the projected Operating Deficit in the Ap'roved Budget; or 2. 75% of the actual Operating Deficit; or 3. $2.25 multiplied by the number of annual one-wa passenger trips not to exceed the maximum number of trips in the Approved Budge' or$203,809 as long as Pace funds are available. BILLING—Pursuant to RIK NFI/JARC Agreement,Pace shall bill t e City on a monthly basis for 50 percent of the net operating costs of the service and a portion of the mobility 0 anagement costs that may exceed funding hereunder less the remaining monthly Pace subsidy for its eligible rid-rs.The City agrees to make payment to Pace due within thirty days of receipt of billing.
