AUTHORIZING EXECUTION OF AMENDMENT NO. 1 TO AGREEMENT WITH
METCALF & EDDY, INC. FOR THE BARTLETT ELGIN INTERCONNECTION
BE IT RESOLVED BY THE CITY couNcn OF TH CITY OF ELGIN, ILLINOIS, that
Olufemi Folarin,City Manager,and Dolonna Mecum, City Cl k,be and are hereby authorized and
directed to execute Amendment No. 1 to engineering service agreement on behalf of the City of
Elgin with Metcalf& Eddy, Inc. for the Bartlett Elgin Intercorinection, a copy of which is attached
hereto and made a part hereof by reference.

SUBJECT: Amendment No. 1 to the Agreement for Engin-ering Services
With Metcalf&Eddy for the Elgin-Bartlett Interconnection
PURPOSE
The purpose of this memorandum is to provide the Mayor anc members of the City Council with
information to consider Amendment No. 1 to the agreement with Metcalf & Eddy to provide
additional engineering services for the Elgin—Bartlett interconnection project.
RECOMMENDATION
It is recommended that the City Council authorize the execution of Amendment No. 1 to the
agreement for engineering services with Metcalf&Eddy for a total cost of$22,500.
BACKGROUND
On February 11, 2004, the City Council awarded a contract for the Elgin-Bartlett water main
interconnection to Mola Construction. On September 28, 2005 the agreement with Mola
Construction was terminated because Mola Construction had breached the agreement by failing
to perform and to complete the construction pursuant to the contractual completion dates.
Due to Mola Construction's failure to complete the work in accordance with the contract, the
engineering firm of Metcalf& Eddy (project designer and construction phase management) has
been required to extend their work effort. Metcalf&Eddy's :ervices included on-site inspection,
preparation and attendance at progress meetings, phone calls with the construction contractor,
correspondence with the City, review of contractor submittals, and an additional fifteen (15)
months of project management. Additional engineering services are required to complete the
project and include review of shop drawings, construction inspection, start-up services,
completion of a final punch list,project close-out services, review of contractor pay requests, and
providing the City with record drawings.

IP FINANCIAL IMPACT
The total cost for Amendment No.1 with Metcalf and Eddy tiill total $22,500. There are funds
budgeted ($294,610) and available ($17,712) in the water pot ion of the 2001, 2002, 2003 and
1999 Bond Funds; account numbers 381-4000-795.92-41 382-4000-795.92-41, 383-4000-
795.92-41 and 399-4000-795.92-41, project number 409590, "Bartlett-Gifford Interconnect" to
cover a portion of the proposed contract. The remaining required funds ($5,000) can be
transferred from the Water Operating Fund, account numb r 401-4002-771.92-36. A budget
adjustment will be necessary.

Amendment No. 1 : Additional Engineering Servic?s
This Amendment No. 1 modifies and amends the Agreement between Owner and
Engineer dated April 4, 2003 (Agreement)to provide supplemental engineering services
related to the construction services for the Elgin-Bartlett Interconnection project.
SCOPE OF SERVICES
The Scope of Services in Paragraph I, Section 2 of the Agreement shall be modified to
include the additional supplemental services indicated below.
1. Provide construction phase services beyond the 9riginal contract completion date
of August 12, 2004. Services were provided thrqugh November 10, 2005.
Services included on-site inspection, preparation pnd attendance at progress
meetings, phone calls with the construction contractor, correspondence with the
City, review of contractor submittals, and an additional fifteen (15) months of
project administration. The fee for these services is $14,000.
2. Provide additional engineering services for project completion. Services include
review of shop drawings, construction inspection,i start-up services, completion of
a final punch list, project close-out services, review of contractor pay requests, and
record drawings. The fee for these services is $q,500.
COMPENSATION
The Owner agrees to pay the Engineer for the supplemental services described above as
outlined in Paragraph III of the Agreement.
The contract amount shall be increased as follows:
Original Contract Amount: $29,890.00
This Amendment No. 1: $22,500.00
Adjusted Contract Amount: $52,390.00

The contract amount for the supplemental services to be rovided pursuant to this
Amendment No. 1 shall not exceed $22,500.00 without f rther authorization by a written
amendment to this Agreement approved by both parties.
The circumstances set to necessitate the changes and p rformances provided in this
Amendment No. 1 were not reasonably foreseeable at th time the contract was signed,
the changes to the contract as set forth in this Amendme t No. 1 are germane to the
original contract as signed, and this Amendment No. 1 is in the best interests of the City
of Elgin and is authorized by law.
All other terms of the Agreement remain unchanged.
