RESOLUTION
AUTHORIZING EXECUTION OF A PROMOTIONAL AGREEMENT WITH
NEWSWEB RADIO GROUP OF CHICAGO, ILLINOIS, INC.
FOR THE HEMMENS 2006-2007 PERFORMING ARTS SEASON
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,ILLINOIS,that
Olufemi Folarin,City Manager,and Dolonna Mecum, City Clerk,be and are hereby authorized and
directed to execute a promotional agreement on behalf of the City of Elgin with Newsweb Radio
Group of Chicago, Illinois, Inc. for the Hemmens 2006-2007 Performing Arts Season, a copy of
which is attached hereto and made a part hereof by reference.

PROMOTIONAL AGREEMENT
THIS AGREEMENT is hereby made and entered into this 2 thy of ,2006,by and
between the City of Elgin, Illinois, a municipal corporation (hereinafter referr d to as "City") and
Newsweb Radio Group of Chicago, Illinois, an Illinois corporation (hereinafter referred to as
"Newsweb').
WHEREAS, City owns and operates a theater commonly known as the Hemmens Cultural Center;
and
WHEREAS, the parties hereto have each determined it to be in their best interests to enter into an
agreement by which Newsweb is listed as a sponsor for the aforementioned Hemmens Cultural Center.
NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein,the
sufficiency of which is hereby mutually acknowledged,the parties hereto hereby agree as follows:
1. Newsweb shall provide the City with on-air ticket giveaways of five pairs of tickets between July 31,2006 and May
17,2007 for The Hemmens'2006-2007 Performing Arts Season(hereinafter referred to as"Season")for each of the
following performances during the Season: Survivor, Phil Vassar, Capitol Steps, Bo Diddley &
Friends, Kathy Griffin, Ladysmith Black Mambazo, Lost In Yonkers and Jim Peterik & World
Stage. Giveaways for each performance shall be conducted over a five-day period prior to such
performance. Each giveaway shall be promoted through rotating promotional announcements
featuring the performance for which the tickets are being given away. Each giveaway will
receive a minimum of fifteen (15) thirty to forty-five second live and/or recorded
announcements. The value for each on-air giveaway is $4,500.00 for a total value of$45,000.00.
2. Newsweb shall provide the City with promotional support in the form of on-site ticket giveaways at radio
station events for up to eleven performances of City's choosing which may include live call-ins from performances and
live broadcasts. Additionally,Newsweb shall allow City to distribute coupons and/or flyers for upcoming Season
events at station events. The value for each on-site giveaway is$1,000.00 for apotential total of$11,000.00.
3. Newsweb shall provide the City with promotional support in the form of on-line ticket giveaways through
station websites(weplayanything.com and wcpt850.com)for up to eleven performances of City's choosing. Each on-
line promotion shall receive a minimum often(10)thirty-to forty-five second live and recorded announcements. Fach
on-line giveaway shall consist of five(5)pairs of tickets per show. The value for each on-line giveaway is$2,500.00
forapotential total of$27,500.00.
4. City shall provide Nine FM and/or WCPT 850 AM with logo placement listing it as a season sponsor in
300,000 editions of City's season brochure.
5. City shall credit Nine FM and/or WCPT 850 AM as a season sponsor fix each sponsored season on the
Hemmens/Centre electronic marquee located at the corner of Kimball Street and North Grove Avenue,Elgin,
Illinois.
6. City shall provide Newsweb with a full page ad in all program books for Season. City shall provide
Newsweb with up to ten(10)tickets to all Hemmens Performing Arts Season shows for each sponsored show.
These tickets shall be utilized for the above detailed giveaways. A guest list shall be provided to The Hemmens
Box Office at least two(2)weeks prior to the scheduled performance. All remaining tickets shall be released for
sale.
8. City shall provide Nine FM and/or WCPT 850 AM with logo placement and hyperlink on the
Hemmens'Performing Arts Season webpage for the length of the applicable season.
9. City shall credit Nine FM and/or WCPT 850 AM as a season sponsor on Elgin's Government
Access TV Channels on Comcast and Wide Open West krthe Season.
10. City shall include Nine FM and/or WCPT 850 AM's logo on all print advertising for sponsored
Hemmens Performing Arts Season shows(newspaper,magazines,newsletters,etc.)forthe Season.
11. This agreement shall be subject to and governed by the laws of the State of Illinois. Venue
for the resolution of any disputes and the enforcement of any rights arising out of or in connection with
this agreement shall be in the Circuit Court of Kane County,Illinois.
12. The terms of this agreement shall be severable. In the event any of the terms or conditions of
this agreement are deemed to be void or otherwise unenforceable for any reason, the remainder of this
agreement shall remain in full force and effect
13. This agreement shall not be construed so as to create a joint venture,partnership,employment,
or other agency relationship between the parties hereto except as specifically provided herein.
14. This agreement shall terminate on May 18,2007.
