WHEREAS, Pace was established under the Regional Transportatio Authority Act (70 ILCS 3615) for the purpose of aiding and assisting public transportation in the six col ty Northeastern Illinois area; and WHEREAS, the City, in equal partnership with the Village of Schau burg, Village of Hoffman Estates and Village of Streamwood, (hereinafter collectively referred to as" unicipal Participants")have requested and Pace has agreed to operate a bus route commonly kno as "Route 554",which route is identified by Exhibit A, attached hereto and made a part hereof, and NOW, THEREFORE, in consideration of the mutual promises contaii ed herein, the sufficiency of which is hereby mutually acknowledged, the parties hereby agree as follow': 1)Description of Service -Pace will operate Route 554 pursuant to t e route schedule attached hereto as Exhibit A. 2)Payment—The City agrees to pay Pace $15,847.96 for the year 2015 (12.5% of annual operating costs of$177,244.90 less 25% of estimated farebox revenue of$25,230.9 0) for the provision of service billed uarterly at $3,961.99 and pursuant to the terms attached hereto in E hibit A. Funding calculation is attached as Exhibit B. Pace reserves the right to increase the annual ate for subsequent terms based upon documented increases in the cost of service with a ninety(90) day no ice to the City. Payment shall be made to Pace by the 10th day of each month for whi h service is to be provided. Payment is to be mailed to: Pace Suburban Bus Service 550 W. Algonquin Road Arlington Heights, IL 60005 Attn: Accounting Department 3) Term - This Agreement is effective from December 20, 2004 thro gh December 30, 2005. Pace shall reevaluate service costs annually in conjunction with this erm and provide the City with notice of the amount of such increase or decrease 75 days prior to the expiration of any term. 4) Service Provision-Pace shall not be responsible for any failure to provide the Service due to circumstances beyond the control of Pace. However, Pace shall mak: every reasonable effort to restore Service as soon as practical under the circumstances. Pace shall have the right to make minor revisions to the Service during the term of this Agreement upon written notification to and concurrence by Municipal Participants. 1 5)Termination of Service—Pace or a Municipal Participant may to Mate this Agreement with sixty(60) days advance written notification to Pace and all other Municipal P. icipants. In the event a Municipal rarticipant elects to terminate said service, the service shall terminate with proper notification; however the remaining Municipal Participants shall have fourteen(14) days em receipt of notice of termination to enter into a new agreement with Pace to continue the service. 6) Complete Agreement—This Agreement constitutes the entire Agr-ement between the parties hereto, and supersedes any and all previous Agreements between the parties. Any proposed change in this Agreement shall be submitted to Pace for its prior approval. No mo a ification, addition, or deletion to this Agreement shall be effective unless and until such changes are reduc-d to writing and executed by the authorized officers of each party. The unenforceability or invalidity of any one or more provisions, clauses or sentences hereof shall not r.nder any other provision, clause or sentence herein contained unenforceable or invalid. The portion oft e Agreement which is not invalid or unenforceable shall be considered enforceable and binding on the p. ies and the invalid or unenforceable provision(s), clause(s) or sentence(s) shall be deemed excised, modifi-d or restricted to the extent necessary to render the same valid and enforceable, and this Agreemm t shall be construed as if such invalid or unenforceable provision(s), clause(s) or sentence(s)were oi itted. The provisions of this „paragraph shall survive the termination of this Agreement for any rea•on. 2 • 10)Binding Agreement - This Agreement supersedes any and all prior agreements between the parties, hether written or oral, and shall be binding upon the parties. 11) Authority-Pace and the City represent and warrant that their representatives whose signatures appear below have the power and authority to enter into this Agreement and to obligate Pace and Client to the terms of this Agreement. 12) Governing Law -This Agreement shall be construed in accordance with the laws of the State of Illinois. Dorgan, City Manager Janice Ward, Senior Planner SUBJECT: Approval of a Local Share Contribution for Pa e Bus Route 554. PURPOSE The purpose of this memorandum is to provide the Mayor . d members of City Council with information to approve a local share contribution to Pace for :us Route 554. RECOMMENDATION r It is recommended that the City Council approve funding for Route 554 in an amount of $15,847.96 BACKGROUND Route 554 began operating in 1996, providing a transit link bei een the Elgin, Hoffman Estates, Streamwood and Schaumburg, and improving access to :mployment centers and needed services. The route was part of Pace's Congestion Mitigation/Air Quality Program and was funded through a federal grant. When federal funds were no onger available for this purpose, the Northwest Suburban Mass Transit District (NWSMTD) .greed to subsidize the route for three years—through 2004. However, the NWSMTD will ce.se to function November, 2005, and therefore cannot fund this route any longer. To continue the operation of Route 554 for 2005, the four (4) •articipating communities would need to fund the entire local share cost of this service. e municipal share for 2005 is $63,391.85. An equal division of this amount between the m 'cipalities is proposed and will result in a$15,847.96 cost to the City of Elgin. In 2004, each m icipality's share was $7,500. Pace is currently pursuing a new route between Evanston and El vin, traveling mainly along Golf Road. The Evanston to Schaumburg segment will begin o.erating in March, 2005. It is anticipated that the route expansion to Elgin will occur in 2000. Villages of Schaumburg, Streamwood and Hoffman Estates. Pace Suburban Bus Service. p,FINANCIAL IMPACT The total route cost for 2005 is $177,244.90, and is an 8.5% increase over the 2004 cost. Pace has agreed to fund 50% ($88,622.45) of the route cost. Rev-nue from fares is estimated to be $25,230.60 which results in the local share cost of$63,391.:5. The local share cost would be divided equally among the four (4) jurisdictions, each pa ng $15,847.96. Hoffinan Estates, Schaumburg and Streamwood have agreed to provide their .ortions of the local share at that level. The costs for both efforts (support for Pace Bus Route 55, and Dial-a-Ride) is estimated at $47,150 for 2005. In order to provide for this, $9,200 will be ransferred from "Special Project", account number 275-0000-791.47-00. This budget adjustm-nt will be reflected in the 2005 Adopted Budget. LEGAL IMPACT None.. ALTERNATIVES 1. The City Council could authorize funding at a level of i,15,847.96 for Route 554, thereby approving the City's continued financial support for 2015. 2. The City Council could disapprove the funding 1-vel and not participate in the continuation of Route 554. Respectfully submitted for Council consideration. JAW
