RECOMMENDATION It is recommended that City Council authorize Amendment No. 2 with CMT in the amount of $367,957.24 and authorize staff to execute the necessary documents. BACKGROUND The original agreement with CMT ($185,353.47) for design engineering services for the subject project was authorized by City Council on February 13, 2002. Amendment No. 1 ($135,000) for additional design engineering related to further soils investigations, alternate roadway alignment study and more extensive wetland permitting efforts was authorized by City Council on January 28, 2004. Amendment No. 2 ($367,957.24) will provide for additional design engineering and construction phase engineering services. As part of Amendment No. 1, the City directed CMT to cease permitting efforts on the chosen Spartan Drive alignment and examine an alternate alignment that could result in lower construction costs and substantially less impact to the wetlands. Any proposed new alignment had to be approved by ECC as the City's partner in this project. Although an alternate alignment was identified that met the objective of lower construction costs and minimal wetland impacts, the impact on buildable property proposed for future expansion of its campus was too great for ECC to concur with the alignment change. Therefore, staff has directed CMT to reapply for the needed Corps of Engineers permit, complete the plans and specifications and bid the project using the original proposed roadway alignment. ra.. Amendment#2, Spartan Drive November 23, 2005 Page 2 Amendment No. 2 will provide additional compensation to CMT to relocate and redesign the detention pond required on part of this project, resubmit the permit application to the Army Corps of Engineers for construction in wetlands, additional bike path design and provide construction phase engineering services. Design engineering of the bike path from McLean Blvd to Lehr Dr. is also included in this amendment. This will provide for the connection of the existing path on McLean Boulevard to the new path being installed as part of the Spartan Drive extension. In addition, construction phase engineering for the entire project is included in this amendment. This will allow CMT to immediately begin construction engineering upon award of the contract for the roadway extension. It is anticipated that construction will begin in late Spring or early Summer of 2006, if all required permits are obtained. A copy of Amendment No. 2 is attached as Exhibit A. COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None /PrNANCIAL IMPACT Amendment No. 2 with CMT will total $367,957.24. Funding for this project is budgeted ($3,863,870) and available ($3,706,533) in the Riverboat Lease Fund, account number 276- 0000-791.93-80, "Public Ways", project number 339783, "Spartan Drive Extension, Section 2 - Construction" in the amount of $3,744,730.00. Per the agreement with ECC, the City will initially pay 100% of the project cost and be reimbursed 50% of this cost. The revised not-to- exceed agreement amount with CMT will now total $688,310.71. JL/do Attachment Second Amendment Agreement This Amendment Agreement No. 2 is hereby made and entered into this ? /4-tday of )--e--C.(24,),42005,by and between the City of Elgin, an Illinois Municipal Corporation (hereinafter referred to as "CITY") and Crawford, Murphy, and Tilly, Inc., a Delaware corporation, (hereinafter referred to as "ENGINEER"). WHEREAS, the parties hereto have previously entered into an Agreement dated March 8th , 2002, attached hereto as Attachment"A" (hereinafter referred to as "ORIGINAL AGREEMENT"); and WHEREAS, ORIGINAL AGREEMENT as modified by Amendment Agreement No. 1 dated February 11, 2004, (at paragraphs IV (A) and (B))provided for a maximum payment of $320,353.47, attached hereto as Attachment"B" (hereinafter referred to as "FIRST AMENDMENT AGREEMENT); and WHEREAS, the parties hereto have each determined it to be in their best interest to amend Original Agreement; and WHEREAS,the CITY has determined that the proposed scope of the PROJECT should be modified to include an alternate site for the project detention pond and provide design of the new wetland detention pond and provide revisions to all items impacted by the new wetland detention pond; and WHEREAS, the CITY has determined that the proposed scope of the PROJECT be modified to include the extension of the bike path from Lehr Drive to McLean Blvd. requiring additional professional engineering services; and WHEREAS, the CITY has determined that the proposed scope of the PROJECT be modified to provide Construction Phase Services requiring additional professional engineering services; and WHEREAS, the circumstances necessitating the change in performance contemplated by this amendment were not reasonably foreseeable at the time Original Agreement was signed; the change contemplated by this Amendment Agreement is germane to the original agreement as signed; and this Amendment Agreement is in the best interests of City and is authorized by law. NOW,THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the sufficiency of which is hereby mutually acknowledges, the parties hereto hereby agree as follows: amendment_2_final.doc Page 1 of 3 02265-01 12/1/2005 1. Paragraphs IV (A) is hereby amended to read "For services provided by the ENGINEER as described in Attachment A of the original agreement, as described in the First Amendment Agreement and as described in the Second Amendment Agreement, ENGINEER shall be reimbursed at the rate of 3.0 times the direct hourly rate of personnel employed on this PROJECT as set forth in Attachment C of this Second Amendment Agreement, with the total fee not to exceed $688,310.71 regardless of the actual time expended or actual costs incurred by the ENGINEER unless substantial modifications to the Scope of Work are authorized in writing by the DIRECTOR." 4. For outside services provided by the other firms or subconsultants, the CITY shall pay the ENGINEER the invoiced fee to the ENGINEER, plus five percent(5%). Any such payment or payments to the ENGINEER for outside services are included in the total fee provided in subparagraph IV (A) above and shall not cause the total cost of the project to exceed $688,310.71. 5. SPARTAN DRIVE EXTENSION—SECTION 2 PROJECT AGREEMENT THIS AGREEMENT, made and entered into this.. day of /71 A-IZ , 2002, by and between the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as"CITY") and Crawford, Murphy, &Tilly, Inc. (hereinafter referred to as'ENGINEER"). WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with Design Services for the Spartan Drive Extension—Section 2 (hereinafter referred to as the'PROJECT"). AND WHEREAS, the ENGINEER represents that he is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW,THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER for and in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged to act for and represent it in all engineering matters involved in the PROJECT, subject to the following terms and conditions and stipulations, to-wit: I. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Director of Public Works of the CITY, herein after referred to as the"DIRECTOR". B. In general, the ENGINEER's work shall include, but not limited to,the following major engineering activities, the ENGINEER will provide contract bid documents to the CITY for the Spartan Drive Extension—Section 2 project. The ENGINEER will also assist the CITY in applying for any necessary permits for the construction of the project. C. A detailed Scope of Services is attached hereto as Attachment A. II. PROGRESS REPORTS A. Estimated notice to proceed date is February 14, 2002 with completion on December 13, 2002. B. A project schedule for the Project is included as Attachment B, attached hereto. Progress will be recorded on the project schedule and submitted monthly as a component of the Status Report described in C below. C. The Engineer will submit to the Director monthly a Status Report keyed to the Project Schedule. A brief narrative will be provided identifying progress, findings and outstanding issues. III. WORK PRODUCTS A. All work products prepared by the ENGINEER pursuant hereto including, but not limited to, reports, designs, calculations, work drawings, studies, Page 2 photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records. Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the ENGINEER. IV. PAYMENTS TO THE ENGINEER(Not To Exceed Method) A. For services provided by the ENGINEER as described in Attachment A, he shall be reimbursed at the rate of 3_0 times the direct hourly rate of personnel employed on this PROJECT as set forth in Attachment C,with the total fee not to exceed $185,353.47 regardless of the actual time expended or actual costs incurred by the ENGINEER unless substantial modifications to the scope of the work are authorized in writing by the DIRECTOR. B. For outside services provided by other firms or subconsultants, the CITY shall pay the ENGINEER the invoiced fee to the ENGINEER, plus 5%. Any such payment or payments to the ENGINEER for outside services are included in the total fee and shall not cause the total cost of the project to exceed $185,353.47. C. The CITY shall make periodic payments to the ENGINEER based upon actual progress within 30 days after receipt and approval of invoice. V. INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. Progress reports(II. C above)will be included with all payment requests. B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the CITY to inspect and audit all data and records of the ENGINEER for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period, and for a year after termination of this Agreement. VI. TERMINATION OF AGREEMENT Not withstanding any other provision hereof, the CITY may terminate this Agreement at any time upon fifteen (15)days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the task amounts set forth under Paragraph IV above. Page 3 VII. TERM This Agreement shall become effective as of the date the ENGINEER is given a notice to proceed and, unless terminated for cause or pursuant to Article VI, shall be deemed concluded on the date the CITY determines that all of the ENGINEER's work under this agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY • may have or thereafter acquire with respect to any term of provision of the Agreement. VIII. NOTICE OF CLAIM If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER's fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the ENGINEER. Regardless of the decision of the DIRECTOR relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. IX. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen (15)days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. X. INDEMNIFICATION To the fullest extent permitted by law, ENGINEER agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees, agents, boards and commissions from and against any and all claims, suits,judgments, costs, attorney's fees, damages or other relief, including but not limited to workers' compensation claims in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligence or omissions of employees or agents of the ENGINEER arising out of the performance of this Agreement. In the event of any action against the CITY, its officers, employees, agents, boards or commissions, covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel of the CITY's choosing. Xl. NO PERSONAL LIABILITY No official, director, officer, agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. Page 4 XII. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least$1,000,000 aggregate for bodily injury and $1,000,000 aggregate for property damage. The ENGINEER shall deliver to the DIRECTOR a Certification of Insurance naming the CITY AS ADDITIONAL INSURED. The policy shall not be modified or terminated without thirty(30)days prior written notice to the DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article X entitled"Indemnification" shall be provided. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, alternatively, if the insurance states that it is excess or prorate, it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned, non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of$1,000,000 per occurrence subject to a $1,000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineer's Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than$1,000,000 per occurrence. A Certificate of Insurance shall be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty(30) days prior written notice to the DIRECTOR. XIII. CONSTRUCTION MEANS, METHODS,TECHNIQUES, SEQUENCES PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services. XIV. NONDISCRIMATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. Page 5 No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. XV. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. XVI. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor shall require the CITY's advanced written approval. XVII. NO CO-PARTNERSHIP OR AGENCY This agreement shall not be construed so as to create a partnership,joint venture, employment or other agency relationship between the parties hereto. XVIII. SEVERABILITY The parties intend and agree that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. XIX. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. XX. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. Page 6 XXI. APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane County, Illinois. XXII. "'NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the DIRECTOR prior to said documentation becoming matters of public record. )(XIII. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY's employ or any work associated with the PROJECT. XXIV. INTERFERENCE WITH PUBLIC CONTRACTING The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of a violation of 720 ILCS 5/33E et seq. Or any similar state or federal statute regarding bid rigging. XXV. SEXUAL HARASSMENT As a condition of this contract, the ENGINEER shall have written sexual harassment policies that include, at a minimum, the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse, investigative and complain process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies must be provided to the Department of Human Rights upon request 775 ILCS 5/2-105. Page 7 XXVI. WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall be made or confirmed in writing. The DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. XXVII. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. The project is anticipated to begin on February 14,2002 with final plans to be completed by end of 2002. B. Scope will include Plans, Specifications and Engineers Estimate of Probable Cost. C. Scope assumes two plan submittals. (Pre-final and Final submittals) D. R.O.W.plat preparation is not included in the scope. It is assumed that R.O.W. acquisition will not be required. E. Review of documents will include the following: 1. Project Development Report and Phase I files. (provided by City of Elgin) 2. Phase II files.(provided by City of Elgin) 3. Soil Reports that were completed by Testing Services Corporation. (provided by City of Elgin) 4. Environmental Report completed by Huff&Huff,Incorporated. (provided by City of Elgin) 5. Existing roadway plans(provided by City of Elgin) 6. Existing and proposed R.O.W.plans.(provided by City of Elgin) 7. Existing utility atlases. 8. Survey data and ground control(provided by City of Elgin) 9. Review of existing CADD files. (provided by City of Elgin) F. Wetlands are located within the project limits and will be impacted during construction. CMT's sub-consultant(Christopher B. Burke Engineering West, Ltd.) will assist in the coordination of wetland mitigation and will prepare permit application and required exhibits to be submitted to the United States Army Corp of Engineers. Data Collection and Review A. Document review: As identified in the"General" section above, item F. B. Field Checks: 1. A detailed field check of the existing survey will be performed to determine any additional survey needs. 2. A plan in hand field check will be conducted after the pre-final submittal. Spartan Project Scope.doe Attachment A C. Photo Log: A photo log of existing conditions will be prepared for the project. We will assume 5 rolls of film will be incorporated into the log. II. Field Surveys (assume 2 person crew) The man-hour estimate assumes a complete survey will be required to create a Digital Terrain Model (DTM)for use in preparing cross sections. This scope assumes that control points have been set. A crew day will consist of a 2-person crew,which equates to 18 hours per crew day assuming 9-hour workdays. Hydraulic surveys are not included. CMT will perform the following survey work items: A. Preliminary Field Work: 1. Preliminary fieldwork to re-establish the project control. 2. Run level circuit between benchmarks to verify closure and set temporary benchmarks. 3. Download and incorporate survey information to create Digital Terrain Model. 4. CMT will layout the PI's,PC's and PT's for the proposed alignment. B. Topographic Surveys: CMT will conduct topographical surveys that will include 500' of existing Spartan Drive to the eastern tie-in point of proposed Spartan Drive. City of Elgin,Illinois Spartan Drive Extension—Section 2 Kane County Amendment No. I To The Agreement Of Consultant's Services This Amendment No. 1 entered into this aro day of r.e 4, , 2004,by and between the City of Elgin,an Illinois Municipal Corporation(hereinafter referred to as"CITY")and Crawford,Murphy, and Tilly,Inc.,a Delaware corporation, (hereinafter referred to as"ENGINEER"),shall modify that Agreement dated March 8`h, 2002,whereby the ENGINEER was engaged by the CITY to perform certain professional services in connection with Spartan Drive Extension-Section 2(hereinafter referred to as "ORIGINAL AGREEMENT"and"PROJECT",respectively). WHEREAS,ORIGINAL AGREEMENT(at paragraphs IV(A)and(B))provided for a maximum payment of$185,353.47, WHEREAS,a wetland investigation had previously been prepared(in.October 1998 by others)as part of a Project Development Report(PDR)for this PROJECT.By U.S.Army Corps of Engineers(USCOE) and Illinois Department of Natural Resources(IDNR)requirements,the original report had expired and the wetlands needed to be re-delineated. Complete topographic surveys and partial cross-sections of the completed athletic fields (Baseball and Soccer Facilities)constructed by the Elgin Community College for incorporation into the Spartan Drive Plans. D. Down load and file additional surveys. E. Bike Path 1. Preliminary Field Work: a. Preliminary fieldwork to extend the project horizontal and vertical control. b. The pavement design for the bike path will be assumed to be the same as the current bike path design of 2"of bituminous surface course on a 6"of aggregate base course. There is no soils information for the proposed bike path extension area. It will be assumed that the soil conditions for this section of the project are adequate for the construction of the bike path. If poor soils conditions exist,they will be addressed during the construction phase. A typical section detailing the bike path will be developed and provided as part the new plan sheets. 5. Erosion Control and landscaping plans will be combined and added as separate sheets. The erosion control and landscaping plans will be prepared at a 1"=40' scale for each of the 2 plan sheets. We have assumed an additional three months of inspection beyond the substantial completion date of November 23, 2006 for the punch list items, final and balancing pay request,and change orders. We propose to staff the project with a full time Resident Engineer,a part time inspector and a Project Manager to provide contract administration and agency coordination issues. C-I. Project Start Up A. Project kick-off meeting with all stakeholders associated with the project(City of Elgin, Elgin Community College, etc.). B. Attend and facilitate the pre-construction meeting, distribute notices to affected agencies, prepare and distribute minutes of the meeting. C.
