WITNESSETH WHEREAS, the City and the Consultant have previously entered into a Professional Services Agreement dated October 8, 2003, wherein Consultant provided to the City certain consulting services regarding environmental site investigation at 464 McBride Street and 20 Jefferson Street; and WHEREAS, the City and Consultant have previously entered into an amendment to such professional services agreement, with such Amendment Agreement being dated May 26, 2004; and WHEREAS, the City and Consultant previously entered into a second amendment to such professional services agreement, with such Amendment Agreement being dated February 23, 2005; and WHEREAS, the City and Consultant previously entered into a third amendment to such professional services agreement, with such Amendment Agreement being dated June 8, 2005; and WHEREAS,the City has determined it to be necessary and desirable to obtain the further assistance of the Consultant to provide continued consulting services regarding environmental site investigation at 464 McBride Street and 20 Jefferson Street. NOW, THEREFORE, for and inconsideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. The Professional Services Agreement between the City and the Consultant dated October 8, 2003, as amended by the Amendment Agreements dated May 26, 2004, February 23, 2005, and June 8, 2005 are hereby further amended as follows: A. Paragraph 1 entitled "Scope of Work" is further amended by adding an additional paragraph thereto to read as follows: "Consultant shall also perform and direct the necessary qualified personnel to perform the professional services as set forth in the Scope of Services documents entitled "Request for Additional Budget Authorization Construction Oversight Services Elgin Salvage F:\City_Managei Office\Moller\Moller 05\Terracon Forth Amendment Elgin Salvage Remediation PSA.doc Redevelopment-McBride Street Site" consisting of three (3) pages, attached hereto and made a part hereof as Exhibit 1-D. B. Paragraph 2 entitled "Schedule and Term" is further amended by adding an additional paragraph thereto to read as follows: "The Consultant's responsibility to provide the services in Exhibit 1-D shall commence as of August 25, 2005 and shall continue through the completion of the project. C. Paragraph 3 entitled "Fees" is amended by adding subparagraph F thereto to read as follows: "F. Payments for services provided by the Consultant set forth in Exhibit 1-D hereof shall be reimbursed at the hourly rate of its professional and technical personnel as set forth on Exhibit 2 attached hereto and made a part hereof by this reference with the total fees and expenses due to be paid to the Consultant for the services described in Exhibit 1-D not to exceed $37,740 regardless of actual time expended or actual costs incurred by the Consultant unless material modifications to the Consultant's Scope of Services are authorized in writing by the City and approved by the City Council." 2. That except as expressly amended herein the terms of the Professional Services Agreement between the City and the Consultant dated October 8, 2003 as amended by the amendments thereto dated May 26, 2004, February 23, 2004 and June 8, 2005, shall remain in effect and shall apply to the additional services to be performed by the Consultant as described in this Amendment Agreement and as set forth in Exhibit 1-C hereto. 3. The changes provided for in this Fourth Amendment Agreement to the original agreement are germane to the original agreement as signed and this amendment agreement is in the best interests of the City of Elgin and authorized by law. Based on the progress of the work and the Identification of additional quantities of impacted soils at the site, a Change Order has been submitted to the City to perform additional soil removal and related tasks associated with the site remediation, The additional work quantities and costs are documented in Tecnica Environmental Services' (Tecnica's) Change Order dated July 26, 2005. This request is to increase budget authorization under Terracon's contract with the City to provide continued construction and environmental oversight for the project. This form matches the previously submitted cost estimate for the original project and provides a cost breakdown. No additional costs are proposed related to the existing tasks for quality control sampling or documentation and regulatory coordination. Terracon is submitting these items with the understanding that the terms and conditions for the work will be based on an amendment to the existing contract between the City of Elgin and Terracon dated October 8, 2003. The scope of work defining Terracon's services and hourly rates will be the same as the Third Amendment to the contract dated June 8,2005. Moller, Director o Economic Development and Business Services SUBJECT: Amendment #4 to Environmental Testing Services Contract with Terracon Inc. at 464 McBride Street PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider a fourth amendment for environmental testing services with Terracon Inc. at 464 McBride Street. " RECOMMENDATION It is recommended that the City Council authorize a fourth amendment to the current contract with Terracon Inc. for environmental testing services at 464 McBride Street for an amount not to exceed $37,740. BACKGROUND The Riverfront/Center City Master Plan calls for the redevelopment of the area north of Ann Street and west of North Grove Avenue for an upscale residential land use. This area consists of three parcels of property; the former City of Elgin Public Works yard, Elgin Salvage, and the former Seigle's McBride Street warehouse site. All three sites are owned by the City of Elgin. The land area totals approximately 20 acres. In 2002, the City accepted a grant for $4.85 million from the State of Illinois Department of Commerce and Economic Opportunity for the purchase, remediation, and redevelopment of the Elgin Salvage site. Presently, the City has the obligation to spend the grant funds by June 30, 2005. In preparation for conducting the initial environmental testing at the Elgin Salvage site, the City issued a Request for Qualifications for Environmental Consulting Services on June 20, 2003. RFQ's were sent to eight environmental consulting firms. Qualification statements were received from six firms on July 14, 2003. A staff committee found Terracon Inc. to be the most qualified. Amendment#4 to Environmental Testing Services Contract with Terracon at 464 McBride Street August 5, 2005 Page 2 The Elgin Salvage redevelopment site is comprised of two properties located at 464 McBride Street(Main Yard) and 20 Jefferson Avenue (Jefferson Yard) in Elgin, Illinois. Under a contract with the City of Elgin dated October 8, 2003, ($96,132) and an amendment dated May 26, 2004 ($79,550), Terracon has completed the initial environmental tasks associated with preparing the two sites for redevelopment. A second amendment to the environmental testing contract with Terracon Inc. was approved by the City Council on February 23, 2005 ($69,587). The scope of the services outlined under the second amendment included additional site investigation and the development of building demolition specifications, asbestos abatement specifications and clean-up specifications. A third amendment to the contract with Terracon was approved by the City Council on April 8, 2005 ($144,050). This amendment authorized additional funds for contract administration, field oversight/construction observation, confirmation sampling, quality control sampling and documentation of data and regulatory coordination. To date the contract with Terracon Inc. for services at 464 McBride Street totals $389,319. As indicated in the memorandum related to the Change Order for the remediation contract with Tecnica Environmental Inc., additional quantities of contaminated soil has been discovered at the site, thus the contract with Tecnica should be amended and extended. By amending and extending the contract with Tecnica, services provided by Terracon should be amended. Additional costs related to services provided by Terracon would be as follows: 1. Contract Administration $ 1,820 2. Field Oversight & Observation(28 days) $29,500 3. Confirmation Sampling 6,420 Total $37,740 The services performed under this fourth amendment will be performed on a time and materials basis in accordance with Terracon's standard hourly rates and fee schedule. The City will be invoiced on a monthly basis for services performed. The total not to exceed fee for the proposed work is $37,740. With the award of this amendment, the contract with Terracon Inc. for environmental services at the Elgin Salvage Yard site will total $427,059. Overall this project has a budget of $4.85 million. Funding sources include a grant totaling $4.85 million that is intended to be used to purchase, remediate and redevelop this site. To date including the proposed Change Order with Tecnica Inc., $ 4,655,232 has been expended or encumbered for this project. There are sufficient funds available (approximately $194,768) in the Riverboat Fund, account number 275-0000-791.92-35, project number 039565 (Elgin Salvage Redevelopment) for the additional environmental testing, demolition and remediation services at 464 McBride Street. LEGALIMPACT An to the existing Professional Services Agreement will be required. ALTERNATIVES 1. Authorize the contract amendment for additional environmental testing services at 464 McBride Street in the amount of$37,740. 2.
