RECITALS WHEREAS, CITY desires to utilize the services of CONTRACTOR to manage the City's Door-to-Door Household Hazardous Waste Collection Program; and, WHEREAS, CONTRACTOR is qualified by virtue of experience, training, education, and expertise to provide such services. AGREEMENT NOW THEREFORE, in consideration of the mutual promises and covenants contained herein,the sufficiency of which is hereby mutually acknowledged,the parties hereto hereby agree as follows: 1. Term of Agreement. The term of this agreement shall commence upon execution and continue for a one year period,with three one-year extension options, as mutually agreed upon by both parties. Any price increases in extension years shall not exceed the Consumer Price Index for Chicago-Gary-Kenosha. 2. Services to be provided. The services to be performed by CONTRACTOR shall consist of implementing a Door-to-Door Household Hazardous Waste Collection program to collect household hazardous waste directly from single and multifamily residences within the City per the proposal attached hereto and made a part hereof as Exhibit"A"dated July 30, 2004. 3. Compensation. CONTRACTOR shall be compensated as follows: 3.1 CONTRACTOR shall charge the City of Elgin a fee of $83.00 for recyclable Household Hazardous Waste stops and $104.00 for non-recyclable Household Hazardous Waste stops, not to exceed $50,000.00 for a one year contract period, unless mutually agreed by both parties. Exhibit "A" indicates what comprises recyclable and non-recyclable wastes. 3.2 Method of Payment. CONTRACTOR shall on a monthly basis, submit to City an itemized invoice listing all completed stops along with cumulative collection reports indicating the total cost of each stop and amount of waste collected. City shall provide payment to CONTRACTOR no later than 45 days after City's receipt of any such invoice from CONTRACTOR. In no event will CITY be liable to CONTRACTOR for more than $50,000 cumulatively for services provided by this agreement, unless mutually agreed by both parties. 3.3 Termination. CITY and CONTRACTOR shall have the right to terminate this Agreement by providing sixty (60) days written notice of intention to terminate this agreement. In the event of any such termination the CONTRACTOR shall be paid for services rendered to the date of termination of this agreement. 1 3.4 Access to Books. CITY may, upon request and during regular business hours, inspect CONTRACTOR'S books, records and other documentation directly related to completed collections in order to verify the number of completed Household Hazardous Waste stops. 4. Insurance Requirements. 4.1 CONTRACTOR or its operating entity performing tasks in CITY shall comply with the terms of sections 4.2 through 4.4. 4.2 Commencement of Work. CONTRACTOR shall not commence work under this Agreement until it has obtained all insurance required and the CITY has approved this insurance. All insurance required by this Agreement shall contain a Statement of Obligation on the part of the carrier to notify CITY of any material change, cancellation,or termination at least thirty(30)days in advance. 4.3 Workers' Compensation Insurance. During the duration of this Agreement, CONTRACTOR shall at all times maintain Workers' Compensation and Occupational Disease Insurance in amounts required under the laws of the State of Illinois. 4.4 Insurance Amounts. CONTRACTOR shall maintain the following insurance for the duration of this Agreement: (a) Comprehensive general liability and automobile liability in the amount of $1,000,000.00 per occurrence; (b) Endorsements for the policies under section 4.3 (a) shall designate CITY as and additional named insured. CONTRACTOR shall provide to the CITY proof of insurance in the form of both certificates of insurance and endorsement forms, as approved by the City. Such certificate shall provide that the insurance shall not be terminated for any reason without thirty (30) days advance written notice to the City. 4.5 The insurance requirements provided for herein shall apply as primary insurance with respect to any other insurance or self insurance program afforded to CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, and alternatively, if the insurance states that it is excess or pro rata, it shall be endorsed to be primary with respect to CITY. 5. Non-Liability of Officials and Employees of the CITY and Participating Residents. 5.1 No official or employee of CITY shall be personally liable to CONTRACTOR in the event of any default or breach by CITY, or for any amount which may become due to CONTRACTOR. 5.2 CONTRACTOR All resident liability for waste shall cease and shall be assumed by CONTRACTOR upon the collection of material from the resident's property. 2 Contractor shall be the generator, as defined and used by federal and state environmental law for all waste collected pursuant to this agreement 6. Non-Discrimination. CONTRACTOR covenants there shall be no discrimination against any person or group due to race, color, creed, religion, sex, marital status, age, handicap, national origin,or ancestry, in any activity pursuant to this Agreement. 7. Independent CONTRACTOR. It is agreed to that CONTRACTOR shall act and be an independent CONTRACTOR and not an agent or employee of CITY, and shall obtain no rights to any benefits which accrue to CITY'S employees. Nothing herein contained is intended or shall be construed to, in any respect, create or establish a partnership, joint venture agency or relationship between the City and Contractor. 8. Compliance with Law. CONTRACTOR shall comply with all applicable laws, ordinances,codes, and regulations of the federal,state, and local government. 9. Disclosure of Documents. All documents or other information developed or received by CONTRACTOR are confidential and shall not be disclosed without authorization by CITY, unless law requires disclosure. 10. Ownership of Work Product. All documents or other information developed by CONTRACTOR and specifically compensated for by CITY shall be the property of CITY. CONTRACTOR shall provide CITY with copies of these items upon demand or upon termination of this Agreement. 11. Conflict of Interest and Reporting. CONTRACTOR shall at all times avoid conflict of interest or appearance of conflict of interest in performance of this Agreement. 12. Notices. All notices shall be personally delivered or mailed to the below listed addresses, or to such other addresses as may be designated by written notice. These addresses shall be used for delivery of service of process. CONTRACTOR'S Proposal. (a) CONTRACTOR'S proposal is herein incorporated by reference and enclosed as Exhibit"A"dated July 30, 2004. 3 14. Familiarity with Work. By executing this Agreement, CONTRACTOR warrants that: (1)it has investigated the work to be performed; (2) it has investigated the site of the work and is aware of all conditions there; and (3) it understands the facilities, difficulties, and restrictions of the work under this Agreement. Should CONTRACTOR discover any latent or unknown conditions materially differing from those inherent in the work or as represented by CITY, it shall immediately inform CITY of this and shall not proceed, except at CONTRACTOR'S risk, until written instructions are received from CITY. 15. Time of Essence. Time is of the essence in the performance of this Agreement. 16. Limitations upon Subcontracting and Assignment. The experience, knowledge, capability, and reputation of CONTRACTOR, its principals and employees were a substantial inducement for CITY to enter into this Agreement. This Agreement may not be assigned voluntarily or by operation of law, without the prior written approval of CITY. If CONTRACTOR is permitted to subcontract any part of this Agreement, CONTRACTOR shall be responsible to CITY for the acts and omissions of its SUBCONTRACTOR as it is for persons directly employed. Nothing contained in this Agreement shall create any contractual relationship between any SUBCONTRACTOR and CITY. All persons engaged in the work shall be considered employees of CONTRACTOR. CITY shall deal directly with and shall make all payments to CONTRACTOR. 17. Authority to Execute. The persons executing this Agreement on behalf of the parties warrant that they are duly authorized to execute this Agreement and that by executing this Agreement,the parties are formally bound. 18. Indemnification. CONTRACTOR agrees to protect,defend, and hold harmless CITY and its elective or appointive boards, officers, agents, and employees from any and all claims, liabilities, expenses, or damages of any nature, including attorney's fees, for injury or death of any person, or damage to property, or interference with use of property, arising out of, or in any way connected with performance of the Agreement by CONTRACTOR, CONTRACTOR'S agents, officers, employees, SUBCONTRACTORS, or independent CONTRACTORS hired by CONTRACTOR. The only exception to CONTRACTOR'S responsibility to protect, defend, and hold harmless CITY, is due to the sole negligence of CITY, or any of its elective or appointive boards, officers, agents, or employees. Nothing herein affects CONTRACTOR'S duty to defend CITY. In the event of any action against CITY, its officers, employees, agents, boards or commissions covered by the foregoing duty to defend and indemnify, such action shall be defended by counsel of City's choosing. This hold harmless agreement shall apply to all liability regardless of whether any insurance policies are applicable. The policy limits do not act as a limitation upon the amount of indemnification to be provided by CONTRACTOR. 19. Modification. This Agreement constitutes the entire agreement between the parties and supersedes any previous agreements, oral or written. This Agreement may be modified only by subsequent mutual written agreement executed by CITY and CONTRACTOR. 20. Waiver. All waivers of the provisions of this Agreement must be in writing by the appropriate authorities of the CITY and CONTRACTOR. 4 21. State Law. This Agreement shall be construed in accordance with the laws of the State of Illinois. Any action commenced arising out of in connection with this Agreement shall be filed in the Circuit Court of Kane County. 22. Interpretation. This Agreement shall be interpreted as though prepared by both parties. 23. Preservation of Agreement. The terms of this agreement shall be severable. In the event any of the terms or provisions of this agreement shall be deemed to be void or otherwise unenforceable for any reason, the remainder of this agreement shall remain in full force and effect. City of Elgin, IL. 2 July 30, 2004 INTRODUCTION This Proposal provides the City of Elgin residents with the continued approach to the collection of household hazardous waste (HHW), Door-to-Door Collections. By collecting HHW directly from the homes of participants, even the most under-served residents can be accommodated, including senior and disabled residents and those who can not or will not drive to year-round or satellite HHW collection sites. No transportation is required on the part of the residents. Residents will not be required to be home for collections to occur. With the Door-to-Door approach, projected participation levels can continue to be pre- determined. We will only schedule the number of collections that the City's budget will allow. Actual program duration would be determined by the rate that residents call for service, and controlled through public education activities. Curbside will continue to assist with public education to help achieve the desired service level. SECTION I—PROGRAM DESCRIPTION AND VENDOR RESPONSIBILITIES Curbside Inc (Curbside), will provide all services listed in this document for the City of Elgin (City). The proposed program consists of three elements: • Door-to-Door Collection of Household Hazardous Waste • Assistance with Public Education • Customer Survey/Performance Monitoring • Sharps Mail Back Program • CESQG Program • Used Oil Collection Center Referral Door-to-Door Collections: The proposed program will be available to all residents within the City's jurisdiction. Residents can call a toll-free hotline (800-449-7587) operated by Curbside to schedule a collection. The operator will qualify the caller, determine the types and quantity of acceptable material the resident has for collection. A collection date will be scheduled to occur within one month of the call. Collections take place between the hours of 8 a.m. and 5 p.m. Curbside will not accept explosives, ammunition, gas cylinders, tanks, biological or radioactive wastes. Residents can be provided with information for the proper disposal of all non-acceptable items. Curbside Inc. will have a sufficient number of vehicles available for operation in the proposed collection program. These vehicles will be able to service the residents demand within the jurisdiction. Door-to-Door Household Hazardous Waste Collection Program. City of Elgin, IL. 3 July 30, 2004 Prior to the collection date, Curbside will mail a HHW Package to each scheduled participant. The HHW Package contains the following: • Industrial size 4 mil bag-of sufficient size to contain 100 pounds of toxic material • One way secure tie and label for bag—used to secure bag and keep moisture out. • Pre-printed labels and blank labels—residents use for items not in original containers • Instruction Sheet—complete program instructions and use of packaging materials • Survey card—postage paid card,participants mail directly to the City. The bag is used to insure that all of the waste set out for collection is contained. Use of this containment device will help reduce overall program cost and limit the amount of waste the resident is allowed to set out for collection. Waste secured inside this very heavy, industrial bag, will not be exposed to the elements. While we will not usually accept leaking containers, should an oil or paint can leak, all material will be contained. All material collected per stop must be contained within the bag. If additional material is placed outside of the bag additional fees will be imposed as defined within the Monetary Proposal All liquid waste must be tightly capped or sealed and in a container free of leaks. Special service will be provided on an as needed basis for senior/disabled participants. Often senior/disabled residents are not able to lift and assemble their material for collection. Curbside will assemble and package material for these individuals at no additional cost to the City. (Assembling and packaging is limited to 30 minutes. A fee of$45.00 per hour will be charged for any additional time expended over the allowed 30 minutes) Our experience has been in your program that most if not all assistance that has been required has is in fact been completed within the allowed 30 minute time frame. Prior to the collection date, Curbside will distribute the HHW Package to each resident that has scheduled a collection The participant will be able to fill the bag(toxic materials must be contained within the bag)with HHW (approximately 100 pounds of material). Residents will be instructed that all liquid waste must be tightly capped or sealed and in a container free of leaks. Outline of How the Program Works: 1. Resident calls the toll-free hotline to schedule an appointment. At this time the operator and resident will determine mutually, a safe and convenient location on their property for placement of the collection bag for pickup. 2. An HHW Package will be provided to each participant that has materials for collection by Curbside prior to the collection day. 3. On the scheduled day, the resident places the bag in the previously agreed upon location on their property for collection. 4. On the scheduled day, our highly trained service person arrives and inspects the contents of the bag. 5. If all materials are acceptable they are carried to the vehicle. 6. The materials are then sorted by hazard class and placed into proper containers (lab packed). 7. If there were to be unacceptable materials, they would be carefully re-packaged and sealed inside a new bag. An information card will be placed back in the bag Door-to-Door Household Hazardous Waste Collection Program. City of Elgin, IL. 4 July 30, 2004 indicating that they should call for instructions. We will also call them and discuss appropriate disposal methods. No resident will be left without a solution. 8. The containers are removed from the vehicle and sorted by hazard class. 9. After processing at the facility,the material is shipped to final destinations. 10. Complete reporting will be provided to the City. This is based upon the individual receipt used at the home. Reports will show what was collected, from whom, and when. 11. No Resource Conservation Recovery Act (RCRA)type HHW will be shipped to any type of landfill by Curbside. Assistance with Public Education: Curbside will provide assistance to City Staff for the development and implementation of a successful public education program. Curbside's marketing professionals will make their services available to review and edit text communication materials prepared by the City. Camera-ready art from Curbside, Inc. archives will be provided at no charge. Curbside's Marketing Staff is available to assist the City with media scheduling and placement, copy writing and with the production of printed material. Curbside will track how callers have heard about the program. The results will help the City determine the relative effectiveness of its public education activities. Any additional assistance needed by the City will be billed at a rate of$45.00 per hour. All outside services will be billed at a rate of cost plus 15%. Customer Survey/Performance Monitoring: The goal of performance monitoring is two-fold: • Ensure the program is performing as expected • To make informed adjustments to program strategy an effort to regulate or stimulate program use. Programs are monitored in two ways: • Participant Survey Element • Program Performance Reports Participant Survey Element: Curbside will implement its survey program to monitor program performance. Each participant will have the opportunity to complete and return a postage-paid survey card. The survey cards are designed to assess the level of customer satisfaction and over-all performance of the program. Completed survey cards are to be mailed (postage-paid) by the participant directly to the City. After Staff review,they are forwarded to the Curbside for entry into a survey database. A report compiling all survey information received to date from City residents will be submitted to the City on a quarterly basis. Monthly Collection Reports: Monthly Collection Reports will be produced and forwarded to the City. These reports will include a complete breakdown of pounds and/or gallons of material collected by class. Reports will give current month and cumulative totals. City of Elgin, IL. 5 July 30, 2004 SECTION II—MONETARY PROPOSAL Per Stop Pricing Structure Collected materials from a single stop could consist of recyclable material only, non-recyclable material only, or a combination of both. Curbside will bill the City for service based on a two- tiered pricing schedule, determined by the type of materials collected per stop. Only completed stops will be fully billed. The City will be billed directly for all completed stops as follows: • A Recyclable Stop is a collection of recyclable materials only. Recyclable materials include used motor oil,used oil filters, antifreeze, auto-batteries, and latex paint. The City will be billed $83.00 for those stops where only recyclable materials are set out for collection. • The maximum amount of waste to be collected under this program component for the above quoted fee will be 5 gallons of latex paint,5 gallons of used motor oil, and 5 gallons of antifreeze or equivalent size containers of each material. In addition included will be up to 5 auto batteries and 5 used oil filters (attachment "B"). Residents will be instructed that all liquid waste must be in containers no larger than 5 gallons. • Any additional latex paint collected over the 5 gallon limit will be charged to the City and or resident at a cost of$5.50 per gallon.Additional used oil will be billed at$0.50 per gallon, antifreeze $3.75 per gallon, auto batteries$1.00 each and used oil filters$1.00 each. • A Non-recyclable Stop is any collection in which there is a presence of the more toxic HHW material such as oil-based paint, pesticides, herbicides, solvents, acids, pool and photo chemicals, or household chemicals (exhibit "A"). The City will be billed$104.00 per stop if any of these materials are set out for collection in addition to the Recyclable Stop materials as described above. For all stops where Non-recyclable HHW is present, the resident will be instructed to place all Non-recyclable toxic material in the bag provided. The maximum amount of waste to be collected under this program component for the above quoted fee will be the bag containing toxic material, as well as up to 5 gallons or equivalent size containers of latex paint, 5 gallons of used motor oil,5 gallons of antifreeze, 5 auto batteries and 5 used oil filters placed outside of the bag. Any additional latex paint collected over the 5 gallon limit will be charged to the City at a cost of$5.50 per gallon. Additional oil-based paint will be charged at $6.75 per gallon. Additional used oil will be billed at $0.50 per gallon, antifreeze $3.75 per gallon, auto batteries $1.00 each and used oil filters $1.00 each. All toxic type materials will be billed at$1.05 per pound. Door-to-Door Household Hazardous Waste Collection Program. City of Elgin, IL. 6 July 30, 2004 NOTE: A gallon of paint as defined here is a"gallon size container". Volume is not counted, only containers. I.e. 3 one gallon containers = 3 gallons. Two one gallon containers each half full=2 gallons. We will not collect commercial chemicals nor will we collect waste in containers larger than five gallons without additional charges. Services Included in the Per Stop Cost: All services are included in the per stop cost. All public education services mentioned in the Description of Work will be provided under the per stop cost. After the sharps container is filled, the resident fills in the shipping form, seals the container in the plastic bag, places the container in the postage paid shipping box and mails it. The container will be mailed directly to an incinerator. There is no liability for the resident or the City. The entire kit is Postal Service approved. If the resident wants another kit,they call the toll free hotline and one will be shipped. The City will determine a budget for the total number of kits and the number of kits per household. The cost will be billed as the kits are shipped, up to the maximum permitted by the City. A price sheet and instructions will be faxed to the caller. The caller will complete the price sheet by extending the numbers and fax it back to the Curbside office. A time that is convenient for the CESQG will be set for collection. Most waste will be accepted. A CESQG is an entity that generates 200 pounds or less per month. The CESQG must sign the receipt/price sheet indicating that they qualify. Door-to-Door Household Hazardous Waste Collection Program. City of Elgin IL. 8 July30, 2004 Used Motor Oil Collection Center Referral Curbside will refer residents that only have used motor oil and automotive batteries to local Auto Zone retail stores(no more than five gallons of oil or five automotive batteries)and to area auto repair businesses that have agreed to serve as Used Motor Oil Collection Centers as part of this program. Loete, Public Works Director SUBJECT: Household Hazardous Waste Contract Award PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to award a sole source contract to Curbside, Inc., to provide household hazardous waste collection and disposal services to Elgin residents. RECOMMENDATION rib" It is recommended that the City Council approve the sole source contract award with Curbside, Inc., in an amount not to exceed $50,000 annually and to authorize staff to execute the necessary paperwork. BACKGROUND The City has contracted with Curbside, Inc., a former division of Safety-Kleen, since June 1999 to provide Elgin residents with safe, legal, and cost effective access to household hazardous waste (HHW) disposal services on a year-round basis. Since its inception, residents have safely disposed of more than 273,000 pounds of hazardous waste. The most unique component of this program allows household hazardous waste to be collected directly from the resident's home which is an added benefit for the elderly or disabled. Elgin was the first municipality in the state to implement such a program. The program also provides collection and disposal of Sharps medical syringes through a special mail-back program. Kane County also utilizes Curbside, Inc. to provide household hazardous waste collection services to County residents. Curbside, Inc. is the only company in the United States whose sole business focus is household hazardous waste collection. To use the service, residents simply call a toll free hotline operated by Curbside, Inc. to arrange for a collection. There is no charge to the resident for any of the services. The agreement with Curbside, Inc. would be for a one year period with three, one-year extension options, based on mutual consent. The City will pay $83.00-$104.00 per household pick-up, depending on the type of material collected. This cost represents an increase of approximately rib" 3%percent over last year's per household collection cost. Additional charges, calculated on a per Household Hazardous Waste Contract Award r October 29, 2004 Page 2 unit basis, may be incurred by the City if residents have in excess of the established volume limits. Over the past five years, total program costs have averaged $92.00 per household or $0.73 per pound of waste disposed of. In an effort to control program costs, residents will be encouraged to utilize alternative methods to dispose of latex paint, one of the most common household hazardous waste materials, whenever possible. Once completely dried, latex paint is no longer considered hazardous and can be disposed of in the regular household trash. This alternative disposal method, combined with the rising cost associated with latex paint disposal, has led many household hazardous waste collection programs in the state to discontinue accepting latex paint in their programs. COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED The proposed program has been shared with both Kane County and Waste Management representatives. Both recognize the benefits of the program and are in favor of continuing it. OVA--FINANCIAL IMPACT Kane County will reimburse the City for half of the actual Household Hazardous Waste Program r. costs, not to exceed $25,000 annually. The City will also continue to receive $25,000 annually from Waste Management, through the term of the City's solid waste contract, to further offset the cost of this program. The total cost of the agreement with Curbside, Inc., is for an amount not to exceed $50,000 annually. We anticipate spending approximately $15,000 through the end of 2004. A total of $50,000 is budgeted in the 2004 Public Works/Refuse Services Budget, account number 010- 3331-754.33-05, "Hazardous Waste Services". There are sufficient funds ($18,024) available to cover the 2004 portion of this program. Future costs for this service will be subject to funding approval as part of the annual budgeting process. LEGAL IMPACT None ALTERNATIVES 1. Discontinue the program. Residents would be forced to take materials to the permanent household hazardous waste facility in Naperville for disposal. 2. Prepare and issue a Request for Proposals (RFP) for household hazardous waste services.
