FOR AN APPLICANT LIVE SCAN SYSTEM BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Olufemi Folarin, Interim City Manager, be and is hereby authorized and directed to execute an agreement on behalf of the City of Elgin with NEC Solutions, Inc . for an Applicant Live Scan System as an update to the police department ' s Automated Booking System, a copy of which is attached hereto and made a part hereof by reference. s/ Ed Schock Ed Schock, Mayor Presented: December 4, 2002 Adopted: December 4 , 2002 Omnibus Vote : Yeas : 7 Nays : 0 Attest : s/ Dolonna Mecum Dolonna Mecum, City Clerk AGREEMENT FOR PURCHASE OF ALL EQUIPMENT AND SERVICES TO ESTABLISH AN APPLICANT LIVE SCAN SYSTEM This Agreement is made by and between NEC Solutions (America), Inc., 2355 Gold Meadow Way, Suite 200, Gold River, California, 95670, (hereinafter referred to as "CONTRACTOR") and City of Elgin, 150 Dexter Court, Elgin, Illinois, 60120 (hereinafter referred to as "CUSTOMER"). WITNESSETH WHEREAS CUSTOMER requires the furnishing and installing of an Applicant Live Scan and Card Printer; and WHEREAS CUSTOMER desires to purchase said equipment and services subject to the terms and covenants hereinafter contained; and WHEREAS CONTRACTOR desires to sell such equipment and services as hereinafter defined, to CUSTOMER pursuant to the terms and conditions and for the purposes set forth in this AGREEMENT. NOW, THEREFORE, for and in consideration of the premises and covenants hereinafter contained, the parties hereto agree as follows: 1. DEFINITIONS 1.1 Where any word or phrase defined below, or a pronoun used in place thereof, is used in any part of this AGREEMENT it shall have the meaning herein set forth. A. LIVE SCAN The TP 2000 Applicant System detailed in Exhibit I hereto. B. LIVE SCAN Software licensed and delivered to CUSTOMER hereunder. SOFTWARE C. AGREEMENT This agreement for Purchase of All Equipment and Services to Establish An Applicant Live Scan System. 2. TERM OF AGREEMENT 2.1 This AGREEMENT shall become effective on the day that it is signed by both CONTRACTOR and CUSTOMER. If the Parties sign on different days, the day of the last to sign shall be the effective date. It shall remain in force through the last day of the warranty period specified in Section 12. 2.2 This AGREEMENT shall be subject to all budgeting and fiscal requirements provided for by the laws of the State of Illinois or ordinances of the City of Elgin. It shall terminate without penalty at the end of any fiscal year in the event funds are not appropriated for the ensuing year. If funds are not appropriated for a portion of the fiscal year, this AGREEMENT will terminate, without penalty, at the end of the term for which funds are appropriated. SITE PREPARATION 3.1 Unless CONTRACTOR has agreed by separate written agreement to perform site preparation services, CUSTOMER shall be responsible, at its expense, for all costs for preparing the installation site in accordance with a site survey report described below. A site survey report describing any and all power, mechanical, and environmental conditions, requirements, and/or site modifications due precedent to the installation of the LIVE SCAN system and which fully describes the responsibilities of both CUSTOMER and CONTRACTOR to effect such modifications or installations as may be required to install the LIVE SCAN system is due for delivery to CUSTOMER no later than forty-five (45) days following the Effective Date of this AGREEMENT. 4. TRANSPORTATION OF LIVE SCAN EQUIPMENT 4.1 CONTRACTOR shall make all arrangements for the transportation service and transportation insurance and shall bear the cost of transportation charges for delivery of all LIVE SCAN equipment f.o.b. CUSTOMER's installation site. 4.2 During the term of this AGREEMENT, CONTRACTOR shall bear the cost of transportation and insurance when the LIVE SCAN EQUIPMENT is shipped for mechanical replacement or remedial maintenance purposes, unless such replacement was due to fault or negligence of CUSTOMER. 4.3 CONTRACTOR shall bear the cost of all import and export duties and related brokerage fees. 5. INSTALLATION OF LIVE SCAN EQUIPMENT 5.1 CONTRACTOR shall install all LIVE SCAN equipment and otherwise prepare the LIVE SCAN ready for Functional Certification on a mutually agreeable date. 5.2 Any changes by CUSTOMER to an order or any part thereof may require the establishment of a new and/or additional mutually agreeable installation date. CUSTOMER may delay any installation date once for a period not to exceed thirty (30) days duration without penalty by notifying CONTRACTOR at least fifteen (15) calendar days before the installation date previously established. 5.3 CUSTOMER shall provide CONTRACTOR all necessary access to all installation sites for the purpose of installing LIVE SCAN equipment prior to the installation date. 6. FUNCTIONAL CERTIFICATION 6.1 A Functional Certification shall be issued when the LIVE SCAN has been installed and meets functionality requirements established by the manufacturer. 6.2 Except as otherwise provided in this Agreement, use of the LIVE SCAN before Functional Certification will be under CONTRACTOR's exclusive management and control. TERMINATION 7.1 If the LIVE SCAN SYSTEM fails to pass the Functional Certification in Section 6.0 (Functional Certification) of this AGREEMENT, then CUSTOMER may, at its option, terminate this AGREEMENT and return all items covered by this AGREEMENT to CONTRACTOR at CONTRACTOR's expense. If so terminated the return of all items to CONTRACTOR shall be deemed in full and complete satisfaction of CUSTOMER'S obligation to make any payments required of it under this AGREEMENT. CONTRACTOR's Functional Certification of returned LIVE SCAN and its return of all payments to CUSTOMER shall be CUSTOMER'S sole and exclusive remedy for the LIVE SCAN's failure to meet the Functional Certification. 8. PAYMENT 8.1 Under the terms of this AGREEMENT, CUSTOMER will pay CONTRACTOR in accordance with the price schedule quoted below and subject to Section 9 (Method of Payment). DESCRIPTION PRICE TP-2000 APPLICANT SYSTEM $41,150.00 DELIVERY& INSTALLATION $ 4,675.00 TRAINING $ 3,750.00 CUSTOMIZATION $ 4,501.00 TOTAL COST $54,076.00 8.2 The prices and license fees specified above (Section 8.1) are exclusive of any sales, purchase, use, or all taxes however designated or levied against the sale, licensing, delivery or use of the LIVE SCAN. Any taxes shall be in addition to the prices listed and if required to be collected or paid by CONTRACTOR shall be paid by CUSTOMER to CONTRACTOR. If claiming a sales tax or similar exemption, CUSTOMER must provide CONTRACTOR with valid tax exemption certificates where deliveries are to be made prior to delivery of the LIVE SCAN. 9. METHOD OF PAYMENT 9.1 Invoice documentation furnished by CONTRACTOR under this AGREEMENT must be in a form reasonably acceptable to CUSTOMER. All amounts paid shall be subject to audit by CUSTOMER. 9.2 Payment under this Agreement for the LIVE SCAN SYSTEM and related services shall be in U.S. dollars and will be made by CUSTOMER in accordance with the following Schedule: a. LIVE SCAN, Installation, etc., Invoice Schedule: 30% Upon Contract- $16,222.80 40% Upon Equipment Delivery& Installation in accordance with Sec. 5- $21,630.40 30% Upon Functional Certification in accordance with Section 6- $16,222.80 Elgin Purchase Agreement 11/18/2002 3 9.3 Payment is due within thirty (30) days from the date of invoice. Any invoices not paid within thirty (30) days of the dates specified above shall incur a service charge at the rate of one and one half percent(1 1/2%) per month on any outstanding overdue balance. 10. FORCE MAJEURE 10.1 CONTRACTOR or Customer shall not be liable for any loss or damage resulting from delays in performance or from failure to perform due in whole or in part to insurrection, civil war, revolutions, war (declared or undeclared), any Governmental Act, fires, floods, epidemics, embargoes, lockouts, strikes or for any other cause or causes beyond the reasonable control of CONTRACTOR or Customer. 11. TITLE/LICENSING 11.1 CONTRACTOR certifies that title to the LIVE SCAN equipment acquired under this AGREEMENT is free and clear of all liens and encumbrances. Title and risk of loss for the LIVE SCAN will pass to CUSTOMER upon Functional Certification in accordance with Section 6. 11.2 CUSTOMER hereby grants to CONTRACTOR a security interest in the LIVE SCAN furnished under this AGREEMENT and the proceeds thereof until the purchase price has been fully satisfied. CUSTOMER shall execute any documents CONTRACTOR reasonably deems necessary to perfect that security interest and, in any event, a copy of this Agreement may be filed for that purpose at any time after signature. 12. WARRANTY 12.1 CONTRACTOR specifies that only new equipment, which meets the published performance criteria of the manufacturer, has been used in fabricating the LIVE SCAN. 12.2 CONTRACTOR warrants that for a period of ninety (90) days after the date of FUNCTIONAL CERTIFICATION the LIVE SCAN acquired by CUSTOMER under this AGREEMENT will be in good operating condition. In the event that the LIVE SCAN SYSTEM fails to operate in accordance with this warranty during the warranty period, CUSTOMER's exclusive remedy and CONTRACTOR's sole liability shall be to repair the LIVE SCAN. 12.3 The warranty is personal to CUSTOMER and may not be transferred. The warranty is contingent upon proper use of the LIVE SCAN. The warranty shall not include repairs or replacement due to defects or failure resulting (i) from accident, neglect or misuse, or (ii) failure of defect of electrical power, external electrical circuitry, air conditioning or humidity control, or (iii) the use of items not provided by CONTRACTOR, or(iv) any party other than CONTRACTOR modifying, adjusting, repairing or servicing the LIVE SCAN. 12.4 THERE ARE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, RESPECTING THIS AGREEMENT OR THE PRODUCTS PURCHASED/LICENSED HEREUNDER, AND THE STATED EXPRESS WARRANTIES ARE EXCLUSIVE IN LIEU OF ALL LIABILITIES ON THE PART OF CONTRACTOR FOR DAMAGES, INCLUDING BUT NOT LIMITED TO SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES. NO REPRESENTATION OR OTHER AFFIRMATION OF Elgin Purchase Agreement 11/18/2002 4 FACT, INCLUDING BUT NOT LIMITED TO, STATEMENTS REGARDING CAPACITY, SUITABILITY FOR USE OR PERFORMANCE OF PRODUCTS, WHICH IS NOT SPECIFICALLY CONTAINED IN THIS AGREEMENT, SHALL BE DEEMED TO BE A WARRANTY BY NECSAM FOR ANY PURPOSE OR GIVE RISE TO ANY LIABILITY OF NECSAM WHATSOEVER. 13. PROPRIETARY INFORMATION 13.1 Each party understands and agrees that in the performance of work or services under this AGREEMENT, or in contemplation thereof, the other party may have access to private or confidential information which may be owned or controlled by the other party, and that such information may contain proprietary details, disclosures, or sensitive information which disclosure to or use by a third party will be damaging or illegal. The receiving party agrees that all information disclosed by the other party, which is in written form, and which is marked confidential shall be held in confidence and used only in performance of services under this AGREEMENT. The receiving party shall exercise the same standard of care to protect such information as is used to protect his own proprietary data. 14. INFRINGEMENT INDEMNIFICATION 14.1 CONTRACTOR shall defend any action, suit or proceeding brought against CUSTOMER so far as it is based on a claim that the use or transfer of any LIVE SCAN equipment or LIVE SCAN software delivered hereunder constitutes an infringement of any United States patent or copyright, provided that CONTRACTOR is promptly notified by CUSTOMER of the action and given full authority, information and assistance (at CONTRACTOR's expense) for the defense of the action. CONTRACTOR shall pay all damages and costs awarded therein against CUSTOMER but shall not be responsible for any compromise made without its consent. CONTRACTOR may, at any time it is concerned over the possibility of such an infringement, at its option and expense, replace or modify the aforementioned products so that infringement will not exist, or remove the products involved and refund to CUSTOMER the price thereof as depreciated or amortized by an equal annual amount over the lifetime of the products as established by CONTRACTOR. 14.2 CONTRACTOR shall have no liability to CUSTOMER under any provisions of this clause if any patent infringement or claim thereof is based upon (1) the use of the products delivered hereunder in connection, in combination with equipment, devices, or software not supplied by CONTRACTOR, (2) the use of the products in a manner for which the products were not designed, or (3) the use of other than the current release of the Software licensed by CONTRACTOR if the infringement or claim could have been avoided by use of the current release. 14.3 CUSTOMER shall indemnify and hold harmless CONTRACTOR from any loss, cost or expense suffered or incurred in connection with any claim, suit or proceeding brought against CONTRACTOR so far as it is based on a claim that the manufacture or sale of any products delivered hereunder and modified or altered or combined with any equipment, device, or software not supplied by CONTRACTOR hereunder constitutes such an infringement because of such modification, alteration or combination if said modification, alteration or combination was made by a City of Elgin employee. Elgin Purchase Agreement 11/18/2002 5 15. LIMITATION OF LIABILITY 15.1 In no event will CONTRACTOR be liable for any damages caused by CUSTOMER's failure to perform its responsibilities. In no event shall CONTRACTOR be liable to CUSTOMER for (i) any special, indirect, incidental or consequential damages, (ii) any damages resulting from loss of use, data, savings or profits, or (iii) any claim, whether in contract or tort, that arose more than two years prior to institution of suit hereon. The foregoing limitations shall not apply to damages arising out of personal injury or death due to CONTRACTOR's negligence. 16. GOVERNING LAW 16.1 This AGREEMENT shall be deemed to be made in, and shall be construed in accordance with the laws of, the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this Agreement shall be in the Circuit Court of Kane County, Illinois. 16.2 If any part of this Agreement shall be adjudged by any court of competent jurisdiction to be invalid, such judgment will not affect or nullify the remainder of this AGREEMENT, but the effect thereof will be confined to the part immediately involved in the controversy adjudged. 17. NOTICE TO PARTIES 17.1 All notices to be given to parties hereto shall be in writing and made by certified mail, return receipt requested. SECTION HEADINGS 18.1 The section headings contained herein are for convenience in reference and are not intended to define or limit the scope of any provision of this AGREEMENT. 19. WAIVER 19.1 The failure by either party at any time to enforce any default or right reserved to it, or to require performance of any of the terms, covenants, or provisions hereof by the other party Elgin Purchase Agreement 11/18/2002 6 at the time designated shall not be construed as a waiver of any such default or right to which the other party is entitled, nor shall it in any way affect the right of the party to enforce such provisions thereafter. 20. ASSIGNMENT 20.1 This AGREEMENT may not be assigned by either party without the express written consent of the other party, which shall not be unreasonably withheld. Any assignment or attempted assignment in violation of this provision shall be null and void. 20.2 No transfer or assignment of this AGREEMENT, or of any interest hereunder, shall release either party from its obligations hereunder. 21. TERMINATION 21.1 Except as otherwise provided herein, either Party may terminate this AGREEMENT if the other Party commits a breach of any obligation hereunder and such breach is not remedied with thirty (30) days of receipt of written notice specifying such breach. In the event that CONTRACTOR terminates this AGREEMENT arising out of a breach by CUSTOMER and provided that CUSTOMER has not paid for the LIVE SCAN in full, then upon demand, CUSTOMER shall, at its expense, promptly return the LIVE SCAN in the same condition as delivered, ordinary wear and tear excepted, to CONTRACTOR. 22. MISCELLANEOUS OBLIGATIONS OF CUSTOMER 22.1 Availability. CUSTOMER's operational personnel shall be available for consultation and to answer pertinent questions at all times during the operational personnel's Working Hours. 22.2 Security. CUSTOMER shall, at all times, exercise reasonable care for the security of the Installation Site and of the LIVE SCAN, and other equipment at the Installation Site belonging to CONTRACTOR or to its personnel, agents or designees, including without limitation, each part of the LIVE SCAN not then accepted by CUSTOMER. The Installation Site shall be located in a secure space, to be provided by CUSTOMER at no cost to the CONTRACTOR, which will be accessible before FUNCTIONAL CERTIFICATION to CONTRACTOR's authorized personnel, agents and designees, and to such personnel of CUSTOMER as may be agreed by CONTRACTOR. 22.3 Use of CONTRACTOR's Property. CUSTOMER shall ensure that its personnel, agents or designees will not use any property of CONTRACTOR, including but not limited to the LIVE SCAN, before Functional Certification of the system, except as provided in this AGREEMENT and as may be authorized by CONTRACTOR in writing. Any such use will be in accordance with all instructions CONTRACTOR may adopt and give to CUSTOMER from time to time. CONTRACTOR may withdraw CUSTOMER's authorization for use at any time. 22.4 Interconnections. CUSTOMER shall bear all costs for and shall install all necessary telecommunication lines and equipment as defined in the Site Preparation Plan. Such telecommunication lines and equipment must be installed and certified by CUSTOMER as being ready for use on the dates specified for delivery of EQUIPMENT. Elgin Purchase Agreement 11/18/2002 7 22.5 Delayed Site Preparation or Interconnection. If CONTRACTOR has offered to deliver and install the LIVE SCAN equipment and software that are due at any particular due date, and CUSTOMER has not completed the site preparation and provided the telecommunication lines and equipment at the Installation Site as described herein, or if the Installation Site, through no fault of CONTRACTOR, is not ready for the installation of the LIVE SCAN, then payment shall be due to CONTRACTOR as if the telecommunication lines and equipment and Installation Site were available and the LIVE SCAN had been delivered and accepted. 22.6 Permits and Licenses. It shall be the responsibility of CUSTOMER to obtain any and all necessary licenses and permits for the installation and operation of the LIVE SCAN at the site at which it is to be installed. 23. ENTIRE AGREEMENT 23.1 No change or waiver of any provision of this AGREEMENT shall be valid unless made in writing and executed in the same manner as this AGREEMENT. 23.2 This AGREEMENT, including Exhibit I (EQUIPMENT) constitutes the entire AGREEMENT between the parties with respect to the subject matter hereof and supersedes all proposals, all previous negotiations and agreements, written or oral, between the parties with respect to the subject matter hereof. BACKGROUND rb. The Elgin Police Department participated with the Cook County Sheriff' s Police Department in 1996 in a Bureau of Justice Federal Grant for an Automated Fingerprint System called LiveScan. The police department had the equipment installed and operational upon moving to the new law enforcement facility. During the past five years it has become clear that a second fingerprint station would help us do a better job. We have solicited and received a bid from the sole manufacturer of this equipment for an expansion of our system. NEC Solutions, Inc. has proposed the installation of a second, scaled down version of their product. It is proposed that we purchased an Applicant LS21 electronic fingerprint system and install it in the small room south of the police department' s front desk. By placing the remote station outside of the jail, we will be able to use it for juvenile offenders and for various civilian fingerprinting requirements without disturbing jail operations . Automated fingerprint processing greatly enhances our ability to properly identify offenders and to ensure that the fingerprints submitted are legible and usable for identification. The system ensures that the prints collected are of a high quality using an automatic review built into the system. The need for this second station was identified several years ago, but the high cost of the system delayed our request until sufficient funds could be obtained through grants . ALTERNATIVES The City Council may chose to not authorize the use of these grant funds for this purchase and the system will remain as currently installed and the funds will be returned to the Federal Government as required by the grant . RECOMMENDATION It is recommended that the City Council approve the purchase of the Applicant LS21 electronic fingerprint system from NEC Solutions, Inc, the sole provider of this equipment . The LS21 was developed in partnership with ldentix, NEC Technical Engineers, and NEC customers worldwide to incorporate NEC AFIS functionality on the industries leading live-scan...the Identix TP2600. The LS2lsystem meets FBI CJIS/IAFIS standards for scanning, compressing, printing, and transmitting of fingerprint image and demographic data. LS21 is fully accredited by the FBI as meeting the interim IAFIS Image Quality Specifications (IQS)for the TP600 scanner. The attached price quote includes an applicant LS21, a FBI accredited simplex card printer, and associated hardware, software, and services. As a part of this quotation, NEC will configure the existing DC Book Workstation in the Elgin "lock-up" to transmit all records to the existing LS21 and the applicant LS21. Therefore, juvenile arrestees and applicants entered into the DC Book system may be fingerprinted at either of the LS21s. This quotation does not include any network-related costs (i.e.. wiring, hubs, etc). The prices quoted will remain in effect for a period of sixty (60) days from the date of this letter.
