WITNESSETH WHEREAS, the City and the Consultant have previously entered into a Professional Services Agreement dated June 15, 2001, wherein Consultant provided to the City certain consulting services regarding the engineering and design services for the City-owned property commonly known as Festival Park; and WHEREAS, the City has determined it to be necessary and desirable to obtain the further assistance of the Consultant to provide continued consulting services regarding the engineering services related to providing compensatory storage for the development of the South Grove Avenue Residential Project and Festival Park. NOW, THEREFORE, for and in consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows : 1 . The Professional Services Agreement between the City and the Consultant dated June 15, 2001 is hereby amended as follows : A. Paragraph 1 entitled "Scope of Work" is amended by adding an additional paragraph thereto to read as follows : "Consultant shall also perform and direct the necessary qualified personnel to perform the professional services as set forth in the Scope of Services documents entitled "HITCHCOCK DESIGN OFF-SITE COMPENSATORY STORAGE PLAN" , consisting of eleven (11) pages, attached hereto and made a part hereof and made a part hereof as Exhibit 1-A. " B. Paragraph 2 entitled "Schedule and Term" is amended by adding an additional paragraph thereto to read as follows : "Consultant shall perform and complete the various services and tasks in Exhibit lA according to the schedule dated and attached hereto and made a part hereof as Exhibit 3-A. Changes in the scope of work as directed by the City, timing of decisions by the City, timing of approvals by authorities having jurisdiction over the project and other events outside the control of the Consultant may, however, affect the time line . Other alterations to the time line may be made by mutual written agreement of the parties . The term of this amendment agreement shall commence upon execution hereof and shall continue until I and Consultant shall have performed and completed all of the services to be provided within such agreement . " C. Paragraph 3 entitled "Fees" is amended by adding subparagraph D thereto to read as follows : "D. Payments for services provided by the Consultant set forth in Exhibit 1-A hereof shall be reimbursed at the hourly rate of its professional and technical personnel as set forth in Exhibit 4-A attached hereto and made a part hereof by this reference with the total fees and expenses due to be paid to the Consultant for the services described in Exhibit 1-A not to exceed $74 , 700 regardless of actual time expended or actual costs incurred by the Consultant unless material modifications to the Consultant' s Scope of Services are authorized in writing by the City and approved by the City Council . Consultant' s cost estimates for the various aspects of the services to be performed in Exhibit 1-A are set forth in Exhibit 1-A. " D. A new paragraph 31 is hereby added to the Professional Services Agreement to read as follows: "31 . The City agrees to provide Consultant with all base maps, blueprints, aerial photos, studies, reports, and ordinances reasonably necessary to complete the services in Exhibit 1-A. Consultant may reasonably rely on the accuracy and completeness of these items . City agrees to provide these items and to render decisions in a timely manner so as not to delay the orderly and sequential progress of Consultant . " 2 . That except as expressly amended herein the terms of the Professional Services Agreement between the City and the Consultant dated June 15, 2001 shall remain in effect and shall apply to the additional services to be performed by the Consultant as described in this Amendment Agreement and as set forth in Exhibit 1-A hereto. "3 . The changes provided in this Amendment Agreement to the Professional Services Agreement between the City and Consultant dated June 15, 2001, are germane to the original contract as signed, are in the best interests of the City and authorized by law. We look forward to advancing our relationship with you and all of your colleagues as Elgin continues to implement its great riverfront initiative. We understand that the City wants to expedite the process of planning and permitting required to construct the first segment of Festival Park and the property adjacent for redevelopment consistent with the approved master plan. Consequently,this additional proposal is required to address the off-site grading plans required to bring the Festival Park grading plans into compliance with the City's newly- adopted Stormwater Ordinance. In exploring the City-owned parcels on the Fox River West Bank north of the Water Treatment Facility, we have preliminarily selected several parcels that are likely candidates for compensatory storage. Our proposed services,which accompany this proposal, are divided into 2 separate phases. At the conclusion of Phase II, Design and Engineering Services,the City will have received: Permits, as required, from the US Army Corps of Engineers, Illinois Historic Preservation Agency, Kane/DuPage Soil and Water Conservation District and the City of Elgin Construction documents and cost opinions for: regrading and revegetation of required parcels Bid results and contract award recommendations Under Rick Hitchcock's direction, I will continue to manage the work of Hitchcock Design Group's urban design team. Hey and Associates will provide environmental, geo-technical,permitting and civil consulting services to our team. Our team proposes to provide the attached scope of services at our standard hourly rates,plus customary out of pocket expenses for a fee not to exceed$74,700. An estimate of the hours, fees and expenses is included with this proposal. This represents a `worst-case' scenario as far as permitting is concerned. We will not know which permits are specifically required until the Phase I work is complete, and funding sources are known. Like you,we want to move expediently,but please understand that the snow cover may compromise our ability to proceed until the topographic survey and wetland delineation,both critical steps in the process, are completed. In order to help expedite the process,you should already be in possession of proposals to prepare the topographic survey, wetland delineation and Phase I Environmental Report for your authorization. In the meantime, there are plenty of other tasks in the Research and Analysis Phase that can be started. Define and evaluate the NWL, 10 and 100 year floodplain and floodway for the area by establishing a baseline existing conditions and modified existing conditions hydraulic model using methods generally acceptable to the applicable jurisdictional agencies. 7. Evaluate the existing trees 6"and larger including: a. type b. condition 8. Prepare a natural systems report to be used with the permit application that includes: a. observed vegetative,hydrologic and soil characteristics,dominant species and Swink, Floyd and Wilhelm quality values b. aerial photography c. representative site photography d. regulatory constraints and permit requirements in accordance with State and Federal statutes 9. Prepare a report that summarizes the research and analyzes its impact on the master planned improvements. Review the research and analysis with City staff. B. Schematic Design and Engineering We will: 1. Test the schematic designs using the hydraulic model to determine general conformance with jurisdictional regulations. Identify modifications to the design or compensatory storage as may be required to meet applicable regulations. 3. Test the final designs using the hydraulic model to determine conformance with jurisdictional regulations. Identify modifications to the design or compensatory storage and/or conveyance as may be required to meet applicable regulations. 3. BACKGROUND On December 12 , 2001, the City Council heard a presentation from the Hitchcock Design Group regarding the proposed development within and in the vicinity of Festival Park. In order to accommodate the residential development and certain improvements within the park, compensatory storage issues must be resolved. The required compensatory storage will be provided on a portion of Festival Park and on city-owned property located on the west bank of the Fox River north of the Fox River Water Reclamation District North Plant . To achieve the desired reallocation of the required compensatory storage, additional planning, design and engineering services for the off-site storage plans are required. The additional work tasks consist of the following activities; typographic surveys, Phase I environmental assessment, wetland delineation, hydraulic modeling, vegetation assessment, recommended site improvements, cost estimates, permits, construction documents and bid review. s Festival Park/Par Development Storage Contracts February 22 , 2002 Page 2 Bids were obtained for survey work from three firms : Typographic Survey Tree Survey (Assumption of 2 days) Landmark Engineering $22,700 $8,200 Patrick Engineering $18, 950 $1,200/ per day Hampton, Lenzini & Ruznick $19, 500 $ 800/ per day The Hitchcock Design Group submitted a proposal for the following services; coordination of survey, environmental and wetland analysis, hydraulic modeling, vegetation assessment, recommendation of site improvements, construction cost estimates . In addition to the assistance with design and engineering services, Hitchcock will be responsible for securing all necessary permits, the development of construction documents and bid review and recommendations . Hitchcock Design Group proposes to perform the tasks outlined in a proposal dated February 4, 2002 for $74 , 700 . Hitchcock Design Group was the only firm contacted regarding this aspect of the project based on their expertise and knowledge of the Festival Park and residential development project . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None. FINANCIAL IMPACT The Festival Park project has a total budget of $2 , 470, 000 . To date, $1, 598, 631 has been paid and encumbered, leaving a remaining balance of $871, 369 . This request is for $74 , 700 for Hitchcock Design Group, $18, 950 for Patrick Engineering Typographic Survey, and approximately $2 , 400 for tree surveying. The total amount requested is $96, 050, and will be charged to account number 275- 0000-791 . 92-35, project number 039520 (Riverboat Fund, Riverfront/Center City Improvements) . LEGAL IMPACT An exception to the Procurement Ordinance is required for the award to Hitchcock Design Group. The Agreement will need to be drafted and reviewed by the Legal Department . Festival Park/Par Development Storage Contracts February 22 , 2002 Page 3 ALTERNATIVES 1 . Approve the awards to Hitchcock Design Group and Patrick Engineering and proceed with the Compensatory Storage work. 2 . Decline to award the proposed service contracts and do not proceed with the development of the additional compensatory storage. RECOMMENDATION It is recommended that the City Council award the proposals of the Hitchcock Design Group in the amount of $74 , 700 , and Patrick Engineering in the amount of $21, 350 .
