RESOLUTION
AUTHORIZING EXECUTION OF A FIRST AMENDMENT TO
PROFESSIONAL SERVICES AGREEMENT WITH TRKLA, PETTIGREW,
ALLEN & PAYNE, INC. FOR CONSULTANT SERVICES
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to execute
a first amendment to professional services agreement on behalf of
the City of Elgin with Trkla, Pettigrew, Allen & Payne, Inc . for
additional consultant services regarding establishing of a Tax
Increment Financing Redevelopment Project Area for Elgin' s
Central Area, a copy of which is attached hereto and made a part
hereof by reference .

FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This First Amendment Agreement made and entered into this
9 , day of January, 2001, by and between the CITY OF ELGIN,
ILLINOIS, an Illinois municipal corporation (hereinafter
referred to as the "City" ) and TRKLA, PETTIGREW, ALLEN &
PAYNE, INC . , an Illinois corporation and an urban planning and
economic development consulting firm located 222 S . Riverside
Plaza in Chicago, Illinois (hereinafter referred to as
"Consultant" ) .
WITNESSETH
WHEREAS, the City and Consultant have previously entered
into a Professional Services Agreement dated October of 1999,
(hereinafter referred to as the "Agreement" ) ; and
WHEREAS, the City has determined it to be in its best
interests to continue and update the assistance provided by
the Consultant concerning the various studies, analysis and
report preparation leading to consideration of the possible
establishment of a Tax Increment Financing Redevelopment
Project Area for Elgin' s Central Area; and
WHEREAS, Consultant is experienced in all aspects of the
tax increment financing study and planning process and desires
to render such further Consultant services to the City.
NOW, THEREFORE, for and in consideration of the mutual
promises and covenants contained herein, and in consideration
of the mutual promises and undertakings contained in the
original Agreement, and other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged,
the parties hereto agree as follows :
1 . That the Agreement between the City and the
Consultant dated October of 1999 is hereby amended as follows :
A. Section 1 providing for Scope of Work is
hereby amended by adding the additional services of
the Consultant whereby Consultant shall update the
existing draft Eligibility Report including but not
limited to reviewing the eligibility of the Civic
Campus Area, the eligibility of three school sites,
reviewing EAV growth trends and taking into account
modified district boundaries as provided for in the
Mixed Use Modified Area.
B. That Section 4 providing for Consultant ' s
fee is hereby amended by adding an additional Seven
Thousand Five Hundred Dollars and no/100ths
($7, 500 . 00) thereto as a lump sum fee for all of the
additional tasks and services set forth in this
First Amendment Agreement regardless of the actual
cost and expenses incurred by the Consultant .
3 . That in the event of any conflict between the terms
of this First Amendment Agreement and the terms of the original
Agreement between the City and Consultant , the terms of this
First Amendment Agreement shall control .
4 . That except as modified by this First Amendment
Agreement, the original Agreement between the City and
Consultant shall remain in full force and effect .
IN WITNESS WHEREOF, the parties hereto have entered
into and executed this agreement on the date and year first
written above .
