WHEREAS, OEG has presented a proposal to the City of Elgin whereby OEG would provide for the construction and conveyance to the City a United States Flaç Sculpture to be constructed on the City-owned Walton Island (hereinafter referred to as the "United States Flag Sculpture Project" ) ; and WHEREAS, the estimated cost of the propsed United States Flag Sculpture Project is in the range of $120, 000 to $150, 000 as set forth in the budget for the project attached hereto as Exhibit A; and WHEREAS, OEG has proposed that the propsed United States Flag Sculpture Project be funded with monies one-half of which are to be raised by OEG and one-half of which are to be provided by the City, with the City' s cntribution to be limited to a maximum of $75, 000 . NOW, THEREFORE, for and in consideration of the mutual promises and undertakings contained herein, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows : . : • 1 . That the foregoing recitals are iincorporated into this agreement in their entirety. 2 . That OEG shall undertake a fund-raising effort to raise monies in the amount of not less than one-half of the costs for the proposed United States Flag Sculpture Project . Such fund-raising effort by OEG shall not iiiclude pursuit of funds from the City or from the City'S Cultural Arts Commission. OEG represents that it has to date received monies or commitments for donations from organizations for the proposed United States Flag Sculpture Project totalling approximately $35, 000 . OEG agrees to contiiue to diligently pursue further fund-raising to raise monies in the total amount of not less than one-half the cost for the proposed United States Flag Sculpture Project . OEG agrees to use all such donated funds solely and only for the United States Flag Sculpture Project . 3 . That the City agrees to contributp to OEG one-half of the cost associated with the United States Flag Sculpture Project, provided however, it is agreed and understood that the City' s contribution for costs associated with the United States Flag Sculpture Project shall in no event exceed $75, 000 . OEG agrees to use all monies received from the City solely and only for the United States Flag Sdulpture Project . 4 . That OEG shall provide for the c5mstruction of the proposed United States Flag Sculpture on the City-owned Walton Island pursuant to and in accordance with the photograph and plans and elevation prepared by Walker Parking Consultants -2- " . . dated May 9, 2000, revised June 11, 2001, attached hereto as Exhibit B (such United States. Flag Sculpture and all appurtenances thereto is hereinafter refeirred to as the "United States Flag Sculpture") . The timing of the construction and placement of the proposed Uiited States Flag Sculpture on Walton Island shall be determined by the City and shall be coordinated by the City and OEG wit1 the City' s other proposed improvements to Walton Island. The United States Flag Sculpture shall be placed and located op that portion of Walton Island as depicted on the Layout & Grading Plan prepared by :Hitchcock Design Group, dated Mach 6 , 2001 , Sheet No. LG7, 30 of 94 , as it may be amended as approved by the City, attached hereto as Exhibit C, or at such other location on Walton Island as directed and determined by. the City. 5 . That upon the completion of the cdnstruction of the United States Flag Sculpture Project , including the placement and location of the United States Flag Sculpture on Walton Island as provided herein, OEG shall convey all right, title and interest to such United States Flag Sculpture to the City of Elgin by an appropriate Bill of Sale. Such Bill of Sale shall be prepared by and shall be in a form acceptable to the City. 6 . That OEG shall submit invoices for costs incurred for the United States Flag Sculpture Project to the City in a format approved by the City. Upon the completion of each element of work for the United States Flag Sculpture Project as identified in Exhibit A attached hereto OEG may submit an -3- invoice to the City for such completed element of the work and the City shall pay to OEG one-half of th amount of such invoice for such completed element of the work. Upon the delivery and receipt of the framing and panes for the United States Flag Sculpture such that the framing and panels are ready for fabrication OEG may submit invoice to the City for such framing and panels and the City shall pay to OEG one-half the amount of such invoices . Notwithstandin anything to the contrary in this paragraph or in this agreement , it is expressly agreed and understood that the City' s payments to OEG for the United States Flag Sculpture PrIoject pursuant to this agreement or otherwise shall in no event exceed $75, 000 . 7 . That OEG shall maintain records showing costs incurred in the United States Flag Sculptillre Project . OEG shall permit an authorized representative of the City to inspect and audit all data and records of OIG relating to the United States Flag Sculpture Project, including but not limited to, all documents, data and records1 relating to fund raising efforts, contracts, expenses, payments and bank account records relating to the United States Flag Sculpture Project . OEG shall make all of these records available to the City at reasonable times as requested by the City during the agreement period and for two years after the conclusion or termination of this agreement . 8 . That the parties understand and agree that the funding assistance being provided by th City to OEG as provided in this agreement is expressly contingent upon OEG -4 - . - . completing the United States Flag Sculpture to the City and the conveyance of the United States Flag Scu4ture to the City on or before June 14 , 2002 (hereinafter reEerred to as the "Completion Date") . Such Completion Date mar be extended as determined by the City to allow coordinatio, by the City of the placement of the United States Flag Sculpture on Walton Island with the City' s other proposed improements on Walton Island. In the event OEG fails to complete the United States Flag Sculpture Project and conveyance of the United States Flag Sculpture to the City on or before the Completion Date, as such date may be extended by the City pursuant to this paragraph, the parties understand and agree that OEG shall reimburse to the City in full any funds distributed by the City pursuant to this agreement and the City' s obligation to make any payments to OEG pursuant to t1iis agreement or otherwise shall be null and void. 9. That on or before September 30, 2001 and December 31, 2001, OEG shall provide written reports to the City detailing its fund-raising efforts or the proposed United States Flag Sculpture Project including the names of all contributors, the amount of each contribition and the date of each contribution. 10 . That it is agreed and understood that OEG will not be self-performing any of the work for the United States Flag Sculpture on City property and that all such work will be performed by subcontractors of OEG. OEG shall cause its subcontractors to obtain and maintain at ali times during the - 5- _ ' . . performance of any work on the United States Flag Sculpture Project the following policies of insurance: a. Workers ' Compensation and Occupational Disease Insurance in amounts required under the laws of the State of Illinois. 1 b. Comprehensive General Liaility and Automobile Liability Insurance for bodily injury, death or loss of or damage to property of third persons in the minimum amount of $1 000, 000 per occurrence which policy shall name thel City as an additional insured. This insurance sl+.11 apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the City. There shall be no endorsement or modification of this insurance to make it exces over other available insurance, alternatively, if the insurance stated is said to be excess or prorate , it shall be endorsed to be primary with respect to the City. OEG shall cause its subcontractors to furnish to the City a certificate of insurance evidencing such insurance coverage. 11 . That OEG shall at all times impose work orders on its officers, employees and subcontractors which are designed to assure that they comply with all applicable federal , state and local laws and regulations (including, but not limited to, occupational safety and environmental protection statutes and regulations) in performing services hereunder, and shall -6- • • comply with any directions of governmental gencies and the City relating to site safety, security, traffic or other matters . OEG shall be responsible for all selety precautions and programs in connection with the work of the United States Flag Sculpture Project . 12 . That to the fullest extent permitted by law, OEG agrees to and shall indemnify and hold harmless the City, its officers, employees, agents, boards and commissions from and against any and all claims, suits, judgments, costs, attorney' s fees, damages or other relief, in any way resulting from or arising out of negligent actions or omissions of OEG in connection herewith, including negligence or omissions of officers, employees, agents or subcontractors of OEG arising out of the performance of this agreement . 13 . That any assignment , delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this agreement and OEG shall remain liable to the City with respect to each and every item, condition or other provision thereof to the same extent that OEG would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor for the United States Flag Sculpture Project shall require the City' s advancef written approval . This agreement and each and every portion thereof shall be binding upon the successors and assigns of the parties hereto, provided however, no assignment shall be made without the -7- prior written consent of the City, which consent may be withheld by the city at its sole discretion. 14 . That this agreement shall not be deemed or construed to create an employment, joint venture, partnership or other agency relationship between the parties hereto. 15 . That this agreement shall be subject to and governed by the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights arising out of or in connection with this agreement or its performance shall be in the Circuit Court of Kane County, Illinois . Our organization feels that creating a user-frie dly environment for artists and the public to participate in, will give all citizens opport nities to have fun, interact with each other, and reinforce the image of our city as a cu tural center in the Fox Valley and Chicago area. m• Our group desires to provide service to the city of Elgi, by organizing art competitions, exhibitions and supportive fund-raising events. A typic -I example would be, the overseeing of a regional large-scale outdoor sculptur_ competition with cash awards for "best of show." Its tandem partner would be an an ual RIB FEST competition with "grand prize" award. We feel that a less formal appro.ch to the exhibition of the visual arts will draw larger numbers of participants to a "first time" look at fine art. SP iDear Milt, IP It was a real pleasure to meet with you and David last Friday. As you know, we have a special I craft that has been designed specifically for Low Head Dam Rescues. In the event we loose boat motor power while in the dam, we must manually retrieve ourf people and the craft. When we met Po on Walton Island the other day we were in the midst of training for just such an occurrence. One , j obstacle we have is that of a sufficient anchoring point from Which to attach our rigging. The rigging is used to retrieve the Rescue Raft water craft from the dam using a mechanical advantage PP rope retrieval system. We were interested to learn of your plans to approach City Council with design plans to construct a United States Flag Sculpture. The Rescue team was equally excited over your offer to add two steel rings which would be placed approximately eight (8) feet apart FP on the base of the sculpture providing an exceptional anchoring point for our needs during water I rescue operations. The placement of the sculpture on Walton stand is ideal in location and its ability to meet the strength requirements as an anchor point. hank you for your generous offer !IP and we wish you well on your proposal to council. We appear to be on he same page with regard to fabrication and installation. Building and shipping as one piece unit is definitely the best way to go. Either way the install price is the sarlhe since it would be Al's responsibility to weld the two sections together. The Crane is priced to pick 5K and boom out 200'. The 200T crane is almost off the charts. At 5K you actually have 205'. If you extend that 205' then we move into the 300T range and by now we are talking some serious money. For the 300T please add $2 ,000 to the total below! Parker, City Manager ' SUBJECT: Outside Exhibition Group Unite0 States Flag Sculpture Funding Request PURPOSE 1 The purpose of this memorandum is to present to the Mayor and members of the City Council a request from the Outside Exhibition Group (OEG) for funding assistance from the City of Elgin to assist with the location of the United States Flag Sculpture on Walton Island. 1 BACKGROUND 11 The Outside Exhibition Group is a newly fdrmed Elgin based not-for- profit arts organization. The purpose of OEG is to facilitate the exhibition of fine art in Elgin. OEG feels that by creating a user-friendly environment for artists and the public to participate in, citizens will be given the opportunity to have fun, interact with each other, and reinforce the image of Elgin as a cultural center in the Fox Valley and the Chicago area. On July 9th, OEG presented a request to the Mayor and the City Council members regarding funding assistance from the City for the Walton Island United States Flag Sculpture. The estimated project budget is $150, 000 . OEG is requesting a City funding participation of $75, 000 . The placement of the flag sculpture ori Walton Island has been reviewed by the Riverfront/Center City ' Master Plan consultants . The consultants concur that the placeme t of the sculpture would fit both aesthetically and functionall at the north point of Walton Island (see attached photos) . If the Mayor and City Council choose to proceed with OEG, a Purchase of Service Agreement would be developed to include the eft. following points: . _. r OEG Flag Sculpture Funding August 9, 2000 Page 2 1 . The Flag Sculpture Project will be completed by October of 2001 . 4 . OEG does not intend to pursuel funds from the Cultural Arts Commission. Our organization feels that creating a user-friendly environment for artists and the public to participate in, will give all citizens opportunities to have fun, interact with each other, and reinforce the image of our city as a cultural center in the Fox Valley and Chicago area. Our first project, agreement approved by the Elgin City Council on August 22, 2001 , is to recreate a United States Flag Sculpture on the Northern tip of Walton Island. In order to finance this project, OEG has been involved in four fund-raising efforts. They are: Grant Application; September 21, 2000, State of Illinois Department of Commerce and Community Affairs, Legislative Sponsor: Douglas Hoeft, Project # HRO746, Amount: $25,000; received 8/20/01. Neighborhood Cookouts & Promotions; a "Friday Night Fish Fry" was held at the home of Linda and Milton Evans Jr., 1101 Spring Creek Court, Elgin, on September 29,2000, to explain the Flag Sculpture project to neighbors, friends, and interested members of the community. Dinner was provided for everyone while donations were accepted at any amount. Similar presentations were made to various organizations such as the Northeast Neighborhood Associations. These activities allowed the public to ask questions while viewing the sculpture model and plans for Walton Island. This effort raised $720. Private Donors; individuals and special interest groups have supported our efforts in the amount of $6,134 1st. Annual RibFest; on Memorial Day, May 28, 2001, OEG established an event for the entire City of Elgin. A rib cook-off was held at the Elgin City Center from 11 :00 am. - 5:00 pm. Food, Fun, Music, and Children Activities were provided on the Hemmens Plaza. While members of the community cooked out and visited, a table was setup to introduce and explain information about the Flag Sculpture, donations were accepted totaling $3,994. To date OEG has received $35,848 in donations from the above activities. While we are well on our way in providing for the cost of the Flag Sculpture, there is more work to be done. For the last three months we have been meeting with the Elgin Trade Council in hope of finalizing an agreement which will have their 35,000 members support our project. Our list of possible private donors has increased and we are contacting those individuals for financial help. We are also continuing to approach businesses in the community for future donations.
