(hereinafter referred to as "ENGINEER"). WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with the development of a 27-hole golf course complex located in the vicinity of McLean Boulevard and Spartan Drive (hereinafter referred to as the "PROJECT"). AND WHEREAS, the ENGINEER represents that it is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW,THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER for and in consideration of the mutual promises and covenants contained herein,the sufficiency of which is hereby acknowledged to act for and represent it in all engineering matters involved in the PROJECT, subject to the following terms and conditions and stipulations, to-wit: I. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Finance Director of the CITY, hereinafter referred to as the "DIRECTOR." B. The ENGINEER shall perform the services for the PROJECT as set forth in Attachment Al attached hereto and made a part hereof by this reference. Page 2 II. PROGRESS REPORTS A. An outline project milestone schedule is provided hereunder. B. A project schedule for the PROJECT is included in Attachment Al, attached hereto. Progress will be recorded and submitted bi-weekly as a component of the Status Report described in C below. C. The ENGINEER will submit to the DIRECTOR bi-weekly a Status Report keyed to the Project Schedule. A brief narrative will be provided identifying progress, findings and outstanding issues. III. WORK PRODUCTS All work products prepared by the ENGINEER pursuant hereto including, but not limited to, reports, designs, calculations, work drawings, studies, photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records. Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the ENGINEER. IV. PAYMENTS TO THE ENGINEER(Not To Exceed Method) A. For services provided by the ENGINEER, the ENGINEER shall be reimbursed at the hourly rates of personnel employed on this PROJECT as set forth on Attachment A2 entitled "2000 Standard Charges" attached hereto and made a part hereof by this reference, with the total fees and expenses to be paid to ENGINEER not to exceed $75,000, regardless of the actual time expended or costs incurred by the ENGINEER, unless substantial Page 3 modifications to the scope of the work are authorized in writing by the CITY and approved by way of written amendment to this Agreement. B. Reimbursable expenses are included in the above not-to-exceed total fee of$75,000. Those reimbursable expenses that are invoiced to the ENGINEER through a third party vendor, and then subsequently invoiced to the CITY, are subject to a multiple of 1.1. Reimbursable costs and charges incurred in connection with the PROJECT shall be billed in accordance with Attachment A2 "2000 Standard Charges" and Attachment A3 "2000 Standard Charges Laboratory Testing Services" attached hereto and made a part hereof by this reference. C. The CITY shall make periodic payments to the ENGINEER, based upon actual progress, within 30 days after receipt and approval of invoice. V. INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. Progress reports (IIC above) will be included with all payment requests. B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the CITY to inspect and audit all data and records of the ENGINEER for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period, and for a year after termination of this Agreement. VI. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof, the CITY may terminate this Agreement at any time upon fifteen (15)days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually Page 4 performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the amounts set forth under Paragraph IV above. VII. TERM This Agreement shall become effective as of the date the ENGINEER is given a notice to proceed and, unless terminated for cause or pursuant to Article VI, shall be deemed concluded on the date the CITY determines that all of the ENGINEER's work under this agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any term or provision of the Agreement. VIII. NOTICE OF CLAIM If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER's fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the ENGINEER. Regardless of the decision of the DIRECTOR relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. IX. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party,by reason of any default, fails within fifteen (15) Page 5 days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. X. INDEMNIFICATION To the fullest extent permitted by law,ENGINEER agrees to and shall indemnify, defend and hold harmless the CITY, its officers, employees, agents, boards and commissions from and against any and all claims, suits,judgments, costs, attorney's fees, damages or other relief, including but not limited to workers' compensation claims, in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligence or omissions of employees or agents of the ENGINEER arising out of the performance of this Agreement. In the event of any action against the CITY, its officers, employees, agents,boards or commissions,covered by the foregoing duty to indemnify, defend and hold harmless such action shall be defended by legal counsel of the CITY's choosing. XI. NO PERSONAL LIABILITY No official,director, officer, agent or employee of the CITY shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. XII. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least $1,000,000 aggregate for bodily injury and $1,000,000 aggregate for property damage. Page 6 The ENGINEER shall deliver to the DIRECTOR a Certification of Insurance naming the CITY AS ADDITIONAL INSURED. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article X titled "Indemnification" shall be provided. This insurance shall apply as primary insurance with respect to any other insurance or self-insurance programs afforded to the CITY. There shall be no endorsement or modification of this insurance to make it excess over other available insurance, alternatively, if the insurance states that it is excess or prorate, it shall be endorsed to be primary with respect to the CITY. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned,non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1,000,000 per occurrence subject to a $1,000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineer's Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $1,000,000 per occurrence. A Certificate of Insurance shall be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. Page 7 XIII. CONSTRUCTION MEANS, METHODS, TECHNIQUES, SEQUENCES, PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services. XIV. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement,there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. Page 8 XV. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. XVI. DELEGATIONS AND SUBCONTRACTORS Any assignment,delegation or subcontracting shall be subject to all the terms,conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item, condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. Any proposed subcontractor shall require the CITY's advanced written approval. XVII. NO CO-PARTNERSHIP OR AGENCY This agreement shall not be construed so as to create a partnership, joint venture, employment or other agency relationship between the parties hereto. XVIII.SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. Page 9 XIX. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. XX. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties. Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. XXI. APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois. Venue for the resolution of any disputes or the enforcement of any rights pursuant to this agreement shall be in the Circuit Court of Kane County, Illinois. XXII. NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the DIRECTOR prior to said documentation becoming matters of public record. Page 10 XXIII.COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CTTY's employ or any work associated with the PROJECT. XXIV.INTERFERENCE WITH PUBLIC CONTRACTING The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of a violation of 720 ILCS 5/33E et seq. or any similar state or federal statute regarding bid rigging. XXV. SEXUAL HARASSMENT As a condition of this contract, the ENGINEER shall have written sexual harassment policies that include, at a minimum, the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; Page 11 G. protection against retaliation as provided by Section 6-101 of the Human Rights Act. A copy of the policies must be provided to the Department of Human Rights upon request 775 ILCS 5/2-105. XXVI.WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall be made or confirmed in writing. The DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. XXVII.NOTICES All notices,reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. Secretary Vice resident (SEAL) h:\sp\pro\elgin2305\agreement-rev 7-05-00 chgs highlighted.doc ATTACHMENT Al CONSULTANT SCOPE OF SERVICES AND BASIS OF FEE FOR THE INVESTIGATION/PROGRAMMING PHASE OF THE NEW 27-HOLE GOLF COURSE The following presents the scope of services for the investigation/programming phase of the New 27-Hole Golf Course Project ("PROJECT") for the City of Elgin. It is intended that the scope of services to be provided by Patrick Engineering Inc. (PEI) will be expanded to include final design and construction related services once critical information on site conditions is obtained and the City makes strategic decisions regarding PROJECT components and features. SCOPE OF SERVICES The goals of this phase of the scope of services are to: 1. Review the hydrogeologic report prepared by SDI to determine if additional information is needed to define the site groundwater conditions. The development of the site is dependent on predicting water levels so that pond elevations can be established. 2. Install monitoring wells to determine the groundwater elevation at select feature locations. Groundwater elevations are needed to properly locate ponds and design the McLean underpass. Elevations are also needed to check the calibration of the groundwater flow model developed by SDI. 3. Determine locations and areas of wetlands on the site. It is critical that wetlands be delineated for all three phases of development so that mitigation, if required, can be planned early on in the PROJECT. 4. Determine locations and sizes of existing utilities that will service the site. Utility issues and layouts need to be considered so that delays do not occur in design or construction. 5. Determine stormwater management requirements, evaluate proposed golf course grading and pond/lake system with regard to needed stormwater control and examine phasing of stormwater management facilities. Stormwater management is a major consideration in the layout, grading and drainage of the golf course. Significant adjustments of the preliminary plan may be needed. 6. Determine how, and the rate at which the reclamation of the quarry will impact golf course development. The phasing of reclamation needs to be incorporated into the design and construction of the golf course. 7. Determine how the proposed improvement of McLean Boulevard will impact the PROJECT. Impacts will include stormwater runoff, and the golf cart underpass. 8. Determine warranted extent of improvement of main access drive from McLean Boulevard to sports complex parking lot. This 3,500-foot length of roadway is a major project component. Items to consider include intersection improvements (McLean Boulevard and Clubhouse), type of cross-section (rural or urban), alignment, drainage and lighting. 1 The following tasks will be performed to satisfy the goals of the investigation/programming phase. 1. REPORT REVIEW PEI will review the hydrogeologic report prepared by SDI and assess how the groundwater conditions could impact the golf course development. Because site-specific information is not provided in the SDI report, locations will be selected for the installation of groundwater monitoring wells. These observation wells are designed to be multi-functional therefore can be used to collect information on groundwater levels and quality, check the accuracy of the SDI flow model and establish preliminary geotechnical design criteria. 2. MONITORING WELLS PEI will use the services of Patrick Drilling Inc. (PDI) to install eight (8) monitoring wells at select locations around the golf course and stone quarry. The monitoring wells will be located at structural features (e.g., the underpass) and planned pond locations to aid in the characterization of the geologic and foundation conditions. The boring for each well will be sampled at 2.5-foot intervals to a depth of 10 feet below the water level encountered during drilling. The monitoring well will consist of slotted PVC screen and solid riser pipe. A metal well protector will be installed around each well to provide resistance to vandalism. It is intended that the wells will be used to monitor groundwater level variation over a several month period. A report will be prepared indicating soil conditions at the well locations and initial comments regarding groundwater conditions. 3. FIELD TESTING/GROUNDWATER SAMPLING AND ASSESSMENT Field testing consisting of limited / controlled groundwater pumping will be performed in the monitoring wells to estimate the hydraulic conductivity of the aquifer. Conductivity data will be used along with the water levels to check the groundwater model prepared by SDI. This scope of services will be limited to validating the SDI input parameters and assessing whether additional modeling is needed to provide confidence in the predicted water levels. Groundwater samples will be collected using IEPA accepted protocols from two monitoring wells located on the existing golf course. The samples will be tested for Section 620 Class II Inorganic Chemical Constituents, pesticides, and herbicides. The intent of this testing is to establish a water quality baseline record for the existing golf course operation. Contaminated stormwater runoff and subsequent detention pond infiltration into the groundwater could effect groundwater quality such that there could be concern about the water quality in the quarry. Because the City of Elgin desires making the quarry a swimming beach and fishing area, it is important to assess the potential impacts of golf course operations on water quality. This scope of work will not include performing an ecological assessment to determine the potential impacts of parameters detected in groundwater on human health and the environment. A groundwater assessment report indicating findings, issues and recommendations will be prepared. 4. WETLANDS DELINEATION A wetlands delineation will be performed by Hey & Associates to locate and delineate wetlands and waters of the U.S. on the site. The work will consist of flagging the wetland boundaries, surveying the flags, preparing data forms, preparing a map of the site showing the wetland limits and preparing a report of findings. 2 5. GOLF CART UNDERPASS PEI will meet with Pavia Marting and the City to discuss plans underway for widening McLean Boulevard and potential impacts of that widening on the underpass design and construction. Roadway, utility, grading, drainage and groundwater issues will be researched and examined by PEI. A conceptual layout for the underpass will be developed. 6. UTILITY SERVICES The locations of existing sanitary sewer and water main utilities and possible issues regarding connecting to them will be discussed with City staff personnel. Field investigations of these facilities will be made. Conceptual layouts of sanitary and water improvements to serve the clubhouse and maintenance facility locations will be developed. Electric and gas utility companies will be contacted to verify the availability of these services and to determine any potential issues. The scope of work specifically excludes unearthing any utilities to determine vertical location. 7. STORMWATER MANAGEMENT A preliminary analysis of stormwater storage required for the development site will be conducted. This analysis will be based upon Chapter 21 of the Elgin Municipal Code, as amended, and the draft Kane County Regulations scheduled to be in force next year. The golf course preliminary grading plan will be examined to evaluate the capability of the proposed ponds and depressional areas to provide necessary detention volumes. Drainage patterns will be reviewed with regard to restricting off-site release rates to 0.10 cfs per acre. The need for temporary and phased stormwater facilities (until Quarry Lake is available for stormwater purposes) will be considered. Concerns, issues and the possible need for site adjustments will be discussed with City personnel and the golf course architect. This work will also include field investigations of conditions within and adjacent to the site. 8. ACCESS ROADWAY PEI will meet with City personnel to discuss needs and options. (Is a rural or urban type road desired? Should uniform lighting be provided?, etc.) There are drainage problems along the existing road. A field investigation of drainage conditions will be conducted. Based on the type of roadway to be provided (rural-swale, urban-curb/gutter), a concept drainage system will be developed. 9. SURVEYING AND MAPPING Field surveys will be performed as needed to locate delineated wetland boundaries, to establish monitoring well/soil boring locations and elevations and to determine elevations of items such as sanitary and storm sewers and drainage channels. Wetlands and monitoring wells will be plotted on the existing conditions topographic map to be provided by the City. It is assumed that the survey control points used to prepare the map still exist and can be used to match the new survey data with the existing map elevation datum and grid coordinates. Specifically excluded from the scope of services are detailed topographic mapping for design and establishing project control. 10. SITE DEVELOPMENT REPORT AND MEETINGS A report will be prepared to describe the findings of the various investigation tasks; note issues and concerns; and make recommendations about specific matters, including stormwater management, McLean Boulevard underpass, groundwater conditions, utility services, wetlands, and Quarry Lake. A groundwater condition assessment report and a 3 wetland delineation report will be included as attachments. It is anticipated that three meetings will be held with the City project team to discuss the contents of the reports, resolve issues and make decisions necessary to proceed with project design activities. DELIVERABLES The following items will be provided to the City during the course of this phase of work. 1. Site topography plan (base map provided by the City) updated to show locations of surveyed wetlands, installed monitoring wells and soil borings, and available sanitary, storm and water utilities. 2. Groundwater assessment report indicating the results of the SDI report validation and field investigation will be prepared for City comment. The report's appended sections will describe the well construction methodology, monitoring well logs and the results of the groundwater test analyses. Recommendations will be provided, as appropriate, for additional investigation or analyses to refine the prediction of water levels on the golf course. 3. Wetland delineation report. 4. Site development report. SCHEDULE It is estimated that all of the described tasks, except the groundwater conductivity monitoring/analysis (Item 3), will be completed within 4 to 6 weeks from date of authorization to proceed. Groundwater monitoring and analysis will take approximately 12 weeks to complete. Many of the tasks will proceed concurrently. Some will take less time than others. To expedite the process, task findings and suggestions will be submitted for review, as they are determined during the course of the work. FEE FOR SERVICES Estimated fees to perform the various work tasks are indicated in the attached Table 1. PEI will perform the subject work on an hourly rate and reimbursable cost basis in accordance with the attached PEI "2000 Standard Charges." A not to exceed budget amount of$75,000 is proposed.
