99-75 Resolution No. 99-75 RESOLUTION AUTHORIZING EXECUTION OF A SERVICE AGREEMENT WITH THE NEW CENTURY PARTNERSHIP FOR ELGIN BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to execute a Service Agreement on behalf of the City of Elgin with the New Century Partnership for Elgin for the revitalization of the center city, a copy of which is attached hereto and made a part hereof by reference. s/ Kevin Kelly Kevin Kelly, Mayor Presented: March 10, 1999 Adopted: March 10, 1999 Omnibus Vote: Yeas 6 Nays 0 Attest: s/ Dolonna Mecum Dolonna Mecum, City Clerk SERVICE AGREEMENT THIS AGREEMENT is made and entered into on this 3jAtclay of �, 1999, by and between the NEW CENTURY PARTNERSHIP FOR ELGIN, an Illinois not-for-profit organization, (hereinafter referred to as the "NCPE") and the CITY OF ELGIN, Illinois, a municipal corporation, (hereinafter referred to as the "CITY"). WHEREAS, the City has determined it to serve a beneficial public purpose to provide support the development and enhancement of the center city; and WHEREAS, the NCPE is an organization formed to create, support, and sustain revitalization efforts in downtown Elgin. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows: 1. The City shall pay to NCPE the sum of$60,000 to be made in three equal payments. The first payment will be made following the execution of this agreement. The second payment shall be made by June 1, 1999. The third payment shall be made by September 1, 1999. The NCPE shall be permitted to use remaining funds from the 1998 Purchase of Service Agreement with the City for the purposes described herein. 2. NCPE shall address all inquiries and requests made pursuant to this agreement to City's Business Services Director. 3. NCPE shall apply the $60,000 contribution to operating expenses such as staff salary and benefits, consulting services, rent, meeting expenses, and expenses associated with sponsorship of community events. 4. The New Century Partnership will assist the City and consultants hired by the City in the collection and analysis of information related to downtown parking needs. The NCPE shall also facilitate the gathering of input from downtown residents and businesses. 5. The NCPE will facilitate the presentation of a proposal for redevelopment of Elgin's downtown riverfront. The presentation of a recommended consultant for such redevelopment projects shall take place before the City Council by August 1, 1999. 6. Representatives of NCPE shall meet not less than quarterly with representatives of the Downtown Neighborhood Association and the Elgin Area Chamber of Commerce. A format for these meetings shall be established by March 1, 1999 with quarterly meetings beginning thereafter. 7. Working with City staff, the NCPE will serve as a resource for the evaluation of downtown-related redevelopment opportunities. 8. The NCPE will work during 1999 to clarify its future organizational structure, goals and develop a plan for future fundraising. NCPE shall provide a report to the City Council by December 31, 1999. 9. NCPE shall provide a written report detailing the disbursement of$60,000. This report shall be provided to the City Council by January 1, 2000 and shall include program activity. 10. Quarterly activity reports summarizing services provided shall be provided to the City Council. 11. The City shall have the right to review all accounting records related to the use of the $60,000, given 72 hour notice, and at a time agreed upon by both parties. 12. NCPE shall indemnify and hold City harmless from and against any and all claims for damages, suits, causes of action or any and all other liability which may arise out of or in connection with the performance of this agreement or other operations as result of any negligent actions by the NCPE. 13. This agreement shall not be construed so as to create a partnership,joint venture, employment or other agency relationship between the parties hereto. 14. This Agreement shall be in full force and in effect from the date of its execution • through December 31, 1999. Parker, City Manager SUBJECT: New Century Partnership of Elgin Purchase of Service Agreement PURPOSE The purpose of this memorandum is to provide information to the Mayor and members of the City Council to consider a Purchase of Service Agreement with the New Century Partnership for Elgin for 1999 . BACKGROUND The New Century Partnership for Elgin was formed in 1994 to "promote the development and enhancement of the economic, elk commercial, social, recreational, and governmental services and amenities of the Center City and its surrounding neighbor- hoods" . During 1998, the New Century Partnership for Elgin underwent a number of structural changes, including a stream- lining of board size and structure and the establishment of the organization as an independent body outside of city government . The reconstituted board consists of 11 members organized into several subcommittees focusing on design, public relations, parking, redevelopment and administration. As part of the 1999 Budget process, the New Century Partner- ship for Elgin (NCPE) requested and was granted $60, 000 from the City for program support . In addition, NCPE has requested the continued use of carryover funds (approximately $6, 000) from the 1998 Purchase of Service Agreement . NCPE had pro- posed that this funding be utilized to support the following programs : - Assist the City with the Downtown Parking Study. The New Century Partnership, along with the Downtown Neighborhood Association, will assist the City and Walker Engineering, a consultant hired by the City, in the collection and analysis of information related to downtown parking needs . The NCPE shall also facilitate the gathering of input from downtown residents and businesses . - Riverfront Redevelopment Project Proposal . The NCPE will facilitate the presentation of proposal for redevelopment of Elgin ' s downtown riverfront . New Century Partnership for Elgin PSA February 16, 1999 Page 2 t - Coordinating Efforts with Other Downtown Organizations . The NCPE will meet at least quarterly with the Downtown Neighborhood Association and Chamber of Commerce repre- sentatives to foster communication and coordination of efforts . - Assist the City with Evaluation of Redevelopment Opportu- nities. Working with City staff, the NCPE will serve as a resource for the evaluation of downtown-related rede- velopment opportunities . - Develop a Framework for Future Organizational Structure and Fundraising. The NCPE will work during 1999 to clarify its future organizational structure, goals and develop a plan for future fundraising. The attached Purchase of Service agreement has been drafted by City staff in conjunction with NCPE executive committee members . The proposed agreement is designed to establish the public purpose for City support and provides a mechanism for NCPE ' s accountability for the use of public funds . ALTERNATIVES The City Council could approve the agreement as drafted, edit the agreement or decline to provide support to the New Century Partnership for Elgin.
