Grantee agrees that the period for the use of Grantor's Property for the temporary construction area shall commence on May 1, 1999 and expire June 30, 2000, at which time if so required an additional period of extension will be considered by Grantor upon Grantee's written request. 3. Grantee shall, pursuant to the terms and conditions as set forth herein pay Grantor the sum of$500.00 as a reimbursement for Grantor's expenses for the review, preparation, and . • . granting of this Letter of Permission, which amount shall be due and payable to Grantor, prior to Grantor's execution and granting of this Agreement. • 4. A temporary construction fence must be installed at all road crossings and longitudinally along Edison's Property to mark the 15-foot temporary construction work area. 5. Grantee shall contact Edison's Regional Right of Way Agent, Mr. T. Holzman, in Rockford, Illinois, telephone number(815) 229-2795, at least 72 hours in advance of starting any work across Edison's Right of Way. 6. Grantee agrees to contact J.U.L.I.E., telephone number (800) 892-0123, at least 72 hours in advance of any work so all utilities and pipeline companies can be notified and their facilities located in advance of any work, construction activities or excavation taking place on Edison's Right of Way. Grantee shall coordinate its work with all existing utilities or pipeline companies that are present in Edison's Right of Way and if any expense or damage is incurred by Edison or by its existing grantees, lessees or licenses due to Grantee's work, Grantee shall reimburse said party or parties such cost or expense within 30 days upon receipt of a bill. 7. All construction equipment and vehicles being used in Edison's Rights of Way shall be limited to an overall height of 14-feet above grade and that due care and caution shall be taken at all times while working with equipment under or adjacent to Edison's energized wire lines. 8. Grantee shall indemnify and save harmless Edison, its officers, employees, licensees, agents or assigns from all claims, litigation and liability asserted against them or any of them, and any costs and attorneys' fees incidental thereto, on account of injury to or death • of any person or persons whomsoever, on account of damage to any property, or on account of loss or interruption of electric service all to the extent caused by, connected with or in any way attributable to, the rights herein granted, or GRANTEE' failure to comply with any of the terms or conditions hereof and/or GRANTEE' acts or negligent omissions, GRANTEE shall undertake the defense of Edison, its officers, employees, licensees, agents or assigns in any such litigation, if Edison requests GRANTEE to do so. 9. Grantee agrees that it shall require its contractors to provide and meet Edison's insurance requirements as stated on the attached Insurance Rider before starting any work in Edison's right of way, and upon completion of Grantee's work, all equipment and materials shall be removed from Grantor's Property, and the R/W restored to its original condition by grading and seeding the disturbed areas, including an erosion control blanket, subject to the approval of Edison's Regional Right of Way Agent or representative. 2 10. It is further understood and agreed to by GRANTEE that if in the opinion of Edison's Regional Right of Way Agent or other authorized agent the work endangers the facilities of Edison, including but not limited to Edison's electrical facilities, Edison retains the right to stop all work until adequate assurances are provided to Edison. Edison's failure to stop all work is not be deemed approval of GRANTEE' work or a waiver of Edison's right to indemnification or otherwise as stated herein. Also GRANTEE agrees that any expense associated with Edison's Regional Right of Way Agent's time or other authorized agent's time will be reimbursed to Edison upon written request. GRANTEE' authorized agent's acceptance to this agreement and the return of the duplicate copy to Edison together with your contractor's insurance as specified, shall constitute Edison's approval. BACKGROUND The design of Shales Parkway, Section 3 , includes an easement on the Commonwealth Edison right-of-way. This easement was requested to help facilitate construction of retaining walls as well as final grading included in the project . Workers' Compensation Insurance Policy: Coverage A- To pay promptly when due all compensation and other benefits required of the insured by the workers' compensation law. Coverage B - Employers' Liability: To pay on behalf of the insured with limits not less than $500,000 each accident/occurrence all sums which the insured shall become legally obligated to • pay as damages because of bodily injury by accident or disease, including death at any time resulting therefrom. Coverage A and Coverage B will cover all contractors, subcontractors, and their subcontractors; and 2.) Comprehensive General Liability Policy or Policies covering all contractors, subcontractors and all their subcontractors with limits not less than the combined single limit of $3,000,000 for bodily injuries to or death of one or more persons and/or property damage sustained by one or more organizations as a result of any one occurrence, which policy or policies shall not exclude property of Edison. Commonwealth Edison Company shall be added as Additional Insured under endorsement GL 2010 or CG2010. Bodily injury means bodily injury, sickness, or disease sustained by any person, which occurs during the policy period, including death, at any time resulting therefrom. Property damage means (1) physical injury to or destruction of tangible property which occurs during the policy period, including the loss of use thereof at any time resulting therefrom, or(2) loss of use of tangible property which has not been physically injured or destroyed provided such loss of use is caused by an occurrence during the policy period. 3.) Automobile Liability in the amount of not less than 31,000,000 per occurrence combined single limit covering all owned, leased, rented and non-owned vehicles. There shall be furnished to Edison, prior to commencing the work of installing, repairing, replacing or removing the Facility, a certified copy of each policy of insurance or a Certificate of Insurance issued pursuant to the requirements contained in subparagraphs (1), (2) and (3) of this paragraph. Insurance coverage as required herein in subparagraphs (1), (2) and (3) shall be kept in force until all work has been completed.
