FOR PRESERVATION OF THE TEEPLE BARN BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City Clerk, be and are hereby authorized and directed to execute a Service Agreement on behalf of the City of Elgin with AgTech, Inc . for preservation of the Teeple Barn, a copy of which is attached hereto and made a part hereof by reference. s/ Kevin Kelly Kevin Kelly, Mayor Presented: August 13, 1997 Adopted: August 13, 1997 Omnibus Vote: Yeas 7 Nays 0 Attest: s/ Dolonna Mecum Dolonna Mecum, City Clerk SERVICE AGREEMENT THIS AGREEMENT is made and entered into on this 19ty day of August 1997 , by and between AgTech, Inc. , a not-for-profit organization, (hereinafter referred to as "AgTech" ) and the CITY OF ELGIN, Illinois, a municipal corporation, (hereinafter referred to as the "CITY" ) . WHEREAS, the City of Elgin has determined that it is in the public interest to preserve the historic Teeple Barn; and WHEREAS, the Teeple Barn is the only sixteen sided barn in Illinois, is on the National Register of Historic Places, and was a dairy barn built in 1885 when Elgin was a dairy center and the Elgin Board of Trade set butter prices for the nation; and WHEREAS, AgTech' s mission is to rehabilitate and maintain the Teeple Barn and to provide innovative, high-tech educational programs and information about the past, present and future of agriculture targeting a regional audience. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows : 1 . City shall, on or before July 31, 1998, upon proof of receipt of contributions from other donors for Phase II stabilization, as described below, pay an equal amount to AgTech; said matching payment shall not exceed the sum of $26, 000. 2 . Phase II Stabilization of the Teeple Barn shall include but not be limited to the following construction: foundation repair, column/beam/sill repair, concrete caps on foundation and silo repair. 3 . AgTech shall address all inquiries and requests made pursuant to this agreement to the City' s Budget Director or his designee. 4 . AgTech shall apply any funds received from City solely for construction work directly related to stabilization of the Teeple Barn. 5. Contracts for construction work for stabilization shall be awarded without regard to race, religion, gender or national origin. 6 . AgTech shall deposit all funds received from City in a construction escrow at Chicago Title Company, and shall provide copies of all disbursement documents . Such documents shall include, but not be limited to, Sworn Statement of Contractor and Subcontractor, Sworn Licensee' s Statement, Owner' s Authorization and copies of invoices . 7 . AgTech shall provide the City with a copy of its annual financial statements for the years 1997 and 1998 . 8 . The City shall have the right to review all the construction escrow documents at Chicago Title Company relating to the use of the $26 ,000, upon seventy-two (72) hours written notice, and at a time agreed upon by both parties . 9 . AgTech shall indemnify and hold the City harmless from and against any and all claims for damages, suits, causes of action or any and all other liability which may arise out of or in connection with the performance of this agreement or other operations as a result of any negligent actions by the AgTech. 10 . Malm, Interim City Manager SUBJECT: Presentation and Randall Road Access Request from AgTech PURPOSE The purpose of this memorandum is to transmit a request from AgTech to make a presentation regarding the stabilization of the Teeple Barn and to request temporary access to Randall Road. BACKGROUND AgTech would like to update the City Council regarding the /0" Teeple Barn stabilization project. Representatives of the Teeple Barn Restoration project made a presentation to the City Council last July 10, 1996 . At that time the first priority was to stabilize the structure. The representatives noted that AgTech would be back to the City Council to present the next phase of the project funding request to match a grant from the Illinois Department of Agriculture. The project is listed with "Important Projects Not Funded" in the adopted 1997 Budget and Five-Year Financial Plan. Additionally, AgTech is requesting approval from City Council for a temporary access to Randall Road for construction vehicles (reference the attached letter from Marianne Nelson, dated June 1, 1997) . The Kane County Highway Department has advised the Elgin Planning Department that they are prepared to grant temporary access pending approval of the request by the City Council. (Currently the trucks turn off feluliann Braicher Randall and just go over the drainage ditch.)This request was on the Transportation gin Committee agenda on 5/23/97, and it was granted. However,because of the Richard Jakle intergovernmental agreement with the City of Elgin,Tom Rickert of KDOT Elgin contacted Roger Dahlstrom to get the city's approval also.
