WHEREAS, the City has determined it to be in its best interests to obtain the assistance of an expert environmental consultant concerning environmental conditions located at the South Grove Riverboat Redevelopment Site; and WHEREAS, Consultant is expert in the relevant environmen- tal sciences, and desires to enter into an agreement to ren- der Consultant services to the City; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. Scope --f Work Consultant shall provide and direct the necessary quali- fied personnel to perform the services described in the pro- posal for a Phase I environmental assessment of South Grove Avenue, which is attached hereto and incorporated by refer- ence herein as Attachment III . 2 . Term This agreement shall have a term of seven (7) weeks commencing on February 25, 1993 through April 15, 1993 . This agreement may be terminated by the City of Elgin at such time as the City of Elgin may elect, prc%,ided thi: the effective date of such termination will not be earlier than seven days following the mailing. of written notice of termination to Consultant at the address provided herein. Upon receipt of a notice of termination, Consultant shall deliver to the City of Elgin the work product or other results obtained by Consul- tant up to that time. 3 . Fee So long as Consultant is discharging its obligations hereunder to the reasonable satisfaction of the City of Elgin, Consultant shall be paid a fee for such services at the rate set forth in Table 1 and Table 2 which is appended hereto and incorporated by reference herein. Said fee shall not exceed $13,957 .70 . Said fee shall be payable within 60 days of receipt by the City of an itemized invoice for servic- es rendered by the Consultant. 4. Rights in Results of Services The results of Consultant's services under this agree- ment shall be the exclusive property of City of Elgin, and all documents (including without limitation, all writings, drawings, blueprints, pictures, recordings, computer or ma- chine-readable data, and all copies or reproductions thereof) which describe or relate to the services performed or to be performed pursuant to this agreement or the results thereof, including without limitation all notes, data, reports or other information received or generated in the performance of this agreement, shall be the exclusive property of City of Elgin and shall be delivered to City of Elgin upon request (except for one copy, which may be retained by Consultant for its confidential files) . No articles, papers, treatises, or presentations related to or in any way based upon or associat- ed with the services performed pursuant to this agreement shall be presented or submitted for publication without the prior written consent of City of Elgin. 5. Other. Agreements Consultant warrants that it is not a party to any other existing or previous agreement which would prevent Consultant from entering into this agreement or which- would adversely affect Consultant's ability to perform the services under this agreement. During the term of this agreement Consultant will not, without the prior written consent of City of Elgin, perform services for any person, firm or corporation other than City of Elgin if such services could lead to a conflict with Consultant's obligations under this agreement. 6 . Subcontracting If Consultant intends to hire or retain any person, firm or corporation to perform services under this agreement, Consultant shall first secure the written agreement of such party that such party ( 1) shall assume and agree to be bound by the same obligations as Consultant has assumed under the provisions of this agreement, and (2) that such party shall not be or act as an agent or employee of City of Elgin, nor assume or create any commitment or obligation on behalf of nor bind City of Elgin in any respect whatsoever. Consultant shall provide the City of Elgin with a copy of each such written agreement. 7 . Assignment Neither this agreement nor any of the rights or obliga- tions hereunder may be assigned or otherwise transferred by Consultant, nor shall the benefits of this agreement inure to the benefit of any trustee in bankruptcy, receiver or credi- tor of Consultant, whether by operation of law or otherwise, without the prior written consent of City of Elgin . Any attempt to assign or transfer this agreement or any rights hereunder without such consent shall be null and void and of no force or effect. 8 . Independent Contractor Consultant is and shall perform its services under this agreement as an independent contractor, and shall not be deemed an agent, employee or legal representative of City of Elgin. Consultant has no authority to assure or create any commitment or obligation on behalf of or to bind City of Elgin in any respect whatsoever. 9 . Licenses and Permits Consultant shall obtain any and all licenses and permits required by federal , state, or local statutes, regulations or ordinances necessary for the performance of its services pursuant to this agreement . 10 . Compliance with Laws Consultant shall at all times impose work orders on its employees and subcontractors which are designed to assure that they comply with all applicable federal, state and local laws and regulations, including occupational safety and envi- ronmental protection statutes and regulations, in performing the services hereunder, and shall comply with an-, directions of governmental agencies and City of Elgin relating to site safety, security, traffic or other like matters . 11 . Indemnification of Client Consultant shall defend and indemnify the City of Elgin from and against legal liability from damages arising out of the performance of the service for the City of Elgin where such liability is caused by the negligent act, error or omis- sion of Consultant , its agents, employees or assigns, or any person or organization for whom Consultant is legally liable . 12 . Consultant' s Insurance Consultant shall obtain and maintain the following poli- cies of insurance: ( 1) Worker' s compensation and occupational disease insurance in amounts required under the laws of the State of Illinois; (2 ) Comprehensive general liability and automobile liability insurance for bodily injury, death or loss of or damage to property of third persons in the minimum amount of $1 million per occurrence which policy shall name City of Elgin and owner of property, if other than the City, upon which Consultant 's services are performed as additional insured. Consultant shall furnish to City of Elgin a certified copy of such policies can or before February 25, 1993 . (3) Professional liability insurance for errors and omissions in the minimum amount of $1 million per occurrence. Consultant shall furnish to City a certified copy of such poli- cy on or before February 25, 1993 . 13 . Right of Entry City shall provide for Consultant ' s right to enter from time to time property owned by City or other(s ) in order for Consultant to fulfill the scope of services, pursuant to the attached authorization form. 14 . Severability If any portion of this agreement, or application thereof to any person or circumstance, shall to any extent be in- valid, the remainder of this agreement, and the application of such provision to persons or circumstancez other than those as to which it is held invalid, shall not be affected thereby, and each provision of this agreement- shall be valid and enforced to the fullest extent permitted by law. 15 . Governing Law The validity, performance and construction of this agree- ment shall be governed and interpreted in accordance with the laws of the State of Illinois applicable to contracts made and to be performed therein. 16 . Additional Provisions This agreement includes those additional provisions contained in Attachments I , II, and III . 17 . ATTACHMENT III PROPOSAL FOR A PHASE I ENVIRONMENTAL ASSESSMENT SOUTH GROVE AVENUE FOR: THE QTY OF ELGIN 150 DEXTER COURT ELGIN, ILLINOIS 60120-5555 JANUARY 1993 UbmbW by ATW AMOMAIM,INC. 2055 ARMY 77-AM ROAD ADDWN,alMO Q 60101 (106)916-7272 BACKGROUND The subject property lies on both sides of South Grove Street with Lake Street bordering the property on the north, National Street bordering on the south, Wellington Avenue on the east and the Chicago, Aurora, Elgin Railway on the west with the Fox River just beyond. Based on the 2/15/89 Plat of Survey and on conversations with the City, several buildings occupied the property in prior years. At the present, only one building (the former D.H. Martin Petroleum Distribution site) still remains. There have been previous environmental investigations and remediation of property(s) adjacent to the subject property. ATEC understands that a prospective developer is interested in the subject property. The goal of this project is to develop additional environmental information to be used in the evaluation of the property as a riverfront development. sTATZXZNT OF WORK AND PRODUCT Based on conversation with the City of Elgin, ATEC understands that the end product of this project will be two Environmental Site Assessment reports, one for the vacant property outlined in green on the Plat of Survey, and a second for the former D.H. Martin Petroleum Distribution site. No sampling will be conducted on the vacant property at this time. Limited sampling is proposed as an option for Petroleum Distribution site. The purpose of the Phase I Environmental Site Assessment (ESA) is to evaluate the potential for on-site chemical contamination from on-site or off-site sources. To arrive at this, ATEC proposes to conduct the following tasks. The tasks are generally listed in the order in which they are expected to be conducted. However, the order of completion may be adjusted to meet specific needs. Some tasks will be conducted simultaneously. Task 1 - Site Inspections 1.1 Visually inspect the site building and grounds to identify potential sources of an on-site chemical release. These potential sources may include tanks, chemical storage, and disposal areas. Most of this inspection will be confined to the former D.H. Martin Petroleum Distribution site, outlined in red on the Plat of Survey. The remaining property, outlined in green, has been recently leveled and it is doubtful that surface inspections will reveal suspect areas. 1.2 Visually inspect the interior and exterior of the structures to identify suspected asbestos-containing materials . (ACMs) . This inspection will be non-destructive in nature and will 1 include readily accessible areas only. Due to the age of the building, ATEC proposes to obtain approximately ten bulk samples of suspect ACK as a preliminary screening mechanism. These samples vill be collected by personnel who have successfully completed an EPA-accredited asbestos inspector course. All samples will be analyzed utilizing polarized . light microscopy (PLM) by a certified analytical laboratory. Because of the limited number of samples, the survey will not comply with AHERA guidelines. Recognizing that the Phase I ESA will recommend soil sampling in the vicinity of the former Petroleum Distribution site, ATEC has proposed a limited soil boring program at this time. The costs for soil borings are presented as an optional activity. XTEC proposes to install six 20-foot borings with continuous split spoon sampling. The locations for the borings will be selected based on field conditions and on information obtained during the Phase I ESA. The soils will be classified and a soil sample from each 2-foot split spoon will be placed in a clean jar, covered with foil and allowed to equalize for about 25-minutes. The foil will then be punctured and the head space will be monitored with a organic vapor monitor (OVM) . The readings will be recorded on the field notes. Select soil samples will be obtained from the borings. In general, samples exhibiting the highest and lowest OVM readings from a boring will be submitted to the laboratory for analysis. Field decisions will dictate the ultimate selection of samples. Soil samples will be submitted to ATEC's laboratory in Highland, Indiana. The samples will be analyzed for BETX and PNAs utilizing SW-846 methods. Normal turn-around time from the laboratory is three weeks from receipt of the sample. It should be noted that the proposed analysis will be used as a general screen for contamination and additional analyses may be required in the future. Petroleum contamination caused by releases from aboveground tanks is regulated differently than the same contamination caused by releases from underground tanks. Drill cuttings will be collected in drums and left on-site for Suture management. ATEC generally collects the cuttings from a single borehole in one drum rather than combining cuttings from multiple boreholes. By segregating cuttings, there is better control for determining which materials require on-site disposal. Boreholes will be grouted to the surface with a cement, bentonite, and/or volclay mixture. 2 1.3 Visually inspect (from curbside) and categorize the use of the abutting properties as potential off-site sources of chemical contamination. Task 2 - Literature Review 2.1 Review local records related to historical ownership, usage, and site development/demolition through researching field cards, assessor's maps, and building permits. This will also include interviewing local environmental authorities to identify complaints, violations, citations, or inspections related to the site, Zkoning and land use maps will also be reviewed. ATEC will visit the Elgin Area Historical society to review old photographs and documents as may be available and applicable to the property. Recognizing that the City records and information from the Elgin Area Historical society should provide good information about past use, ATEC does not propose to include a chain-of- title search for the properties. If requested, a chain-of- title can be performed. The cost of a chain-of-title is contingent on the number of separate properties included in the study. Based on the Plat of Survey, it appears that there could have been several separate properties. 2.2 Review published regulatory federal records related to potential off-site sources of chemical contamination within a 1-mile radius of the site as well as documents related to on- site activities including: a. National Priorities List (NPL) b. Comprehensive Environmental Response, Compensation and Liability Information System (CERCLIS) C. Resource Conservation and Recovery ACT (RCRA) - Large quantity generators and TSDFs only d. Emergency Response Notification System (ERNS) e. Toxic Release Inventory Data Systems (TRIS) The assessment will not include a thorough review and evaluation of those off-site properties within the study area. ATEC will conclude, however, whether or not those properties are potential sources of off-site chemical contamination due to their locations in reference to the site. NOTE: ATEC has provided a line-item cost for these reviews in the cost estimate. Recognizing that the City has conducted previous assessments -of the general area, other reports may have addressed these concerns. If the City is satisfied with prior information, this line-item may be eliminated. 3 2.3 Review state regulatory records (including -aerial photographs, fire insurance maps) and publications for environmental activities related to the site and potential off-site sources of chemical contamination. These may include the following: a. State National Priorities List (state NPL) within a 1- mile radius b. Underground Storage Tank (UST) List within 1/4-mile radius c. Leaking UST's (LUSTS) within a 1/2-mile radius d. Solid waste/Landfills within a 1-mile radius 2.4 Review of past site documents (if available) to assess the potential for on-site chemical contamination including: a. Previous Environmental Assessments b. Construction documents, as appropriate c. Hazardous waste manifests and other selected operational documents d. Records of previous asbestos abatement activity 2.5 Review other documents for related environmental information including wetland maps, floodplain maps, water well logs. Access and retrieval of any federal, state, or local documents related to the scope of work is limited to the availability of records upon request from governmental agencies or commercial sources within the time frame allocated for this effort. ATEC will make every reasonable effort to obtain this information. Task 3 - Final Report and Presentation to City Council Following the Phase I Environmental Assessment, ATEC will prepare the Phase I Report. The report will summarize the findings and will include ATEC's opinion regarding the actual and/or potential presence of on-site chemical contamination and/or ACM. If the research indicates the potential for on-site chemical contamination, an investigation program will may be recommended. Four copies of the final report will be provided. ATEC has budgeted time for two meetings with the City. one meeting is anticipated to discuss the assessment with the City staff. Time for a second meeting is budgeted to present the findings to the City Council. 4 Schedule ATEC is prepared to commence work on this project within five working days of written notice to proceed. If the City chooses to perform basic Phase I ESAs without the suggested soil . sampling, Tasks 1 and 2, the site inspection and literature review, will be completed approximately three weeks after project start-up. The final report, Task 3, will be submitted three weeks after project start-up. Figure 1 shows the anticipated schedule if soil sampling is authorized. CLIENT RESPONSIBILITIES To effect use of all available resources, ATEC requests that the client provide timely access to the site, available site plans and construction records, related site information, copies of previous environmental studies on the site, and a copy of the most recent real estate appraisal. An on-site escort may be deemed necessary by the Project Manager. ATEC will coordinate the site visit with Mr. Ray Moller. PROFESSIONAL FEES The cost estimate for the scope of work described above is presented in Table 1. Unit rates are shown on Table 1 should the City request additional work outside the scope. Table 2 contains the costs for asbestos sampling/analysis and for the suggested soil boring program.
