WHEREAS, tht; City has determined it to be in its best interests to obtain the assistance of an expert environmental consultant concerning environmental conditions located at 280 South Grove Avenue; and WHEREAS, Consultant is expert in the relevant environmen- tal sciences, and desires to enter into an agreement to ren- der Consultant services to the City; NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows: 1. Scope of Work Consultant shall provide and direct the necessary quali- fied personnel to perform the services described in the pro- posals for management and removal of 5 underground storage tanks and installation of 2 ground water monitoring wells and report preparation, which is attached hereto and incorporated by reference herein as Attachment IV. 2 . Term This agreement shall have a term commencing on December 16, 1993 and ending upon delivery and acceptance of all project deliverables, or until otherwise terminated as provid- ed herein. This agreement may be terminated by the City at such time as the City may elect, provided that the effective date of such termination will not be earlier than seven days following the mailing of written notice of termination to Consultant at the address provided herein. Upon receipt of a notice of termination, Consultant shall deliver to the City the work product or other results obtained by Consultant up to that time. 3. Fee So long 'as Consultant is discharging its obligations hereunder to the reasonable satisfaction of the City, Consul- tant shall be paid a fee for such services at the rate set forth in Table 1 which is appended hereto and incorporated by reference herein. Said fee shall not exceed $26,594 .96 in total for all tasks combined. Said fee shall be payable within 60 days of receipt by the City of an itemized invoice for services rendered by the Consultant. 4 . Rights in Results of Services The results of Consultant's services under this agree- ment shall be the exclusive property of the City, and all documents (including without limitation, all writings, draw- ings, blueprints, pictures, recordings, computer or machine- readable data, and all copies or reproductions thereof) which describe or relate to the services performed or to be per- formed pursuant to this agreement or the results thereof, including without limitation all notes, data, reports or other information received or generated in the performance of this agreement, shall be the exclusive property of the City and shall be delivered to the City upon request (except for one copy, which may be retained by Consultant for its confi- dential files) . No articles, papers, treatises, or presenta- tions related to or in any way based upon or associated with the services performed pursuant to this agreement shall be presented or submitted for publication without the prior written consent of the City. 5 . Other Agreements Consultant warrants that it is not a party to any other existing or previous agreement which would prevent Consultant from entering into this agreement or which would adversely affect Consultant's ability to perform the services under this agreement. During the term of this agreement Consultant will not, without the prior written consent of the City, perform services for any person, firm or corporation other than the City if such services could lead to a conflict with Consultant's obligations under this agreement. 6 . Subcontracting If Consultant intends to hire or retain any person, firm or corporation to perform services under this agreement, Consultant shall first secure the written agreement of such party that such party ( 1) shall assume and agree to be bound by the same obligations as Consultant has assumed under the provisions of this agreement, and (2) that such party shall not be or act as an agent or employee of the City, nor assume or create any commitment or obligation on behalf of nor bind the City in any respect whatsoever. Consultant shall provide the City with a copy of each such written agreement. 7 . Assignment Neither, this agreement nor any of the rights or obliga- tions hereunder may be assigned or otherwise transferred by Consultant, nor shall the benefits of this agreement inure to •Y the benefit of any trustee in bankruptcy, receiver or credi- tor of Consultant, whether by operation of law or otherwise, without the prior written consent of the City. Any attempt to assign or transfer this agreement or any rights hereunder without such consent shall be null and void and of no force or effect. 8. Independent Contractor Consultant is and shall perform its services under this agreement as an independent contractor, and shall not be deemed an agent, employee or legal representative of the City. Consultant has no authority to assume or create any commitment or obligation on behalf of or to bind the City in any respect whatsoever. 9 . Licenses and Permits Consultant shall obtain any and all licenses and permits required by federal, state, or local statutes, regulations or ordinances necessary for the performance of its services pursuant to this agreement. 10. Compliance with Laws Consultant shall at all times impose work orders on its employees and subcontractors which are designed to assure that they comply with all applicable federal, state and local laws and regulations, including occupational safety and envi- ronmental protection statutes and regulations, in performing the services hereunder, and shall comply with any directions of governmental agencies and the City relating to site safe- ty, security, traffic or other matters. 11 . Indemnification of Client Consultant shall defend and indemnify the City from and against any and all- claims for damages, causes' of action, suits or other liability arising out of the performance of the service for the City where such liability is caused by the negligent act, error or omission of Consultant, its agents, employees or assigns, or any person or organization for whom Consultant is legally liable. 12 . Consultant's Insurance Consultant shall obtain and maintain the following poli- cies of insurance: ( 1) Worker's compensation and occupational disease insurance in amounts required under the laws of the State of Illinois; (2) Comprehensive general liability and automobile liability insurance for bodily injury, death or loss of or damage to property of third persons in the minimum amount of $1 million per occurrence which policy shall name the City and owner of property, if other than the City, upon which Consultant's services are performed as additional insured. Consultant shall furnish to the City a Certificate of Insurance as evidence of such policies on or before December 15, 1993. (3) Professional liability insurance for errors and omissions in the minimum amount of $1 million per occurrence. Consultant shall furnish to the City Certificate of Insurance as evidence of such policy on or before December 15, 1993. 13 . Right of Entry The City shall provide for Consultant' s right to enter from time to time property owned by the City or other(s) in order for Consultant to fulfill the scope of services, pursu- ant to the attached authorization form. 14 . Severability If any portion of this agreement, or application thereof to any person or circumstance, shall to any extent be in- valid, the remainder of this agreement, and the application of such provision to persons or circumstances other than those as to which it is held. invalid, shall not be affected thereby, and each provision of this agreement shall be valid and enforced to the fullest extent permitted by law. 15. Governing Law The validity, performance and construction of this agree- ment shall be governed and interpreted in accordance with the laws of the State of Illinois applicable to contracts made and to be performed therein. 16 . Additional Provisions This agreement includes those additional provisions contained in Attachments I, II, III, and IV. 17 . Entire Agreement This agreement contains the entire understanding and agreement between the parties hereto with respect to the subject matter hereof and supersedes all previous communica- tions, negotiations and agreements, whether oral or written, between the parties with respect to such subject matter, and no addition to or modifications of this agreement or waiver of any provisions of this agreement shall be binding on ei- ther party unless made in writing and executed by the City. CITY OF ELGIN EQUAL EMPLOYMENT WRITTEN COMMITMENT GUIDELINE The written commitment required in item #4 of the "Bidder's Employee Utilization Form" shall : 1. Tbere are three tanks registered for 280 South Grove Avenue in the Illinois Underground Storage Tank listing(March 1993). It is believed that the five tanks recently discovered are not the USTs that were registered with the Office of the State Fire Marshal (OSFM), and therefore will need to be registered prior to removal. I , SCOPE OF WORK i The project inchxdes the proper removal and off-site disposal of the USTs and the Installation of two groundwater monitoring wells. To accomplish this, ATEC proposes to conduct the following tasks. The tasks are generally listed in the order in which they are txpected to be conducted. However, the order of completion may be adjusted to meet specific needs. Some tasks will be conducted simultaneously. UST closure will be performed in accordance with OSFM. asl< 1 - itemcraal of Y,JY QS;ab. „ua ATEC has selected a qualified subcontractor(BGS and Associates)to perform the removal services of the USTL The subcontractor has performed previous UST removals under an ATEC scope of work that was prepared for UST removals similar to this project for the City of Elgin. The subcontractor will arrange fora]UI..IE inspection. The subcontractor removing the USTs is registered with the Office of the State Fire Marshal (OSFK to perform tank removals. The subcontractor shall obtain and possess all permits required to perform the work described in this proposal.The subcontractor will be responsible for obtaining a permit to remove the tanks from the OSFM. The subcontractor will be responsible for purging the Maim before removal, removal of liquid and/or sludge inside the tanks, and removal and cleaning of the tanks. Removal of the USTs shaII be in accordance with the applicable portions of the "Amarican Petroleum Institute (API) recommended practice 1604', latest . revision. The subcontractor will excavate sails necessary for the removal of the USTs. The soils will be stockpiled and covered with visquene. The subcontractor will secure the area after the removal of the USTs. ATEC will document the condition of the tanks and tank systems upon removal,using photographs and written notes. ATEC will provide documentation establishing the final disposition of all waste residues,UST system and scrap generated during the tank removal. ATEC will observe the excavation for the presence of aomamina ion,groundwater and free product, if any. We anticipate that it will be ncc essary to collect 8 wall coai=sfion samples (one every twenty feet along the wall) for analysis. The final number of samples will be determined in the field by the size of the excavation. Benzene, toluene, ethylbenzene and toluene (BTEX) and polymaclear aromatic hydrocarbons (PNAs) will be required for analysis. ATEC proposes to utilize EPA method 8x20 for BTEX analysis and EPA method 8310 for PNA analysis. All soil analyses will be conducted by an ATEC laboratory. Costs for analysis are based upon three day turnaround. Alternate pricing for more upedient•analytical work is available. Task -Installaflon of IM rarmndwater MonitoLft Wells Two (2) 20-foot borings (which will be converted into groundwater monitoring wells) will be installed. Each soil boring will be continuously split spoon sampled. FWd boring logs will be completed aooardingly on ATEC forms. The soil cuttings will remain in the vicinity of the sods boring. Soil samples will be collected for headspace analpa from each split-spoon sample. Each soil sample will be placed into a glass jar and covered with aluminum foil. After waiting 15 mutes a field geologist will screen the soil samples by piercing the aluminum foil jar cover with the probe tip of an organic vapor monitor equipped with a photolonization detector Orte soil sample from each soil boring will be sent to the laboratory for analysis from the split spoon interval with the highest PID reading. N no readings are found on the PID, a soil sample will be submitted for laboratory analysis from the soil horizon just above the groundwater table. AMC is assuming that the groundwater table is less than ten feet below the ground surface. 2 DEC 13 '93 1402 ATEC FAX 7.08/916-7013 p,6/9 The number of sail samples submitted for analyses from this sampling event wilt be 2 soil samples. Sail samples will be se% to an ATEC laboratory for analysis. ATEC will specify a three day turnaround time for laboratory analysis. This results in a 4M premium for the laboratory fees, The monitoring wells will be constructed of Unch internal diameter 344 stainless steel ftushioM riser above a 0.010-inch slot flushjoint stainless steel seen. A 14-foot screen is anticipated,however,the screen length may be shortened depending upon field observations. The anmilar space suaounding the screen section will be packed with silica sand. The sand pack will extend 2 feet above the well screen. To prevent the migration of fluids from the surface and between subsurfam sediments, a bentanite seal will be mst%Ucd above the filter Pack. The bentonite seal wIll extend at least 2 fact above the filter pack. The bentomte, will be hydrated and tramied in place. A concrete»bentonite or volday grout wiU be installed above the bentonite. seat and will extend to the surface. A protective using will be bstalled at the surface. If possible,the wells and protective casing will extend (stick-up) apprwlmately 2-feet above the ground surface. If traffic or other activities prohibit a stick up, a!lush-rnounttd protective casing will be installe(L The newly installed welts will be allowed to sit for at least 48-hours before developing, P`ifteen volumes of water will be removed from the wells using a decontaminated stainless steel bailer. The time required to purge the wells of 15 volumes of water is contingent upon natural recharge time. After development, the wells will be allowed to equalize for at least 48 hours prior to sampling. The water sample will be analyzed for BTEX and PNAs. Tank 4 - written Final ReX Upon completion of site activities, ATEC will prepare a report for the CYty of Elgin A written report will be developed and submitted which includes the names of the contractors involved,names of regulatory visitors,methodologies of the workperformed,documentation Of disposal of tank(including Certificate of disposal), tabulated data,a scale map and copies of the laboratory reports. Malm, Interim City Manager SUBJECT: Phase III Environmental Testing 278-290 South Grove Avenue (Bunge's Automotive Center) PURPOSE: The purpose of . this memorandum is to advise the Mayor and City Council that a Phase III environmental analysis of the Bunge's Auto Center site is being recommended by the City's environmental consultant (ATEC and Associates) . BACKGROUND: A Phase I environmental assessment for this site, performed by ATEC (April, 1993) revealed past usage of this property that required further investigation. Due to the presence of a service station at this property, the installa- tion of soil borings for the collection of soil samples for laboratory analysis was recommended. A Phase II environmental assessment for this site was per- formed by ATEC on September 16 and September 17, 1993. The Phase II environmental assessment consisted of six soil bor- ings (NG-1 through NG-6) to determine if contamination was present at the site from past usage of the property. The Phase II environmental assessment revealed soil contamination in each of the six soil borings. Scope of Work To determine the vertical and horizontal extent of contamina- tion at the site, ATEC proposes a total of 15 soil borings to be installed. Eight of the soil borings (NG-7 through NG-14) will be installed to a depth of 10 feet to determine the horizontal and vertical extent of contamination. Six of the soil borings (NG-15 through NG-20) will be installed to a depth of 5 feet to determine if the upper five feet is free of contamination. It is conceivable that some soils in the upper 5 feet may not be contaminated, therefore would not need to be remediated. One soil boring (NG-21) will be installed to a depth of 20 feet. Soil samples will be taken from each boring upon completion of soil boring NG-21, a monitoring well will be installed. The monitoring well location will be along the west property line. Malm, Interim City Manager SUBJECT: Tank Removal/Monitoring Wells 280 South Grove Avenue PURPOSE The purpose of this memorandum is to recommend that the City Council enter into an agreement with ATEC & Associates for the removal of five underground storage tanks and the place- ment of two ground water monitoring wells at 280 South Grove Avenue. BACKGROUND A Phase I environmental assessment for this site, performed by ATEC (April, 1993) , revealed past usage of this property that required further investigation. Due to the presence of a service station at this property, the installation of soil borings for the collection of soil samples for laboratory analysis was recommended. A Phase II environmental assessment for this site was per- formed by ATEC on September 16 and September 17, 1993 . The Phase II environmental assessment consisted of six soil bor- ings (NG-1 through NG-6) to determine if contamination was present at the site from past usage of the property. The Phase II environmental assessment revealed soil contamination in each of the six soil borings. While excavating for the installation of underground electri- cal conduit, five underground storage tanks were unearthed at the former Bunge's Tire and Automotive site at South Grove Avenue and National Street. The City will be required to remove the tanks as a part of the site remediation. Tank Removal/Monitoring Wells. December 14, 1993 Page 2 SCOPE OF WORK The project includes the proper removal and off-site disposal of the USTs and the installation of two groundwater monitoring wells. To accomplish this, ATEC proposed to conduct the following tasks : Task I - Removal of UST by Qualified Subcontractor ATEC has selected a qualified subcontractor (BGS and Associ- ates) to perform the removal services of the USTs. The sub- contractor has performed previous UST removals under an ATEC scope of work that was prepared for UST removals similar to this project for the City of Elgin. The subcontractor will excavate soils necessary for the remov- al of the USTs. The soils will be stockpiled and covered with visquene. The subcontractor will secure the area after the removal of the USTs . The contaminated stockpiled soils will be transported and disposed of at Woodland Landfill in South Elgin, Illinois . Task 2 - Management of Underground Storage Tank Removal Effort ATEC will provide tank removal oversight. ATEC will document the condition of the tanks and tank systems upon removal, using photographs and written notes . ATEC will provide docu- mentation establishing the final disposition of all waste residues, UST system and scrap generated during the tank removal . ATEC will observe the excavation for the presence of contami- nation, groundwater and free product, if any. It will be necessary to collect eight wall confirmation sam- ples (one every 20 feet along the wall) for analysis . Benzene, toluene, ethylbenzene and toluene (BTEX) and polynuclear aromatic hydrocarbons (PNAs) will be required for analysis. ATEC proposed to utilize EPA method 8020 for BTEX analysis and EPA method 8310 for PNA analysis . All soil analyses will be conducted by an ATEC laboratory. Costs for analysis are based upon three day turnaround. Alternate pricing for more expedient analytical work is avail- able. Task 3 - Installation of Two Groundwater Monitoring Wells Two (2) 20-foot borings (which will be converted into ground- water monitoring wells) will be installed to determine if groundwater on the site has been impacted. A written report will be devel- oped and submitted which includes the names of the contrac- tors involved, names of regulatory visitors, methodologies of the work performed, documentation of disposal of tank (includ- ing certificate of disposal) , tabulated data, a scale map and copies of the laboratory reports . FINANCIAL IMPACT ATEC proposes to perform the work as outlined at a cost of $26,594 .96 . A portion of the expenses related to the tank removal and placement of the monitoring wells may be eligible for reimbursement from IEPA. The amount of reimbursement for the site will depend on the deductible amount set for the site. Expenses related to the project will be charged to the South Grove Tax Allocation Fund (Account #260-0000-791.92-32, Project #179511) . When IEPA reimbursement or gaming revenues are received, the Fund will be reimbursed.
