WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with Fountain Square Plaza (South Grove Street) Reopening (hereinafter referred to as the "PROJECT" ) . AND WHEREAS, the ENGINEER represents that he is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW, THEREFORE, it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER to act for and represent it in all engineering matters involved in the PROJECT, subject to the following terms and conditions and stipulations, to-wit: I. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Director of Public Works of the CITY, herein after referred to as the "DIRECTOR" . B. In general, the work will consist of the confirming and establishment of design and engineering elements for the reopening of South Grove Street through Fountain Square Plaza, as follows : 1 . 0 Project Organization 2 .0 Research & Data Collection 2 . 1 On-site Evaluation 2 .2 Inventory of existing Landscape, Hardscape, Lighting and Signage 2 .3 Inventory of existing Utilities, Topo, Vaults, ROW and Easements 2 .4 Review previous studies 2 .5 Review CCDC programming recommendations 2 . 6 Collect Traffic Data 2 . 7 Prepare Base Plans 2 . 8 Workshop with committee 2 .9 Meeting minutes and technical memorandum 3.0 Schematic Engineering 3 . 1 Produce functional alternatives a. A detailed Scope of Services is attached hereto as Attachment A. II. PROGRESS REPORTS A. An outline project milestone completion schedule is provided herein under: Task 1 . 0 August 6, 1993 Task 2 .0 September 3, 1993 Task 3 .0 October 1, 1993 Task 4 .0 November 5, 1993 B. The Engineer will submit to the Director monthly a Status Report keyed to the Project Schedule. A brief narrative will be provided identifying progress, findings and outstanding issues . III. WORK PRODUCTS All work products prepared by the ENGINEER pursuant hereto including, but not limited to, reports, designs, calculations, work drawings, studies, photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records . Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the ENGINEER. IV. PAYMENTS TO THE ENGINEER A. The CITY shall reimburse the ENGINEER for services under this Agreement a lump sum of Seventy-four thousand nine hundred seventy-four (74,974 .00) Dollars, regardless of actual Costs incurred by the ENGINEER unless SUBSTANTIAL modifications to the project are authorized in writing by the DIRECTOR. B. The CITY shall make periodic payments to the ENGINEER based upon actual progress within 30 days after receipt and approval of invoice. Said periodic payments to the ENGINEER shall not exceed the amounts shown in the following schedule, and full payments for each task shall not be made until the task is completed and accepted by the DIRECTOR. Task -1.0 and 2 . 0 $21,000 Task 3 . 0 $30,850 Task 4 .0 $23, 124 C. No reimbursables are authorized under this Agreement other than reproductions . V. INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. Progress reports (IIB above) will be included with all payment requests . B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the CITY to inspect and audit all data and records of the ENGINEER for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period, and for a year after termination of this Agreement. VI. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof, the CITY may terminate this Agreement at any time upon fifteen ( 15) days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the task amounts set forth under Paragraph IV above. VII. TERM This Agreement shall become effective as of the date the ENGINEER is given a written Notice to Proceed and, unless terminated for cause or pursuant to Article VI foregoing, shall expire on the date the DIRECTOR determines that all of the ENGINEER' s work under this Agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any breach hereof by the ENGINEER. VIII. NOTICE OF CLAIM If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER' s fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the ENGINEER. Regardless of the decision of the DIRECTOR relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. IX. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen ( 15) days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. X. INDEMNIFICATION The ENGINEER shall indemnify and save harmless the CITY, its officers and employees from and against any and all loss, liability and damages of whatever nature, including Workmen' s Compensation claims, in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligent actions or omissions of employees or agents of the ENGINEER arising out of the performance of professional services . XI. NO PERSONAL LIABILITY No official, director, officer, agent or employee of the City shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. XII. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least $1,000,000 aggregate for bodily injury and $1,000,000 aggregate for property damage. The ENGINEER shall deliver to the DIRECTOR a Certificate of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article IX entitled "Indemnification" shall be provided. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned, non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1,000,000 per occurrence subject to a $1, 000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineer' s Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $500,000 per occurrence. Subject to a $1,000,000 aggregate. A Certificate of Insurance shall - be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. XIII. CONSTRUCTION MEANS, METHODS, TECHNIQUES, SEQUENCES, PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services . XIV. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. XV. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. XVI. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. XVII. NO CO-PARTNERSHIP OR AGENCY It is understood and agreed that nothing herein contained is intended or shall be construed to, in any respect, create or establish the relationship of co- partners between the CITY and the ENGINEER, or as constituting the ENGINEER as the general representative or general agent of the CITY for any purpose whatsoever. XVIII. SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. XIX. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof . XX. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties . Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. XXI. APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois. XXII. NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the DIRECTOR prior to said documentation becoming matters of public record. XXIII. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY' s employ or any work associated with the PROJECT. XXIV. INTERFERENCE WITH PUBLIC CONTRACTING: P.A. 85-1295 The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of violations of either Section 33E-3 or Section 33E-4 of the Illinois Criminal Code. XXV. SEXUAL HARASSMENT As a condition of this contract, the ENGINEER shall have written sexual harassment policies that include, at a minimum, the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor' s internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act (copy attached) . A copy of the policies must be provided to the Department of Human Rights upon request. P.A. 87-1257 . XXVI. WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall be made or confirmed in writing. The DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. XXVII. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. As to CITY: JAMES L. ATTEST: gy By Secretary President (SEAL) ATTACHMENT"A" = WORK PLAN SCOPE OF SERVICES - FOUNTAIN SQUARE PLAZA REOPENING Basic Services.' PHASE 1.0 PROJECT ORGANIZATION GOAL: To establish good working relationships, evaluate and understand previous studies and produce a project management task list/work plan. Task 1.1 Kickoff Meeting We regard the establishment of a good management plan and good working relationships as an essential first task. We will establish working relations with the Elgin City staff (City) and the newly formed Ad Hoc Fountain Square Committee (FSC) to facilitate effective cooperation and provide full opportunity to affect decisions being made during the development of this study. We will accomplish this through: * An initial issues/goals meeting with representatives of the City, and the FSC, to confirm the goals, program objectives, workscope, and schedule for this study. During this meeting, a detailed work plan will be agreed upon. The FSC and the Burnidge Cassell Design Team (Design Team) will be introduced. This committee would advise the Design Team throughout the life of the project. It will also provide a clear management/responsibility structure as well as a system for identifying and resolving problems. At the initial kick-off meeting, the following issues will be reviewed: * Project Objectives * Available Data * Schedule * Communication Flow * Project Budgeting * File Maintenance * Quality Assurance Management Task 1.2 Meeting Minutes and Summary of Goals Meeting minutes will be prepared and distributed to all project team members, and others as identified, summarizing the project goals and objectives. PHASE 2 0?- ' RESEARCH AND DATA COLLECTION GOAL To establish a complete understanding of the project scope, evaluate and Understand previous studies. Task 2.1 On-Site Evaluation This task will include a walking visual survey/on-site evaluation by the project team including the Design Team, City staff and FSC. The purpose of this tour will be to jointly assess problems, issues, options and current and/or planned projects. This reconnaissance survey is intended to provide all team members with a similar basis of information and perceptions. Key areas and key existing conditions will be photographed and included as a part of our inventory. This on-site evaluation will provide an overview of the existing streetscape within the study area and identify opportunities, and constraints. In addition, the evaluation will further define those details, features and aspects of the Fountain Square Plaza area which appear fixed as givens versus elements that remain unresolved. Task 2.2 Inventory of Existing Landscape. Hardscape_Lightinng and Signage The design team will conduct an inventory of the existing landscape, hardscape, lighting and signage at Fountain Square Plaza. These physical features will be reviewed as to the integrity of material and functional appropriateness. We will also become thoroughly familiar with existing data which addressed these issues through the review information furnished by the City. We will also identify areas where additional information is needed. Task 2.3 Inventory of Existing Utilities. Topography, Vaults. Right-of-Ways and Easements An inventory will be conducted of these issues. Additionally, we will become thoroughly familiar with existing data which addresses these issues through the review of information furnished by the City. The city vault survey will be made available. We will also identify areas where additional information is needed. Task 2.4 Review Previous Studies The design team will become thoroughly familiar with previous planning studies affecting the Project area through the review of relevant information furnished by the City. Task 2.5 Review Center City Development Corporation (CCDC) Programming Recommendations The design team will review the CCDC programming recommendations and identify any additional information required to reach a consensus on them and their direct application to Fountain Square Plaza. Task 2.6- Collect Traffic Data Th-e design team will conduct the following: Review existing traffic engineering reports and studies prepared for and/or by the City pertaining to traffic circulation. - Meet with the City of Elgin's Public Works staff to discuss the traffic and pedestrian circulation in and adjacent to Fountain Square: Examine existing vehicular and pedestrian access and circulation patterns including the location of major generators and traffic configuration. Obtain available traffic data(turning movement counts and accident data, street classification maps and other base maps) from the City. Supervise the collection of additional traffic data required for the traffic and pedestrian circulation analysis. Confirm existing parking requirements in the Commercial Core District. Task 2.7 Prepare Base Maus The Design Team will prepare a comprehensive base plan/map at an appropriate scale which will address legal property limits, building lines and topography to the extent possible from the data provided. Task 2.8 Workshop With Committee A workshop will be conducted with the Design Team, City staff and FSC to review the results of the Research and Data Collection phase and establish goals for the project. Unresolved issues will be identified along with additional information needed. Task 2.9 Meeting Minutes and Technical Memorandum The product of this task will be a technical memorandum summarizing project goals, a detailed work plan, a critical path schedule, pertinent existing planning data and areas requiring further study. PHASE 3.0 SCHEMATIC ENGINEERING 1. To establish a design vocabulary for Fountain Square Plaza. 2. To quickly develop consensus and resolution on specific issues of parking and traffic. 3. To accomplish site specific schematic design and engineering of Fountain Square Plaza. Task 3 1 Pr6d6ce Functional Alternatives The Urban Design/Engineering Team will utilize the information gathered and approved during Phase 2, the Research and Data Collection Phase, as an information and technical basis for proceeding into Phase 3, the Schematic/ Preliminary Engineering Phase. Each team member, in accordance with the areas of study identified under goals,will be working in detail on their area of expertise and providing the design input necessary to work towards cohesive alternatives. Some individual team tasks will take precedence over others. Because parking, traffic and pedestrian circulation is one of the first orders of evaluation, the studies and the consensus on these alternatives will be developed first in conceptual form. These alternatives will then be enhanced with urban design, landscape design, lighting, signage and graphics. Task 3.2 Design Character Studies The Design Team will prepare design character studies for the use of items listed below in the public rights-of-way and in the Project area. These guidelines will address what to use where and in what manner it should be used. The-studies will provide a vocabulary that enhances and reinforces Elgin's unique character. • Pedestrian Pavements -Scale and Texture • Street Crossing • Street Lights • Traffic Direction Signs • Street Trees - Planting • Benches • Waste Receptacles • Bollards • Bike Racks • Information Signs • Special Elements (Drinking Fountains, Vending Equipment, Public Art, Etc.) • Miscellaneous Standard Details used by the City. Task 3.3 Schematic Engineerin Plans lans The Design Team will generate site specific schematic engineering plans for all design elements in the project area. 3.3.1 Site Layout . The schematic site layout plans will be discussed at a workshop with the City and FSC. The purpose of this workshop will be to set the direction of final schematic design based on one or a combination of several selected alternatives (maximum of three). The site layout plans will address the project elements discussed below. 3.3.2. Landscape Development of landscape plans which provide for functional and aesthetic treatment for vehicular and pedestrian thoroughfares and parking lots adjacent to the project area. Location and species of materials will be provided. 3.3.3 Urban Design and Streetscape Streetscape improvements will be addressed including all the items listed in 3.2 herein. 3.3.4 Lighting A lighting plan which addresses the functional and aesthetic requirements will be developed. Addressed in this plan will be service tap initial investigation, general location and types of fixtures, uniformity ratios, lamp type, wattage, lumens and color of light. This will include vehicular, pedestrian and accent/ornamental lighting. 3.3.5 Utilities Recommendations for the replacement or repair of existing sanitary and r storm sewers and water mains will be presented as appropriate. The city will furnish inspection results of existing mains to the consultant team for their review. 3.3.6 Vaults and Areaways The extent of structural improvements required for vaults and areaways, if any, will be presented based on design concepts, ranging from rehabilitation to complete upgrading and abandonment. 3.3.7 Sionage and Graphics A signage and graphics plan will be developed. Attention will be given to: pedestrian directional signs, traffic control signage, handicapped signage, delivery/service area signs, locations and directory facilities, and special events banners. 3.3.8 Parking Develop schematic plans and typical sections for streets, parking lots, and sidewalk improvements. 3.3.9 Traffic/Pedestrian Circulation Develop design plans for roadway segments in the existing Fountain Square Plaza and alternatives for on-street parking, drop-off areas, and pedestrian circulation linkages. Task 3 4 .Schematic Cost Estimate - Upon completion of the above mentioned plans, a schematic statement of probable Construction Costs will be prepared for the preferred alternative Additional cost information will be available for the other alternatives. Task 3.5.- Technical Memorandum The product of this task will be a technical memorandum of the preliminary design documents consisting of text, black and white sketches and drawings and catalog cuts as appropriate. Task 3.6 Workshop With Committee Workshop to Review and Develop Final Design Guidelines. The Design Team will meet with representatives of the City and FSC in a working session to refine and finalize a preferred schematic design. The session will be resolution oriented,with the goal of an approved plan. The Design Team will refine plans and sections for city approval. PHASE 4.0 DESIGN DEVELOPMENT GOAL: The goal of this phase is to produce detailed design plans for the preferred schematic design prior to proceeding into final engineering. The product of Phase 4, the Design Development Phase will be a set of design documents. That is a culmination of the previous Research and Data Collection and the chosen alternative of the Schematic/Preliminary Engineering Phase. Task 4.1 Site Layout Plan This plan will show circulation, traffic signalization, parking, pedestrian ways, and the technical dimensions showing radius, etc. Task 4.2 Urban Design and Streetscape (including ADAI This plan will illustrate the design characteristics called out in Phase 2. The plan will address the functional location and aesthetic treatment of all site amenities. Task 4.3 Landscape This plan will include the landscape treatment for vehicular and pedestrian thoroughfares, parking lots and public lands. Locations, type, size and species of material will be provided. w Tasks-4 4 Sibnage and Graphics This plan will address pedestrian directional signs, traffic control signage, handicapped signage (ADA), delivery/service area signs, location, directory signs,and graphics that identify Fountain Square Plaza as a distinct area of the community. Task 4.5 Lighting This plan will address the location, illumination and types of fixtures as well as service tap locations. This will include vehicular, pedestrian and ornamental. Task 4.6 Ut The utility plan will address the following public utilities: Stormwater Sewer Sanitary Sewer Water Private utilities such as gas, electric and phone will be addressed where information is made available from the utility companies. Task 4.7 Vaults and Areaways The vault plan will determine with the City the direction on removing or retaining certain understreet and undersidewalk vaults. The policy previously discussed of removing all vaults if possible, will be the goal of this plan. Task 4.8 Design Development Cost Estimate Complete a thorough cost estimate for all Urban Design and Streetscape components to be "dovetailed"with other team members estimates and consolidated into Total Preliminary Construction Cost Estimate. Task 4.9 Technical Memorandum The product of this task will be a memorandum addressing the elements of project and compilation of the project data. Rice, City Manager SUBJECT: Fountain Square Plaza (South Grove Street) Reopening PURPOSE: To provide information in support of consideration to award an Agreement with Burnidge Cassell Associates for the schematic and design development engineering for the reopening of South Grove Street through Fountain Square Plaza. BACKGROUND: In the Spring of 1990, the City undertook the preparation of a Master Plan for the revitalization of our Center City. Completed in the summer of 1991, the Master Plan provides a framework and vision for the physical developments required to accomplish the various revitalization goals . The primary recommendation of the Master Plan for the Commercial Core District, was the reopening of Fountain Square Plaza to vehicular through traffic with on-street parking. On May 7 , 1993, Public Works solicited proposals from five firms to accomplish schematic and design development engineering services . A copy of the Request for Proposal is appended as Attachment 1. Detailed proposals were received from three teams on June 4 , 1993: • Burnidge Cassell Associates • Land Design Collaborative, Inc. • Bucher, Willis & Ratliff After a detailed review, discussion and rating of the three proposals, the team headed by Burnidge Cassell Associates was selected. Attachment 2 provides information on the selection committee, evaluation criteria and final ratings. A proposed Agreement is also appended at Attachment 3. A detailed scope of services, man-hour break down and fee, work schedule and key personnel are included in the proposed Agreement. Final engineering with the preparation of plans and specifications will be a future amendment to this Agreement. FINANCIAL IMPACT: The lump sum fee for the Agreement is in the amount not-to-exceed $74 ,974 . This project was budgeted under Account Code 398-00-00-795 . 93-80 in the amount of $75,000.
