Rice, City Manager SUBJECT: Additional Professional Construction Engineering Services : Area II PURPOSE: To authorize the Public Works Department to negotiate an Amendment No. 2 with WVP Corporation for construction engineering services on Area II . BACKGROUND: On February 24, 1993, City Council authorized an Amendment No. 1 with WVP Corporation in the amount of $120,000 to provide construction staking services . The original agreement with WVP Corporation was approved by City Council on January 9, 1991 for design engineering services for the Area II project. The intent of the Public Works Department was to provide all construction engineering and inspection services with in-house staff, as follows: 1 . Resident Engineer: one full time field engineer - Steve Pertzborn, Engineer I 2 . Office Engineer: two days per week - Mel Dahl, City Engineer 3. Field Inspector: two full time field inspectors - James Beverly and Michael Morrissy With the press of demands placed upon the Engineering Division, we have been unable to assign the Resident Engineer full time on the project as anticipated. We have been averaging 4 hours per day or at half time. Should the Resident Engineer become sick, or for a summer vacation period, no back-up engineer would be available to fill in at this position. 'Further, we have not been able to accommodate any Office Engineering time with the departure of Mel Dahl . Further, on most occasions, the Contractor has been working more than two field crews (up to five on occasion) , which have resulted in some work of the contractor's activity being uninspected as we have not been able to assign any other additional inspectors for this project. Page 2 In order to ensure that the project receives adequate field and office construction engineering attention and to ensure full time inspection of all construction activity, additional professional construction services are required. To that end we have been in discussions and negotiations with WVP Corporation, the project design engineer, to provide supplemental construction engineering services . At this writing, we have not received their proposal . However, we have, after negotiations on Friday, May 21, 1993, concurred in the need for the following: 1. Contractually, the construction is to be completed by the end of November. There is no room in the project for any delays without the experience of wintering over uncompleted roadway work. Although the Contractor is responsible for the project scheduling, the City may need to assume scheduling responsibilities in order to protect our interest in maximizing progress and to provide more precise information to residents and City Council on the ,ctual status of the work. Several level o `'‘ scheduling are available for our consideration. WVP orporation, will be available at the May 26, 1993 meeting to resent the costs and expected benefits for the different leve s of scheduling. FINANCIAL IMPACT: Costs have not yet been received from WVP Corporation. However, we expect their construction engineering and field inspection assistance to cost about $225,000 exclusive of additional scheduling activities . Rice, ity Manager do r r ' I AGREEMENT THIS AGREEMENT, made and entered into this l day of vLl/ , 1993, by and between the OARD OF LOCAL IMPROVEMENTS of the CITY OF ELGIN, an Illinois municipal corporation (hereinafter referred to as "BOARD" ) and WVP CORPORATION (hereinafter referred to as "ENGINEER" ) . WHEREAS, the BOARD desires to engage the ENGINEER to furnish certain professional construction services in connection with Area II Special Assessment: Street and Sewer Improvements (hereinafter referred to as the "PROJECT") . AND WHEREAS, the ENGINEER represents that he is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW, THEREFORE, it is hereby agreed by and between the BOARD and the ENGINEER that the BOARD does hereby retain the ENGINEER to act for and represent it in all engineering matters involved in the PROJECT, subject to the following terms and conditions and stipulations, to-wit: I. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Director of Public Works of the City of Elgin, herein after referred to as the "DIRECTOR" . B. The ENGINEER shall provide construction administration, engineering, on-site construction observation and quality control/testing. C. A detailed Scope of Services is attached hereto as Attachment A. II. PROGRESS REPORTS A. The Engineer will submit to the Director weekly and Project Status Report. A brief narrative will be provided identifying progress, findings and outstanding issues . III. WORK PRODUCTS - c All work products prepared by the ENGINEER pursuant 0 hereto including, but not limited to, reports, designs, _ calculations, work drawings, studies, photographs, models and recommendations shall be the property of the a BOARD and shall be delivered to the BOARD upon request c of the DIRECTOR provided, however, that the ENGINEER 4- > may. retain copies of such work products for its 4-L records . Such work products are not intended or 134.C2 ; V. INVOICES A. The ENGINEER shall submit invoices in a format approved by the DIRECTOR. Progress reports will be included with all payment requests. B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the BOARD to inspect and audit all data and records of the ENGINEER for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period, and for a year after termination of this Agreement. VI. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof, the BOARD may terminate this Agreement at any time upon fifteen ( 15) days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the amounts set forth under Paragraph IV above. VII. TERM This Agreement shall become effective as of the date the ENGINEER is given a written Notice to Proceed and, unless terminated for cause or pursuant to Article VI foregoing, shall expire on the date the DIRECTOR determines that all of the ENGINEER's work under this Agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the BOARD may have or thereafter acquire with respect to any breach hereof by the ENGINEER. VIII. NOTICE OF CLAIM If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the BOARD, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER's fee shall be valid only to the extent that such changes are included in writing signed by the BOARD and the ENGINEER. Regardless of the decision of the DIRECTOR, relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. IX. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen ( 15) days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. X. INDEMNIFICATION The ENGINEER shall indemnify and save harmless the BOARD and City of Elgin, its officers and employees from and against any and all loss, liability and damages of whatever nature, including Workmen's Compensation claims, in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including negligent actions or omissions of employees or agents of the ENGINEER arising out of the performance of professional services . XI. NO PERSONAL LIABILITY No official, director, officer, agent or employee of the BOARD or City of Elgin, shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. XII. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of comprehensive general liability insurance with limits of at least $1,000,000 aggregate for bodily . injury and $1,000,000 aggregate for property damage. The ENGINEER shall deliver to the DIRECTOR a Certificate of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article IX entitled "Indemnification" shall be provided. B. Comprehensive Automobile Liability. Comprehensive Automobile Liability Insurance covering all owned, non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1,000,000 per occurrence subject to a $1,000,000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineer's Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $500,000 per occurrence. A Certificate of Insurance shall be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. XIII. CONSTRUCTION MEANS, METHODS, TECHNIQUES, SEQUENCES, PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services. XIV. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by 'or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. XV. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. XVI. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the BOARD with respect to each and every item condition and other provision hereof to the same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. XVII. NO CO-PARTNERSHIP OR AGENCY It is understood and agreed that nothing herein contained is intended or shall be construed to, in any respect, create or establish the relationship of co- partners between the BOARD and the ENGINEER, or as constituting the ENGINEER as the general representative or general agent of the BOARD for any purpose whatsoever. XVIII. SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. XIX. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of- convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. XX. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties . Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. XXI. APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois . XXII. NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the DIRECTOR prior to said documentation becoming matters of public record. XXIII. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the BOARD's employ or any work associated with the PROJECT. XXIV. INTERFERENCE WITH PUBLIC CONTRACTING: P.A. 85-1295 The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of violations of either Section 33E-3 or Section 33E-4 of the Illinois Criminal Code. XXV. SEXUAL HARASSMENT As a condition of this contract, the ENGINEER shall have written sexual harassment policies that include, at a minimum, the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor's internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act (copy attached) . A copy of the policies must be provided to the Department of Human Rights upon request. P.A. 87-1257 . XXVI. WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall be made or confirmed in writing. The DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. XXVII. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows: A. As to CITY: JAMES L. Dear Mr. Kristiansen: This is WVP's proposal for additional construction phase engineering services for the City of Elgin's Area II Special Assessment Project. WVP is under a separate contract to provide construction staking services for this project by Amendment No. 1, dated 2/26/93 to our 1/14/91 Agreement to the City. This proposal is for additional field and office support services which are described in more detail below. It is anticipated that the services described in this proposal will be incorporated into a separate agreement with City, without making further amendments to the 1/14/91 Agreement. It is understood that the services described in this proposal will be provided in calendar year 1993. A construction completion date of November 15, 1993 is assumed. In the following narrative "ENGINEER" refers to WVP Corporation, "CITY" refers to the City of Elgin, and "DEPARTMENT" refers to the State of Illinois Department of Transportation. Item 1 -Scone of Engineer's Services, A. The ENGINEER will retain a materials testing subconsultant to perform the following services: (1) Proportioning and testing of concrete mixtures in accordance with the"Manual of Instructions for Concrete Proportioning and Testing" issued by the Bureau of Materials and Physical Research,of the DEPARTMENT,and promptly submit reports on forms prepared by said Bureau. (2) Proportioning and testing of bituminous mixtures (including extraction test) in accordance with the "Manual of Instructions for Bituminous Proportioning and Testing" issued by the Bureau of Materials and Physical Research, of the DEPARTMENT,and promptly submit reports on forms prepared by said Bureau. (3) All compaction tests as required by the specifications and report promptly the same on forms prepared by the Bureau of Materials and Physical Research. (4) Quality and sieve analyses on local aggregates to see that they comply with the specifications contained in the contract. (5) Inspection of all materials when inspection is not provided at the sources by the Bureau of Materials and Physical Research, of the DEPARTMENT, and submit inspection reports to the City in accordance with the policies of the said DEPARTM ENT. The ENGINEER will provide the following field personnel and services: (1) Field personnel: (a) One Full-Time Assistant Resident Project Representative (ARPR) (b) One Full-Time On-Site Observer (OSO) (c) One Part-Time On-Site Observer (OSO) as needed (d) Above field personnel are based on City providing two qualified Full- Time On-Site Observers. (2) The above field personnel will provide services as described in Exhibit 1 - Duties of the Engineer's Field Personnel C. Provide office support and quality control functions as follows: (1) Provide technical support and advice and contract and design interpretation as requested by City. (2) The ENGINEER will retain a scheduling subconsultant to assist in the development of a Primavera scheduling system for the project. The entire project from Contractor's Notice-to-Proceed through completion will be modeled. Scheduling services will include: (a) Develop "Baseline Schedule". The "Baseline Schedule" represents the ENGINEER'S opinion of the Contractor's original project schedule from Notice-to-Proceed to completion. The Contractor and City will be asked to review and approve the "Baseline Schedule". (b) Develop "Current Schedule" to-date. Based on best available information the "Baseline Schedule" will be modified to reflect the historical project schedule to-date. (c) Analyze work-to-complete and available time to determine feasibility of Contractor completing project on-time. If project must be accelerated to meet established deadlines, ENGINEER will make recommendations to City based on a maximum of 5 conferences with the Contractor and City to determine scheduling alternatives. (d) Update "Current Schedule" weekly to document project progress. Generate reports to identify problem issues. Recommend resolution items and document schedule slippages. (e) Review contractor time extension requests and make recommendation to the City. (f) After completion,the last updated "Current Schedule" will become the "Record Schedule" and this will be furnished to the City. (g) The ENGINEER and its subconsultants are not responsible for construction means, methods, techniques, sequences and procedures employed by the Contractor in the performance of his contract. (h) It is understood that the City, ENGINEER, Subconsultants, Contractor, and Subcontractors are all key elements of the project schedule. Therefore, cooperation from all parties will enhance the development and implementation of the schedule. (i) Assist in establishing timetables for decision-making aQd documentation to enhance project schedule development. r" • ' Item 2 - Compensation A. The City shall pay for services stipulated in Item 1 above at the hourly rates stipulated below for personnel assigned to this project as payment in full to the ENGINEER for the actual time spent in providing these services. The hourly rates include profit, overhead, readiness to serve, insurance,social security and retirement deductions. Traveling and other out-of-pocket expenses will be reimbursed to the ENGINEER at his actual cost. The estimated upper limit of the ENGINEER'S total compensation is $270,981 which includes $28,500 for the materials testing subconsultant plus $15,000 for the scheduling subconsultant. B. The ENGINEER shall not exceed this total compensation without prior approval of the City. Subject to the approval of the City, the ENGINEER may sublet all or part of the services. If the ENGINEER sublets all or part of this work, the City will pay the cost to the engineer plus a five (5) percent service charge. "Cost to the ENGINEER" to be verified by furnishing the City copies of invoices from the party doing the work. The classifications of the employees used in the work should be consistent with the employee classifications for the services performed. If the personnel of the firm perform routine services that should normally be performed by lesser salaried personnel, the wage rate billed for such services shall be commensurate with the work performed. In the event the services of the ENGINEER extend beyond December 31, 1993, the hourly rates will be adjusted yearly by addendum to this AGREEMENT to compensate for increases or decreases in the salary structure of the ENGINEER that are in effect at that time. Manager PHM/slb 4 encl: Exhibit 1 EXHIBIT 1 DUTIES OF THE ENGINEER'S FIELD PERSONNEL GENERAL: The Engineer's Assistant Resident Project Representative (A.R.P.R.) and On-Site Observers (O.S.0) serve as the Engineer's on-site construction representatives for the construction project. They will be responsible for the general control and field observation of the construction project under the direction of the City's Resident Engineer(R.E.)and with the assistance of on-site observers provided by the City. Services consist of all management functions required for day-to-day control of the project. Services will include field observation, design interpretation, contract administration and general coordination and control of the day-to-day construction activities of the contractor to ensure timely completion and quality construction in strict compliance with contract drawings and specification. The A.R.P.R. and O.S.O's will work closely with and report to the City's R.E. SPECIFIC DUTIES AND RESPONSIBILITIES: A. Liaison and Contract Control: Assist the contractors in understanding the intent of the contract documents. Serve as the City's representative with the contractors working principally through the contractor's Project Engineer and on-site Superintendent. Serve as the City's liaison with other local agencies such as utility companies, businesses, etc. keeping them advised of day-to-day activities. B. Construction Observation: 1. Conduct on-site observations of the work in progress to determine that the project is proceeding in accordance with the contract documents and that completed work will conform to the requirements of the contract documents. 2. Advise the R.E. of any work believed to be unsatisfactory, faulty or defective or does not conform to the requirements of the contract documents, or does not meet the requirements of any tests or approval required to be made; and advise R.E. of needed corrective action and if any special testing or procedures will be required. 3. Verify that tests are conducted as required by the contract documents and in presence of the required personnel, and that contractors maintain adequate records thereof; observe and report to R.E. appropriate details relative to the test procedures. 4. Perform or cause to have performed as applicable, all required field tests such as concrete tests, soil compaction tests, etc. and ensure such tests are made as specified. Analyze the results of all field and laboratory tests to determine the suitability of materials tested. 5. Accompanying visitors representing public or other agencies tiaving jurisdiction over the project, record the outcome of these visits, and report to the R.E. • C. Contractor Suggestions and Requests: Consider and evaluate suggestions and requests for modifications in drawings and specifications which may be submitted by the contractor and make recommendations to the R.E. with any time or cost implications for final decision. D. Shop Drawings: 1. Maintain copies of all shop drawing submittals and associated correspondence. 2. Record and maintain a shop drawing submittal and approval log and notify contractor and R.E. whenever submittals are lacking or untimely. E. Schedules: 1. Monitor schedule requirements as construction progresses. Report progress and schedule deviations to R.E. and Engineer's office support personnel. 2. Be alert to the construction schedule and to conditions which may cause delay in completion and report same to the contractor and City's R.E. in sufficient time to make adjustments. F. Conferences: 1. Attend periodic progress meetings as deemed necessary by the R.E. with all parties to review construction progress, design interpretations and overall progress. 2.
