AUTHORIZING EXECUTION OF A MEMORANDUM OF AGREEMENT WITH
THE COUNTY OF KANE FOR ROADWAY AND TRAFFIC SIGNAL IMPROVEMENTS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Larry L. Rice, City Manager, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to
execute a Memorandum of Agreement on behalf of the City of
Elgin with the County of Kane for roadway and traffic signal
improvements on Randall Road, Fox Lane and the entrance to the
Panasonic complex, a copy of which is attached hereto and made
a part hereof by reference.

MEMORANDUM
TO: Mayor and Members of the City Council
FROM: Larry L. Rice, City Manager
SUBJECT: Panasonic Development
Randall Road Improvements-Agreement
PURPOSE: This memorandum will provide the Mayor and Council
with information to consider authorizing the execution of an
agreement with Kane County for Elgin' s share of the cost of the
significant roadway and traffic signal improvements on Randall
Road, Fox Lane and the entrance to the Panasonic complex.
BACKGROUND: My memorandum dated September 20, 1991 explained
the roadway improvements to be undertaken by Kane County and
e transmitted Kane County' s request for Elgin to share in the cost
of the improvements . The City Council at the Committee of the
Whole Meeting on September 25, 1991 agreed to participate in the
cost of those improvements .
It has been suggested by Ery Jentsch that the best way to
implement payment is with an agreement between the City of Elgin
and the County of Kane. Attached hereto is a copy of the
agreement for your consideration.
FINANCIAL IMPACT: The estimated cost of the improvement is
$1,253,800 which includes engineering and construction costs.
Kane County will pay $617,900 (49 .28%) , the parent company of
Panasonic will pay $460,900 (36 .76%) and Elgin's cost, would be
$175,000 ( 13 . 96%) . The City's portion would be budgeted in 1992
and paid sometime in that year.
RECOMMENDATION: It is recommended that the City Council approve
the agreement and authorize its execution by the City Manager
and City Clerk.

MEMORANDUM OF AGREEMENT
RANDALL ROAD - FOX LANE - PANSONIC ENTRANCE - ALFT LANE
BETWEEN COUNTY OF KANE AND CITY OF ELGIN
This M orandum of Agreement made and entered into this/4-day
of , A.D. , 1991 by and between the County
of Kane, Illinois, hereinafter referred to as the "COUNTY" and
the City of Elgin, Kane County, Illinois, hereinafter refferred
to as the "CITY" .
WITNESSETH
WHEREAS, the COUNTY, in order to facilitate the north-south
traffic flow and to provide safety to the motoring public wishes
to improve Randall Road from Interstate 90 (Northwest Tollway)
south to, and including, the intersection with Fox Lane by
increasing the number of through lanes to four, plus the
necessary left turn and right turn lanes and the installation of
traffic signals; and,
WHEREAS, the COUNTY and the CITY are desirous of said
improvements in that same will be of immediate benefit to the
residents of the COUNTY and the CITY and permanent in nature; and
WHEREAS, the COUNTY and the CITY are authorized by law to enter
into intergovernmental agreements for the exercise of power.
NOW THEREFORE, in consideration of the mutual covenents
contained herein, the parties hereto agree as follows :
( 1) The COUNTY agrees to prepare the necessary plans,
specifications, estimates and provide construction
engineering services and contract administration for
the road improvements described above.
(2) The COUNTY agrees that all maintenance and any
future improvements to this segment of highway shall
be the sole responsibility of the COUNTY, unless the
CITY specifically agrees otherwise in writing.
( 3) The CITY agrees to make to the COUNTY a lump sum
payment of one hundred seventy five thousand and
00/100 dollars ($175,000) after the award of the
construction contract for the afore said improvements
and upon receipt of an invoice from the COUNTY and for
the CITY' S total share of the cost of the road
improvements described above.

(4 ) This agreement and the covenents contained herein
shall be null and void in the event a contract
covering the construction work contemplated herein is
not awarded by the COUNTY before January 2, 1993.

AUTHORIZING CHAIRMAN TO EXECUTE JOINT AGREEMENT
WHEREAS , Kane County and the City of Elgin are desirous
of making various improvements to Randall Road from 1-90 south
to, and including, the intersection with Fox Lane; and
WHEREAS , Kane County and the City of Elgin feel it is
desirable to jointly fund the improvement; and
WHEREAS , it will be necessary to enter into a joint
agreement embodying such provisions between the County of Kane
and the City of Elgin.
NOW, THEREFORE BE IT RESOLVED, by the Kane County Board that
the Chairman of the Board is authorized to execute a joint
agreement with the City of Elgin for the improvement to Randall
Road from 190 south to , and including, the intersection with
Fox Lane .
