AMENDMENT TO REAL ESTATE CONTRACT
WHEREAS, the CITY OF ELGIN, an Illinois municipal corporation, and
WOODRUFF & EDWARDS, INC., have previously entered into a real estate sales
contract dated February 15, 1989 for the sale of certain real property commonly known
as 119 North State Street, Elgin, Illinois; and,
WHEREAS, pursuant to Rider A of said contract, ELGIN had one-hundred
twenty (120) days from the execution thereof to complete an environmental assessment
and to terminate the agreement in the event the cost of any necessary cleanup or
removal exceeded $25,000.00; and,
WHEREAS, the parties now desire to extend the time period set forth in
Rider A.
NOW THEREFORE, for and in consideration of mutual covetous conditions
and restrictions contained herein, the parties agree as follows:
I. The real estate sales contract between the CITY OF ELGIN and
WOODRUFF & EDWARDS, INC., dated February 15, 1989 be and is hereby amended by
amending Rider A, subparagraph I to read as follows:
1. The purchaser shall have until November 1, 1989 to
cause, at its expense, an environmental assessment or survey to
be made to determine the nature, kind and quantity of any
environmental hazard on the premises and the estimated cost of
removal of any hazard found on the premises.
2. Except as modified herein, the real estate sales contract dated February
15, 1989, between the parties shall remain in full force and effect.
