AUTHORIZING EXECUTION OF AN AGREEMENT WITH
SOUTHWICK PRODUCTIONS
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS,
that James J. Cook, City Manager, be and is hereby authorized and directed to execute
an agreement on behalf of the City of Elgin with the Southwick Productions for a
performance in the Fountain Square Plaza Mall, a copy of which is attached hereto and
made a part hereof by reference.

4. Purchaser will make payment in full imnediately following performance unless agreed
in writing by both parties.

this contract shall be canpletely nul and void unless otherwise a&Eeed in writing, by
both parties.
8. the performances to be rendered pursuant to this agreement are not to be recorded,
reproduced, photographed, videotaped or transmitted from the place of performance, in
any manner or by any means whatsoever, without securing the expressed written consent
of the performer.or his authorized representative three (3) weeks prior to the actual
performance.
9. The validity, construction and effect of this contract shall be governed by the laws
of the State-of Illinois.
10. Any additions or changes in the terns of this agreement must be initialed and dated
by both parties is order to be valid.
AMITICNAL TERIS AND CCNDITICNS
The performer or a designated leader shall, as agent of the Purchaser, enforce disci-
plinary measures for just cause, and carry out instructions as to selections and manner
of performance. The agreement of the performer(s) to perform is subject to proven
detention by sickness, accidents, riots, strikes, epidemics, acts of God, or any other
legitimate conditions beyond his/their control. The Purchaser's obligations hereunder
are subject to acts of God or other legitimate conditions beyond his control rendering
performance of such obligations impossible.
Any attached rider shall become a binding part of this contract. The performer(s)
or their representative and the Purchaser must initial and date such rider in order to
be valid.
The Purchaser or his representative in signing this contract warrants that he/she
signs as a properly authorized representative of the Purchaser.
It is expressly understood and agreed by all the parties hereto that SOMAVICK
PF CD=CNS, is not liable for any breach of this agreement by the Purchaser or by
; ,any of the perfoamer(s) and that they have undertaken no obligation by reason of it
