AGREEMENT
PAVEMENT MANAGEMENT PLAN
This Agreement, made and entered into this ( T day of /4.441
1984, by and between Novak, Dempsey $ Associates, Inc. (hereinafter referred
to as NDA) and the City of Elgin, an Illinois municipal corporation and a
home rule unit (hereinafter referred to as Elgin).
WHEREAS, NDA has submitted a proposal dated February 7, 1984
entitled 1984 City of Elgin Pavement Management Program (hereinafter referred
to as Proposal) ; and
WHEREAS, in said Proposal NDA offers to develop a 60 mile pavement
management plan for Elgin for a fee of $24,000; and
WHEREAS, it is in the best interest of the City of Elgin to accept
said Proposal.
NOW, THEREFORE, in consideration of the mutual promises and condi-
tions contained herein the parties agree as follows:
1. Elgin hereby accepts the Proposal of NDA dated February 7, 1984
to develop a pavement management plan for Elgin, a copy of which is attached
as Exhibit A and incorporated herein by reference.
2. The project outline and scope shall be as provided in Section B
of the Proposal (Pgs. 3- 9).
3. Elgin shall pay NDA the sum of $24,000 as total compensation
for the 60 mile pavement management program as provided in Section C of
the Proposal (Pgs. 10 - 11). Provided, however, should Elgin elect to add
additional work beyond that delineated in Section B of the Proposal, then
and in that event total compensation shall be increased using the formula
as specified in Section C.
4. The performance of the parties shall be in conformance with
the Proposal except as otherwise provided herein.
