' THIS AGREEMENT made , 1978 between
the REGIONAL TRANSPORTATION AUTHORITY, an Illinois municipal •
•
4orporation (hereinafter called the Authority) , and
a municipal corporation (hereinafter
called the Municipality) .
WITNESSETH
•
WHEREAS, the Authority has purchased or will purchase
certain passenger shelters as detailed in attached drawings
and specifications for installation a_ong certain bus routes r
within the Municipality, and •
WHEREAS, the Authority and the Municipality have ascer-
tained it to be in the best public interest to install passenger
shelters at certain locations along such bus routes.
NOW THEREFORE, in consideration of the mutual promises
hereinafter set forth, it is agreedjas follows:

1)' The Authority, at its expense, shall procure passenger •

shelters (hereinafter shelters) , which in its exculsive dis-
cretion are considered acceptable and shall inspect such
shelters on delivery, retaining exclusive capacity to accept

same for installation and use within the Municipality. The
Authority shall retain title to the shelters at all times and
the Municipality agrees to do nothing to affect such title in
any way.

2) The Authority shall, after a.proval of Municipality,
determine the location wherein each s elter shall be placed
Within the Municipality with regard t• optimum passenger usage
and bus route access.
! 3) The Authority shall develop . 11 specifications relating
to the erection' of the shelters and s all provide all graphics
and identification media for applicat' on thereto. Graphics
Shall be affixed to the shelters acco .ding to attached drawings
and specifications. There shall be n. commercial advertising
placed on shelters at any time.
4); The Authority shall bear the entire cost of installing
the shelters. Municipality shall ins .all shelters in accordafce
with specifications provided by the A thority. Installation
shall be completed •by , 1978. Installation
shall, whenever possible, be performe. by the regular employees
of the Municipality. Compensation, s all be based on the
hourl.y •wage/salary scale, plus fringe benefits, of the employees
actually engaged in installation, sub 'ect to UMTA and IDOT
regulations concerning such employees.
5) The Municipality shall creat= or cause to be created,
i a simple license or a permanent easem=nt in favor of the
Authority allowing use of the affecte. parcels for the shelters
themselves and for access thereto for purposes of installation
and inspection. All costs, fees and •isbursements incidental
to the creation of such easement shal be borne by the Municipality.

6) The Municipality shall, using its regular employees,
maintain the shelters in a satisfactory manner at its own .
expense. The Municipality and the Authority shall conduct
periodic inspections of the shelters, and as discrepancies
which require maintenance shall be discovered, the Municipality .
will make prompt correction thereof in all cases, within seven
days. The Authority shall provide necessary replacement parts

at its expense.
7) In connection with the execution and performance of
this agreement, the Municipality certifies that it shall not
discriminate against any employee or applicant for employment
because of race, religion, color, sex or national origin; and
that it shall comply in all respects with federal and state
law concerning Equal Employment Opportunity and Fair Employment .
Practices.
8) The Authority reserves the right to remove the shelters
at any time, the particulars of such removal to be established
by letter agreement between the parties and all costs thereof . •
•
shall be borne by the Authority as described and computed in
pragraph four. All obligations shall terminate upon actual,
removal of the shelters from the Municipality.
IN WITNESS WHEREOF, the parties hereto have caused this
agreement to be ex-cuted the date above written. .
