Council of the City of Elgin, Kane and Cook Counties, Illinois,
held at the City Hall located at 150 Dexter Court, in said City, at
7:00 o'clock, P.M., on the 23rd day of April, 2014.
The Mayor called the meeting to order, and directed the City Clerk to call the roll.
Upon the roll being called, the Mayor, David Kaptain, and the following Council Members were
physically present at said location: Councilmembers Dunne Gavin Powell Priggee
Rauschenberger, Shaw, and Steffen.
The following Council Members were allowed by a majority of the members of the City
Council in accordance with and to the extent allowed by rules adopted by the City Council to
attend the meeting by video or audio conference: None.
No Council Member was not permitted to attend the meeting by video or audio
conference.
The following Council Members were absent and did not participate in the meeting in
any manner or to any extent whatsoever: None.
(Other Business)
The Mayor announced that the City of Elgin, Kane and Cook Counties, Illinois (the
"City"), had undertaken discussions with Judson University - A Baptist Institution, an Illinois
not for profit corporation (the "Corporation"), regarding the issuance of the City of Elgin, Kane
and Cook Counties, Illinois Revenue Refunding Bond, Judson University, Series 2014 (the
"Series 2014 Bond") of the City, the proceeds of which will be lent to the Corporation and used,
together with other available funds, to currently refund the outstanding City of Elgin, Illinois
Adjustable Rate Demand Revenue Bonds, Series 2006 (the "Series 2006 Bonds").
The City Council then discussed the proposed issuance of the Bond and considered an
ordinance providing for the issuance of the Series 2014 Bond.

Whereupon the City Clerk presented, the Chief Financial Officer explained, and there
was read into by title the following ordinance, a copy of which was provided to each Council
Member prior to said meeting and to everyone in attendance at said meeting who requested a
copy:

CERTAIN RELATED MATTERS.
Council Member Powell moved and Council Member Dunne seconded the motion that
the ordinance (the "Bond Ordinance") as presented be adopted.
A City Council discussion of the matter followed. During the City Council discussion,
the Mayor Kaptain gave a public recital of the nature of the matter, which included a reading of
the title of the ordinance and statements (1) that the ordinance provided for the issuance of the
City of Elgin, Kane and Cook Counties, Illinois Revenue Refunding Bond, Judson University,
Series 2014 (the "Series 2014 Bond") for the purpose of currently refunding the City of Elgin,
Kane and Cook Counties, Illinois Adjustable Rate Demand Revenue Bonds, Series 2006 (the
"Series 2006 Bonds"), (2) that the Series 2014 Bond is issuable without referendum pursuant to
the home rule powers of the City, (3) that the Series 2014 Bond is a special, limited obligation of
the City payable only from the sources set forth in the Bond and Loan Agreement, including
payments to be made by the Corporation, and (4) that the ordinance provides for the
authorization of the execution and delivery of, and the approval of the execution and delivery of,
various financing documents which contain the details for the Series 2014 Bond and provision
for the form of the Series 2014 Bond.
The Mayor directed that the roll be called for a vote upon the motion to adopt the Bond
Ordinance.
Upon the roll being called, the following Council Members voted AYE: Councilmembers
Dunne, Gavin, Powell, Rauschenberger, Shaw, Steffen, and Mayor Kaptain.

and the following Council Members voted NAY: None.
and the following Council Members ABSTAINED: Councilmember Prigge.
WHEREUPON, the Mayor declared the motion carried and the Bond Ordinance adopted,
and henceforth did approve and sign the same in open meeting, and did direct the City Clerk to
record the same in full in the records of the City Council of the City of Elgin, Kane and Cook
Counties, Illinois.
Other business was duly transacted at said meeting.
Upon motion duly made and carried, the meeting adjourned.

EXCEED $7,295,000 REVENUE REFUNDING BOND, JUDSON
UNIVERSITY, SERIES 2014, FOR THE BENEFIT OF JUDSON
UNIVERSITY - A BAPTIST INSTITUTION AND CONFIRMING THE SALE
THEREOF; AUTHORIZING THE EXECUTION AND DELIVERY OF A BOND
AND LOAN AGREEMENT, A TAX EXEMPTION CERTIFICATE AND
AGREEMENT AND RELATED DOCUMENTS; AND AUTHORIZING
CERTAIN RELATED MATTERS.
WHEREAS, the City of Elgin, Kane and Cook Counties, Illinois (the "City"), has a
population of more than 25,000, and, in accordance with the provisions of Section 6(a) of
Article VII of the 1970 Constitution of the State of Illinois, the City is a home rule unit of
government and, as such, may exercise any power or perform any function pertaining to its
government and affairs; and
WHEREAS, Judson University - A Baptist Institution (formerly known as Judson College,
A Baptist Institution), an Illinois not for profit corporation(the "Corporation"), has requested the
City to issue its revenue bonds and lend the proceeds thereof to the Corporation to be used by the
Corporation, together with other available funds, to currently refund the outstanding City of
Elgin, Kane and Cook Counties, Illinois Adjustable Rate Demand Revenue Bonds, Series 2006
(the "Series 2006 Bonds") (the "Financing Purposes"); and
WHEREAS, pursuant to the Constitution and the laws of the State of Illinois (collectively,
the "Act"), the City is authorized and empowered to issue its revenue bonds and to lend the
proceeds thereof to the Corporation in order to accomplish the Financing Purposes; and
WHEREAS, pursuant to and in accordance with the Act, the City is now prepared to issue
and sell its City of Elgin, Kane and Cook Counties, Illinois Revenue Refunding Bond, Judson
University, Series 2014, in an aggregate principal amount not to exceed $7,295,000 (the "Series
2014 Bond"); and
WHEREAS, it is necessary and desirable that the Series 2014 Bond be issued under and
secured by a Bond and Loan Agreement (the "Bond and Loan Agreement") among the City, the
Corporation and Inland Bank & Trust (the "Purchaser"), pursuant to which the City will loan
the proceeds of the Series 2014 Bond to the Corporation in order to accomplish the Financing
Purposes and the Corporation will agree to make payments sufficient to provide for the payment
of principal of, premium, if any, and interest on, and other amounts payable with respect to, the
Series 2014 Bond, as and when the same become due and payable; and
WHEREAS, it is necessary and desirable for the City and the Corporation to enter into a
Tax Exemption Certificate and Agreement, to be dated the date of issuance of the Series 2014
Bond (the "Tax Agreement"), governing the investment of the gross proceeds of the Series 2014
Bond and certain other matters relating to the federal tax exemption of interest on the Series
2014 Bond; and
WHEREAS, the Corporation has informed the City that, concurrently with the issuance of
the Series 2014 Bond, the Corporation and the Purchaser will enter into an Additional Covenant
Agreement containing certain additional covenants to be made by the Corporation to the
Purchaser in connection with the purchase of the Series 2014 Bond by the Purchaser; and
WHEREAS, the City has caused to be prepared for and presented before this City Council
(the "City Council") a form of the Bond and Loan Agreement, including the form of the Series
2014 Bond which is attached to the Bond and Loan Agreement as Exhibit A; and
WHEREAS, the City Council hereby finds and determines that the issuance of the Series
2014 Bond to accomplish the Financing Purposes is a proper public purpose and is in the public
interest;
Now, THEREFORE, Be It Ordained by the City Council of the City of Elgin, Kane and
Cook Counties, Illinois, in the exercise of its home rule powers, as follows:
Section 1. Incorporation of Preambles. That the City Council hereby finds that all of
the recitals contained in the preambles to this Bond Ordinance are full, true and correct and does
hereby incorporate them into this Bond Ordinance by this reference.
Section 2. Bond and Loan Agreement. That the City is hereby authorized to enter into
the Bond and Loan Agreement with the Corporation and the Purchaser; that the form, terms and
provisions of the Bond and Loan Agreement be, and they hereby are, in all respects approved;
that the Mayor of the City (the "Mayor") be, and hereby is, authorized, empowered and directed
to execute, and the City Clerk be, and hereby is, authorized, empowered and directed to attest
and to affix the official seal of the City to, the Bond and Loan Agreement in the name, for and on
behalf of the City, and thereupon to cause the Bond and Loan Agreement to be delivered to the
Corporation and the Purchaser, such Bond and Loan Agreement (as executed) to provide for the
loan of the proceeds of the Series 2014 Bond to the Corporation and the use of such proceeds for
the Financing Purposes in the manner and with the effect therein provided; that the Bond and
Loan Agreement shall constitute an assignment and pledge for the security of the Series 2014
Bond of the revenues and receipts to be received by the City pursuant to the Bond and Loan
Agreement and an assignment and pledge of the other rights, title and interests of the City in and
to the Bond and Loan Agreement, as described in the Bond and Loan Agreement (with the
exception of certain rights to receive certain payments and indemnity and certain other rights, as
specified in the Bond and Loan Agreement); that the Bond and Loan Agreement shall be in
substantially the form now before the City Council or with such changes and revisions therein as
the Mayor shall approve, his execution thereof to constitute conclusive evidence of such
approval of any and all changes or revisions therein from the form of the Bond and Loan
Agreement now before the City Council; that from and after the execution and delivery of the
Bond and Loan Agreement, the officials, officers, employees and agents of the City are hereby
authorized, empowered and directed to do all such acts and things and to execute all such
documents as may be necessary to carry out and comply with the provisions of the Bond and

Loan Agreement as executed; that the Bond and Loan Agreement shall constitute, and hereby is
made, a part of this Bond Ordinance; and that a copy of the Bond and Loan Agreement shall be
placed in the official records of the City and shall be available for public inspection at the office
of the City Clerk.
Section 3. Bond Registrar and Paying Agent. That the designation of Inland Bank &
Trust, which is the Purchaser, to serve as Paying Agent and Bond Registrar with respect to the
Series 2014 Bond is hereby approved.
Section 4. Form of Series 2014 Bond. That the form of the Series 2014 Bond now
before the City Council, subject to appropriate insertions and revisions in order to comply with
the provisions of the Bond and Loan Agreement (as executed and delivered) be, and the same
hereby is, approved; that the Series 2014 Bond shall be executed in the name, for and on behalf
of the City with the manual or facsimile signature of its Mayor and attested with the manual or
facsimile signature of its City Clerk and the official seal of the City shall be impressed or
imprinted thereon; that the Series 2014 Bond shall initially bear interest at a fixed interest rate
established pursuant to the Bond and Loan Agreement (with an initial fixed interest rate for the
initial interest rate period, commencing on the date of issuance of the Series 2014 Bond, of not to
exceed 5% per annum, subject to adjustment as provided for in the Bond and Loan Agreement),
shall be payable over a term not exceeding 35 years from its date of issuance and shall be
privately placed with the Purchaser; that the Mayor or the City Clerk shall cause the Series 2014
Bond, as so executed and attested, to be delivered to the Purchaser, as Bond Registrar, for
authentication; and that when the Series 2014 Bond shall be executed on behalf of the City in the
manner contemplated by the Bond and Loan Agreement and this Bond Ordinance in an
aggregate principal amount not to exceed $7,295,000, it shall represent the approved form of
Series 2014 Bond of the City.
Section 5. Sale of Series 2014 Bond. That the sale of the Series 2014 Bond in an
aggregate principal amount not to exceed $7,295,000 is hereby approved and confirmed; and that
no member of the City Council or any official or officer of the City is in any manner interested,
either directly or indirectly, in his own name or in the name of any other person, association,
trust or corporation, in the Bond and Loan Agreement, or any other document or instrument
executed by the City in accordance with the foregoing.
Section 6 Tax Agreement. That the City is hereby authorized to enter into the Tax
Agreement with the Corporation in the form to be approved by bond counsel, by counsel for the
Corporation and by counsel to the City; that the Mayor be, and is hereby, authorized, empowered
and directed to execute and deliver the Tax Agreement as so approved; that when the Tax
Agreement is executed and delivered on behalf of the City, the Tax Agreement will be binding
on the City; and that from and after the execution and delivery of the Tax Agreement, the
officials, officers, employees and agents of the City are hereby authorized, empowered and
directed to do all such acts and things and to execute all such documents as may be necessary or
desirable to carry out and comply with the provisions of the Tax Agreement as executed.
Section 7. Private Placement; Investor Letter; Restrictions on Transfers. That the City
hereby authorizes the sale of the Series 2014 Bond to the Purchaser on a private placement basis

pursuant to the Bond and Loan Agreement; that the Purchaser shall deliver an investor letter to
the City (in the form approved by counsel to the City) stating, among other things, that the
Purchaser is either an "accredited investor" within the meaning of Regulation D, or a "qualified
institutional buyer" within the meaning of Rule 144A, of the Securities Act of 1933, as amended;
and that the Bond and Loan Agreement shall contain such restrictions, as counsel to the City
shall reasonably determine are necessary or advisable, on the transfer of the Series 2014 Bond by
the Purchaser or by any accredited investor or qualified institutional buyer to which the
Purchaser transfers the Series 2014 Bond.
Section 8. Authorization of All Necessary Documents. That the Mayor, the City Clerk,
the City Treasurer, the City Manager and any other official, officer, employee or agent of the
City be, and each of them hereby is, authorized and directed to execute, attest, seal and deliver
any and all documents and certificates, to do any and all things deemed necessary to effect the
issuance and sale of the Series 2014 Bond and the execution and delivery of the Bond and Loan
Agreement and other instruments, including the Tax Agreement, and to perform the obligations
and duties of the City hereunder and thereunder, all as shall be necessary and desirable to carry
out the intent and purposes of this Bond Ordinance, including the preambles to this Bond
Ordinance.
Section 9. Ratification of Prior Actions. That all acts of the City Council and the
officials, officers and employees of the City that are in conformity with the intent and purposes
of this Bond Ordinance, whether heretofore or hereafter taken or done, be, and the same are
hereby, in all respects, ratified, confirmed and approved.
Section 10. Severability. That the provisions of this Bond Ordinance are hereby
declared to be separable, and if any section, paragraph, clause or provision shall for any reason
be declared to be invalid, such declaration shall not affect the validity of the remainder of the
sections, phrases and provisions of this Bond Ordinance.
Section H. Limited Obligations. The Series 2014 Bond shall be a special, limited
obligation of the City payable solely out of the revenues and receipts derived from the Bond and
Loan Agreement. No holder of the Series 2014 Bond shall have the right to compel any exercise
of the taxing power of the City to pay the Series 2014 Bond, the interest or premium, if any,
thereon or any other amount with respect thereto, and the Series 2014 Bond shall not constitute
an indebtedness of the City or a loan of credit thereon within the meaning of any constitutional
or statutory provision. It shall be plainly stated on the face of each Bond that it does not
constitute an indebtedness of the City or a loan of credit thereof within the meaning of any
constitutional or statutory provision and does not create any legal or moral obligation on behalf
of the City to repay the same, except out of the revenues and sources specified above. Under no
circumstances shall the City expend any of its own revenues or taxpayer funds to make any
payments on the Series 2014 Bond.
Section 12. Superseder and Effective Date. That all ordinances, resolutions, or parts
thereof, in conflict herewith are hereby superseded to the extent of such conflict; and that this
Bond Ordinance shall be in full force and effect immediately and forthwith upon its passage,
approval and publication in pamphlet form as aforesaid.

said meeting was duly given to all newspapers, radio or television stations and other news media
requesting such notice; that an agenda for said meeting was posted at the location where said
meeting was held and at the principal office of the City Council at least 48 hours in advance of
the holding of said meeting; that at least one copy of said agenda was continuously available for
public review during the entire 48-hour period preceding said meeting; that said agenda
