Kozal, City Manager, and Kimberly A. Dewis, City Clerk, be and are hereby authorized and directed to execute an Extension of Intergovernmental Maintenance Facility Agreement on behalf of the City of Elgin with Hanover Township, for salt storage at the Shales Parkway facility, a copy of which is attached hereto and made a part hereof by reference. s/David J. Kaptain, Mayor Presented: January 14, 2026 Adopted: January 14, 2026 Omnibus Vote: Yeas: 9 Nays: 0 Attest: s/Kimberly Dewis Kimberly Dewis, City Clerk EXTENSION OF INTERGOVERNMENTAL MAINTENANCE FACILITY AGREEMENT (2025-2026) THIS EXTENSION AGREEMENT is hereby made and entered into this 14th day of January 2026, by and between the City of Elgin, a municipal corporation of the State of Illinois (hereinafter referred to as the"City"),and Hanover Township,a body corporate and politic of the State of Illinois,(hereinafter referred to as the"Hanover Township"). WHEREAS, the parties have previously entered into an agreement dated June 26, 2017, (hereinafter referred to as"Original Agreement"),relating to salt storage by Hanover Township at the City's Salt Storage Facility located at 526 Shales Parkway,Elgin, Illinois(hereinafter referred to as the"Facility"); and WHEREAS, the initial term of the Original Agreement expired on April 1, 2021, and has been extended thereafter on an annual basis by mutual written consent of both parties under the same terms and conditions as set forth in the Original Agreement;and WHEREAS, the City and Hanover Township desire to renew and extend the Original Agreement to provide for Hanover Township 's use of the Facility for an additional one-year term under the same terms and conditions as set forth in the Original Agreement. NOW, THEREFORE, for an in consideration of the mutual promises and covenants contained herein, the receipt and sufficiency of which are hereby mutually acknowledged, the parties hereto hereby agree as follows: 1. The foregoing recitals are hereby incorporated into and made a part of this agreement in their entirety. 2. That paragraph F of the Original Agreement is hereby amended to provide that Hanover Township shall additionally provide snow removal operations and road deicing for (1) Rohrssen Road from the intersection of Rohrssen Road and Cardinal Drive, north and east to the corporate limits of the City just south of Rolling Knolls Blvd. and (2) Cardinal Drive from its intersection with Rohrssen Road east to the corporate limits of the City, and (3) Chestnut Drive from the intersection of Glen Echo,west to the end of Chestnut Drive in the corporate limits of the City. 3. The Original Agreement is hereby extended under the same terms and conditions as set forth in the Original Agreement, for the period commencing on April 1, 2025, and ending on April 1,2026. 4. That except for the extension of the term of the Original Agreement and the additional snow removal and road deicing locations provided for herein,the terms and provisions of the Original Agreement shall remain in full force and effect. 1 5. That in the event of any conflict between the terms and provisions of the Original Agreement and the terms and provisions of this extension agreement, the terms and provisions of this extension agreement shall control. McGuire Township Supervisor City Manager Attest: Attest: (Z.&..../7d 4/3ili Katy Baumer, Township Clerk City 2 RESOLUTION 1125252 A RESOLUTION TO APPROVE AN EXTENSION AGREEMENT FOR THE INTERGOVERNMENTAL MAINTENANCE FACILITY AGREEMENT BETWEEN THE CITY OF ELGIN AND HANOVER TOWNSHIP WHEREAS, the City of Elgin (the "City") and the Hanover Township Road District (the '`District") entered into an Intergovernmental Maintenance Facility Agreement (the "Agreement"), a copy of which is attached hereto and incorporated herein by this reference, on June 26, 2017; WHEREAS, on January 1, 2018, the District was abolished by operation of law, and all rights, powers, duties, assets, property, liabilities, obligations, and responsibilities of the Road District vested in and were assumed by Hanover Township (the "Township") by operation of law; WHEREAS, pursuant to Section (J) of the Agreement, the City, by letter dated June 21, 2021, consented to extend the term of the Agreement for the period of April 1, 2021 through April 1, 2022, a copy of which is attached hereto and incorporated herein by this reference, which extension was enacted and approved by the Township Board on September 7, 2021; WHEREAS, although no subsequent resolution extending the Agreement was adopted after April 1, 2022, both the City and the Township have continued to operate in good faith under the terms and conditions of the Agreement without interruption; and WHEREAS, the Parties now desire to execute an Extension Agreement for an additional one-year term, effective April 1, 2025, through April 1, 2026, and to amend the Agreement to incorporate (1) Rohrssen Road from the intersection of Rohrssen Road and Cardinal Drive, north and east to the corporate limits of the City just south of Rolling Knolls Blvd. and (2) Cardinal Drive from its intersection with Rohrssen Road east to the corporate limits of the City, and (3) Chestnut Drive from the intersection of Glen Echo, west to the end of Chestnut Drive in the corporate limits of the City into the "designated service area" described in Section (F) of the Agreement. NOW, THEREFORE, BE IT RESOLVED by the Supervisor and Board of Trustees of Hanover Township, Cook County, Illinois, as follows: 1 SECTION ONE: INCORPORATION OF RECITALS. The foregoing recitals and all attachments referenced therein are hereby incorporated into the body of this Resolution as though fully set forth herein. SECTION TWO: APPROVAL. The Intergovernmental Maintenance Facility Agreement between the City of Elgin and Hanover Township, as successor in interest to the Hanover Township Road District, is hereby: (a) extended for the term April 1, 2025 through April 1, 2026, under the same terms and conditions as the original Agreement; and (b) amended to incorporate the Elgin portion of Cardinal Drive and the Elgin portion of Chestnut Drive into the "designated service area" described in Section (F) of the Agreement. SECTION THREE: SEVERABILITY. If any section, paragraph, or provision of this Resolution shall be held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such section, paragraph, or provision shall not affect any of the remaining provisions of this Resolution. SECTION FOUR: REPEALER. All prior Ordinances or Resolutions in conflict or inconsistent herewith are hereby expressly repealed only to the extent of such conflict or inconsistency. SECTION FIVE: EFFECTIVE DATE. This Resolution shall be in full force and effect upon its passage and approval.
