RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH THE
AMERICAN DEMOLITION CORPORATION FOR THE
DEMOLITION OF 123 S . STATE STREET
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed
to execute an agreement on behalf of the City of Elgin with
the American Demolition Corporation for the demolition of
123 S . State Street, a copy of which is attached hereto and
made a part hereof by reference .

AGREEMENT
THIS AGREEMENT made and entered into thisZNeliOday of
September, 1999, by and between the CITY OF ELGIN, an Illinois
municipal corporation (hereinafter referred to as the "City" )
and AMERICAN DEMOLITION CORPORATION, an Illinois corporation
(hereinafter referred to as "American Demolition" ) .
WHEREAS, the City desires to engage American
Demolition to demolish and clear the property commonly known as
123 S . State Street, Elgin, Illinois .
NOW, THEREFORE, for and in .consideration of the
mutual undertakings as contained herein, and other good and
valuable consideration, the receipt and sufficiency of which
is hereby acknowledged, the parties hereto agree as follows :
1 . That American Demolition shall provide all
materials, labor, equipment, tools and all work incidental
thereto for the demolition, site clearance and proper disposal
of all debris for the structures located at 123 S . State
Street, Elgin, Illinois in accordance with the August 17, 1999
correspondence from American Demolition Corporation, attached
hereto as Exhibit 1, and the special bidder notes and City of
Elgin specifications attached hereto as Exhibit 2 . The scope
of work to be completed by American Demolition shall include
the removal and disposal of all the debris both inside and
structures and outside of the entire lot . Site clearance at
the property shall include the removal and proper disposal of
all surface concrete, surface asphalt, fencing, posts, signs
and related items on the entire lot .
2 . That for an in consideration of such services to
be provided by American Demolition the City shall pay to
American Demolition the total amount of $7, 200 . Payment shall
be made within twenty (20) days following completion of all
services to be provided by American Demolition hereunder.
3 . That American Demolition shall commence
performance of this agreement upon receipt of written notice
from the City and shall send the required 10-day notices to
the appropriate agency immediately upon receipt of such
written notice . American Demolition shall complete all
services to be performed pursuant to this agreement within
thirty (30) days from receipt of written notice from the City
to proceed.
4 . That American Demolition does and shall
indemnify and hold harmless the City, its officers, agents and
employees, against liability, losses and damage of whatever
nature, including workman' s compensation claims, and including
legal expenses, in any way resulting from or arising out of
negligent actions or omissions of American Demolition in
connection herewith, including negligent acts or omissions of
employees or agents of American Demolition arising out of the
performance of the services to be provided hereunder.
5 . That this agreement and each and every portion
thereof shall be binding upon the successors and the assigns
of the parties hereto, provided, however, that no assignment
of this agreement shall be made without the prior written
consent of the City.
6 . That this agreement shall not be deemed or
construed to create an employment, joint venture, partnership,
or other agency relationship between the parties hereto.
7 . That this agreement and its attachments
constitutes the entire agreement of the parties on the subject
matter hereof and may not be changed, modified, discharged or
extended except by written amendment duly executed by the
parties . Each party agrees that no representations or
warranties shall be binding upon the other party unless
expressed in writing herein or in a duly executed amendment
hereof .
8 . That this agreement shall be deemed to have been
made in, and shall be construed in accordance with the laws of
the State of Illinois .
9 . That American Demolition shall not discriminate
against any employee or applicant from employment because of
race, color, religion, sex, ancestry, national origin, place
birth or physical handicapwhich would not interfere with

the efficient performance of the job in question. American
Demolition will take affirmative action to comply with the
provisions of Elgin Municipal Code, Section 3 . 12 . 100 and will
require any subcontractor to submit to the City a written
commitment to comply with those provisions . American
Demolition will distribute copies of this commitment to all
persons who participate in recruiting, screening, or selection

of job applicants and prospective subcontractors . American
Demolition shall complete and return the certification forms
attached hereto and made a part hereof by this reference as
Exhibit 3 ,

It is the intent of these specifications that all concrete
and asphalt surfaces ( slabs, driveways , walkways, parking

The demolition shall include the removal of all below grade

specified to the contrary for a specific building or site.
E . FILL MATERIALS
It is the intent of these specifications that the contractor
bring all fill areas to Final Grade using material suitable
for growing grass placed in 8" loose lifts and compacted to
within 95% of optimum density; after Final Grading is
completed, the area shall be seeded by the contractor.
F . UTILITIES
It is presumed that all utilities are presently connected at
all locations . It is the successful contractor' s responsi-
bility to property disconnect and/or coordinate the discon-
nection of all utilities at all locations at the property
line or easement location.

G. NOTIFICATION
All Notifications for Demolition and Renovation will be
postmarked or delivered to Illinois EPA at least 10 working
days prior to the start of any job as required by the
Federal NESHAP Regulations .
All Notifications for Demolition and Renovation will be
completed in full as required by the Federal NESHAP Regula-
tions , including Section XVI .

SPECIAL CONDITIONS
i. Care of Wofk
A. The Contractor shall be responsible for all damages to persons or prop-
erty that occur as a result of his fault or negligence in connection with
the prosecution of the work and shall be responsible for the proper care
and protection of all work performed until completion and final acceptance,
whether whether or not the same has been covered in whole or in part by payments

B. The Contractor shall avoid damaging sidewalks, streets , curbs , pavements,
utilities, structures and other property which is adjacent to the project
site, which is on the site but is not scheduled for demolition, and which is
on the site but has not yet been released to the Cotnractor for demolition
purposes . He shall repair at his own expense and in a manner satisfactory to
the City of Elgin, Illinois, any damage thereto caused by his operations.
2. Removal of Debris, Cleaning, Etc.
All rubbish and debris found on the Demolition Area at the start of the
work as well as that resulting from the demoltion activities or deposited
on the site by others during the duration of the contract shall be removed
and legally disposed of by the Contractor who shall keep the Project Area
and public rights-of-way reasonably clear at all times. Upon completion of.
the work the Contractor shall remove all temporary construction, equipment,
salvaged materials, trash and debris of all kinds leaving the entire Project
Area in a neat condition.
3. Live Utilities and Other Property
A. The Contractor shall assume all responsibility for damage attributable
to him to any property upon, or passing through, the Project Area, but ex-

C. All sanitary sewer lines in the Project Area are to be plugged at the
foundation so that they are water tight.
4. Interpretation of Drawings
Dimensions shown for buildings and other features are nominal and approx-
imate, and the Contractor shall verify all dimensions and materials to his
own satisfaction before submitting his bid in the work.
TECHNICAL SPECIFICATION
1 . Method of Work
A. The Method of Demolition and Site Clearance, and of selection and dis-
posal of Salvaged materials will be at the Contractor's option , subject to
full compliance with all local and state laws , and with these Specifications
and Cotract Documents.
The method employed must be such as to avoid hazards to persons and prop-
erty, and interference with the use of adjacent buildings or interruption of
free passage to and from such buildings. Care must also be takne to prevent
the spread of dust and flying particles.
B. No fires of any kind will be permitted in the contract area, except that
small fires for warming of personnel may be permitted in suitable salamanders
or 50-gallon steel drums properly built or adapted to the purposes and fitted
with screen over the top to prevent release of embers or sparks. All such
small burning equipment and the operation therof must be approved by the
Elgin Fire Department. Warming fires shall not be placed within ten feet of
any combustible materials and must be put out when there is no one in attend-
ance, or at the end of the day's work.
C. BURNING OF WASTE LUMBER AND OTHER BUILDING MATERIALS OR TRASH ON THE
SITE WILL NOT BE PERMITTED.
D. The Contractor is prohibited from using any part or area of land or par-
cels within the Area, outside of the actual Contract site or sites, for his
operations, for storage of material or equipment, or for disposal of waste
or for any other purposes without consent of the City of Elgin, Illinois.
Disposition of rubble, salvaged and waste materials, debris, and trash from
within the Contract area shall be strictly in accordance with these specifi-
cations. Public Streets , alleys or other thoroughfares anywhere in the City
used by the Contractor in carrying out this Contract, shall at all times be
kept free of litter attributable to him, and his trucks or other vehicles
shall be so loaded and equipped as to prevent leakage, blowing off, or other

All hazardous open pits and recesses, specifically the basements and
partial basements , shall be filled with approved debris or other approved
materials as required to completely eliminate the hazard.
G. Sewer, stacks or other sanitary ducts extending to or through the
floors and slabs shall be sealed as provided in Paragraph "R" below.
H. Concrete Slabs on the ground, specifically the concrete floors of
those structures not having basements , shall be removed.
I . Paved Driveways and Concrete Walkways outside the Public Right of Way

O. Concrete and masonry rubble, plaster. or gypsum wallboard, and
similar incomubstible materials may be used as debris fill for basements or
other depressed areas in accordance with Paragraph `Q" below. or shall other-
wise be removed from the site.
K. All materials or objects of metal of any kind, including metal lath,
shall be removed from the site, except that completely embedded reinforcing
or small metal attachments to concrete or masonry used for debris fill need
not be removed. Reinforcing bars, mesh, railings, poles or metal inserts of
any kind, protruding from concrete or masonry above the final grade or
adjacent ground. shall be cut off as short as possible and removed from the
site, and the remaining stubs shall be battered into a condition and positioned
so as not to constitute a hazard to foot traffic or moving operations.
L. Fences , guard rails. bumpers, signs, clothes lines, and similar facilities
shall be completely removed from the site. Wood or metal posts for support
of facilities covered by this paragrpah shall be completely removed or cut
off flush with the ground with no remaining short or hazardous edges or pro-
jections.

SUBJECT: Demolition Requirements
Our previous building code required the vacant lot to be filled, graded, and maintained in conformity
with the established street grades at curb level. It also provided for all utilities to be discontinued and
capped in accordance with the approved rules and requirements of the authority having jurisdiction.
Staff and the Building Commission felt this left too much for interpretation and allowed foundations
like the one at Dundee Ave and Congdon to remain as an eyesore.
The ordinance was strengthened to require all foundations to be removed unless building permits were
obtained to reconstruct the demolished structure. This allowed flexibility for fire damaged structures
to be replaced as originally constructed if the owner could legally continue the use of the property. It
also placed the burden of either immediately rebuilding through submitting plans and obtaining
permits, or removing all of the structure to prepare for future reconstruction on the owner of record at
the time of the demolition. Current zoning ordinance would require the above mentioned vacant lot,
at Dundee and Congdon, to rebuild meeting all setback requirements as it has been vacant for more
than one year.
Although Arlington Heights, Oak Park, and DesPlaines requires the site to be "buildable" by removing
all foundation material from the lot, the intent of our code was not necessarily the removal of material
from the site, rather breaking the existing concrete into small pieces which would not inhibit the flow
of drain water into the ground and also not cause air pockets resulting in excessive settling at a future
date. All material other than concrete would have to be removed. This would meet the criteria our
Engineering Department uses for determination of acceptable fill material and would allow the
demolition contractor to then place topsoil, grade, and seed the lot.
The utilities posed a potentially more hazardous situation. If they are capped at the foundation and
buried, future excavation work could be performed without the knowledge of their location. The
ground settling from the added fill could also damage the utility piping and cause a leak. If all of the
utilities are terminated at the property line, they will not be disturbed by future excavating on the site
and the owner will have the option of reconnection to existing taps or making new ones as necessary.
We realize some buildings will present unique conditions which will require deviations from the code
requirements. One of these buildings will probably be the NBD structure. It's foundation walls may
provide structural support for the adjacent sidewalks and parking lots. These cases will be reviewed
on an individual basis.

A. To assure compliance with the City of Elgin's Affirmative Action Ordinance, all
contractors and vendors, herein referred to as "bidders", are requested to submit
the following information:
1. Workforce analysis using the enclosed Bidder's Employee Utilization form.
2. Provide the information required by Item #3 on the employee
utilization form if the answer to Question #2 on the form is "Yes",
3. Provide a written commitment outlining the steps that the bidder plans to take in
the area of recruitment and promotion of minorities and females to assure

= Sexual Harassment -- Policies and Programs
Effective July 1, 1993, every party to any contract with the City of Elgin and every eligible bidder is
required to have written sexual harassment policies that include, at a minimum, the following
information,
(I) the illegality of sexual harassment
(ii) the definition of sexual harassment under state law
(iii) a description of sexual harassment, utilizing examples
(iv) the vendor's internal complaint process including penalties
(v) the legal recourse,investigative and complaint process available through the
Illinois Department of Human Rights, and the Illinois Human Rights
Commission
(vi) directions on how to contact the department and commission
(vii) protection against retaliation as provided by Section 6-101 of the Human Rights
Act

Sexual harassment is defined as follows;
"Sexual harassment" means any unwelcome sexual advances or requests for sexual
favors or any conduct of a sexual nature when (I) submission to such conduct is made either
explicitly or implicitly a term or condition of an individual's employment, (2) submission to
or rejection of such conduct by an individual is used as a basis for employment decisions
affecting such individual, or(3) such conduct has the purpose or effect of substantially
interfering with an individual's work performance or creating an intimidating, hostile, or
offensive working environment.
Any questions by contracting parties or eligible bidders concerning compliance with these requirements
should be directed to the City of Elgin Human Resources Department at

SUBJECT: Demolition of 123 South State Street
PURPOSE
The purpose of this memorandum is to request authorization from the
Mayor and City Council members to enter into a contract with
American Demolition Corporation for the demolition of 123 South
State Street .
BACKGROUND
The City of Elgin took title to the property at 123 South State
Street on June 1, 1999 . Because title to this property was obtained
through court proceedings, the demolition of the structure could
not be included on a demolition bid that was awarded on December
16, 1998 . The demolition of 125 South State Street was included in
the above-mentioned bid package. The bid cost to demolish 125 South
State Street was $7, 200 . The American Demolition Corporation has
agreed to remove 123 South State Street for $7, 200 . Since the
proposed contract amount is under $10, 000 the project is not
subject to formal bidding requirements . In addition, American
Demolition has agreed to maintain its 1998 bid price for the
comparable demolition. Staff is comfortable in recommending that
a contract be awarded to American Demolition Corporation.

Written Commitment Guideline
The written commitment required in Item #4 of the Bidder's Employee Utilization Form shall:
l. Set out the name and phone number of the bidder's Equal Employment Officer.
2. Clearly identify the bidder's recruitment area and the percentage of minorities and
females in the area's population and labor force.
3. Set out what the bidder has done and has set as a goal to ensure the recruitment of
minority and female employees.
4. Set out the bidder's specific goals to recruit minorities and females for training programs
or other similar opportunities available through the bidder's organization.
5. Indicate bidder's consent to submit to the City of Elgin, upon request, statistical data
concerning its employee composition and recruitment efforts anytime during the term of
the contract.
6. Show bidder's consent to distribute copies of the written commitment to all persons who
participate in recruitment, screening, referral, and selection and hiring of job applicants
for the bidder.
7. Clearly show that the bidder shall require all subcontractors, if any, to submit a written
commitment complying with the above requirements of their affirmative action plan to
the City of Elgin.
8. Clearly state the bidder agrees that:
"Bidder (company name) shall not discriminate against any employee or applicant
on the basis of race, color, religion, sex, national origin, age, place of birth, ancestry,
marital status, or disability (physical or mental) which will not interfere with the

Ina Dews, 785 Fletcher Drive, complimented the Fire Department
and Police Department who came to her aid very efficiently and
quickly when her car blew up the previous day.

SUBJECT: Bid #02-057 Demolition of Various City
Owned Structures
PURPOSE
The purpose of this memorandum is to provide the Mayor and the
members of the City Council with information to award contracts for
the demolition and site clearance of various City-owned structures.
BACKGROUND
Eight Chicago land demolition contractors, including two from
Elgin, were solicited for the demolition and site clearance of
eleven City-owned properties located on South State Street and
North Grove Avenue. The required legal notice appeared in the
Courier News on May 2 , 2002 and at the public opening on May 15th,
five bids were received as detailed on the attached tabulation
sheet .
Bidders were advised that the City-owned properties would be
awarded separately.
Two of the recommended demolition contractors, Northern Illinois
Demolition Inc . , and Langos Corporation, have successfully
demolished structures for the City of Elgin in recent years.
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
The Gifford Park Association will conduct a salvage sale at 149 and
151 South State Street prior to demolition.
c6FINANCIAL IMPACT
Sufficient funds are available to enter into a contract for the 1
demolition of various City owned properties in account number 275-
0000-791 . 92-31, Capital Additions/Land, project number 039534 ,
Property Demolition. The total cost of the demolition will be
$30 , 098 . 00 . A total of $37, 000 is budgeted for this project . No
money has been spent to date .

• Item 3 to American Demolition Corporation for a total amount
of $18, 800 . 00 .
The total amount of the award equals $30, 098 . 00 .
