RESOLUTION
AUTHORIZING ACCEPTANCE AND EXECUTION OF THE
MOTOROLA CENTRALINK 911 YEAR 2000 READY UPGRADE PROPOSAL
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, be and is hereby
authorized and directed to accept and execute the Motorola
Centralink 911 Year 2000 Ready Upgrade on behalf of the City
of Elgin for an upgrade to the city' s E911 system to make it
Year 2000 compliant, a copy of which is attached hereto and
made a part hereof by reference.

SUBJECT : Y2K Upgrade for E911 System
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information to consider an
upgrade to the City' s Emergency 911 System to make it Year
2000 compliant .
BACKGROUND
The City has been examining all areas of the City to determine
whether any systems would be adversely effected by the "Mil-
lennium Bug" . Public Safety Systems were examined first and we
have discovered compliance problems with some of the systems .
We have been informed by Motorola, that our E911 system, is not
fully Year 2000 compliant and will require an upgrade to
continue to operate efficiently. This information was prepared
and originally included with a complete package of issues for
presentation to the Council, but scheduling concerns have
caused this issue to be brought forward early.
To avoid an inability to schedule the upgrade later in the
year it is recommended that we make this upgrade now. To that
end, Motorola has also created cost incentives . The upgrade
will go from $22 , 992 . 00 to $23 , 473 . 00 after May 31, 1999 .
Our E911 System was installed in 1996 and no Year 2000 concern
had been discussed at that time . The current system is not
fully compliant and Motorola will not warrant its proper
operation into the Year 2000 without the upgrade . The upgrade
will also enhance our current system by preparing us for other
emerging technologies such as wireless 911 and ISDN capabili-
ties .
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
The Y2K Committee has discussed this situation and recommends
that the City move forward on this matter.

Motorola ' s fee to upgrade the Emergency 911 system to make it
Y2K compliant will equal $22, 992 . Sufficient monies are
available within the E911 Fund to fund this equipment upgrade .
Account number 220-0000-791 . 92-47 , Communications Equipment ,
will be charged.
141 LEGAL IMPACT
vThe Motorola Centralink 911 System is proprietary. Only
Motorola can upgrade this system so Motorola is the sole
source for this upgrade under the City' s Procurement Ordi-
nance .
ALTERNATIVES
This project should be completed, no effective alternatives
exist .
RECOMMENDATION
It is recommended that the agreement with Motorola for this
upgrade be approved.

equipment. Listed on the attached sheet, I have enclosed pricing and detailed descriptions on the
Centralink 3.0 upgrade. As discussed, this upgrade is required to make your existing 9-1-1
system ready for the Year 2000. In addition, the upgrade will allow for the following enhanced
features:

• ISDN capable (optional card can be purchased when needed).

The pricing on the attached quotation is valid as noted on the following page. Motorola's payment
terms are net 30 days from shipment. Delivery and installation will begin in the sequence that
orders were received. With over 400 Centralink customers in the midwest, it is important to

Motorola is pleased to present this Proposal to assist you in preparing your CENTRALINK
equipment for the Year 2000 as quickly and efficiently as possible. We hope this assistance
will expedite your Year 2000 readiness efforts.
The package that Motorola is proposing will upgrade your system so that it is Year 2000
Ready and also includes State-of-the-Art additional features at no additional cost**.The
package includes:
• Wireless 10/20 Digit (Feature Group D)
The upgrade provides ANI information to identify wireless callers,as mandated by
the FCC.
• Caller ID on Administrative Lines
This feature is offered as an option with new CENTRALINK systems,but is included
free of charge with this upgrade package (up to 9 lines).
• Integrated Management Reports (Optional Capability)
This ALI software provides a set of reports that enables you to review call activity,
monitor operational statistics,and assess facility utilization. It is offered as an option
with new CENTRALINK systems. An upgrade is included free of charge if you have
already purchased this option.
• ISDN Capability (optional)
The inherent improvements of ISDN (Integrated Services Digital Network) offer call
handling efficiencies over CAMA(Centralized Automatic Message Accounting)
signaling. With this Year 2000 upgrade option,your CENTRALINK ANTI will support
both CAMA and ISDN signaling.
• Industry Standard Operating System
Our Year 2000 software will migrate your CENTRALINK system to a UnixWare 7
UNIX®platform. Customers who choose to migrate to CENTRALINK 2000 will use a
Windows NT®platform.These operating systems are deployed across many
industries,with widespread support.

The equipment that your call takers most commonly use can remain in use.This
provides for a smooth transition to the new upgraded system,without downtime for
training.

There will be no changes to the existing configuration.
2 If you currently have Caller ID the functionality will remain the same. There will be no
changes to the existing configuration.

7 One other option in Year 2000 readiness is an upgrade to CENTRALINK 2000,our new

Proposal:
1 The upgrade pricing is set forth at Attachment A.
2 The Statement of Work detailing the responsibilities of the parties in the performance
of this project is set forth at Attachment B.
3 The Acceptance Test Plan by which the work performed shall be accepted by you is set
forth at Attachment C.
4 The Terms and Conditions upon which this Proposal is predicated are set forth at
Attachment D.

STATEMENT OF WORK
PURPOSE AND SCOPE OF UPGRADE
City Of Elgin and Motorola have mutually agreed that the current CENTRALINK
E911TM System will be upgraded to include the CENTRALINK E911TM System 2
(ANI 2.1.2 and ALI 3.0 or greater) hardware,software,firmware,and application as
described in Proposed Upgrade section of this document.
This document defines the SOW for this upgrade and is intended to inform City Of
Elgin and Motorola of the work to be done and to obtain the authorization to
perform the upgrade.
This upgrade includes:
• CENTRALINK E911TM ANI Controller hardware,software/firmware
- Replace firmware on PROC card daughter board with 2.1.2 or greater
firmware
- Converted ANI database
- If required,replace original maintenance modem with new modem.
• CENTRALINK E911TM ALI Controller Hardware/software,and applications.
- Replace ALI Controller with new ALI Controller 3.0
- Replace XENIX OS with UnixWare 7 OS
- Upgrade the ALI software to Version 3.0.
- If required,replace original maintenance modem with new modem.

STATEMENT OF WORK YEAR 2000 READY
SOW Assumptions
It is assumed that the system to be upgraded is completely installed,operational
and free of defects (example: If an Admin. Phone is broken) it is the City Of Elgin's
responsibility to obtain repairs.
It is assumed that the site is ready for the upgrade to be performed.
All critical 7 digit(admin.) lines must have backup Telco jacks and phones
configurations available during the upgrade.
Note: All Motorola Advanced 911 telephone sets and administrative telephones
will be off-line during the upgrade. This includes access to the 7 digit lines
via the Advanced 911 telephone sets and administrative telephones. Prior
to the upgrade,City Of Elgin must make provisions for answering the
administrative 7 digit lines during the ANI upgrade.This can be
accomplished by wiring backup Telco jacks to these critical lines,and
connecting analog phones to allow the dispatcher to answer these lines.
These backup Telco jacks can also be used in the event of an ANI switch
failure.
POLICY STATEMENT
Prior to any change in hardware, software,firmware, or configuration at a site,
Motorola and City Of Elgin must be knowledgeable of the magnitude of the
required upgrade work and the system down time required to complete the
upgrade. The upgrade work and the system down-time must be planned and
scheduled to minimize the impact on City Of Elgin operations.
System routine maintenance may be performed only by authorized field service.
Routine maintenance procedures must adhere to the field service Standard
Operating Procedures.
The existing system configuration must be stable and deemed completely
operational before starting the upgrade. Any known system
issues/malfunctions/QRSs/CSRs will be defined and noted before the upgrade

process begins. If there are any serious system operational issues, the upgrade may
be delayed until they are resolved.
If the Upgrade Specialist finds the system in an unstable state,it will be the
customer responsibility to obtain service from the normal service provider to
stabilize the system. The additional trip to the customer location will be at an
additional cost.
Substitute Equipment
Motorola has identified in the proposal all equipment required to complete this
upgrade. Motorola reserves the right to substitute equipment of equal or greater
value during the upgrade.
PROPOSED UPGRADE
Impact/Estimated Down-Time Periods
To minimize the impact to City Of Elgin operations that depend upon the
CENTRALINK E911TM system, the majority of the upgrade work will be completed
during mutually agreed upon hours determined by City Of Elgin and Motorola.
Upgrade tasks will reduce the capabilities of the CENTRALINK E911tM system as
follows:
• PSAP Site:
The total CENTRALINK E911TM system will be unusable for up tb
approximately 4 hours while the ANI Switch is powered down during the
upgrade sequence. The ANI Switch must be disabled for the firmware
changeout,and loading of the database.
This will disable all 911 phones and all administrative phones connected to
the ANI switch. The E911 lines must be routed to the backup PSAP and
provisions made for answering the administrative phones and the 7 digit
lines that come into the ANI switch.

Note: All Motorola Advanced 911 telephone sets and administrative
telephones will be off-line during the upgrade. This includes
access to the 7 digit lines via the Advanced 911 telephone sets and
administrative telephones. Prior to the upgrade, City Of Elgin
must make provisions for answering the administrative 7 digit
lines during the ANI upgrade. This can be accomplished by
wiring backup Telco jacks to these critical lines, and connecting
analog phones to allow the dispatcher to answer these lines. These
backup Telco jacks can also be used in the event of a ANI switch
failure.
When the ANI upgrade is completed,answering of the 7 digit admin. lines
can resume on the advanced 911 handsets and administrative telephones.
ANI only 911 service is available,but ALI functionality will not be
available. At this point,City Of Elgin can determine if they want to return
911 call answering to the upgraded PSAP, or continue to leave 911 call
answering at backup PSAP.
The ALI computer will be off line approximately 4 additional hours while
the ALI computer is being upgraded or replaced. Note: ALI (address
information) will not be available until the ALI computer upgrade is
complete.
After the upgrade,it will be necessary for the customer to reenter speed
dial numbers that changed after the ANI database was retrieved and
converted. These speed dial numbers can be entered via the phone keypad.
Upgrade Functions and Features
The existing City Of Elgin configuration will be upgraded and may support new or
modified functions and features as outlined below. Some of the new or modified
functions and features are options that may require additional hardware and/or
software purchases,not included with the upgrade. This upgrade does not support
the addition of any new devices,changing the programming of the phones or the
ANI switch,or the addition of new features not listed below. Please contact your
Motorola Sales Representative for further information concerning any additional
functions and features, or programming changes.

Training Recommendations
Since the functions and features to the dispatcher and the administrator remain the
same,no user training is necessary.
Additional user and system administrator training classes are available by
Motorola's Worldwide Technical Education Center. Please contact your Motorola
Sales Representative for information concerning the schedules and registration for
classes.
Documentation
City Of Elgin will receive current version of product manuals.
COMPATIBILITY ISSUES
There may be compatibility issues during this upgrade with legacy peripherals,
(Examples: Modems, Printers,and CAD Interfaces.

YEAR 2000 READY STATEMENT OF WORK
There may be compatibility issues with systems shipped prior to 1995 that elect to
have Wireless 10/20 Digit ANI implemented. The MF decoder board may need to
be upgraded at additional cost to the customer.
Motorola will make every effort to identify these issues, prior to the upgrade. But
due to the large number of peripherals and interfaces,some of the configurations
may not be detected until the system is being upgraded. The customer is
responsible for acquisition cost and implementation of replacement peripherals or
interfaces found to be incompatible with the new operating system and/or ALI
application program.
UPGRADE TASKS AND SEQUENCE
Resource Requirements
The following sections discuss the resources (equipment and personnel) and system
condition which are necessary for the upgrade plan.
City Of Elgin
General Provisions
City Of Elgin will provide Motorola with a single point of contact for the upgrade.
This person shall be knowledgeable of the existing system, and be able to provide
access to sites during the upgrade.
City Of Elgin is responsible for disposal of old equipment. The Upgrade Specialist
will identify the equipment that is not to be reused,and it is the customer
responsibility to store or dispose of the equipment.
Pre-Upgrade Task
• Participate in Pre-upgrade conference call with Motorola to discuss Statement
of Work.
• Fax copies of phone faceplates to Motorola Project Manager

STATEMENT OF WORK YEAR 2000 READY
• Verify that ALI computer floppy disk drive operates correctly (example: Save
file to floppy disk)
• Verify that there is a minimum of 12.5 inches clearance above the main ANI
card-cage.
• Coordinate with Motorola Project Manager scheduling of Upgrade Specialist.
• Provide Motorola with access numbers and passwords into existing ALU and
ANI equipment,verify that the dial-up maintenance modem(s) works properly
and is connected to ANI Switch. This is required for retrieving the ANI
database for conversion. After database has been retrieved no modifications can
be made to the database. Any customer changes made to the database after
database retrieval will be the responsibility of the customer to redo.
• Coordinate scheduling with Telco provider and Motorola for re-routing of 911
calls during upgrade.
• Provide for answering of admin. 7 digit lines during the ANI upgrade. All
critical 7 digit (admin.) lines must have Telco jacks and phones available during
the upgrade.
Note: All Motorola Advanced 911 telephone sets and administrative telephones
will be off-line during the upgrade. This includes access to the 7 digit lines
via the Advanced 911 telephone sets and administrative telephones. Prior
to the upgrade,City Of Elgin must make provisions for answering the
administrative 7 digit lines during the ANI upgrade. This can be
accomplished by wiring backup Telco jacks to these critical lines,and
connecting analog phones to allow the dispatcher to answer these lines.
These backup Telco jacks can also be used in the event of a ANI switch
failure.
Upgrade Task
• Provide Motorola with a contact person with authority to sign off on ATP
during the upgrade.
• Provide the Upgrade Specialist easy access to the ANI and ALI equipment,
removing any miscellaneous equipment or boxes blocking access to the
equipment.

• Alert Telco provider about ALI shutdown prior to the ALI upgrade,and notify
Telco Provider when the ALI link is reestablished.

• Coordinate cutting 911 lines over to backup PSAP, and returning main PSAP
back to service.
Note: Failure to comply with pre-upgrade task,may result in additional charges
if second trip is required.
Motorola Project Manager (PM)
General Provisions
Provide City Of Elgin with a single point of contact for the upgrade. This person
shall be knowledgeable of E911 Year 2000 upgrades and coordinate activities with
City Of Elgin. Communication with the PM will be via phone conferences, Email,
and Correspondences
Pre-upgrade Task
• Verify that the upgrade order has been processed,staged,and shipped to the
designated location.
• Review this Statement of Work document with City Of Elgin. If required,
modify to complete the final version.
• Review equipment list.
• Review system audit form for compatibility issues.
• Provide customer pertinent Release Notes.
• Coordinate with City Of Elgin shipping location.
• Coordinate with City Of Elgin scheduling of the Upgrade Specialist.
• Verify with City Of Elgin or local shop that equipment has been received on
location.

System Staging Facility
• Contact City Of Elgin and inform them that a Specialist will be dialing into the
ANI switch to retrieve ANI database for conversion

• Convert ANI database and provide to Upgrade Specialist.
• Stage ANI firmware including:
- Receipt and inventory of the system equipment,
- Verification of all necessary items,
- Setup and configure system equipment.

General Provisions
The Upgrade Specialist will travel to the customer location to perform the upgrade.
The schedule will be coordinated by the Motorola Project Manager, and completed
by the Upgrade Specialist. The Upgrade Specialist will be responsible for the
upgrade,troubleshooting any issues,escalating any issues,and initiating the
fallback plan if necessary.

• Review upgrade details with customer while on site,informing customer again
of the impacts to their system including loss of all 911 functions and the loss of
all admin. phones and all 7 digit admin. lines during the upgrade.
• Backup old ANI and ALI Databases
• Perform pre-upgrade functional test with the customer.
• Contact Motorola System Support Center to notify them of the status of the
upgrade.
• Verify with the customer that the 911 lines are cutover to the backup PSAP.
• Perform ANI and ALI upgrades.
• Verify ANI and ALI configuration and operation after completion of upgrade
• Perform ANI and ALI upgrade Acceptance Test Plan after completion of
upgrade.
• Backup new ANI and ALI Databases. Provide copies to City Of Elgin and
Motorola System Support Center.
• Develop Punchlist with Action Plan for all Punchlist items (if required).
• Review Release notes with customer.
• Escalate issues with support organizations during the upgrade
• Initiate Fall back plan if upgrade is not successful.
Customer Requested Implementation Date (CRID)
The CRID for any on-site upgrade work to begin will be scheduled after the order is
received. City Of Elgin and Motorola will negotiate the date,once the date has been

set City Of Elgin must notify Motorola Project Manager of any required schedule
changes as soon as the need for a new start date is identified/determined. A
minimum of 5 business days notice prior to the scheduled upgrade date is necessary
in order to avoid any penalties.
Fallback Plan
If a problem is encountered during the upgrade process, and it appears that the
upgrade of the equipment will not be completed within the specified time frames,
the Upgrade Specialist and City Of Elgin will analyze the current upgrade status. If
there is a high probability that the upgrade will exceed the original timeframe
beyond 2 .0 hours,the Upgrade Specialist,at City Of Elgin discretion,will revert the
ANI/ALI back to the original configuration.
Motorola will then diagnose the upgrade problem encountered to determine if it
can quickly be resolved. Once the problem is resolved,the system upgrade process
can be resumed at a time agreed upon by City Of Elgin and Motorola.
Critical Checkpoints prior to and during the upgrade
• Complete transfer of ALI database from old ALI computer to new ALI
computer.
• After database upload,verify plugged in cards return to service.
• Verify phones come back into service
• Verify 7 digit admin. lines operate
• Verify 911 lines operate
• Verify new ANI and ALI can communicate
Fallback Plan Sequence
• Restore ANI back to the original configuration.
• Perform test calls. Cut ANI back as active PSAP. Route 911 calls back into
original PSAP
• Verify ANI operation

Post-Upgrade Escalation Plan
In the event an undocumented problem (i.e. not on the upgrade punchlist) occurs
after the Upgrade Specialist has completed the upgrade and departed the
customer's location,City Of Elgin is required to call into the System Support Center
(SSC) at 1-800-323-9949.The SSC assigns a Customer Service Request(CSR) number
for the issue. The SSC interfaces between City Of Elgin and Motorola until the
problem is resolved.
TEST AND VERIFICATION
After the upgrade work has been completed,the Upgrade Specialist will test the
system using the Acceptance Test Plan,to verify that the system is operating
correctly.
Acceptance Test Plan Information
The Acceptance Test Plan is a recommended series of tests that the Upgrade
Specialist uses to establish baseline functionality of the system before starting the
upgrade. Additionally, the Upgrade Specialist uses the Acceptance Test Plan as
verification of basic system functionality after completion of the upgrade.
The test plan may include functionality tests that do not pertain to a customer's
system. It is the Upgrade Specialist responsibility to identify which tests are outside
the scope of the customer's contract and/or configuration. The Upgrade Specialist
will review the Acceptance Test Plan with the customer to identify any functions
that do not pertain to their systems. These tests will be deleted from the Acceptance
Test Plan.
Because the Upgrade Specialist conducts the tests on a live system,all tests remain
non-service interrupting to the system users. Therefore,the Acceptance Test Plan

does not include any tests that renders the system inoperable,or causes an impact
on user operation. Any tests that require degradation of system resources,such as
disabling an operator position,are limited as much as possible.
The Upgrade Specialist performs the tests under pass/fail criteria. For tests that do
not pass, the Upgrade Specialist includes those tests on a system punchlist.
The requirements for final acceptance and sign-off of the upgrade are completion of
the Acceptance Test Plan, and,if necessary, a punchlist with action plans.

UPGRADE PUNCHLIST
A punchlist of items will be developed for any issues that occur because of the
upgrade that are not resolved before the Upgrade Specialist departs. Motorola,and
City Of Elgin develop an action plan for items on the punchlist.The action plan
includes: plans for resolution of the issues;ownership of the issues;requested
resolution date; and actual resolution date.

PURPOSE
The purpose of this procedure is to provide for performance and functional testing
of the Motorola CENTRALINK 911 Telephone System. Data collection sheets are
attached to record each function to be assured of meeting the required standards of
this test. An exception form is to be completed if a deficiency is noted while testing
the system. A copy will be presented to the system representative. Upon clearing
the exception,the portion that originally did not pass will be re-tested and the
correction noted on the form. Upon system acceptance, a copy of this procedure and
any exception forms will be provided to the system representative.

7 Digit Incoming Call
Place a call to one of the seven digit Administrative line(s) that appears on the E911
telephone. Check for the following functions:
Answer an incoming call
Place incoming call on HOLD Consultative hold Auto Hold (if enabled)
Pick-up the same call from another 911 telephone
While talking to a caller on a Motorola telephone,from another Motorola telephone,
try to access the same line. You should not be able to listen or talk (if Auto Privacy is
enabled).
Privacy Release
As above,from the Motorola telephone that is conversing with the caller, depress
and release the PRIVACY RELEASE key (FEATURE + 84) depress the FEATURE
key followed by the 3 key). Any Motorola telephone that has the same line
appearance should now be able to have access to this line and converse with both
parties.
Cancel
The CANCEL button cancels;call in progress,call being dialed and feature being
invoked.
Intercom
Lift handset, depress INTERCOM button and dial desired number of another
extension on CENTRALINK System. (If programmed for auto line select, disregard.)
Redia)
This button enables you to automatically dial the last manually entered via the

Abandon Call
Make a 911 test call and hang up as soon as ringing is heard. The ANI/ALI Monitor
will highlight the incoming call trunk(in red on color monitor),and display
ABANDON CALL on the appropriate trunk the call was received on as well as the
bottom line. An audible beep will also be heard from the Monitor. Depress the
ANSWER 911 key and then the ABANDON CALL key. The caller's ANI/ALI
information should now be displayed in the top portion of the screen. Abandon Call
information will be displayed if the calling party's number was decoded in time and
if the data base has been loaded and turned on by the telephone company.

YEAR 2000 READY SERVICE AGREEMENT
Motorola Service Agreement
Terms and Conditions
for CENTRALINK Year 2000 Upgrade
THIS SERVICE AGREEMENT is entered into by and between Motorola, Inc. ("Motorola") and the
customer named in this Service Agreement ("Customer"). Such Agreement shall be effective as
of the date the Motorola Proposal is accepted by Customer(the"Effective Date"),
SECTION 1 DEFINITIONS.
"Service Agreement" means the Motorola Proposal accepted by Customer and
its Attachments; "Equipment" means, collectively and in part, the communication
equipment that is specified in the Attachments or that is subsequently added to
the Customer's system via this Service Agreement.
SECTION 2 SERVICE DEFINED
(A) Motorola agrees to provide services for the Equipment as specified in
Attachment B Statement of Work (SOW) and in accordance with the
following standards:
(i) Motorola parts or parts of equal quality that are new or are warranted as
"like new"will be used;
(ii) All Equipment must be in working order on the date set for the upgrade
work to begin.
(B) If Equipment cannot, in Motorola's opinion, be properly or economically
serviced for any reason including excessive wear, unavailability of parts, the
state of technology, or the practical feasibility of the scope of Services as
specified in the Attachments or Motorola Statement of Work, Motorola may:
(1) modify the scope of Services related to such Equipment; or
(2) increase the price to Service such Equipment.
SECTION 3 EXCLUDED SERVICES
(A) Service does not include the repair or replacement of Equipment that has
become defective or damaged due to physical or chemical misuse or abuse
from causes such as lightning, power surges, or liquids.
(B) Unless specifically included in the Attachments, Service does not include
repair or maintenance of any transmission line, antenna, tower or tower
lighting, duplexer, combiner, or multicoupler. Motorola has no obligation or
responsibility for any transmission medium, such as telephone lines,
computer networks, or the worldwide web, or for Equipment malfunction
caused by such transmission medium.
(C) Unless specifically included in the Attachments, Service of Equipment does
not include items that are consumed in the course of normal operation of the
Equipment, such as, but not limited to, batteries, magnetic tapes, and
computer supplies.

(D) Service does not include reprogramming of Equipment; accessories, belt
clips, or battery chargers; custom or Special Products; modified units; or
software except as identified in Attachment B.
SECTION 4 RIGHT TO SUBCONTRACT/ASSIGNMENT
Motorola may assign its rights and obligations under this Service Agreement and
may subcontract any portion of Motorola's performance called for by this Service
Agreement.
SECTION 5 TIME AND PLACE OF SERVICE
Service will be provided at the location specified in Attachment B. When Motorola
performs service at the Equipment's location, Customer agrees to provide
Motorola, at no charge, a non-hazardous environment for work with shelter, heat,
light, and power and with full and free access to the Equipment. Customer will
provide all information pertaining to the hardware and software elements of any
system with which the Equipment is interfacing that enable Motorola to perform
its obligations under this Service Agreement. Unless otherwise specified in the
Attachment, the hours of Service will be hours of 8:30 a.m. to 4:30 p.m.,
excluding weekends and holidays. Final acceptance of the service provided shall
occur upon successful completion of the Acceptance Test Plan at Attachment C.
SECTION 6 PAYMENT
Motorola will invoice the Customer upon completion of the work identified in
Attachment B. Customer must pay each invoice within thirty (30) days of the
invoice date to the Motorola office designated by Motorola. Customer agrees to
reimburse Motorola for all property taxes, sales and use taxes, excise taxes, and
other taxes or assessments (except income, profit, and franchise taxes of
Motorola) now or hereafter imposed on this Service Agreement by any
governmental entity. Motorola does not by this Agreement make any price
guarantees except as stated in Attachment A.
SECTION 7 WARRANTY
Motorola warrants that its Services under this Service Agreement will be free of
defects in materials and workmanship for a period of ninety (90) days following
the completion of the Services identified within the Attachment. Customer's sole
remedies are to require Motorola to re-perform the affected Service or t4 refund,
on a pro-rata basis, the Service fee paid for the affected Service. MOTOROLA
DISCLAIMS ALL OTHER EXPRESS OR IMPLIED WARRANTIES INCLUDING,
WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY
AND FITNESS FOR A PARTICULAR PURPOSE.
SECTION 8 YEAR 2000
Motorola warrants that each hardware, software, and firmware product delivered
under this Agreement ("Product") is "Year 2000 Ready" which means that it shall
be able to accurately process date data (including, but not limited to, calculating,
comparing, and sequencing) from, into, and between the year 1999 and the year
2000, including leap year calculations, when used in accordance with the Product
documentation provided by Motorola, provided that all products (e.g., hardware,
software, firmware) used in combination with such Product properly exchange
date data with it. All Product manufactured by parties other than Motorola are

warranted hereunder based upon Year 2000 statements, representations, and
warranties made by these parties to Motorola. Motorola has not verified the
content of those Year 2000 statements but is merely republishing those
statements, representations, and warranties for purposes of thi$ warranty. This
warranty shall extend through June 1, 2000. Customer must notify Motorola, in
writing, no later than July 1, 2000 of Product that does not conform to this
Express Warranty. The remedies available for breach of this warranty shall be as
defined in, and subject to, the terms and limitations of Motorola's warranty
identified in Section 7 and 11 of this Agreement. Except as provided herein,
nothing in this warranty statement shall be construed to limit any rights or
remedies provided elsewhere in this Agreement with respect to matters other
than Year 2000 performance.
SECTION 9 CERTIFICATION DISCLAIMER
Unless signed by a Motorola authorized signatory, Motorola specifically disclaims
all certifications regarding the manner in which Motorola conducts its business or
performs its obligations under this Service Agreement.
SECTION 10 DEFAULT/TERMINATION
(A) Customer agrees to provide Motorola written notice of any default of this
Service Agreement to state the nature of the default.
(B) Noncompliance with regulatory laws or disadvantaged business entity
requirements may not be cause for default. If Motorola does not cure the
default within sixty (60) days, Customer may terminate that portion of the
Service Agreement that is in default by giving Motorola thirty (30) days prior
written notice.
(C) Any dispute will be resolved by mutual agreement.
(D) Neither party is liable for delays or lack of performance resulting from any
causes such as strikes, material shortages, or acts of God that are beyond
that party's reasonable control.
SECTION 11 LIMITATION OF LIABILITY
Notwithstanding any other provision, Motorola's total liability for losses, whether
for breach of contract, negligence, indemnity, warranty, or strict liability in tort, is
limited to the price of Services sold under this Agreement. IN NO EVENT WILL
MOTOROLA BE LIABLE FOR LOSS OF USE, LOSS OF TIME,
INCONVENIENCE, LIQUIDATED DAMAGES, COMMERCIAL LOSS, LOST
PROFITS OR SAVINGS, OR OTHER INDIRECT, SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES TO THE FULL EXTENT SUCH MAY BE
DISCLAIMED BY LAW.

YEAR 2000 READY SERVICE AGREEMENT
SECTION 12 EXCLUSIVE TERMS AND CONDITIONS
(A) Customer acknowledges that the Service Agreement supersedes all prior
and concurrent agreements and understandings, whether written or oral,
related to the services performed. The Service Agreement or Attachment
may not be altered, amended, or modified except by a written agreement
signed by both parties.
(B) Customer agrees to reference this Service Agreement on all purchase orders
issued pursuant to this Service Agreement. Neither party will be bOund by
any terms contained in Customer's purchase order or elsewhere (even if it is
attached to the Service Agreement). In the event of a conflict between the
main body of these Terms and Conditions and any Attachment, the main
body of these Terms and Conditions will take precedence, unless the
Attachment specifically states otherwise.
SECTION 13 FCC LICENSES AND OTHER AUTHORIZATIONS
("FCC ") or any other federal, state, or local government agency and for
complying with all rules and regulations required by such agencies. Neither
Motorola nor any of its employees is an agent or representative of Customer in
any governmental matters.
SECTION 14 OWNERSHIP OF INTELLECTUAL PROPERTY
(A) This Service Agreement does not grant directly or by implication, estoppel, or
otherwise, any ownership right or license under any Motorola patent,
copyright, trade secret, or other intellectual property including any intellectual
property created as a result of or related to the products sold or Services
performed under this Service Agreement.
(B) Motorola reserves the right to limit access to its confidential and proprietary
information including cost and pricing data.
SECTION 15 GENERAL TERMS
(A) If any court renders any portion of this Service Agreement unenforceable, the
remaining terms will continue in full force and effect.
(B) THIS SERVICE AGREEMENT AND THE RIGHTS AND DUTIES OF THE
PARTIES WILL BE GOVERNED AND INTERPRETED IN ACCORDANCE
WITH THE LAWS OF THE STATE OF ILLINOIS.
(C) Failure to exercise any right will not operate as a waiver of that right, power,
or privilege.
(D) Except for money due upon an open account, no action may be brought for
any breach of this Service Agreement more than one (1) year after the
accrual of such cause of action.
(E) The Service Agreement will begin on the date agreed to by the parties as
specified in Attachment B.
