RESOLUTION
AUTHORIZING EXECUTION OF AMENDMENT #2 TO AN AGREEMENT WITH
PRC PUBLIC SECTOR, INC. FOR THE COMPUTER AIDED DISPATCH SYSTEM
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, and Dolonna
Mecum, City Clerk, be and are hereby authorized and directed
to execute Amendment #2 to an Agreement on behalf of the City
of Elgin with PRC Public Sector, Inc. for the Police and Fire
Computer Aided Dispatch System, a copy of which is attached
hereto and made a part hereof by reference.

AMENDMENT#2
to
AGREEMENT between PRC PUBLIC SECTOR, INC.
and
THE CITY OF ELGIN, ILLINOIS
THIS AMENDMENT is made and entered into this S-C‘\day of 1Np2 , 1999
between PRC Public Sector, Inc., a Delaware corporation ("PRC") and the City of Elgin, Illinois
("City").
WHEREAS,the parties hereto entered into that certain Agreement executed March 30, 1995
whereby PRC agreed to sell and provide for, and the City Agreed to purchase, a Computer Aided
Dispatch("CAD") System, and;
WHEREAS, the parties desire to amend such Agreement;
NOW,THEREFORE,the parties agree as follows:
1. Contract Deletions. PRC shall not provide the following items from Exhibit "A"
of the Agreement. Therefore,the following Items and their associated costs are deleted from Exhibit
"A" of the Agreement:

4. Contract Value. The Original contract value $1,685,400 is Amended. The Contract
Value is $ 1,356,697.00
5. Exhibits. Exhibit"A" shall be deleted in its entirety and the Revised Exhibit"A" dated
March 5, 1999 shall be substituted therefore in its entirety.
6. The circumstances said to necessitate the changes in performance, as provided herein,
were not reasonably foreseeable at the time the original contract was signed and are in
the best interest of the City and authorized by law.
EXCEPT as herein amended,the Agreement shall remain the same.

SUBJECT: Change Order No. 2 with PRC Public Sector, Inc .
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council information to consider a change
order with PRC Public Sector Inc .
BACKGROUND
The City entered into an agreement with PRC Public Sector,
Inc . on March 30, 1995, to provide a Police and Fire Computer
Aided Dispatch System (CAD) for the City of Elgin. The City
staff has been working with PRC to complete this project for
the last 4 years . The base system became operational in 1997,
but several additional enhancements have continued to be
delayed due to ongoing changes in the state ' s wireless data
radio infrastructure .
The data radio infrastructure used by the Police and Fire
Departments is supplied by a quasi-governmental agency known
as ALERTS (Area-wide Law Enforcement Radio Telecom System) .
ALERTS has been undergoing significant improvements to their
infrastructure in an attempt to stay current with technologi-
cal advancements . This process has been on-going and has
affected the City' s project .
Since 1995, ALERTS and the City have been working under a
specific, proprietary software program. Unfortunately, this
program has some shortcomings such as the inability to trans- 1
mit large data files and operated on a radio-only format . The
new software program is much more flexible in that it is an
open or generic format allowing other software providers to
assist system users in developing need applications . The
software also allows for the transmission of large data files
and has the flexibility to use either a radio or a cellular
format . The ability to transmit large data files also im-
proves significantly the reporting capability of police and
fire field operations . In addition to ALERTS ' move to this
software format, the Illinois State Police have also purchased
the software and agreed to share its network (both radio and
cellular) with local public safety agencies, thereby creating
a common public safety radio format statewide .

Based on the City' s desire to adopt a mobile communications
software format consistent with ALERTS and the State Police,
PRC has agreed to reduce the scope of their existing contract,
reducing the contract by $328, 703 . These funds and likely
additional resources will be required to fund the development
of needed applications for projects such as the placement of
data terminals in fire apparatus, use of automatic vehicle
location (AVL) for public safety, in-vehicle mapping capabili-
ty for the Fire Department, and final full integration through
the ALERTS network. The needs to complete the project should
be identified by mid-year 1999 .
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
This amendment to the contract has been reviewed by the City' s
CAD committee comprised of representatives from the Communica-
tions Division, the Police Department, Fire Department and
Information System Department . All members agree this is the
best way to get the most efficient system for the City in the
most timely manner.
This proposal has also been reviewed and approved by the
City' s Emergency Telephone System Board at their meeting on
January 21, 1999 .

I Change Order No. 2 to the PRC Public Sector Inc . contract
would reduce the value of the contract by $328 , 703 . The
revised contract value will be $1, 356, 697 . The contract is
funded through the E-911 Fund.

ALTERNATIVES
The City may choose to proceed without the modifications
resulting in a system that will reflect the technology in
place in 1995 when the contract was proposed and agreed.
RECOMMENDATION
It is recommended that the City Council authorize Change Order
No. 2 as proposed.
