RESOLUTION
AUTHORIZING EXECUTION OF A CONTRACT ASSIGNMENT WITH
DAMES & MOORE, INC. AND BRW, INC.
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Joyce A. Parker, City Manager, be and is hereby
authorized and directed to execute a Contract Assignment on
behalf of the City of Elgin with Dames & Moore, Inc. and BRW,
Inc . for the design of the U.S. 20 bike path project, a copy of
which is attached hereto and made a part hereof by reference.

CONTRACT ASSIGNMENT
This Contract Assignment,dated this/6&lay of , 1997 by and between Dames&Moore,
Inc. ("Assignor")and BRW,Inc. ("Assignee"),with the consent of the City of Elgin("Client").
WHEREAS,Assignor and Assignee are both affiliated companies of Dames&Moore Group; and,
WHEREAS,all of the employees of Assignor who are working on the Contracts will become employees of
Assignee as a result of an internal corporate restructuring on or about December 20, 1997;and,
WHEREAS,because of the transfer of employees, it is necessary for Assignee to complete the contractual
responsibilities of Assignor under all of Assignor's outstanding contracts with Client.
NOW THEREFORE, in consideration of One Dollar and other good and valuable consideration, in hand
paid,Assignor hereby assigns the following listed contracts(the"Contracts")to Assignee:
38268-001 U.S. 20 Bike Path Agreement dated Sept. 12, 1997
Assignee hereby agrees to accept assignment of the Contracts, including completion of all of Assignor's
responsibilities thereunder.

SUBJECT : Assignment of Bike Path Design (Route 20) to BRW
from Dames & Moore, Inc.
PURPOSE
The purpose of this memorandum is to request City Council
approval of the Contract Assignment from Dames & Moore, Inc.
to BRW, Inc. for the design of the CMAQ (Congestion, Mitiga-
tion and Air Quality Program) Grant/U. S . 20 Bike Path Project .
BACKGROUND
On September 12, 1997, the City Council approved the contract
for Dames & Moore, Inc. to design and prepare the construction
document for the U. S. 20 Bike Path project . This portion of
the project includes the engineering of the bike path from the
Soccer Complex building in the Sports Complex to Elgin Commu-
nity College.
The project is funded through a CMAQ Grant from the Illinois
Department of Transportation. The contracted amount of $34 , 453
will not change with the Contract Assignment from Dames &
Moore, Inc. to BRW, Inc. Eighty percent of the consulting fee
will be reimbursed by the CMAQ Program which is an 80/20
matching funds grant as originally approved. The 20%
($6, 890 . 60) City portion of the project was funded from
account number 385-0000-795. 92-32 .
Due to an internal restructuring of Dames & Moore, Inc. and
the transferring of the project to their subsidiary BRW, Inc.
a Contract Assignment is required. As explained in the at-
tached letter from Dames & Moore, Inc. :
"As a result of an internal restructuring, all of
the employees of Dames & Moore, Inc. who are working
on your projects will be transferred to BRW, Inc. , a
wholly-owned subsidiary of Dames & Moore Group,
which was acquired in May of 1996. "
