RESOLUTION
AUTHORIZING EXECUTION OF AN AGREEMENT WITH THE
METRA COMMUTER RAIL DIVISION OF THE
REGIONAL TRANSPORTATION AUTHORITY
(National Street Improvement Project)
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City
Clerk, be and are hereby authorized and directed to execute an
agreement on behalf of the City of Elgin with the Metra
Commuter Rail Division of the Regional Transportation Authority
for the National Street improvement project, a copy of which is
attached hereto and made a part hereof by reference.

AGREEMENT
THIS AGREEMENT is entered into thisz-i day of Qcv. , . . by and between
the STATE OF ILLINOIS, acting by and through its DEPARTMENT OF
TRANSPORTATION, hereinafter called the STATE, the Commuter Rail Division of the
Regional Transportation Authority, a Division of an Illinois Municipal Corporation,
hereinafter called METRA, and the CITY OF ELGIN in the County of Kane in the State of
Illinois, hereinafter called the CITY.
WITNESSETH
WHEREAS, the parties hereto, in the interest of the safe and efficient movement of
vehicular and pedestrian traffic, are desirous of constructing and widening National Street at
MDW line station parking east lot and west end of National Street bridge in the CITY, by
implementation of construction work consisting of bituminous pavement, curb and gutter,
storm sewers and all other appurtenant items, said improvement to be identified for
Preliminary Engineering Section 98-00163-00-GL and STATE Job No. D-91-218-98,
Operation GreenLight Project, and hereinafter referred to as the PROJECT; and
WHEREAS the parties hereto are desirous of said PROJECT in that same will be of
immediate benefit to the residents of the area and permanent in nature; and
WHEREAS, the parties hereto wish to avail themselves of certain funds appropriated
from the Operation GreenLight Fund to the Department of Transportation for this
PROJECT;
NOW, THEREFORE, in consideration of the mutual covenants contained herein the
parties hereto agree as follows:
I. METRA AGREES:
1. To make or cause to be made all surveys, prepare or cause to be prepared the right of
way plats (if necessary), plans, specifications and estimates, in accordance with the
current standards, specifications and policies of the Administrative Policies of the
Bureau of Local Roads and Streets of the STATE.

2. To certify to the STATE that all necessary right-of-way has been obtained (if right-
of-way is required) or that no additional right-of-way is required.
3. To exercise its franchise rights to cause private utilities to be relocated at no expense
to the STATE.
4. To maintain, for a minimum of 5 years after the completion of the contract, adequate
books, records, and supporting documents to verify the amounts, recipients, and uses
of all disbursements of funds passing in conjunction with the contract; the contract
and all books, records, and supporting documents related to the contract shall be
available for review and audit by the Auditor General; and METRA agrees to
cooperate fully with any audit conducted by the Auditor General and to provide full
access to all relevant materials. Failure to maintain the books, records, and
supporting documents required by this section shall establish a presumption in favor
of the STATE for the recovery of any funds paid by the STATE under the contract
for which adequate books, records, and supporting documentation are not available
to support their purported disbursement.
II. IT IS MUTUALLY AGREED:
1. The disposition of encroachments, if any, shall be cooperatively determined by
representatives of the CITY and the STATE.
2. That the estimated Division of Costs of the PROJECT are:

3. The STATE agrees to reimburse Metra one hundred percent (100%) of the
engineering costs upon to a maximum of $150,000 from Operation Greenlight funds.
Any funds required to complete the PROJECT in excess of the $150,000 will be the
responsibility of METRA. The STATE will reimburse METRA for one hundred (100%)
its share of the engineering costs upon approval of the design plans by the STATE and
receipt of a bill from METRA requesting such payment. The bill shall contain sufficient
cost information and, if said services are performed by a consultant, show evidence of
payment by METRA.
4. Obligations of the STATE shall cease immediately without penalty or further
payment being required if, in any fiscal year, the Illinois General Assembly or
applicable Federal Funding source fails to appropriate or otherwise make available
fund for the work contemplated herein.
5. This agreement and the covenants contained herein shall become null and void in the
event a contract covering the work contemplated herein is not awarded prior to
January 1, 2000.
6. This agreement shall be binding upon and inure to the benefits of the parties, their
successors and assigns.

ORDINANCE NO. MET-87-1
An ordinance authorizing the filing of applications with the Department of Transportation, United States of
America,for grants under the Urban Mass Transportation Act of 1964, as amended, and with the Department of
Transportation,State of Illinois,pursuant to the Illinois Revised Statutes (1985), Chapter 127, Sections 651-670
and 49.19, and with the Regional Transportation Authority for capital grants under the Regional Transportation
Authority Act as amended, Section 2.02(b).
WHEREAS,the Secretary of the Department of Transportation of the United States,the Secretary of the
Department of Transportation of the State of Illinois and the Regional Transportation Authority are authorized to
make grants for mass transportation projects; and
WHEREAS, it is required by the U.S. Department of Transportation and Illinois Department of
Transportation and the Regional Transportation Authority in accord with the provisions of Title VI of the Civil
Rights Act of 1964, that in connection with the filing of an application for assistance under the Urban Mass
Transportation Act of 1964,as amended,the applicant give an assurance that it will comply with Title VI of the
Civil Rights Act of 1964 and the U.S. Department of Transportation requirements thereunder; and
WHEREAS,it is the goal of the Applicant that minority business enterprise be utilized to the fullest extent
possible in connection with these project(s), and that definitive procedures shall be established and administered
to ensure that minority businesses shall have the maximum feasible opportunity to compete for contracts when
procuring construction contracts, supplies,equipment contracts, or consultant and other services;
NOW,THEREFORE,BE IT ORDAINED by the Commuter Rail Board of the Commuter Rail Division
of the Regional Transportation Authority("Commuter Rail Division"):
1. That the Executive Director of the Commuter Rail Division or the Executive Director's designee is
authorized to execute and file applications on behalf of the Commuter Rail Division with the U.S.
Department of Transportation and the Illinois Department of Transportation and the Regional
Transportation Authority to aid in the financing of planning, capital and/or operating assistance
projects pursuant to the Urban Mass Transportation Act of 1964,as amended. '
2. That the Executive Director of the Commuter Rail Division or the Executive Director's designee is
authorized to execute and file with such applications an assurance or any other document required by
the U.S. Department of Transportation,the Illinois Department of Transportation and the Regional
Transportation Authority effectuating the purposes of Title VI of the Civil Rights Act of 1964.
3. That the Executive Director of the Commuter Rail Division or the Executive Director's designee is
authorized to furnish such additional information, assurances,certifications and amendments as the
U.S. Department of Transportation, the Illinois Department of Transportation and the Regional
Transportation Authority,may require in connection with the applications or the projects.
4. That the Executive Director of the Commuter Rail Division or the Executive Director's designee is
authorized to set forth and execute affirmative minority business policies in connection with the
relevant project's procurement needs.

5. That the Executive Director of the Commuter Rail Division or the Executive Director's designee is
authorized and directed on behalf of the Commuter Rail Division to execute and deliver grant
agreements and all subsequent amendments thereto between the Commuter Rail Division and the U.S.
Department of Transportation, the Illinois Department of Transportation and the Regional
Transportation Authority,for aid in the financing of the planning,capital and/or operating assistance
projects, and the Assistant Secretary is authorized and directed on behalf of the Commuter Rail
Division to attest said agreements and all subsequent amendments thereto.

the City of Elgin have received the Joint Agreement for the Elgin National Street Access
Operation Greenlight Project. The Agreement will provide$150,000.00 in engineering funds for improved
access to the Metra Station and parking at National Street, as well as provide a new entrance to the property
currently under acquisition by the City of Elgin between the Metra tracks and the river.
The Illinois Department of Transportation is requiring Elgin to sign this Agreement because this access
road, when completed, will become a city street accessing the river property and the city will be responsible
for maintaining the street after it is turned over.
Metra anticipates engineering of this project to take approximately a year and one-half, as we expect to get
into some Corp of Engineer issues. Metra will also be engineering the new National Street depot and
commuter parking in conjunction with the access project. As we near completion of the Engineering Phase,
IDOT will fund the construction of the access improvement in the amount of$700,000.00.
In order to keep to the construction time frame of spring 2000 for this three component project, this Joint
Agreement needs to be executed by the City of Elgin as soon as possible so that we can get this engineering
phase underway. Metra has already executed the Agreement and returned it to IDOT.

SUBJECT: Metra Agreement for National Street Improvements
PURPOSE
The purpose of this memorandum is to provide the Mayor and members of City Council with
information to consider an agreement with Metra for improvements at the National Street station.
BACKGROUND
In January 1998, a concept plan for improvements to the National Street Metra station was
presented to the City Council. The improvements include three elements:
1 -Improved access to the National Street parking lot.
2 -Development of a full station building (depot, platform, and shelter) at the National
Street site.
3 -Expanded parking area.
Metra has applied for and received grant funding from the Illinois Department of Transportation
(IDOT) Operation Green Light"Access to Transit" Capital Improvement Program for the
National Street access improvements project. These improvements include widening of the
entrance/exit areas on both sides of the train tracks as well as paved roadway, curb and gutter,
and storm sewers. Funding for the engineering of access improvements is approved for the
current fiscal year. The IDOT grant will fund the full cost of the engineering the project,
estimated at $150,000. IDOT has requested that a three party agreement (Metra, IDOT and City
of Elgin)be executed for the use of the grant funds. The City's participation is requested due to
the fact that the entry road will be regarded as a City street and as such will be accepted by the
City for maintenance. Metra has indicated that it will handle snow removal for the entrance as a
part of its regular lot maintenance. Additional grant funding of$740,000 for construction
(estimated full cost) is anticipated in subsequent years. It can be anticipated that a similar
agreement will follow for the construction funding. Engineering of the project will begin upon the
execution of the proposed agreement.

tAFINANCIAL IMPACT
While there is no immediate financial impact of the grant-financed improvements, the City will be
responsible for maintaining the pavement which will eventually impact the City's street
maintenance budget.
LEGAL IMPACT
None.
ALTERNATIVES
The City Council may choose to accept, deny or amend the agreement.
RECOMMENDATION
It is recommended that the City enter into the agreement with IDOT and Metra for improvements
to the National Street parking lot.
