RESOLUTION
AUTHORIZING EXECUTION OF AN AMENDED DEVELOPMENT AGREEMENT
WITH MOTOROLA, INC .
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Kevin Kelly, Mayor, and Dolonna Mecum, City
Clerk, be and are hereby authorized and directed to execute an
Amended Development Agreement on behalf of the City of Elgin
with Motorola, Inc . for assistance in the development of the
Motorola Messaging, Information and Media Sector Complex, a
copy of which is attached hereto and made a part hereof by
reference.

SUBJECT: Amended Development Agreement with Motorola
PURPOSE
The purpose of this memorandum is to present to the Mayor and
Members of the City Council a revised development agreement
with Motorola for the property located at Interstate 90 and
Randall Road.
BACKGROUND
On February 14, 1996, the City of Elgin and Motorola, Inc.
000. entered into a development agreement relating to property
owned by Motorola located at the I-90 Tollway and Randall
Road. In order to provide for the development of the Motorola
site, the City agreed to provide certain infrastructure-relat-
ed assistance in the form of roadway improvements, utility
improvements and economic development grants dedicated for
on-site water and infrastructure improvements'.
The majority of the initial site work on the 130 acre parcel
is completed. However, due to economic conditions, Motorola
has chosen to delay the building construction portion of the
project. In order to ensure the accuracy of the development
agreement, certain modifications need to be made that reflect
current circumstances .
1 . Paragraph 2 . The completion date for the access road
serving the Motorola site from Route 72 has been changed
from September 30, 1996 to December 31; 1997 .
2 . Paragraph 4 . Payment of the initial $250,000 shall be
subject to the beginning of site grading rather than
building construction. The second payment of $250,000
is conditioned on start of building construction rather
than six months after. the first payment.
3. Paragraph 5. The date for start of building construction
is changed from June 1, 1997 to June 1, 1999 . The
project completion date is changed from June 30, 1999 to
June 30, 2001 .

AMENDED DEVELOPMENT AGREEMENT
This amended agreement made and entered into this
23rd day of July, 1997, by and between the CITY OF ELGIN, an
Illinois municipal corporation, (hereinafter referred to as the
"City" ) and MOTOROLA, INC. , a Delaware corporation,
(hereinafter referred to as "Motorola" ) .
WITNESSETH
WHEREAS, Motorola has acquired the property located
at the northwest corner of the 1-90 Tollway and Randall Road in
the City of Elgin, Illinois, and legally described on Exhibit A
attached hereto (hereinafter referred to as the "subject
property" ) ; and
WHEREAS, in 1996 , Motorola, after consultations and
negotiations with the City concerning certain development
assistance, has determined to proceed with the development of
its Messaging, Information and Media Sector Complex on the
subject property; and
WHEREAS, in order to provide for the continued
development of the City including the development of the
subject property by Motorola the City has agreed to provide
certain infrastructure related development assistance in the
form of roadway improvements, utility improvements and an
economic development grant dedicated for on-site water and
roadway infrastructure improvements; and
WHEREAS, the City providing development assistance to
the Motorola Messaging, Information and Media Sector
development on the subject property will result in a
substantial increase in the City' s tax base, provide numerous
new and additional employment opportunities and specifically
will result in a minimum investment by Motorola of $40 million
in capital improvements and the creation of a minimum of 1,000
new jobs within the City; and
WHEREAS, the City of Elgin is a home rule unit
authorized to exercise and perform any function relating to its
government and affairs; and
WHEREAS, infrastructure related economic development
initiatives resulting in the significant increases in the
City' s tax base and employment opportunities within the City
are matters within the government and affairs of the City of
Elgin; and
WHEREAS, Motorola and the City entered into a
Development Agreement dated February 14 , 1996, relating to
Motorola' s Development of the subject property; and
WHEREAS, as a result of unforeseen circumstances
which occurred after the Development Agreement of February 14 ,
1996 was entered into, Motorola has put an indefinite hold on
the commencement of construction of the subject project so the
parties wish to enter into this Amended Development Agreement
in lieu of the original Development Agreement of February 14 ,
1996 .
NOW, THEREFORE, for and in consideration of the
mutual promises and undertakings contained herein, and other
good and valuable consideration, the receipt and sufficiency of

which is hereby acknowledged, the parties hereto agree as
follows :
1 . That the foregoing recitals are incorporated in
this agreement in their entirety.
2 . That to facilitate Motorola ' s development of its
Messaging, Information and Media Sector development complex on
the subject property the City agrees to participate in the
acquisition of property and construction of an access roadway
with the general location and specifications thereof being as
set forth on Exhibit B attached hereto. The City agrees to pay
100% of the cost of right of way acquisition. The parties
understand and agree that the City and State of Illinois have
agreed to share the cost of the design and construction of the
subject access roadway with the State providing fifty percent
(50%) of the funds for the roadway design and construction up
to a maximum of $950,000 . The City agrees to pay the remainder
of the roadway design and construction costs with the
preliminary cost estimate for the design and construction of
the roadway being $1,905,000 . The City agrees to diligently
proceed with the right of way acquisition and the design and
construction of the subject roadway and shall endeavor to
complete the access roadway by December 31, 1997 .
3 . That the City further agrees to provide for at
its cost the extension of the 12 inch watermain and the 24 inch
interceptor sanitary sewer north along Randall Road to the
southern boundary of the property known as the Randy' s
Vegetables property. The parties agree that the City shall not

be obligated to commence with the construction of such utility
improvements until after ground breaking at the subject
property by Motorola, provided that Motorola shall not be
subject to the related reimbursement obligation up to $505,000
provided in paragraph 5 below if the City commences
construction prior to groundbreaking at the subject property by
Motorola without Motorola' s prior written consent. Motorola
further agrees that prior to the commencement of the
construction of such utility improvements to grant to the City
a utility easement along the eastern boundary of the subject
property. The easement shall be in recordable form acceptable
to both parties and shall include at no cost to the City a
utility easement of not more than eighty (80) feet along the
eastern boundary of the subject property permitting the City to
construct and maintain underground sewer and water utilities in
the easement premises .
4 . That the City further agrees to provide a
$500,000 economic development grant to Motorola dedicated for
water and roadway infrastructure improvements to be constructed
by Motorola on the subject property. These funds will be
distributed to Motorola in two equal installments of $250, 000,
the first on July 1, 1996, or upon initiation of site grading
at the subject property by Motorola, whichever occurs later,
and the second to be made upon the start of construction of the
first building.
5 . That the parties understand and agree that the
economic development assistance being provided by the City to

Motorola as set forth herein is expressly contingent upon
Motorola' s development of its Messaging, Information and Media
Sector development complex on the subject property which the
parties understand and agree will result in a minimum
investment by Motorola of $40 million in capital improvements
and the creation of a minimum of 1,000 new jobs at the subject
property. In the event Motorola fails to commence with the
construction of the Messaging, Information and Media Sector
development complex on the subject property on or before
June 1, 1999, and/or fails to substantially complete
construction and commence operations at the subject property on
or before June 30, 2001, the parties understand and agree that
Motorola shall reimburse to the City in full any funds
disbursed to Motorola under the $500, 000 economic development
grant as provided for in the preceding paragraph 4, and that
Motorola shall further reimburse the City the total costs it
incurred arising from the utility improvements as set forth in
the preceding paragraph 3, not to exceed the amount of
$505,000 .
6 . That this agreement shall not be deemed or
construed to create an employment, joint venture, partnership
or other agency relationship between the parties hereto.
7 . That this agreement is subject to and shall be
governed by the laws of the State of Illinois .
8 . That this agreement supersedes and replaces the
original Development Agreement between Motorola and the City
dated February 14, 1996 , and upon execution of this Amended

Development Agreement the terms of the February 14, 1996,
Development Agreement shall be deemed terminated in favor of
the terms of this Amended Development Agreement.
IN WITNESS WHEREOF, the parties have entered into and
executed this Agreement on the date and year first written
above.
