BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS, that Robert O. WITNESSETH WHEREAS, Long Elevator and Center City Development Corporation previously entered into an elevator service contract dated October 6 , 1993 (hereinafter referred to as the "Original Elevator Service Contract" ) for the property commonly known as 32-52 Fountain Square Plaza, Elgin, Kane County, Illinois; and WHEREAS, the City thereafter acquired 32-52 Fountain Square Plaza from Center City Development Corporation and as a part thereof the City entered into an assignment and assumption of the Original Elevator Service Contract with the City assuming all of Center City Development Corporation' s obligations under the Original Elevator Service Contract with Long Elevator as of August 31, 1994; and WHEREAS, the City has since sold 32-52 Fountain Square Plaza; and WHEREAS, the City and Long Elevator have agreed to amend the Original Elevator Service Contract in its entirety { J as provided herein to provide for elevator maintenance service on other city-owned properties . NOW, THEREFORE, for and in consideration of the mutual promises and undertakings contained herein, and the mutual promises and undertakings as set forth in the Original Elevator Service Contract, and for other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows : 1 . That the foregoing recitals are incorporated into this agreement in their entirety. 2 . That the City and Long Elevator hereby agree that the Original Elevator Service Contract dated October 6 , 1993, as assigned to the City as of August 31, 1994 , is hereby terminated in favor of the following agreements of the parties with respect to payments and elevator service on other city-owned properties . 3 . That the City agrees to pay within fourteen ( 14 ) days of the execution of this agreement to Long Elevator the sum of $4 , 800 representing amounts previously billed to the City but not yet paid under the Original Elevator Service Contract. 4 . That the City and Long Elevator agree that Long Elevator shall provide elevator service for city-owned elevators for a twenty-four (24 ) month period commencing /17- 1997 and ending /7 /2,/ /0 , 1999 , for the fee of $1, 000 per month all as set forth in the Long Elevator Elevator "Full" Maintenance Proposal consisting -2- of five ( 5) pages attached hereto and made a part hereof as Exhibit 1 . 5 . That the parties hereto further understand and agree that the City is retaining Long Elevator as an independent contractor. This agreement shall not be construed to create an agency, joint venture or employment agreement between the parties hereto . 6 . That Long Elevator to the fullest extent permitted by law hereby agrees to indemnify and hold harmless the City, its officers, agents and employees from and against any and all claims , damages, liabilities, losses, or expenses of any kind or nature imposed on, incurred by or asserted in any manner against the City or its officers, agents or employees, including attorney' s fees and cost for defense, arising out of any personal injuries including but not limited to death from any negligent act or omission in the performances of services by Long Elevator pursuant to this Amended Elevator Service Contract. (Contractor) ELEVATOR"FULL" MAINTENANCE Elevator Full Maintenance shall be provided at the following location: City of Elgin Elevators: Group One-Police Department Main Elevator (One Passenger) -Police Department Prisoner Elevator (One Passenger) Group Two - City Hall Main Elevator - Spring Street Parking Deck North Elevator (One Passenger) - Spring Street Parking Deck South Elevator (One Passenger) Group Three - Old Main (One Passenger) -Hemmens Auditorium (One Passenger) -Lords Park Pavilion (One Passenger) • - Airlite Water Plant (One Freight) - Riverside Water Plant (One Freight) Exhibit 1 CITY OF ELGIN ELEVATOR"FULL" MAINTENANCE PAGE 2 • Work to be performed: (at contractors expense) • The contractor shall regularly and systematically examine, clean, adjust and lubricate the elevators at a minimum of a monthly basis. The contractor shall provide a minimum of one inspection per elevator, each month, for elevators in Group One and Group Two and one inspection, per quarter, for elevators in Group Three,dedicated to elevator maintenance, call back time shall not be considered elevator maintenance. • The contractor shall, if conditions warrant, repair or replace the following: 1. Elevators pumps, pump motor, control valves, hydraulic fluid, mufflers. 2. Plunger packings and exposed piping. • 3. Controller, selector, starters, relays, solid state boards/components, transformers, resistors, control fuses, main line fuses (if caused by elevator), and computer equipment. 4. Hoistway door interlocks, hangers, up thrusts, release roller assemblies, gibs and closers. 5. Car door operators, hangers, relating cables, clutches, door switches, door protective devices, gibs, and linkage. 6. Car guide shoes, gibs, roller guides and rollers. 7. Hall pushbuttons, car pushbuttons, button lighting, indicator lighting, led indicator units, stop switches, car station key switches. 8. Elevator emergency light unit, in car. 9. Elevator traveling and conductor cables. 10. Car switches, inductor switch, leveling units, car top inspection stations. 11. Hoistway switches, hoistway cams, hoistway tape assemblies. Repair or replacement of component parts of the above elevator equipment is included in this specification. The contractor shall keep a maintenance check chart in the equipment room. The chart shall be completed each month. Items of Elevator Equipment Not Included: The contractor shall not be responsible for the following items of elevator equipment: Refinishing, repairing, or replacement of car enclosure (including removable panels, door panels, car gates, ventilating equipment, ceilings, light, light diffusers, light tubes or bulbs, handrails, mirrors, flooring, communication system); hoistway enclosure, hoistway doors/gates/frames/sills, cylinders, plungers, buried piping, power switches, fuses (except as specified) and feeders to controller, smoke detectors, intercoms or music systems. ( The contractor shall furnish a twelve month warranty on any additional work or equipment, that the contractor performs outside the scope of this specification. The Conditions/Responsibility section of this specification shall apply to said work or equipment.) CITY OF ELGIN ELEVATOR "FULL" MAINTENANCE PAGE 3 Service Hours: All work shall be performed during regular working hours of regular working days of the elevator industry. Should City of Elgin request any work required by this specification to be performed at times other than regular working hours, City of Elgin shall pay the contractor the difference between the contractors regular straight-time labor hours and the contractors overtime labor at the contractor regular billing rates. The response time for elevator call backs shall be as follows: approximately - two hours for non-emergency calls and one hour for emergency calls Tests and Performance: The contractor shall keep, to the best of their ability, the elevators in safe operating condition. The contractor shall perform, under this specification, all annual pressure and static testing, required by the City of Elgin. The contractor shall test elevator fire service and record test data on a chart in the elevator equipment room. Conditions /Responsibility: City of Elgin shall provide full and free access to the elevator equipment. The contractor shall not be required to make: 1. other safety examinations or install new attachments on the elevators whether or not recommended or directed by insurance companies or by government authorities. 2. any replacements of obsolete parts or parts of a different design. 3. adjustments, renewals, replacements, or repairs as required in this specification if caused by means other than ordinary wear and tear, including but not limited to negligence, misuse, or obsolescence of the equipment or by reason of any cause beyond the contractors control, except ordinary wear and tear. The City of Elgin is the exclusive owner, possessor, and custodian of the elevator equipment under this specification. The contractor shall not assume possession or management of any part of the equipment. The City of Elgin shall supervise the use of the elevator equipment and shall provide attending personnel, advice, warnings, or instructions to passengers in the proper use of the equipment and other controls and cautions. The City of Elgin shall notify the contractor of any operational problems, malfunctions, or accidents and shall properly secure the elevator'in the event thereof. The City of Elgin shall be responsible for the operation or use of the equipment. CITY OF ELGIN ELEVATOR"FULL" MAINTENANCE PAGE 4 Conditions /Responsibility: The contractor shall not be responsible for any loss, damage, expense, cost or delay cause by acts of government, strikes, lockouts, fire, explosion, theft, vandalism, floods, riot, civil commotion, war, malicious mischief, acts of God, or causes beyond reasonable control. Term: The term of this specification shall be for a period of two years Wm the agreed start date. The start date shall be as follows: First Day of , 1997 Payment: • The contract payments shall be paid per month at the agreed per month charge (based on the bid amounts on page 5 ) plus any additional charges. Any additional charges must broken down separate from the monthly charge and must be approved by the City of Elgin prior to submittal. Malm, Interim City Manager SUBJECT: Use of Credit for Elevator Maintenance Contract PURPOSE The purpose of this memorandum is to present to the Mayor and members of City Council a proposal from Long Elevator to assume the maintenance of the City' s elevators for a two-year period. BACKGROUND On March 31 , 1997 , the City' s three-year maintenance agree- ment with Valley Elevator, Inc . will expire . The current contract amount is $11 , 280/year. Separately, Center City Development Corporation and Long Elevator entered into an elevator service contract dated October 6 , 1993 (River Place) for the property known as 32-52 Fountain Square Plaza. As part of the City' s acquisition of the property the City, Center City Development Corporation and Long Elevator entered into an Assignment and Assumption Agreement for the subject elevator service contract . The City assumed all of Center City Development Corporation ' s obligation under the contract with Long Elevator as of August 31, 1994 . Long serviced the elevators for the period Octo- ber, 1995 through February, 1996 . The invoices were left open. The cost of the service was $4 , 800 . When the City entered into a contract to sell the property to Pro Mac, the City notified Long Elevator of its desire to discontinue the service contract. Pro Mac chose not to assume the elevator maintenance contract with Long Elevator. Negotiations to buy out the remaining term of the contract were initiated between the City and Long Elevator. The unpaid balance of the contract was $28, 800 . Long Elevator, Inc . agreed to accept a cash buy-out of $23, 640 . Rather than pursuing a cash settlement of the initial con- tract, staff proposed that the unpaid balance of the contract be transferred to the maintenance of the City elevators located in City Hall , the Spring Street Parking Deck, Old r Long Elevator Maintenance Contract March 18, 1997 Page 2 Main, Hemmens , Lord' s Park, the Airlite Water Plant and the Riverside Water Plant. Long Elevator, Inc. has agreed to provide twenty-four ( 24 ) months of service on the City' s elevators at seven locations for an amount of $24 , 000. The City will also pay $4 , 800 to Long for previously billed services relating to the original contract. Long Elevator, Inc. has provided maintenance services in the past on city elevators and was the second low bidder on the March, 1994 Service Contract bid. The services proposed to be provided by Long Elevator, Inc. are consistent with those outlined by the City in its bid documents . COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None. FINANCIAL IMPACT Expenses related to 1997 elevator maintenance totalling $16 , 800 ( 12 months at $1,000 plus $4 ,800) will be charged to fund 010-1701-716 .40-08 Service Other Equipment. The remain- ing $12 , 000 will be budgeted in 1998 and charged to the same account number. LEGAL IMPACT None. ALTERNATIVES None. RECOMMENDATION It is recommended that the City Council authorize an amended elevator service agreement with Long Elevator, Inc . totalling $24 ,000 and authorize the payment of $4 ,800 for prior servic- es .
