Helwig, City Manager, be and is hereby authorized and directed to execute an Addendum to an Agreement on behalf of the City of Elgin with the National Guardian Security Services Corporation for an alarm monitoring system, a copy of which is attached hereto and made a part hereof by reference. s/ Kevin Kelly Kevin Kelly, Mayor Presented: April 10, 1996 Adopted: April 10, 1996 Vote: Yeas 5 Nays 1 Attest: s/ Dolonna Mecum Dolonna Mecum, City Clerk n Pe ADDENDUM This addendum is made and entered into this II , day of April, 1996 by and between the City of Elgin, Illinois , a municipal corporation (hereinafter referred to as "City" ) , and National Guardian Services Corporation, a corporation (hereinafter referred to as "NGS" ) , having its principal place of business at 7280 W. Devon Ave. , Chicago, Illinois, 60631 . WHEREAS the parties hereto have previously entered into an agreement dated July 15, 1992 by which NGS provided an alarm monitoring system to City, a copy of which is attached hereto and made a part hereof at Attachment "A" (hereinafter referred to as "Agreement" ) ; and WHEREAS, the parties hereto have each determined it to be in their best interests to continue the term of Agreement and otherwise amend the terms of Agreement. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows : 1 . All terms and conditions of Agreement shall remain in full force and effect, except as otherwise specifically provided herein. 2 . Agreement shall terminate March 1, 2001 . 3 . The monthly monitoring fee provided for in paragraph 4 of Agreement shall be $22 . 00 per month per position. 4 . The municipal fee provided for in paragraph 5 of Agreement, which shall be collected on behalf of City, shall be $10 . 00 per month per subscriber connected. 5 . NGS shall provide to City all items and services described in NGS ' correspondence of May 17 , 1995 to City' s Police Department Director of Communications, a copy of which is attached hereto and made a part hereof as Attachment "B" . 6 . The terms of Agreement and this addendum thereto shall be severable. In the event that any of the terms or provisions of Agreement or this addendum are deemed to be void or otherwise unenforceable for any reason, the remainder of Agreement and this addendum shall remain in full force and effect. 7 . Agreement and this addendum thereto shall be subject to and governed by the laws of the State of Illinois. The parties hereto hereby agree that in the event any action • is commenced by either party hereto to enforce any of the terms or provisions of Agreement, this addendum thereto, or any other rights arising out of or in connection with Agreement or this addendum thereto, venue for such action shall be proper, and such action shall be brought and commenced in the Circuit Court of Kane County, Illinois . 8 . Agreement and this addendum thereto shall not be construed to create a joint venture, partnership or employment relationship between the parties hereto. Helwig, City Manager I SUBJECT: Burglar & Fire Alarm Monitoring Agreement with National Guardian Service Corporation (NGSC) PURPOSE The purpose of this memorandum is to provide the Mayor and members of the City Council with information to consider extending the agreement with NGSC for an alarm monitoring system. BACKGROUND In April, 1992, the City entered into an alarm monita::ing system agreement with National Guardian Security Ser-,ices Corporation for a two year period with an automatic one year term renewal clause thereafter. The City has renewed this agreement with National Guardian for the last two years after the initial two year term agreement. The City has received excellent service from NGSC during the past four years, as well as excellent reliability from their alarm monitoring system in our Emergency Communications Center. It is the City staff ' s desire to continue this excellent working relationship with NGSC by extending our alarm monitoring agreement with them. Under the terms of the initial agreement National Guardian provided the City with a burglar and fire alarm monitoring system at no cost to the city. The system was installed in the Emergency Communications Center in the Police Department and is used to monitor approximately 271 burglar and fire alarm systems throughout the city, including 26 City owned locations . The current monthly monitoring fee charged to alarm users and collected by National Guardian is $18 . 00; $8 .00 of the fee is paid to the City by National Guardian and $10. 00 is retained by National Guardian. There is no cost to the City for monitoring City owned locations. The proposed Addendum (attached) will amend the existing contract to increase the monthly monitoring fee charged to alarm users to a total of $22 .00, with $10.00 of the fee to be paid to the City by National Guardian. The fee schedule for ` the alarm user and the monthly $10 payment per user to the I F Mayor and Members of the City Council Page 2 City is consistent with more than 20 other metropolitan Chica- go area municipalities . Also included as a part of the Adden- dum, is a provision whereby National Guardian will provide the City with a new state-of-the-art networked burglar and fire alarm monitoring system for the Emergency Communications Center in the new Law Enforcement facility. The cost of this system is approximately $50,000 and will be paid for in its entirety by National Guardian. COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED None. FINANCIAL IMPACT There are no costs to the City as a result of this agreement amendment with National Guardian. The proposed Addendum to the City' s contract with National Guardian will increase the City' s monthly revenue as follows (based on 245 current non-city alarm users) : Monthly Revenue Annual Revenue Proposed Amended Contract $2450 $29,400 Current Contract $1960 $23, 520 Net Increase $ 490 $ 5, 880 LEGAL IMPACT The attached Addendum was prepared by the Legal Department. RECOMMENDATION It is recommended that the Mayor and City Council authorize execution of the attached Addendum to the City' s agreement with National Guardian Security Services Corporation. Here is a brief summary of the discussions to date and the status of each item. National Guardian will provide the following items now for use by your department: The alarm tracking software and the personal computer to operate the system. We will work with you to make modifications to the software that will accommodate your specific operational re uirements. The Alarm Operational Computer Software and the personal computer to operate the system. This system will interface with the current Kel tron DMP-703 system and act as the front operating component of tho alarm monitoring system. When the CAD system is installed we will work with you to determine if it is in the best interest of your department to interface the alarm monitoring system with the CAD system. If it is determined that an interface is the desired configuration, we will work to accomplish that goal. Projects in the planning and scheduling stage: Installation of a new Kel tron DMP-703 alarm monitoring system with the capability to monitor all approved forms of signal transmission at 202 Douglas Ave. in the 911 center. No ti fi c a t i on to the alarm companies and current subscribers of the relocation, including all details pertinent to them. Ordering transfer of telephone lines to the new center. Provision of an auxiliary display unit, (VDM-P) in the emergency operating center at 150 Dexter Ct. - I have included a time flow chart that indicates the approximate days required to accomplish the relocation. The only costs not covered by us will be the telephone company charges for relocation of the subscriber transmission lines, which will be invoiced to the subscriber by the telephone company and any charges passed on to the subscribers by their alarm company. We will provide the subscribers or their alarm company the telephone company charges when we notify them of the scheduled relocation. I believe I have covered all the matters related to the relocation. I will call you in the not too distant future in follow up, so we can discuss the content of this letter.
