February 29 , 1996
TO: Mayor and Members of the City Council
FROM: Richard B. Helwig, City Manager
SUBJECT: Telephone Service Agreement with Ameritech
PURPOSE
The purpose of this memorandum is to request approval from the
Mayor and City Council to enter into a new agreement with Ameri-
tech for local telephone service.
1 BACKGROUND
Oil In April , 1991 the City entered into a seven year contract with
Ameritech to provide Centrex telephone service ( local service) to
City facilities . Centrex is a private communications system
provided by the local exchange carrier' s (Ameritech) switching
center which offers customers a wide variety of integrated fea-
tures . Some of the basic features offered by Centrex telephone
service include:
1) No charge for calls between City facilities .
2 ) Common dialing features .
3 ) The ability for the public to dial directly to
individual telephones .
4 ) Minimal equipment (telephone) to maintain or purchase .
The Centrex service was entered into under a site specific con-
tract whereby the City maintains a minimum number of Centrex
lines at specific locations (e.g. City Hall - 200 lines, Public
Works - 20 lines, Water Treatment Plant - 14 lines) . This type
of service enables the local provider to offer reduced pricing
for larger customers, when approved by the Illinois Commerce
Commission ( ICC) . Centrex lines at locations not originally
included in the site specific contract or additional lines at
existing site specific locations are subject to full tariff
• pricing.
Originally the City contracted for 340 Centrex lines at 23 loca-
• tions . Currently, the City has 476 Centrex lines at 29 locations
and pays $6 ,838 monthly. Once the new law enforcement facility
is occupied (not originally considered a site specific location) ,
Telephone Service Agreement with Ameritech

it is projected that 533 Centrex lines will be in use. Under the
terms of the existing contract with Ameritech, this change will
increase the monthly bill to $9,419 . However, the proposed cost
increase can be avoided by entering into a new seven year con-
tract with Ameritech. At the request of staff, Ameritech was
asked to review the City' s existing service for additional cost
savings in light of the law enforcement facility addition. As a
result, Ameritech has received approval from the ICC to offer the
City a new seven year contract for 533 Centrex lines at 30 City
locations for a monthly cost of $6 784
COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED
None.
FINANCIAL IMPACT
Funds are available for telephone expenditures at the current
monthly rate of $6 , 838 . Therefore, acceptance of the new con-
tract at $6 , 784 per month will maintain the telephone cost at the
current budgeted levels, while providing for additional lines at
the law enforcement facility. The savings in the amount of
$23,715 (nine months) will be realized in 1996 and $31, 620 in
1997 .
LEGAL IMPACT
None.
RECOMMENDATION
It is recommended that the Mayor and City Council accept the
contract proposal with Ameritech for the seven year contract.
Respectfully submitted,

Schedule") and will submit it to Customer for Customer's approval. In the event
Ameritech has not received notice of approval or disapproval of the Installation Schedule
from Customer within ten(10)business days of receipt by Customer, the Installation
Schedule shall be deemed accepted. Customer's approval of the Installation Schedule will
constitute notice to Ameritech to proceed. No deviations from the Installation Schedule
will occur without the mutual written approval of the parties. The Installation Schedule
shall not be construed as modifying any term or condition of this Agreement.
ELGIN;CTX;3/5/96 4

Cutover of the Centrex Service shall occur as described in the Installation
Schedule or at a date agreed to by the parties in writing (the "Cutover Date").
Cutover shall be deemed to have occurred when the Centrex Service and features
designated in this Agreement are substantially provided to Customer.
If Ameritech's performance of the Installation Schedule is delayed due to
changes, acts, or omissions of Customer, or Customer's contractor, or due to any
occurrence within the scope of Section 13.0 of this Agreement, Ameritech will
have the right to extend Cutover for a reasonable period of time, but at least equal
to the period of such delay and consequences.
Such delays in the Installation Schedule must be communicated as soon as
practical in writing by Customer's appointed project coordinator to the Ameritech
project manager.

sixty (60) calendar days prior to the Cutover Date.
No changes to the data base or system configuration shall be made during
the sixty (60) day period prior to the Cutover Date unless expressly agreed to in
writing by Ameritech. In the event of such agreement, service charges, including
but not limited to service ordering charges, line connection charges, and program
change charges, as then specified in ICC No. 20, Part 3, Section 1, shall apply.
7.0 Service and Maintenance Obligations
Ameritech represents to Customer, for the Term of this Agreement, that the
Centrex Service and features provided pursuant to this Agreement will operate
substantially and materially in accordance with the manufacturer's specifications and those
set forth in this Agreement.
If, under normal and proper use, Centrex Service and features provided pursuant
to this Agreement fail to perform substantially as specified above, and Customer notifies
Ameritech within the Term of this Agreement, Ameritech will correct such service
degradations or failures without charge to Customer, in accordance with the terms of this
Agreement. Customer may report service and feature problems seven (7) days per week
and twenty-four (24) hours per day. For all major trouble reports, Ameritech shall
commence remote diagnostics and repair or shall dispatch appropriate technicians to site
within four (4) hours of Customer's request at all times including weekends and holidays
observed by Ameritech. A "major trouble report" is defined as an express written or oral
ELGIN;CTX;3/5/96 5
report delivered by an authorized Customer representative to an authorized Ameritech
representative advising of a loss of Centrex Service up to the NETPOP affecting the loss
of Centrex Service to 10% or more of the Centrex, UCD or ISDN lines, or more than one
Attendant line. For all other trouble reports, Ameritech will use reasonable efforts to
respond with twenty-four (24) hours of Customer's request, excluding weekends and
holidays observed by Ameritech.
Ameritech's repair obligation does not include damage, defects, malfunctions,
service degradations or failures caused by Customer or third party's abuse, intentional
misuse, unauthorized use or negligent acts or omissions. In addition, the foregoing repair
obligation applies only if Customer provides Ameritech with access on Ameritech's side of
the NETPOP so as to enable Ameritech to perform maintenance or repair work.
When service is interrupted and the interruption exceeds twelve (12) hours (as
measured from the time the interruption is reported to or detected by Ameritech,
whichever occurs first), a credit allowance will be made for that line or trunk, as specified
in ICC No. 20, Part 2, Section 2. No other liability shall attach to Ameritech as a result of
such interruption to service.
If Ameritech responds on site to a request for maintenance service from Customer
where no actual service problem exists or where the fault or defect is determined to be on
Customer's side of the NETPOP and such fault or defect is not covered by any other
express obligation of Ameritech, then applicable charges shall be assessed against
Customer.
THE FOREGOING REPRESENTATION IS EXCLUSIVE AND IN LIEU OF
ALL OTHER REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
CUSTOMER'S SOLE AND EXCLUSIVE REMEDY AGAINST AMERITECH, FOR
LOSS OR DAMAGE CAUSED BY, OR ARISING IN CONNECTION WITH, THE
PERFORMANCE OR NON-PERFORMANCE OF THE CENTREX SERVICE AND
FEATURES PROVIDED PURSUANT TO THIS AGREEMENT SHALL BE THE
OBLIGATIONS OF AMERITECH AS SET FORTH IN THIS AGREEMENT.

cause), Customer shall not be entitled to a refund of any prepaid amount.

the aggrieved party shall be entitled to serve written notice of its intent to terminate
(which notice shall include a reasonably detailed statement of the nature of such breach),
ELGIN;CTX;3/5/96 6
upon the breaching party. If such material breach continues unremedied for forty-five (45)
days after actual receipt by the breaching party of such written notice, the aggrieved party
may, by written notice, either terminate an appropriate portion of its obligation under this
Agreement, if such breach does not affect the entire Agreement, or terminate the entire
Agreement, if such breach substantially and materially affects the aggrieved parry's rights
under this Agreement. Except as expressly provided in this Agreement, in the event of a
breach of this Agreement by either Ameritech or Customer, the other party will be entitled
to pursue any and all remedies available to it at law or in equity including court costs and
reasonable attorney's fees.
10.0 Applicable Tariff Regulations
The general regulations of Ameritech under ICC No.s 19 and 20 applicable to
communications services apply to the services provided pursuant to this Agreement.
The regulations of ICC No. 19, Part 5, Sections 1 and 2 are applicable to the STF
and Centrex provided pursuant to this Agreement, unless they are expressly inconsistent
with the terms and conditions of this Agreement. In the event of an express inconsistency
between the regulations in ICC No. 19, Part 5, Sections 1 and 2 and the terms of this
Agreement, the terms of this Agreement shall control.

consequential damages, including lost profits, sustained or incurred in connection with this
Agreement and the performance or non-performance of the Centrex Service and features
provided pursuant to this Agreement regardless of the form of action, whether in contract,
tort, strict liability, or otherwise, and whether or not such damages, injuries, losses or
expenses are foreseeable. It is understood and agreed that Ameritech is not an insurer and
that the rates for service provided hereunder are based solely on their value and on the
scope of the liabilities set forth in this Agreement and that said rates are unrelated to the
potential for indirect, incidental, consequential or other damages. Ameritech and
Customer agree that this allocation of risk and liability is fair and reasonable.
ELGIN;CTX;3/5/96 8

adjustment consistent with the purposes of this Agreement. Subject to the foregoing, the
illegality, invalidity, or unenforceability of any provision of this Agreement will not affect
the legality, validity or enforceability of the remaining provisions, and this Agreement shall

provision, had not been contained herein.

This Agreement shall be construed in accordance with and governed by the
