RESOLUTION
AUTHORIZING EXECUTION OF AN AMCORE VISA BUSINESS CARD
APPLICATION AND AGREEMENT
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Richard B. Helwig, City Manager, or his
designee, be and is hereby authorized for and on behalf of the
City of Elgin, Illinois ( "CUSTOMER" ) to sign and deliver to
AMCORE Bank National Association, Rockford, Rockford, Illinois
( "AMCORE" ) the AMCORE Visa Business Card Agreement, a copy of
which is attached hereto.
BE IT FURTHER RESOLVED that Richard B. Helwig, City
Manager, or his designee, be and is hereby authorized for and
on behalf of CUSTOMER to: ( 1 ) issue and/or cancel charge cards
issued in the name of CUSTOMER; and ( 2 ) increase and/or
decrease the credit limit on each particular charge card
issued.
BE IT FURTHER RESOLVED that Richard B. Helwig, City
Manager, or his designee, shall have the authority to change
the number and identity of the Officers and/or Employees
authorized for and on behalf of CUSTOMER to: ( 1 ) issue and/or
cancel charge cards issued in the name of CUSTOMER; and,
( 2 ) increase and/or decrease the credit limit on each
particular charge card issued, and any such changes shall be
adopted by CUSTOMER without further resolutions, using the
AMCORE Visa Business Card Authorization List form, and the
changes made in an AMCORE Visa Business Card Authorization
List will become effective three ( 3) business days from the
date CUSTOMER provides AMCORE with a copy of said
Authorization List .
BE IT FURTHER RESOLVED, that CUSTOMER assumes full
responsibility and holds harmless AMCORE for any and all
payments made or any other actions taken by AMCORE to reliance
upon the signatures, including facsimiles thereof, of any
person or persons holding the offices of CUSTOMER designated
above regardless of whether or not the use of the facsimile
signature was unlawful or unauthorized and regardless of by
whom or by what means the purported signature or facsimile
signatures may have been affixed to any instrument if such
signatures reasonably resemble the specimen or facsimile
signature as provided to AMCORE or for refusing to honor any
signatures not provided to AMCORE, and that CUSTOMER agrees to
indemnify AMCORE against any and all claims, demands, losses,
costs, damages or expenses suffered or incurred by AMCORE
resulting from or arising out of any such payment or other
action, including, but not limited to, all reasonable
attorney' s fees and legal costs incurred by AMCORE .

~^ SUBJECT: Resolution Authorizing Issuance of New City Credit
Cards
PURPOSE
The purpose of this memorandum is to provide the Mayor and
members of the City Council with information necessary to
approve a resolution authorizing issuance of Amcore Visa
Business credit cards.
• BACKGROUND
The City has been using Master Card accounts through NBD Bank
( formerly First National Bank of Elgin) . Last year's banking
services proposal included the requirement for administering
the City's business credit cards . The City Council awarded a
four-year contract for all banking services to Amcore Bank at
youi ,November 16., 1994 meeting, with the understanding that
the credit cards would be transferred at their expiration
date-.
Currently,- the City has 12 cards (7 are assigned to the Mayor
• & Council and 5 are assigned for general departmental use) ;
all of these cards expire at the end of May.
These cards are typically used for conference, seminar, and
meeting related expenses for the convenience of our employees
and elected officials.
It is our intent to allow the current NBD Bank credit cards
to expire and replace them with 12 new Amcore Visa Business.
credit cards .
In order to obtain these cards by month's end, the City Coun-
cil needs to approve the attached resolution at their May
Ama 10th regular meeting.

None.
FINANCIAL IMPACT
None at this time; it is noted that Amcore has agreed to
waive its $35/card annual fee. The expiring cards all have
credit limit of $2000 with the exception of one card which
has a $3500 limit. Staff recommends that all the cards have
the same limit of $2500 per card.
The City intends to make full payment of all outstanding
charges on each account by the due date thereby avoiding any
finance charges.
LEGAL IMPACT
None.
RECOMMENDATION
The recommendation is to approve the attached resolution
authorizing issuance of seven Mayor/Council and five depart-
(' mental Visa Business credit cards with Amcore Bank.
