WHEREAS, the CITY desires to engage the ENGINEER to furnish certain professional services in connection with improvements to the intersection of Rt. 31 at Big Timber Road (ST26) , (hereinafter referred to as the "PROJECT" ) . AND WHEREAS, the ENGINEER represents that he is in compliance with Illinois Statutes relating to professional registration of individuals and has the necessary expertise and experience to furnish such services upon the terms and conditions set forth herein below. NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the sufficiency of which is hereby acknowledged it is hereby agreed by and between the CITY and the ENGINEER that the CITY does hereby retain the ENGINEER to act for and represent it in all engineering matters involved in the PROJECT, subject to the following terms and conditions and stipulations, to-wit: I. SCOPE OF SERVICES A. All work hereunder shall be performed under the direction of the Director of Public Works of the CITY, herein after referred to as the "DIRECTOR" . B. ENGINEER will provide all necessary services to develop and obtain IDOT approval for a Phase I Project Development Report (Categorical Exclusion) for the PROJECT. The PROJECT will include, but may not be limited to: 1 . addition of a dedicated right turn lane from southbound Route 31 onto westbound Big Timber, 2 . the provision of dual left turn lanes from eastbound Big Timber onto northbound Route 31, 3 . the relocation of Florimund Drive. C. The preparation of plans, specifications final cost estimates and construction engineering and construction inspection are not included in the scope of services, but may be added as a Change Order to this agreement at a later date. -2- D. A detailed Scope of Services is attached hereto as Attachment A. II. PROGRESS REPORTS A. An outline project milestone schedule is provided herein under: Notice to Proceed March 23 Initiate Coordination March 27 Traffic Studies May 1 Design Evaluation July 15 Draft Report Submittal September 1 Public Involvement October 15 Final Report Submittal November 27 B. Progress will be recorded on the project schedule and submitted monthly as a component of the Status Report described in C. below. C. The Engineer will submit to the Director monthly a Status Report keyed to the Project Schedule. A brief narrative will be provided identifying progress, findings and outstanding issues . III. WORK PRODUCTS All work products prepared by the ENGINEER pursuant hereto including, but not limited to, reports, designs, calculations, work drawings, studies, photographs, models and recommendations shall be the property of the CITY and shall be delivered to the CITY upon request of the DIRECTOR provided, however, that the ENGINEER may retain copies of such work products for its records . Such work products are not intended or represented to be suitable for reuse by the CITY on any extension to the PROJECT or on any other project, and such reuse shall be at the sole risk of the CITY without liability or legal exposure to the ENGINEER. IV. PAYMENTS TO THE ENGINEER A. For services provided the ENGINEER shall be reimbursed at the rate of 2 . 9 times the direct hourly rate of personnel employed on this PROJECT, with the total fee not to exceed thirty two thousand, nine hundred ( $32, 900 . 00) dollars regardless of the actual costs incurred by the ENGINEER unless substantial modifications to the scope of the work are authorized by CITY through a change order or amendment. B. For outside services to prepare a Phase I Hazardous -3- Waste Assessment the CITY shall pay the ENGINEER the invoiced fee to the ENGINEER, at an amount not to exceed four thousand three hundred ($4, 300 . 00) dollars . C. For approved reimburseables under this agreement, an allowance has been established in the amount not to exceed two thousand ($2 ,000 . 00) dollars . D. The total obligation of the CITY under this agreement will not exceed thirty nine thousand two hundred ($39 ,200 . 00) dollars, unless an amendment to the agreement is approved by the CITY. E. The CITY shall make periodic payments to the ENGINEER based upon actual progress within 30 days after receipt and approval of invoice. F. A detailed fee schedule is attached hereto as Attachment B. V. INVOICES A. The ENGINEER shall submit invoices in a format approved by the CITY. Progress reports ( IIC above) will be included with all payment requests . B. The ENGINEER shall maintain records showing actual time devoted and cost incurred. The ENGINEER shall permit the authorized representative of the CITY to inspect and audit all data and records of the ENGINEER for work done under this Agreement. The ENGINEER shall make these records available at reasonable times during the Agreement period, and for a year after termination of this Agreement. VI. TERMINATION OF AGREEMENT Notwithstanding any other provision hereof, the CITY may terminate this Agreement at any time upon fifteen ( 15) days prior written notice to the ENGINEER. In the event that this Agreement is so terminated, the ENGINEER shall be paid for services actually performed and reimbursable expenses actually incurred prior to termination, except that reimbursement shall not exceed the task amounts set forth under Paragraph IV above. VII. TERM This Agreement shall become effective as of the date the ENGINEER is given a written Notice to Proceed following approval of CITY' S corporate authorities and, unless terminated for cause or pursuant to Article VI -4- foregoing, shall expire on the date the DIRECTOR determines that all of the ENGINEER' s work under this Agreement is completed. A determination of completion shall not constitute a waiver of any rights or claims which the CITY may have or thereafter acquire with respect to any breach hereof by the ENGINEER. VIII. NOTICE OF CLAIM If the ENGINEER wishes to make a claim for additional compensation as a result of action taken by the CITY, the ENGINEER shall give written notice of his claim within 15 days after occurrence of such action. No claim for additional compensation shall be valid unless so made. Any changes in the ENGINEER' s fee shall be valid only to the extent that such changes are included in writing signed by the CITY and the ENGINEER. Regardless of the decision of the DIRECTOR relative to a claim submitted by the ENGINEER, all work required under this Agreement as determined by the DIRECTOR shall proceed without interruption. IX. BREACH OF CONTRACT If either party violates or breaches any term of this Agreement, such violation or breach shall be deemed to constitute a default, and the other party has the right to seek such administrative, contractual or legal remedies as may be suitable to the violation or breach; and, in addition, if either party, by reason of any default, fails within fifteen ( 15) days after notice thereof by the other party to comply with the conditions of the Agreement, the other party may terminate this Agreement. X. INDEMNIFICATION The ENGINEER shall indemnify and save harmless the CITY, its officers and employees from and against any and all loss, liability and damages of whatever nature, including but not limited to Workmen' s Compensation claims, in any way resulting from or arising out of negligent actions or omissions of the ENGINEER in connection herewith, including but not limited to negligent actions or omissions of employees or agents of the ENGINEER arising out of the performance of professional services . XI. NO PERSONAL LIABILITY No official, director, officer, agent or employee of the City shall be charged personally or held contractually liable under any term or provision of this Agreement or because of their execution, approval or attempted execution of this Agreement. -5- XII. INSURANCE A. Comprehensive Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of Comprehensive General Liability Insurance with limits of at least $1,000, 000 aggregate for bodily injury and $1, 000,000 aggregate for property damage. The ENGINEER shall deliver to the DIRECTOR a Certificate of Insurance naming the CITY as additional insured. The policy shall not be modified or terminated without thirty (30) days prior written notice to the DIRECTOR. The Certificate of Insurance which shall include Contractual obligation assumed by the ENGINEER under Article X entitled "Indemnification" shall be provided. B. Comprehensive Automobile Liability. The ENGINEER shall provide, pay for and maintain in effect, during the term of this Agreement, a policy of Comprehensive Automobile Liability Insurance covering all owned, non-owned and hired motor vehicles with limits of not less than $500,000 per occurrence for damage to property. C. Combined Single Limit Policy. The requirements for insurance coverage for the general liability and auto exposures may be met with a combined single limit of $1, 000,000 per occurrence subject to a $1, 000, 000 aggregate. D. Professional Liability. The ENGINEER shall carry Engineer' s Professional Liability Insurance Covering claims resulting from error, omissions or negligent acts with a combined single limit of not less than $ 1,000,000 . 00 per occurrence. A Certificate of Insurance shall be submitted to the DIRECTOR as evidence of insurance protection. The policy shall not be modified or terminated without thirty ( 30) days prior written notice to the DIRECTOR. XIII . CONSTRUCTION MEANS, METHODS, TECHNIQUES, SEQUENCES, PROCEDURES AND SAFETY The ENGINEER shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the construction, unless specifically identified in the Scope of Services . -6- XIV. NONDISCRIMINATION In all hiring or employment made possible or resulting from this Agreement, there shall be no discrimination against any employee or applicant for employment because of sex, age, race, color, creed, national origin, marital status, of the presence of any sensory, mental or physical handicap, unless based upon a bona fide occupational qualification, and this requirement shall apply to, but not be limited to, the following: employment advertising, layoff or termination, rates of pay or other forms of compensation and selection for training, including apprenticeship. No person shall be denied or subjected to discrimination in receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age except minimum age and retirement provisions, marital status or the presence of any sensory, mental or physical handicap. Any violation of this provision shall be considered a violation of a material provision of this Agreement and shall be grounds for cancellation, termination or suspension, in whole or in part, of the Agreement by the CITY. XV. ASSIGNMENT AND SUCCESSORS This Agreement and each and every portion thereof shall be binding upon the successors and the assigns of the parties hereto; provided, however, that no assignment shall be made without the prior written consent of the CITY. XVI. DELEGATIONS AND SUBCONTRACTORS Any assignment, delegation or subcontracting shall be subject to all the terms, conditions and other provisions of this Agreement and the ENGINEER shall remain liable to the CITY with respect to each and every item condition and other provision hereof to the • same extent that the ENGINEER would have been obligated if it had done the work itself and no assignment, delegation or subcontract had been made. XVII. NO CO-PARTNERSHIP OR AGENCY It is understood and agreed that nothing herein contained is intended or shall be construed to, in any respect, create or establish the relationship of co- partners between the CITY and the ENGINEER, or as constituting the ENGINEER as the general representative or general agent of the CITY for any purpose whatsoever -7- or to constitute an employment relationship between the parties hereto. XVIII. SEVERABILITY The parties intend and agreed that, if any paragraph, sub-paragraph, phrase, clause or other provision of this Agreement, or any portion thereof, shall be held to be void or otherwise unenforceable, all other portions of this Agreement shall remain in full force and effect. XIX. HEADINGS The headings of the several paragraphs of this Agreement are inserted only as a matter of convenience and for reference and in no way are they intended to define, limit or describe the scope of intent of any provision of this Agreement, nor shall they be construed to affect in any manner the terms and provisions hereof or the interpretation or construction thereof. XX. MODIFICATION OR AMENDMENT This Agreement and its attachments constitutes the entire Agreement of the parties on the subject matter hereof and may not be changed, modified, discharged or extended except by written amendment duly executed by the parties . Each party agrees that no representations or warranties shall be binding upon the other party unless expressed in writing herein or in a duly executed amendment hereof, or change order as herein provided. XXI . APPLICABLE LAW This Agreement shall be deemed to have been made in, and shall be construed in accordance with the laws of the State of Illinois . XXII . NEWS RELEASES The ENGINEER may not issue any news releases without prior approval from the DIRECTOR, nor will the ENGINEER make public proposals developed under this Agreement without prior written approval from the DIRECTOR prior to said documentation becoming matters of public record. XXIII. COOPERATION WITH OTHER CONSULTANTS The ENGINEER shall cooperate with any other consultants in the CITY's employ or any work associated with the PROJECT. -8- XXIV. INTERFERENCE WITH PUBLIC CONTRACTING: P.A. 85-1295 The ENGINEER certifies hereby that it is not barred from bidding on this contract as a result of violations of either Section 33E-3 or Section 33E-4 of the Illinois Criminal Code. XXV. SEXUAL HARASSMENT As a condition of this contract, the ENGINEER shall have written sexual harassment policies that include, at a minimum, the following information: A. the illegality of sexual harassment; B. the definition of sexual harassment under state law; C. a description of sexual harassment, utilizing examples; D. the vendor' s internal complaint process including penalties; E. the legal recourse, investigative and complaint process available through the Illinois Department of Human Rights, and the Illinois Human Rights Commission; F. directions on how to contact the department and commission; G. protection against retaliation as provided by Section 6-101 of the Human Rights Act (copy attached) . A copy of the policies must be provided to the Department of Human Rights upon request. P.A. 87-1257 . XXVI . WRITTEN COMMUNICATIONS All recommendations and other communications by the ENGINEER to the DIRECTOR and to other participants which may affect cost or time of completion, shall be made or confirmed in writing. The DIRECTOR may also require other recommendations and communications by the ENGINEER be made or confirmed in writing. -9- XXVII. NOTICES All notices, reports and documents required under this Agreement shall be in writing and shall be mailed by First Class Mail, postage prepaid, addressed as follows : A. As to CITY: JAMES L. ATTEST: By G By �1 Secretary President (SEAL) ATTACHMENT A DETAILED SCOPE OF SERVICES ATTACHMENT A PROJECT DESCRIPTION The Purpose of this Agreement is to contract with Alfred Benesch& Co. to provide the necessary services for the preparation of a Phase I Project Development Report (Categorical Exclusion) in conformance with the Illinois Department of Transportation Bureau of Local Roads and Streets Form 5250. The report shall address the issues associated with an improvement to the intersection of Illinois Route 31 with Big Timber Road. Specifically, the improvement will consist of: 1. the addition of a dedicated right turn lane from southbound Illinois Route 31 onto westbound Big Timber Road 2. the provision of dual left turn lanes from eastbound Big Timber Road onto northbound Illinois Route 31 3. the relocation of Florimund Drive away from the intersection. II. SCOPE OF SERVICES Specific tasks to be accomplished include: 1. Compile and analyze traffic data. Working with the City and State, Alfred Benesch e esch& Co. will collect existing traffic data in the form of counts, projections, and accident tabulations. Alfred Benesch& Co. anticipate additional counts beyond existing will be necessary, especially to address the issues associated with the Florimund Drive relocation. They will coordinate with the Illinois Department of Transportation and the Chicago Area Transportation Study to prepare traffic projections. They will use the data to determine specific existing deficiencies and to provide a basis for future design of the intersection. They will then prepare an intersection design study for the improvement to the intersection of Illinois Route 31 with Big Timber Road. 2. Preliminary Design. Alfred Benesch& Co. will maximize efficiency of the design by drawing extensively on existing data sources. Alfred Benesch& Co. will collect plans from the State, City and County for past improvements in the area. The City will provide to Alfred Benesch & Co. the recently developed aerial photography with contours that will serve as the basis for preliminary design. Alfred Benesch will perform the preliminary utility coordination. As part of the preliminary design, we will develop typical sections for the roadway improvement, evaluate access issues, review drainage, prepare sufficient cross-sections to verify right-of-way and retaining wall requirements, and prepare a cost estimate. Services not included are geotechnical analysis, preparation of right-of-way documents or appraisals, survey, or the preparation of any structural plans. 3. Project Development Report and Public Meetings. Alfred Benesch& Co. will prepare all text and exhibits necessary for completion of the Project Development Report. Additionally, Alfred Benesch& Co. will perform the necessary coordination, such as preparation of the Environmental Survey Request, submittal of a preliminary hazardous waste assessment(if necessary), and attend coordination meeting with the Illinois Department of Transportation. Alfred Benesch will assist the City in announcing the public meeting. They will prepare the necessary exhibits, present the project, and prepare a summary. Helwig, City Manager SUBJECT: Agreement for Phase I Engineering of Illinois Route 31 at Big Timber Road Improvements (ST26 ) PURPOSE This memorandum will provide the Mayor and members of the City Council with information to consider entering into an Agreement with Alfred Benesch and Company for the Phase I engineering for the Illinois Route 31 at Big Timber Road improvements . BACKGROUND In September 1994, City Council abandoned further consideration of the North End Bridge project . Several improvement projects were put forward to accommodate projected increased traffic flows which would have been handled by the proposed bridge . The projects were detailed in the 1995 Program Strategy, Transportation Improvements . Project ST26 : Route 31 at Big Timber Road Improvements was one of these substitute improvement projects . The improvements to the intersection anticipated include : • Adding a dedicated right turn bay from southbound Route 31 , onto westbound Big Timber Road. ▪ Adding an additional left turn lane - providing a dual left turn movement - from eastbound Big Timber Road onto northbound Route 31 . ▪ The relocation of Florimond Drive further to the west in order to remove this roadway from the influence of the Route 31 at Big Timber Road intersection. A more detailed project description is attached as Exhibit A. Phase I Engineering/Route 31 at Big Timber March 2 , 1995 Page 2 Alfred Benesch and Company were the engineers selected in 1993 by IDOT and Kane County for the North End Bridge reevaluation. The study of the intersection of Route 31 at Big Timber Road, the west terminus of the proposed bridge, was a part of the reevaluation. Due to Alfred Benesch and Company' s previous work at the intersection, the City requested a proposal from them in early January, 1995 to accomplish final engineering plans and specifications . However, in our pursuit of federal , state and county funding participation in City projects, we were advised by IDOT that a formal Phase I engineering study would be required on this project in order to receive consideration for federal and state participation in the project construction . Consequently, the proposed agreement with Alfred Benesch and Company will be to complete a Phase I engineering study meeting IDOT requirements . The proposed agreement is in the not-to-exceed amount of $39 , 200 , with completion of the Phase I work by December 1 , 1995 . If the project is accepted by the Kane County Council of Mayors for inclusion in their multi-year program, the year and funding for final engineering and construction will be determined at the time the project is accepted . If the project is not accepted by the Kane County Council of Mayors , the project construction can be initiated as early as 1997 . In the 1995 Budget and Five-Year Financial Plan, $625 , 000 was programmed for construction of this project in 1997 . The proposed agreement, detailed scope of work, fee analysis and schedule is attached as Exhibit B. COMMUNITY GROUPS/INTERESTED PERSONS CONTACTED As a component of the Phase I engineering, a public hearing on the project will be required. Such a hearing is anticipated during October, 1995 . FINANCIAL IMPACT The Phase I engineering agreement will be in the not-to- exceed amount of $39 , 200 . Moneys were budgeted from Riverboat proceeds budget in the amount of $85 , 000 under Account No. 275-0000-791-93-80 Project No. 337101 . Phase I Engineering/Route 31 at Big Timber March 2 , 1995 Page 3 The $85, 000 budgeted for this project in 1995 consisted of : 1 . Intersecting Design Study estimated at $25,000 . 2 . Final Engineering estimated at $60,000 . In order for the City to participate in utilizing State/ Federal funding on this project, a much more detailed preliminary engineering report, called a Phase I Engineering Study, must be prepared. Consequently, the engineering study phase of the project has increased from the initial estimate of $25, 000 to $39 , 200 . Additionally, the involvement of IDOT/FHWA in the preparation of the final engineering and preparation of final plans and specifications will likely increase the cost of this phase of the engineering from $60,000 to $75, 000 . LEGAL IMPACT None. RECOMMENDATION It is recommended that the City Council authorize the City Manager to execute an Agreement with Alfred Benesch and Company, in the not-to-exceed amount of $39 , 200 for the Phase I engineering of the subject project ST26 . Helwig City Manager JLK/do Attachments I EXHIBIT A Project Description for ST26 : Route 31 (State Street) at Big Timber Road Improvements INTRODUCTION This project, Route 31 (State Street) at Big Timber Road widening, is being submitted as a candidate for federal funding through the Kane County Council of Mayors, as part of its FY1995 Surface Transportation Program Annual Element. PROJECT PURPOSE AND DESCRIPTION Southbound Route 31 carries two through lanes of traffic until its juncture with Big Timber Rd. At this location the right (west) southbound lane functions both as a right turn bay onto westbound Big Timber Rd. and as a through traffic lane. Due to the close proximity of the Florimond Drive entrance onto Big Timber Road ( 50 feet west of the intersection) right turn movements from Route 31 are restricted. Additionally, eastbound Big Timber Road carries two lanes of traffic unit it intersects Route 31 . Single lane traffic movements are then provided for both north and southbound turns onto Route 31 . The purpose of this project is three fold: 1 . To add a dedicated right turn bay from southbound Route 31, onto westbound Big Timber Road. 2 . To add an additional left turn lane - providing a dual left turn movement - from eastbound Big Timber Road onto north- bound Route 31 . 3 . The relocation of Florimond Drive further to the west in order to remove this roadway from the influence of the Route 31 at Big Timber Road intersection. As part of the improvement, pavement will be widened along Route 31 and Big Timber Road. It is likely that the existing retaining wall along the west side of Route 31 will need to be extended further south towards Big Timber Rd. Florimond Drive, (which is currently located about 50 ' west of Route 31 and empties onto Big Timber Rd. within the Big Timber Rd. and Route 31 intersection) . will be relocated - likely to Morningside Drive. In turn, the traffic signals at Route 31 and Big Timber Rd. would be replaced to accommodate the new geometrics . New traffic signals may also be required at Morningside Drive and Big Timber Rd. EXISTING CONDITIONS Route 31 (State Street) is a State of Illinois highway which generally parallels the west bank of the Fox River through the City of Elgin, in a north-south direction. -2- Big Timber Road, a City of Elgin highway, is classified as a major arterial roadway and connects Route 31 to North McLean Blvd. a major arterial roadway, and Randall Road, a limited access roadway. In a transportation study prepared for the City of Elgin in 1991 by Donohue Engineers, the following average daily traffic volumes were recorded. 1 . Route 31 at the Big Timber intersection : 34 ,500 ADT 2 . Big Timber Rd. west of the Rte. 31 intersection: 17 ,000 ADT Florimond Drive, a road serving as the exclusive entrance and exit, to a townhouse development of 60 units, enters within the Route 31 at Big Timber intersection. The Route 31 at Big Timber Road intersection was not included in the Big Timber Road. improvements (FHWA-IL-EA-14-86) due to the anticipate North End Bridge project. This intersection was one of the terminus points for the proposed bridge. The City of Elgin in 1994 abandoned consideration of the North End Bridge project. The transportation study projected traffic increases by the year 2010 to 45 , 000 ADT on Route 31 and 38, 000 ADT on Big Timber Rd.
