AND THE CITY OF ELGIN Agreement between the Jayne Shover Easter Seal Rehabilitation Center, Inc . , hereinafter referred to as Center, and the City of Elgin, hereinafter referred to as City, Witnesseth: 1 . The Center agrees to provide special recreation programs for residents of the City of Elgin who have a disability under the direction of qualified recreation specialists . The special recreation programs offered by the Center are open to individuals of all ages with all types of disabilities . 2 . The Center will offer recreation programs during eight week sessions in the Winter, Spring, Summer, and Fall of 1994 . A holiday program is offered for 4 weeks between Thanksgiving and Christmas . Transportation is provided for some of the programs . 3 . Programs may include , but are not limited to aerobics/conditioning, individual sports , aquatics , recreational sports , Special Olympic competition, arts and crafts , age-appropriate leisure activities , integrative and cooperative programming and special events . The Center staff reserves the right to determine appropriateness for programming by participants . Classifications of disabilities served include learning disabilities , mental retardation, behavior disorder, hearing or visual impairment , physical disability, speech/language delay, and developmental delay. 4 . The Center agrees to voucher the City of Elgin at a total cost not to exceed $20 ,000 and agrees to voucher the City of Elgin for only participants who are residents of the City of Elgin. 5 . The Center agrees to appropriately name the City of Elgin as a funding source for the above mentioned programs in all materials distributed in the area , i . e . , brochures , radio spots , news releases , etc . 6 . The Center will voucher the City of Elgin per program, per session at the end of each session based on the costs shown on each program worksheet . However, the billing will be adjusted based on actual enrollment , variable facility rental cost , and actual percentage of Elgin residents in each program. 7 . The agreement may be canceled by either party hereto at any time with sixty ( 60 ) days written notice by delivering personally or by U.S . Mail said notice to the Center at 799 South McLean Blvd. , Elgin, Illinois, or to the City, • 150 Dexter Court, Elgin, Illinois . 8 . The Center does hereby, for itself , its heirs, personal representatives, and assigns, covenant and agrees with the City of Elgin to forever fully protect, defend, and save harmless the City of Elgin, Illinois , from any and all lawsuits , costs, damages, attorney' s fees and expenses of every kind and nature which it may suffer, expend, or incur under or by reason, or in consequence of the Center providing special recreation programs for the City of Elgin and to defend, at its own costs and charges on behalf of and for the protection of the said City of Elgin, Elgin, Illinois, any legal action which may be instituted as a consequence of the Center providing special recreation programs . The Center shall annually obtain an endorsement to its business automobile policy extending the coverage thereof to the • liability for damages assumed by the Center under paragraph 6 of this agreement, and shall provide the City a certificate from the insurer of such liability endorsement . 8 . This agreement shall remain in effect until canceled by either party, but such cancellation shall not effect any obligation of the Center arising during the period of its effectiveness . CITY OF ELGIN PARKS AND RECREATION DEPARTMENT VAN USE AGREEMENT This agreement made and entered into this Jo ±k day of March, 1994 by and between the City of Elgin, hereinafter referred to as City and the Jayne Shover Easter Seal Rehabilitation Center, Inc . , hereinafter referred to as Center. WITNESSETH: Whereas the City is the owner of a 1990 Dodge Ram 12 passenger van, which the Center desires to use for occasional transportation of participants on fields trips; and Whereas the city is agreeable to such use by the Center, but only on the following terms and conditions . IT IS HEREBY AGREED: 1 . The Center shall submit its request for each use of the van at least three days prior to date of use and shall obtain the approval thereof from the City. 2 . The Center shall use the van only for the above stated purpose and only within a radius of 300 miles of the Elgin Parks and Recreation Office at 31 Fountain Square Plaza, Elgin, IL. , and shall return the van to said location not later than specified time. 3 . The Center shall pay 29 cents per mile for its use of the van and shall submit an invoice quarterly, along with regular program invoices to be debited from the City program fund for the Center. 4 . While in possession of the Center, the van shall be operated only by a licensed driver over 21 years of age and shall carry no more than 12 passengers at a time, including the driver. 5 . The Center shall be responsible for the physical damage of the vehicle including insurance deductibles of $500 in the event the City files a claim with their insurance company for collision damage, or $250 other than collision damage to the van or any of its parts while under loan to the Center. 6 . The Center shall release, defend, indemnify, and save harmless the City, its directors, officers , and employees , from any and all claims of damages for the death or injury of any person, and/or property damage arising out of the use of the van by the Center. ....................................... Malm, Interim City Manager SUBJECT: Jayne Shover Easter Seals 1994 Contract PURPOSE The purpose of this memorandum is to forward to the Mayor and City Council the 1994 agreement with the Jayne Shover Easter Seals Rehabilitation Center, Inc. BACKGROUND Since 1984 , the City has worked with the Jayne Shover Easter Seals Rehabilitation Center to provide quality recreation programs open to individuals of all ages with all types of disabilities . Jayne Shover offers activities and special events year round. Over the years, the programs have been well accepted and successful . Specific details of program offerings are out- lined in the attached agreement. FINANCIAL IMPACT $20, 000 has been included in the 1994 Recreation Division budget for special recreation programs (Miscellaneous Servic- es account 010-5012-762 .45-99) . LEGAL IMPACT None. RECOMMENDATION Staff recommends the City Council approval of the 1994 Jayne Shove ter als Rehabilitation Center contract agreement . Robe t . You have requested a review by made of a proposed purchase of service agreement for 1994 with the Jayne Shover Easter Seals Rehabilitation Center, Inc . Please be advised that I find the form of the proposed agreement to be satisfactory. Please also be advised that I find the form of the proposed van use agreement with the Jayne Shover Center also to be satisfactory.
