Vote: Yeas 5 Nays 2 Attest: s/ Dolonna Mecum Dolonna Mecum, City Clerk PURCHASE OF SERVICES AGREEMENT THIS AGREEMENT made and entered into on this 12th day of January, 1994, by and between the City of Elgin, Illinois, a municipal corporation (hereinafter referred to as the "CITY" ) and the Center City Development Corporation, an Illinois not-for-profit corporation, with offices in Elgin, Kane County, Illinois (hereinafter referred to as "DEVELOPMENT CORPORATION" ) , WITNESSETH: WHEREAS, the Development Corporation is an Illinois not-for-profit corporation organized for the purpose of the promotion of the social welfare within the City of Elgin by doing all things necessary to improve, redevelop, revitalize, aid and assist in the redevelopment of certain areas within the City of Elgin; and WHEREAS, the City is a home rule unit organized and existing under the laws of the State of Illinois; and WHEREAS, the parties hereto desire to enter into an agreement whereby the Development Corporation will perform development activities so as to promote the renovation and redevelopment of property within the City and provide additional cultural opportunities for the citizenry of the City; and WHEREAS, the promotion of the renovation and redevelopment of property in the City and the providing of additional cultural opportunities within the City are public purposes within the government and affairs of the City of Elgin. NOW, THEREFORE, for and in consideration of the mutual promises and undertakings contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows : 1 . That during 1994 the Development Corporation shall undertake the following activities for the promotion and marketing of the area identified as "Center City" in the Elgin Center City Master Plan dated 1991 : a. Promote and market the Center City area and assist City staff in the coordination of events held in the Center City area in order to attract visitors and prospective business and property owners . b. Expand employment opportunities in the City by influencing the expansion and redevelopment of existing businesses and industry in the Center City area. r c. Develop a plan for a special services assessment district which will include resources for property maintenance, business retention, education, security and redevelopment. d. Coordinate and provide continuing education and training to the Center City businesses with regard to storefront marketing, security and other business techniques . e. Maintain a database of volunteers to serve on Development Corporation and City committees to assist with projects and events. f . Work with the City departments to coordinate activities targeted for the development of real estate projects in the Center City area. g. Work with the City departments in the dissemination of notices to Center City business and property owners with regard to any redevelopment projects in their area. h. Disseminate information regarding all Development Corporation activities and business recruitment through the design and printing of a business newsletter, brochure, marketing kits, posters, fliers and other advertising media available. i . Work with other organizations such as the Elgin Area Chamber of Commerce, the Convention and Visitors Bureau, Elgin Community College and the Children' s Discovery Museum in business development efforts in the dissemination of information which may affect the Center City area. j . Assist the City' s Public Information Officer in identifying activities and projects which warrant news releases and write copy as requested. k. Assist the City by acting as a central location for information regarding the Center City area and activities . 1 . Continue to implement the program and activities currently in place to effectively recruit members, businesses and property owners to the Center City. m. Promote, market and lease space in the building located at 32-52 Fountain Square Plaza, Elgin, Illinois ( formerly known as the Spiess Building, now known as River Place) . -2- 711 n. Conduct appropriate fundraising activities with the goal of generating sufficient revenues to sustain the Development Corporation. 2 . That the Development Corporation shall provide written reports to the City on or before March 31, 1994, June 30, 1994, September 30, 1994 and December 31, 1994, regarding the services and activities rendered during the time period covered by this agreement. 3 . That as compensation for the development activities to be performed by the Development Corporation under this agreement, the City shall pay to the Development Corporation the sum of Sixty Thousand Dollars ($60,000 . 00) . Said money shall be paid to the Development Corporation in one Thirty Thousand Dollar ( $30, 000) installment on or before January 17, 1994 , and the balance in $10,000 installments on January 31, 1994, April 1, 1994 and July 1, 1994 . 4 . That as further compensation to the Development Corporation for the Development Corporation activities as described in this agreement, the City will continue to provide the Development Corporation with office space currently in use in the City building located at 31 Fountain Square Plaza, Elgin, Illinois, along with the computer equipment, telephone equipment and other office equipment currently in use at said property. 5 . The term of this agreement shall commence upon the execution hereof and shall terminate as of December 31, 1994 . Malm, Interim City Manager SUBJECT: Purchase of Service Agreement PURPOSE The purpose of thiF memorandum is to forward to the Mayor and City Council a Purchase of Service Agreement (PSA) with the Center City Development Corporation (CCDC) . BACKGROUND During the City' s 1994 budget process, the City Council allo- cated funds to boards and commissions and various other organ- izations . P':dgeted for the CCDC was $30, 000 in 1993 and 1994 , with the disbursements of monies conditioned upon enter- ing into a 1'urcnase of Service Agreement. Attached is a PSA which specifies the services and activities the CCDC is to perform on behalf of the City. For this work, the CCDC is to receive $60,000, with $30,000 paid on or before January 17 ( for work essentially performed in 1993) and the balance in three $10,000 installments on January 31, April 1 and July 1 . The CCDC must provide quarterly written reports to the City regarding their activities and services . FINANCIAL IMPACT There was $30,000 included in the 1993 estimated budget which is included in the cash carryover to 1994 . An additional $30,000 for CCDC is in the 1994 budget. The Center City Development Corporation will conduct their operation under the terms of the PSA and will no longer have expenses in the City Manager' s office budget. 7 } r Purchase of Service Agreement January 7, 1994 Page 2 RECOMMENDATION it is recommended the City Council authorize the execution of the PSA with Center City Development Corporation. 1 taw— Ro rt 0.
