RESOLUTION
AUTHORIZING EXECUTION OF A PURCHASE OF SERVICE AGREEMENT WITH
JONATHAN H. COHON AND DAWN BLAIS RUBICCO
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Larry L. Rice, City Manager, be and is hereby
authorized and directed to execute a Purchase of Service
Agreement on behalf of the City of Elgin with Jonathan H.
Cohon and Dawn Blais Rubicco in the sum of $2 , 300 for art
exhibitions, a copy of which is attached hereto and made a
part hereof by reference.

PURCHASE OF SERVICE AGREEMENT
THIS AGREEMENT, entered into this + i day of

inafter referred to as the "City" ) and the following designat-
ed service providers, to wit:

The City of Elgin and Jonathan H. Cohon and Dawn Blias
Rubicco (referred to hereafter as "Provider" agree as follows :
1 . The City of Elgin agrees pay Provider, an amount not to
exceed $2,300 for the following program: a maximum of six
art "salons" which will provide exhibitions, free to the
public, featuring approximately twenty-five local artists per
event.
2 . All monies granted for this program will be expended by
Provider between February 1, 1993 and December 31, 1993 .

3 . Provider will be paid for the above described services
as described below:

Funds will be released no sooner than thirty days prior to
each exhibit. Provider must show proof to the City that
exhibit is scheduled by means of publicity and promotional
materials, list of artists participating, etc. Failure to
hold any exhibit as scheduled will void any agreement by the
City to release funds for future exhibits .
4 . Provider agrees that all funds received for this program
will be expended only for the program as described above. In
the event Provider changes the program without the prior
consent of the City of Elgin; all funds shall be refunded to
the City.
5 . Provider agrees the credit will be given to the City of
Elgin and Elgin Cultural Arts Commission on all public notic-
es, publicity, printed programs, public media and other appli-
cable materials . Provider also agrees to supply the City of
Elgin with copies of the above-mentioned publicity.
6 . Provider agrees to submit a Financial and Evaluation
Report to the City of Elgin on forms provided, within two
weeks after the termination of the program period.
7 . Provider agrees upon request to make available to the
City of Elgin financial records for the year in which a grant
was received from that Council. The City of Elgin will be
allowed to access to financial documents that pertain to
information stated in the previously approved application for
funding.
8 . Provider agrees that no monies will be used for any
purchase of permanent equipment, capital improvements or
construction, payment of previous year' s deficit, activities
outside of the state geographic boundaries, or subsidy for an
individual ' s academic study.
9 . Provider agrees that no person shall, on the grounds of
race, color, religion, national origin, sex, handicap, sexual
preference, participation in, be denied benefits of, or be
otherwise subjected to discrimination under any activity
including employment, supported in whole or in part by funds
provided under this grant.
10 . Provider agrees that the program described in Paragraph
1 and referred to in Paragraph 8 shall be conducted within
the geographical boundaries of the City of Elgin.
11 . Provider does hereby agree to indemnify, save harmless,
and defend the City of Elgin, its agents, servants and employ-
ees, and each of them against and hold it and them harmless
from any and all lawsuits, claims, demands, liabilities,
losses, and expenses including, but not limited to, partici-
pants and spectators, or any death at any time resulting from
injury or any damage to any spectators, or any death at any
time resulting from injury or any damage to any property
which may arise or which may be alleged to have arisen out
of, or in connection with, the program as described in Para-
graph 1 and referred to in Paragraph 8 .
