RESOLUTION
AUTHORIZING EXECUTION OF AMENDMENT NO. 3 TO AN AGREEMENT WITH
JOHNSON JOHNSON & ROY, INC .
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that Larry L. Rice, City Manager, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to
execute Amendment No. 3 to an Agreement on behalf of the City
of Elgin with Johnson Johnson & Roy, Inc. for engineering
services for the Civic-Cultural District Project and the
Center City Parking Lot, a copy of which is attached hereto
and made a part hereof by reference.

Amendment No. 3
This Amendment No. 3 entered into this � "` day of September
1993, by and between the City of Elgin, an Illinois municipal
corporation (hereinafter referred to as "CITY" ) and Johnson,
Johnson & Roy, Inc. (hereinafter referred to as "ENGINEER" ) ,
shall modify that Agreement dated 13 August 1992 whereby the
ENGINEER was engaged by CITY to perform certain professional
services in connection with the Elgin Center City Project-Civic/
Cultural District Project, and Amendment No. 1 whereby the scope
of services of the Engineer was expanded to include the
engineering, preparation of bid documents and bid evaluation of
the Center City Parking Lot and Amendment No. 2 whereby the
scope of services was expanded to include the construction
engineering and inspection of the Center City Parking Lot.
Whereas the CITY desires to further expand the scope of services
of the ENGINEER to include the furnishing of certain
additional/professional services in connection with the Center
City Parking Lot construction and the Center City-Civic/Cultural
District projects .
In response to these additional engineering related services,
certain revisions must be made to the Agreement. In compliance,
therefore, the terms and conditions of the Agreement are
modified as specifically set out below. All other parts of the
Agreement remain unchanged.
I . Scope of Services : add the following:
3 . 0 Phase III Design Development
3 .g. North Street: south side from Grove Ave. to
Brook Street.
5 . 0 Additional Services
5 . 1 Issue documents for bidding and recommend bid
award to the City for:
a) Hemmens North Entrance
5 .4 Modifications to:
a) Center City Parking Lot plans and specifications
b) Kimball Street Schematic Design and Preliminary
Engineering
c) Kimball Street at State Street Intersection
Design Study.

V. Payments to the Engineer
For services provided under this Amendment #3, the
Engineer shall be reimbursed a total fee of thirty one
thousand seven hundred eighty nine ( $31, 789 . 00) dollars and
reimbursables of one thousand seven hundred ($1,700 . 00)
dollars, for a total Amendment No. 3 cost of thirty three
thousand four hundred eighty-nine ($33,489 . 00) dollars .
The total payments to the ENGINEER under this Agreement
plus Amendments No. 1, 2 and 3 are as follows :
. Total fee: Four hundred seventy five thousand one
hundred and six ($475, 106 . 00) dollars .
. Total reimbursables : Twenty two thousand five hundred
fifty ($22,550 . 00) dollars .
IN WITNESS WHEREOF, the undersigned have placed their hands and
seals upon and executed this Amendment No. 2 in triplicate as
though each copy hereof was an original and that there are no
other oral agreements that have not been reduced to writing in
this statement.

MEMORANDUM
TO: Mayor and Members of the City Council
FROM: Larry L. Rice, City Manager
SUBJECT: Amendment No. 3 with Johnson, Johnson & Roy, Inc.
(JJ&R)
PURPOSE: To provide information to consider the authorization
of an Amendment No. 3 with JJ&R to extend their professional
service for work on the Civic-Cultural Street Scope engineering
and on the Center City Parking Lot engineering.
BACKGROUND: On June 23, 1993, City Council awarded a contract
with Sinnett Builders for the construction of the Center City
Parking Lot. Prior to the award, City Council authorized a
change to the parking lot configuration to remove the
encroachment of the lot on the adjacent public alley between the
lot and Center City Place. City Council also authorized the
engineering for the lowering and reconstruction of the alley.
The incurred cost by JJ&R for the parking lot redesign and the
alley engineering amounted to $6 ,898 .
On June 9, 1993 a presentation was made at a joint meeting of
City Council and the Hemmens Board concerning the preliminary
engineering of the Hemmens North Entrance construction. At that
meeting, the Hemmens Board approved the preliminary engineering
subject to the inclusion of a portion of North Street in the
project in order to provide additional general parking as well
as handicapped parking. The final engineering plan was
subsequently presented to City Council on July 14 , 1993 and
authorization was received to bid the construction. Bids were
received on August 4, 1993 and evaluated by JJ&R. Their
recommendation to reject all bids is also on the Council Agenda
this date.
Under our Agreement with JJ&R, the design of North Ave. was to
be brought only to a level of Schematic Design and Preliminary
Engineering; final engineering is an additional service. The
actual costs for the final engineering of this portion of North
Street is $13,800 .

The final engineering of the Hemmens North Entrance was included
in the base Agreement with JJ&R. Construction related services,
including bidding, bid review and award recommendation was
identified as additional services . The actual incurred costs
for the Hemmens bid process was $2, 646 .
On December 3, 1992, Staff and the Center City advisory
Committee approved the Schematic Design and Preliminary
Engineering for Kimball Street. Subsequent to that approval ,
modifications to the design were made to Kimball Street between
Dundee Ave. and Spring Street. The process of designing the
modifications required two public meetings to consider various
alternatives . A revised design was developed and approved by
the adjacent business and the Center City advisory committee on
January 11, 1993 and by City Council on March 10, 1993 .
The redesign cost of $15,520 will be accommodated in part by
deleting the final engineering of North Grove Ave. from North
Street to Kimball Street. The remaining cost of $7, 360 is
considered as a change to the Agreement.
Finally, in order to provide for a better intersection design
study at the Kimball Street and State Street (Route 31)
intersection, the scope of improvements was extended to Wing
Street. Additional surveying costs were incurred in this
extension in the amount of $2 ,785 .
FINANCIAL IMPACT: In summary, the additional costs for the
above additions are as follows :

RECOMMENDATION: That Amendment No. 3 with JJ&R be approved in
the amount of $31,789 for services and $1,700 for reimbursables
in the total amount of $33,489 . 00 . This Amendment No. 3 will
increase the Agreement amount from $464 , 167 (basic services at
$443, 317 and reimbursables at $20, 850) to $497,656 (basic
services at $475, 106 and reimbursables at $22 ,550) .
