RESOLUTION
AUTHORIZING EXECUTION OF A PURCHASE OF SERVICE AGREEMENT WITH
THE MOTHER GOOSE CHILD DEVELOPMENT CENTER
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF ELGIN,
ILLINOIS, that George VanDeVoorde, Mayor, and Dolonna Mecum,
City Clerk, be and are hereby authorized and directed to
execute a Purchase of Service Agreement on behalf of the City
of Elgin with the Mother Goose Child Development Center for
the improvement of a day care center for low income single
parent families, a copy of which is attached hereto and made a
part hereof by reference.

PURCHASE OF SERVICE AGREEMENT
CITY OF ELGIN, ILLINOIS/MOTHER GOOSE CHILD DEVELOPMENT CENTER
This agreement is made this d "l, day of , 1993,
by and between the Mother Goose Child Development C ter, a not for
profit corporation, and the City of Elgin, Illinois, a municipal
corporation hereinafter referred to as "City".
WHEREAS, the City desires to assist in the improvement of a day
care program providing day care for low income single parent families
in the City of Elgin.
WHEREAS, the Mother Goose Child Development Center provides a
program which delivers day care services to single parent low income
households in the City of Elgin.
NOW THEREFORE, in consideration of the mutual promises and
covenants contained herein, the sufficiency of which is hereby
acknowledged,
It is hereby agreed:
1. The Mother Goose Child Development Center will provide day
care services for children from low income (as defined by Section 8
Income Guidelines published by the U. S. Department of Housing and
Urban Development, as attached hereto and made part hereof as
Attachment A) single parent families. The Mother Goose Child
Development Center will continue to provide day care services for an
average of 50 children per day of which at least 80% shall be from
single parent low income families. Hours of operation of the Mother
Goose Child Development Center will continue to be from 6 A. M. to
5:30 P. M. Monday through Friday. The provision of day care services
shall take place at 240 Standish Street.
2. The Mother Goose Child Development Center will rehabilitate
the bathrooms (plumbing, fixtures, etc. ) serving the children of the
facility and install new floor coverings in the day care areas
thereby improving the day care environment for the children served by
the program. Said work to be accomplished in a workman like manner
acceptable to the City of Elgin.
3. The Mother Goose Child Development Center shall submit a
report which documents all work completed regarding this
rehabilitation and all costs associated with the rehabilitation work
prior to payment for such work.

4. The City shall provide funds to the Mother Goose Child
Development Center in an amount not to exceed $19, 260 for the express
purpose of reimbursing the Mother Goose Child Development Center for
funds expended for the rehabilitation work accomplished at 240
Standish Street. Said funds shall be disbursed in one lump sum
payment.
5. Any breach of the terms of the agreement shall constitute a
material breach. Upon breach of this agreement by Mother Goose Child
Development Center, the Mother Goose Child Development Center shall
pay a sum $9, 600 to the City as and for liquidated damages.
6. This agreement shall not be deemed to constitute an
employment, joint venture, partnership or agency relationship between
the parties.
7. The terms of this agreement are severable. If any of the
terms or provisions of this agreement are found to be void, illegal
or otherwise unenforceable for any reason, the remainder to the
agreement shall remain in full force and effect.
8. This agreement shall be subject to and governed by the laws
of the State of Illinois.
9. The Mother Goose Child Development Center shall indemnify
and hold harmless the City, its agents, employees and assigns from
any liability, causes of action, suits, or claims for damages arising
out of or resulting from the performance of this agreement.
In witness whereof, the parties hereto have caused this
agreement to be executed on the above written date.

SUBJECT: Proposed Purchase of Service Agreement
Mother Goose Child Development Center
Purpose: To consider a proposed Purchase of Service agreement
between the City of Elgin and Mother Goose Child Development Center.
Background: During the 1992 Community Development Block Grant
hearings a total of $41, 000 was allocated to the Mother Goose Child
Development Center for the purposes of building improvements and
equipment replacements. After City Council funding approval the
other Goose organization proceeded to achieve certain building
improvements (totaling $19, 260) through a short term loan. The
Community Development Block Grant program could not pay Mother Goose
for the $19, 260 of work that was completed prior to the release of
funds by the U. S. Department of Housing and Urban Development and the
necessary associated subrecipient agreement. Subsequently, in
January of this year the City Council agreed to allocate $100, 000 in
bond funds for neighborhood and community projects (of which the
Mother Goose $19, 260 vas a component) and to fund an additional
$100, 000 in street reconstruction work from the 1993 Community
Development Block Grant funds.
The attached agreement provides for payment to the Mother Goose
Child Development Center of $19, 260 for specified improvements to the
facility. The amount of funding contained in the agreement will
reimburse Mother Goose for the work accomplished to date.
Financial Impact: Sufficient funds are available in the above
referenced bond funds to cover the requested reimbursement amount for
Mother Goose. Additionally, the Community Development Block Grant
Program rebudgeted *19, 260 of the original $41,000 allocation during
the 1993 public hearings to new projects.
Recommendation: It is recommended that the City Council approve the
attached agreement. A resolution authorizing execution of the
agreement is contained on the City Council's regular agenda.
