Electronic Security Services Division 7280 West Devon Avenue Chicago, Illinois 60631-1697 312-775-8600 Fax 312-775-8473 r �• AGREEMENT The City of Elgin (hereinafter known as the "City" ) hereby grants National Guardian Security Services Corporation - Electronic Security Services Division, (hereinafter known as "National" ) , its successor or assigns, the exclusive right to install and operate for an initial period of two (2) years beginning April 1, 1992, an alarm monitoring system in the Elgin Police and Fire Communications Center. This right is granted under the following conditions : 1 . Positions be available to any subscriber who meets reasonable criteria for application and complies with all City ordinances and enters into a direct agreement with National . 2 . That National will maintain all required equipment with all attendant cabling and labor, and further maintain it on a 24-hour basis, all at no expense to the City, National will arrive for service no later than two (2 ) hours from the time requested by the City. 3 . During the term of the Agreement if there are any new modifications or Advancements in technology pertaining to the system, National agrees to automatically update and improve the system at no cost to the City. 4 . In accepting this service from National, the City understands that National will in the future charge other alarm companies an initial connection fee of $95 . 00 . The monthly monitoring fee will be $18 . 00 per month per position. 5 . National shall collect on behalf of the City a municipal fee of $8 . 00 per month, per subscriber connected and shall pay to the City on a quarterly schedule all fees collected. There shall be no municipal fees charged with respect to the City owned facilities . 6 . National will provide positions on the alarm monitoring system for use of the City in a sufficient number to allow for the supervision of existing municipal facility connections and positions in the future as the need arises . There shall be no charge for these positions . 7 . The City further grants to National the privilege of exclusive monitoring facilities for the City to monitor all burglar, hold-up and fire alarms for a period of two (2 ) years, having begun on April 1, 1992 . 8 . The City acknowledges that all equipment installed in accordance with this Agreement is owned by National, and in the event this Agreement is terminated for any reason, National shall have the right to remove the same upon sixty ( 60) days notice. 9 . This Agreement shall be automatically renewed for an additional one ( 1) year term under the same terms and conditions unless terminated in writing by either party one hundred and twenty ( 120) days prior to the expiration date. National agrees to relocate all originally installed and added alarm equipment, to a new City police department facility. There will be no charge to the City to relocate the system. National will also bear the expense of any additional equipment, cabling, supplies, or labor necessary to return the alarm monitoring system to its original fully operational condition as determined by the City. The City reserves the right to terminate the agreement at any time with thirty ( 30) days notice if National has failed to perform under the terms of the Agrement. 10 . This Agreement shall be binding upon the heirs, executors, administrators, successors and assigns of both parties . 11 . This Agreement incorporates the entire agreement and understanding between the parties and there are no oral agreements, understanding, or representations between the parties which are not reduced to writing herein. This Agreement may not be changed, modified, or discharged except in writing executed by all parties hereto. (174.14:0)/ July 1, 1992 MEMORANDUM TO: Mayor and Members of City Council FROM: City Manager SUBJECT: Burglar/Fire Alarm Monitoring System Ordinance and Agreement PURPOSE: The purpose of this memorandum is to provide Council information regarding the attached ordinance and subsequent • resolution regarding the new two-year license agreement that has been awarded to National Guardian Security Systems . BACKGROUND: At your January 22 , 1992 regular meeting, Council awarded a new license agreement with National Guardian Security Systems for the installation and maintenance of a burglar/fire alarm monitoring system. Basically, this new two-year license agreement replaces the City' s 11-year-old alarm system, increases the current monthly rate charged to subscribers to $18, and increases the City's share of that monthly rate to $8 . The attached ordinance, resolution, and agreement, which have been prepared by our Legal Department, reflect the terms of this new license agreement. As required by the terms of our Request for Proposal , National Guardian has installed the new system and has been providing all services since April 1, 1992 . It is also noted that the attached ordinance would repeal the existing ordinance, which granted similar rights to the former license holder, ADT Security Systems . FINANCIAL IMPACT: Passage of this ordinance and resolution authorizing the agreement involves no cash outlay or direct expense by the City. Based upon the estimated 260 current sub- scribers at the new City share of $8/month/subscriber, the City• would realize $49, 920 over the next two years . - 1 � J� • V Memo to Mayor and Members of City Council Page 2 July 1, 1992 RECOMMENDATION: The recommendation is two-fold: a) That the attached ordinance granting certain rights to National Guardian be passed by Council. b) That the subsequent resolution authorizing an agreement with National Guardian be passed by Council. Larry L. ce, Ci anager - Ordinance No. G36-92 AN ORDINANCE GRANTING CERTAIN RIGHTS TO NATIONAL GUARDIAN SECURITY SERVICES FOR THE INSTALLATION AND MAINTENANCE OF AN ALARM CONTROL SYSTEM BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF ELGIN, ILLINOIS: Section 1 . That National Guardian Security Services of Illinois, with its office at 7280 W. Devon Avenue, Chicago, Illinois (hereinafter referred to as "National" ) is hereby granted an exclusive license to install and maintain a Keltron DMP 703 Alarm Monitoring System with a capacity of 1000 circuits . Section 2 . That the system herein authorized shall be substantially as depicted in Exhibit A attached hereto and made a part hereof by reference. Section 3 . That National shall be solely responsible for the installation and maintenance of the alarm system in a safe and proper working order and shall repair or correct any defect or malfunction to the system promptly upon receipt of notice from the City of Elgin of any defect or malfunction. The City of Elgin, its officers, agents and employees, shall not be responsible for any maintenance or repair to the system and shall not undertake such maintenance or repair. Section 4 . That the City of Elgin shall be responsible for monitoring the system and for dispatching personnel in response to alarms received on the system. Section 5 . That National shall convert existing circuits to the alarm monitoring system without cost to the subscriber. Section 6 . That National shall install and maintain equipment approved by Underwriters ' Laboratories, Inc. as described in Exhibit A. Section 7 . That National shall reserve all necessary alarms/circuits for use by the City of Elgin at no charge. Section 8 . That National shall furnish maintenance service as described above on a 24 hour, seven day a week schedule. Section 9 . That installation charges and monthly service charges shall be in accordance with the following: Installation Fee: $95 . 00 per circuit Subscriber Rate: $18 .00 per month except that no charge shall be made to the City of Elgin Section 10 . That telephone line current requirements shall be in reverse polarity mode or other city approved signal transmission mode. Each subscriber or applicable security company shall provide any necessary signal transmission equipment. In the event that National furnishes and installs the required equipment, subscribers shall be charged a fee at the prevailing rate but not to exceed $450 . 00 . Any Illinois Bell telephone wire facility charges shall be the responsibility of the subscriber. Section 11 . That within 30 days following the close of each three month period National shall pay to the City of Elgin the sum of $8 . 00 for each month for each subscriber during the preceding three month period, other than the City of Elgin. Section 12 . That other than with respect to claims, demands, suits, damages, judgments, cost or expenses arising from the performance or nonperformance by the City, of its responsibilities under Section 4 hereof, National shall, at its own expense, defend all claims, demands or suits resulting from the use or maintenance of the alarm monitoring system herein authorized and National shall agree to save and hold harmless the City from any and all claims, demands or suits and from any and all damages, judgments, costs and expenses of any kind which may arise from the use or maintenance of the alarm monitoring system herein authorized. National is self-insured up to an amount of $1,000,000 per occurrence. In addition thereto, National shall maintain general liability insurance, including errors and omissions and contractual coverage, with limits of not less than $1,000,000 per occurrence. The City shall be named as an additional insured, as its interest may appear with respect to acts or omissions of National, on said insurance policy which shall also provide that the City will be given 30 days written notice before cancellation or expiration thereof. This section shall not apply to connections furnished for use of the City of Elgin without charge as provided in Section 7 thereof. Section 13 . That within 30 days following the passage of this ordinance, National shall accept the terms of the franchise granted herein by filing with the City Clerk an unconditional acceptance thereof, duly executed in the manner provided by law; said franchise shall not be assignable • without the consent of the corporate authorities of the City of Elgin. Section 14 . That this ordinance shall be in full force and effect from and after the date of filing by National of its unconditional written acceptance of this ordinance with the City Clerk. Section 15 . That the franchise herein granted to National shall continue for a period of two years having begun on April 1, 1992; that thereafter it shall be renewed automatically for successive terms of one year, unless either party shall terminate the same by giving the other party written notice of its intent to terminate not less than 180 days prior to the end of the same term. Section 16 . That Ordinance G100-85 passed December 9, 1985, be and is hereby repealed. Section 17 . That this ordinance shall be in full force and effect from and after April 1, 1992 .
